12、s1、甲、乙雙方在正式簽署本協(xié)定時，甲方應(yīng)提供銀行的開證能力函、甲方簽字人證照、開證公司證照.董事會決議；乙方應(yīng)提供接證銀行額度函、接證（MT-760 ）銀行版本、乙方簽字人證照、接證公司證照.董事會決議。以上檔將作爲(wèi)本協(xié)定不可分割附件（附件“AA” ）。甲、乙雙方在香港律師樓見證下正式簽署本協(xié)定。（律師見證費由乙方承擔(dān)）Both P arties sig n this Agreeme nt. Party B is respon sible for the p ayme nt of lawyer wit ness fees.2、在正式簽署本協(xié)議後，乙方正式邀請甲方加簽貼現(xiàn)銀行的出款帳戶並在融資過程中共同 管理該帳戶。在5個銀行工作天

15、內(nèi)，甲方通過開證銀行用 SWIFT- MT760開出第一單50M USD 的SBLC並按乙方指定的座標(biāo)發(fā)送到貼現(xiàn)銀行。After the formal sig ning of this Agreeme nt. Party B will formally in vite Party A to co-sig n the bank payment account which was arranged by the Discount Financing Bank, and both parties shall co-ma nage this acco unt duri ng the financing

With in Five (5) bank work ing days, Party A shall cause its SBLC Issui ng Ba nk to issue SBLC (the first tran che) in the amou nt of 50 Millio n US dollars via SWIFT MT760 to Party B' s Discount Financing Bank designated coordinates.3、乙方接證(貼現(xiàn))銀行收到並完成確認(rèn) SBLC MT760後，立即辦理貼現(xiàn)手續(xù)，乙方應(yīng)在3-5個銀行

17、工作日內(nèi)取得全部貼現(xiàn)款項，並按本協(xié)議條款“四”中所定的比例分額匯入到各 受益帳戶。After receipt and authentication of SBLC via SWIFT 760, Party B' Receiving Bank (Discount Financing Bank) shall carry on the disco unt financing immediately. With in Three to Five (3-5) bank work ing days, Party B shall get all the disco un ted amount and

18、 P arty B shall remit the funds to each ben eficiary bank acco unt in accorda nee with the pro rata distributi on which was stated in terms No. 4 of this Agreeme nt.4、SBLC到期前15天，由甲方負責(zé)向乙方銀行償還90%,否則甲方無異議，同意由貸款銀行向開證銀行無條件 100%保兌托收。Fiftee n (15) days before the maturity date of SBLC, Party A shall respon

Otherwise Party A agreed that the Disco unt Financing Bank can be p aid in full uncon diti on ally by the Issu ing bank before the exp iratio n day.雙方責(zé)任及違約條款：Both parties 'responsibilities and default clauses:1、甲方確保所提供的SBLC是真實合法、

20、非租單且到期無條件保兌的實單，偽證願罰、違MT-760。法必究；同時按雙方所簽訂條款按時開出Party A, with legal respon sibility un der pen alty of p erjury, en sures that the SBLC is real, legitimate, non-leas ing and the SBLC Ben eficiary can be p aid uncon diti on ally by the Issu ing bank before the expi rati on day. Party A is also respon s

21、ible for issu ing the SBLC via SWIFT MT760 on schedule in accorda nee with the terms of the Agreeme nt sig ned by both p arties.2、爲(wèi)確保雙方合作的真實性及對本協(xié)定執(zhí)行的嚴(yán)肅性，雙方確定：如因違約方原因致使本協(xié)議不能順利執(zhí)行而造成守約方損失，違約方自動將按合約金額的1%計50萬美元作爲(wèi)違約金賠償守約方（守約方70%,顧問方30%）;雙方還確認(rèn)：甲、乙雙方嚴(yán)格遵守合約履行並承擔(dān)應(yīng)盡責(zé)任，所有顧問方人員無須承擔(dān)任何的偽證、違約、還款、追索等聯(lián)帶責(zé)任。Both P arti
