9、etPage 6 of 19Research Project3.1甲方有權(quán)對(duì)乙方為調(diào)研項(xiàng)目所做工作進(jìn)行 監(jiān)督檢查，乙方同意在調(diào)研項(xiàng)目進(jìn)行過(guò)程中接受 甲方的監(jiān)督檢查，但甲方的監(jiān)督檢查不得影響乙 方的正常調(diào)研作業(yè)。The parties hereby con firm, that Party A has the rightto supervise and inspect the Agreement Project whatParty is doing. Nevertheless, such supervision orinspection could not affect any Party As

10、 regularresearch operation.3.2如果乙方的調(diào)研作業(yè)需要甲方提供必要的 資料和數(shù)據(jù)等，甲方應(yīng)及時(shí)提供，否則由此導(dǎo)致 乙方延期開展工作的，由甲方承擔(dān)責(zé)任。Party A shall provide any n ecessary docume nts ordata promptly to Party B if needed for complet ing theAgreeme nt Project. Party A shall bear the liability forall consequences arising therefrom.四、市場(chǎng)調(diào)研項(xiàng)目的完成及驗(yàn)收Ac

11、complishment and Acceptanee of MarketResearch Project4.1乙方應(yīng)根據(jù)本協(xié)議約定以書面報(bào)告或電子Page 7 of 19郵件形式按時(shí)向甲方提父市場(chǎng)調(diào)研成果。Party B shall submit the Market Search result eitherby written report or email according to the Con tract.4.2甲方應(yīng)在乙方向甲方發(fā)出市場(chǎng)調(diào)研成果后 按本協(xié)議及其附件規(guī)定的標(biāo)準(zhǔn)對(duì)調(diào)研成果及時(shí) 進(jìn)行驗(yàn)收，如發(fā)現(xiàn)存在不符合本協(xié)議及其附件規(guī) 定的，應(yīng)書面通知乙方。乙方應(yīng)當(dāng)自收到甲方書 面通知

12、之日起個(gè)工作日內(nèi)答復(fù)甲方，或在十個(gè)工作日內(nèi)做出相應(yīng)的修改。Party A shall check the Market Research resultprovided by Party B accordi ng to the accepta neecriteria set forth in the Con tract and the Appendix. Party a shall carry out obligati onsin accorda nee with Clause 2.4.五、知識(shí)產(chǎn)權(quán)及保密條款I(lǐng)n tellectual PropertyRights and Con fide ntial Terms5.1乙方根據(jù)本協(xié)議或在本協(xié)議履行過(guò)程中專 門為甲方或根據(jù)甲方提供的有關(guān)信息、資料而產(chǎn)生的市場(chǎng)調(diào)研成果， 其知識(shí)產(chǎn)權(quán)歸甲方所有； 但 不包括(1)乙方的商標(biāo)、標(biāo)識(shí)、版權(quán)及其知識(shí) 產(chǎn)權(quán)；(2)乙方的專有技術(shù)、研究技術(shù)、及享有 所有權(quán)的研究方法。Party A shall own the intellec

15、tual property rights ofthe Market Research Result, which produced basedon this Con tract or achieved according to theinformation, materiel provided by Party A; Party Bshall retain the exclusive intellectual property rightsof the following: (1) Party Bstrademarks, logos,copyrights and other intellect

18、ans, customerlists, pricing methods, project and commercialproposals, pers onn el, and bus in ess relati on ships;(2) in formati on relati ng to research anddevelopment, methodologies, processes, kno w-how,specificati on s;(3)Research result and data.另外，雙方均同意不披露本協(xié)議的相關(guān)內(nèi)容、項(xiàng)目建議書、調(diào)研對(duì)象及工作往來(lái)郵件的內(nèi) 容給本協(xié)議雙方之外

19、的第三方。In ter alia, the parties hereby agree not toPage 10 of 19disclose any content of this Con tract, projectproposal, research objecti on and e-maili ng backand forth for the project here un der, to any thirdparty.5.3接受保密信息的一方不得從事以下行為：（1）非為履行本協(xié)議項(xiàng)下義務(wù)的需要而使用保 密信息；（2）向任何第三方透露該保密信息，除 非是向信息接收方的雇員為履行本協(xié)議義務(wù)

23、hereafter becomes gen erallyavailable to the public; （2） the receiving partypossessed at the time of receipt thereof from thedisclosing party, and was not acquired directly or indirectly from the disclosing party; （3） is acquired orrightfully received by the receiving party from a thirdparty and wit

24、hout con fide ntial limitati on on thereceiving party; (4) is independently developed bythe receiving party without breach of this Con tract; (5)is required to be disclosed pursuant to court order,government orders, applicable laws or regulati onsrequireme nt 5.5保密期限：在本協(xié)議有效期內(nèi)及屆滿后兩 年內(nèi)，協(xié)議雙方仍負(fù)有保密義務(wù)。Con

26、er no rmative docume nts, andwill not ask Party B to provide any service mightconstitute a breach to the foregoing laws and regulations.6.2乙方應(yīng)保證其已經(jīng)采取了一切必要的合理的關(guān)注，以確保提供給甲方的數(shù)據(jù)或其他資料的 客觀、真實(shí)、有效；并且不得侵犯任何第三方的 知識(shí)產(chǎn)權(quán)及其它權(quán)益；沒(méi)有違反國(guó)家法律和法 規(guī)。Party B has take n all n ecessary reas on able atte ntion in order to guara

28、的，視為違約，應(yīng)停止違 約行為，并承擔(dān)繼續(xù)履行、采取補(bǔ)救措施或賠償 損失等違約責(zé)任。Any party does not perform the duty here un der orperforms its duty not consistent with this Con tract,shall be deemed as breach. The breaching partyshall immediately cease the breach and bear thebreach liability, in cludi ng but not limited to, continueto p

29、erform duty, take remedial measures orcompensate for a loss.7.2甲方明確認(rèn)可及同意在任何時(shí)候，任何情 況下，乙方或其董事、員工或代理均不對(duì)與市場(chǎng) 調(diào)研成果有關(guān)的以下后果負(fù)責(zé)：（1）任何利潤(rùn)或 收入損失，購(gòu)買替代產(chǎn)品或服務(wù)的成本，（2）任 何類型的特殊、間接、偶發(fā)、懲罰性或間接損害， 或者（3）任何超過(guò)（累計(jì)）本協(xié)議項(xiàng)下，甲方 向乙方支付的全部費(fèi)用的損失。Party A expressly con firms and agrees that at anytime, under any situation, Party B and it

In case the prepaid amo untexcceds the payable amo unt, Party B shall retur nthe extra part.九、爭(zhēng)議的解決Dispute Resolution9.1本協(xié)議適用中華人民共和國(guó)法律。所有涉 及本協(xié)議的爭(zhēng)議，應(yīng)首先通過(guò)友好協(xié)商加以解 決。如協(xié)商不成，應(yīng)將該爭(zhēng)議提交至北京國(guó)際經(jīng) 濟(jì)貿(mào)易仲裁委員會(huì)（CIETAC）。該會(huì)依據(jù)其現(xiàn) 行有效的仲裁規(guī)則進(jìn)行仲裁。該仲裁裁決是終局 的，對(duì)雙方具有約束力，并可在任何有管轄權(quán)的 法院或其他有權(quán)機(jī)構(gòu)強(qiáng)制執(zhí)行。Page 17 of 19This Con tract shall be gover ned by the laws ofPeopleRepublic of China.
