3、裝 運(yùn) 嘜 頭 的 商 業(yè) 發(fā) 票 一 式 份 。3 ） 由 出 具 的 裝 箱 單 或 重 量 單 一 式 份 。（4） 由 出具的質(zhì)量證明書一式 份（5） 由 出具的數(shù)量證明書一式 份（6） 保 險(xiǎn) 單 正 本 一 式 份 。（7） 簽 發(fā) 的 產(chǎn) 地 證 一 式 份（8） 裝 運(yùn) 通 知 ：另外，賣方應(yīng)在交運(yùn)后小時(shí)內(nèi)以特快專遞方式郵寄給買方第項(xiàng)單據(jù)副本一套。13 裝運(yùn)條款：FOB賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30 天，以電報(bào)/ 電傳 / 傳真通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方安排租船/ 訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空

4、船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。CIF或CFR賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在CFR術(shù)語下，賣方應(yīng)在裝船前 2 天電傳 / 傳真/ 電報(bào)買方合同號(hào)、品名、發(fā)票價(jià)值及開船日期，以便買方安排保險(xiǎn)。DDU賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝運(yùn)至目的港。14 裝運(yùn)通知一俟裝載完畢，賣方應(yīng)在 小時(shí)內(nèi)電傳/ 傳真 / 電報(bào)買方合同編號(hào)、品名、已發(fā) 運(yùn) 數(shù) 量 、 發(fā) 票 總 金 額 、 毛 重 、 船 名 /車 /機(jī) 號(hào) 及 啟 程 日 期 等 。15 質(zhì)量保證：貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港 個(gè)月內(nèi)

5、，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償16 商品檢驗(yàn)賣方須在裝運(yùn)前日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn) 證 書 ， 貨 到 目 的 港 后 ， 由 買 方 委 托 檢 驗(yàn) 機(jī) 構(gòu) 進(jìn) 行 復(fù) 檢 。如經(jīng)中國 檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。18 延 期 交 貨 違 約 金除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限

6、交貨，如買方同意遲延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7 天 0.5%計(jì)算，不滿7 天仍按 7 天計(jì)算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。19人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及時(shí)通知買方。20 爭 議 之 解 決 方 式 ：任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對(duì)雙方均有約束力21 法律適用本合同之簽訂地

23、 buyers shall lodge claims against the sellers based on the InspectionCertificate issued by China Inspection Authority Daysafter the arrival of the goods at the destination， if the goods are found tobe damaged ， missing or the specifications， quantity ， and quality not inconformity with those specif

24、ied in this contract and Letterof QualityGuarantee . In case the claim period above specified is not in conformity withthe quality guarantee period， during the quality guarantee period， thebuyers have rights to lodge claims against the sellers concerning the qualityguarantee.1 8、 Lat e del i very an

25、d penal tyIf the sellers fail to make delivery on time as stipulated in thecontractwith exception of Force Majeurethe buyers shall agree topostpone the delivery on conditions that the sellers agree to amend theclauses of the L/C and pay a penalty which shall be deducted by the payingbank from the pa

26、yment under negotiation . The penalty， however ， shall notexceed 5% of the total value of the goods . The rate of penalty is charged at0.5%for every seven days ， if less that seven days. In case， the payment isnot made through L/C ， the sellers shall pay the penalty counted as above tot he buyer s a
