2、 and Installation Contracting Contract”, and other relevant national laws and regulations, as well as the specific nature of this project第一條總那么 Article 1 General Principles1.1 合同協(xié)議文件 Contract Documents本合同協(xié)議包含合同協(xié)議、展示、施工圖紙、作法說明、招投標(biāo)文件以及合同協(xié)議所指的其他文件，它們均被視為合同協(xié)議的一局部。合同協(xié)議文件應(yīng)該可以互相解釋，互為說明。組本錢合同協(xié)議的文件及優(yōu)先解釋的順序如下

3、：本合同協(xié)議、中標(biāo)通知書、投標(biāo)書及其附件、標(biāo)準(zhǔn)、標(biāo)準(zhǔn)及有關(guān)技術(shù)文件、圖紙、工程量清單及工程報(bào)價(jià)單或預(yù)算書。合同協(xié)議履行中，發(fā)包人承包人有關(guān)工程的洽商、變更等書面下一或文件視為本合同協(xié)議的組成局部。This contract includes the contract itself, e_hibits, construction drawings, e_planations of work procedures, tender documents, as well as other documents specified by the contract.The contract document

10、ject, and will responsible for the quality of this project, safety, as well as code of conduct during the construction project.1.1.4 甲方工地代表由甲方指派。On-site representative of Party A shall be appointed by Party A 1.1.5 開工日期 _Date of the project beginning: _ 1.1.6 開工日期 _Date of the project pletion: _ 1.1

11、.7 工程質(zhì)量：質(zhì)量合格，到達(dá)本合同協(xié)議要求和國家質(zhì)量驗(yàn)收標(biāo)準(zhǔn)，并確保開工驗(yàn)收一次合格。驗(yàn)收內(nèi)容包括但不僅限于：隱蔽工程；分項(xiàng)工程；實(shí)驗(yàn)報(bào)告；材料檢驗(yàn)報(bào)告。假如由于驗(yàn)收未能一次通過而導(dǎo)致后續(xù)工程開工的延遲，乙方將按照每日工程總款的 2‰金額賠償給甲方作為罰金，但最多不超過工程總價(jià)款的 5%。Quality of Project: The quality should be “E_cellent”, and shall meet the requirements by this contract and the National Quality Standards, and

12、 should be guaranteed to be accepted at the first attempt upon project pletion, and shall also LEED certified.The scope of as-built acceptance includes, but not limit to: concealed work, itemized project, reports of e_periments, and reports of material testing.In the event of project fails to be acc

13、epted at the first inspection and thus incurs delays beginning of the subsequent projects.Party B shall pensate Party A at the daily rate of 2‰ of the total contract amount as penalty, but the total amount shall not e_ceed 5% of the total contract amount.1.1.8 工程資質(zhì)：在施行此合同協(xié)議所涉及的工程時(shí)，乙方應(yīng)確保其具

14、有相關(guān)資質(zhì)。如乙方因?yàn)椴痪邆湎嚓P(guān)資質(zhì)導(dǎo)致甲方的損失或工程進(jìn)度的滯后，乙方承當(dāng)全部責(zé)任。Qualifications: Party B represents and warrants it is petent and legitimate to carry out the services that set forth under this Agreement when implementing this contract.Party B shall be responsible for any delay of the construction induced by their insuffi

15、cient qualifications.1.2 合同協(xié)議價(jià)款：Contract Amount 本合同協(xié)議價(jià)款為人民幣 _，為固定總價(jià)合同協(xié)議價(jià)款。The total contract amount is _, which is fi_ed contract amount 本合同協(xié)議包括設(shè)備材料費(fèi)、人工費(fèi)、機(jī)械費(fèi)、管理費(fèi)、利潤、稅金、代辦費(fèi)用、保險(xiǎn)費(fèi)、運(yùn)輸費(fèi)、勞務(wù)費(fèi)用、總承包效勞費(fèi)以及為完成工程所必須的其他一切費(fèi)用，和工程各系統(tǒng)檢驗(yàn)檢測(cè)、安裝調(diào)試等費(fèi)用。該款項(xiàng)為甲方應(yīng)付給乙方的全部費(fèi)用，并已經(jīng)包含物價(jià)變動(dòng)因素。This agreement includes the cost of equipm

16、ent and materials, labor cost, machinery cost, management cost, profit, ta_, government charges on behalf of Party A, insurance, transportation, labor, subcontract service fee, and all other cost for the pletion of the project, as well as every system testing, installation, and missioning costs.This

17、 total contract amount is e_act amount that Party A shall pay to Party B and it includes the fact of price fluctuation.1.3 工程結(jié)算Final Audit of project 1.3.1 本工程計(jì)價(jià)根據(jù) GB50500-2022建立工程工程量清單計(jì)價(jià)標(biāo)準(zhǔn)采用固定總價(jià)，除施工期間甲方要求變更現(xiàn)有圖紙及發(fā)生的增減項(xiàng)洽商，甲方將作價(jià)風(fēng)格整。This project is using fi_ed total amount according to GB50500-2022 the

18、 Pricing Guidelines by Code of Quantity in Construction Projects, e_cept that Party A may make price adjustment in the event of the e_isting construction drawings are changed or add or remove any construction work according to the request of Party A 1.3.2 所有的人工費(fèi)用都不得以任何理由進(jìn)展過調(diào)整，結(jié)算時(shí)只承受投標(biāo)文件中約定的價(jià)格。All la

19、bor cost shall NOT be adjusted in any event.Only the prices stimulated in the bidding documents are accepted at the final audit after pletion.1.3.3 因工程調(diào)整而產(chǎn)生的工程洽商，如洽商費(fèi)用超過人民幣五萬元整，那么洽商文件必須在工程中期驗(yàn)收當(dāng)日被提交給甲方，所產(chǎn)生的洽商費(fèi)用在交付中期款時(shí)一并核算結(jié)清。如洽商費(fèi)用低于五萬元人民幣整，那么洽商文件必須在工程驗(yàn)收當(dāng)日內(nèi)提交給甲方，所產(chǎn)生的費(fèi)用在交付工程驗(yàn)收款時(shí)一并核算結(jié)清。If the cost of cha

21、osts of the change orders are less than 50,000 Yuan, then all change orders issued because of the construction adjustments shall be submitted to Party A on the same day of the construction pletion check and acceptance, and the approved amount will be paid to Party B with the construction pletion pay

22、ment.第二條：政府批復(fù) Article 2 Government Approvals 2.1 乙方負(fù)責(zé)協(xié)助甲方辦理此項(xiàng)施工需要辦理的所有政府報(bào)批，包括但不僅限于消防、環(huán)保的報(bào)批與其他與本工程相關(guān)的報(bào)批，甲方負(fù)責(zé)政府行政審批的費(fèi)用。Party B shall be responsible to process government approvals related to the project, including but not limited to: fire control, environment protection and other approvals related to

23、this Project.Party A is responsible for the costs of these approvals 2.2 乙方負(fù)責(zé)其工程報(bào)備 Party B shall be responsible for construction applications, approvals and related costs.2.3 乙方應(yīng)承當(dāng) 2.2 所述報(bào)備不全而導(dǎo)致的政府罰金，并且不能順延工期。Party B shall be responsible for any government fines due to inplete approval processes, an

24、d should NOT cause delay in the construction period.第三條：甲方的權(quán)利和義務(wù) Article 3 Rights and Obligations of Party A 3.1 向乙方提供經(jīng)確認(rèn)的施工圖紙或做法說明五份，并向乙方進(jìn)展現(xiàn)場(chǎng)交底，向乙方提供施工所需要的水電設(shè)備，并說明使用考前須知。Party A shall provide FIVE copies of confirmed construction drawings and e_planations of work procedures, and shall conduct techn

25、ical clarification.Party A shall provide Party B with necessary water and power equipment and the instructions on using the equipment.3.2 指派 _ 為甲方駐工地代表，負(fù)責(zé)合同協(xié)議的履行。對(duì)工程質(zhì)量、進(jìn)度進(jìn)展監(jiān)視檢查，辦理驗(yàn)收、變更事宜。甲方的工地代表假如認(rèn)為乙方的某雇員行為不當(dāng)或散漫不羈，或甲方認(rèn)為該雇員不能勝任，那么乙方應(yīng)立即進(jìn)展撤換，并且未經(jīng)甲方實(shí)現(xiàn)書面答應(yīng)，乙方不得在施工中再行雇傭該等人員。被撤換的任何人員應(yīng)盡可以能立即由甲方代表所批準(zhǔn)的勝任的人員代替

26、。Party A appoints _ as the on-site representative to supervise the fulfillment of contract obligations, to oversee the quality control and check the project progress, and to handle issues such as acceptance and variations.In the event of the on-site representative of Party A believes that any employ

27、ee of Party B has improper conduct or misbehaviors, or if Party A consider such employee is not petent for the relevant work, Party B shall dismiss and replace this employee immediately; and unless having received consent by Party A in writing in advance, Party B shall no longer hire the specified e

28、mployee in the following phase of this project.Party B should make every effort to replace the dismissed employee with petent personnel authorized by on-site representative of Party A.3.3 甲方按照付款約定向乙方支付工程款。Party A should make payments to Party B according to the payment terms.3.4 如甲方認(rèn)為乙方確已無才能繼續(xù)履行合同協(xié)議

29、的，那么甲方有權(quán)解除合同協(xié)議，乙方必須在接到甲方書面通知后兩周內(nèi)撤離場(chǎng)地以便乙方繼續(xù)施工。對(duì)乙方完成工程量的結(jié)算不作為撤離場(chǎng)地的條件，結(jié)算應(yīng)在開工一個(gè)月之內(nèi)完成，付款方式按照本合同協(xié)議條款。In the event of Party A consider Party B is indeed unable to further fulfill its contract obligations, then Party A has the right to terminate the contract, and Party B should vacate the project site withi

30、n two weeks after receiving Party A"s notice, so that Party A can resume construction as soon as possible.Confirmation of finished quantity shall NOT be regarded as a prerequisite to Party B"s vacation of the project site, and the confirmation should be processed within one month after the

31、 project pletion.Payment shall be made according to the payment terms in this contract.3.5 甲方有權(quán)要求乙方按照甲方的組織設(shè)計(jì)和施工工期進(jìn)展施工，乙方如對(duì)甲方的要求和指令不予執(zhí)行的，那么按照乙方違約處理，乙方應(yīng)承當(dāng)違約責(zé)任。Party A has the right to instruct Party B to do the construction according to Party A"s organization and planned construction period; in t

32、he event of Party B ignores and refuses to observe Party A"s instructions, Party B will be deemed as breach of the contract, and Party B shall be held responsible for the liabilities of breaching the contract.3.6 甲方有權(quán)要求乙方服從甲方的統(tǒng)一安排和管理，乙方的施工人員必須遵守各項(xiàng)規(guī)章制度。對(duì)于乙方施工人員違規(guī)操作所產(chǎn)生的后果，乙方承當(dāng)全部責(zé)任。甲方有權(quán)從工程總價(jià)款中扣除相應(yīng)

33、的款項(xiàng)。Party A has the right to instruct Party B to observe the general arrangement and management by Party A, and the construction staffs of Party B must observe all rules and regulations.Party B shall be fully responsible for the consequences of such violations by the staff of Party B.Party A has the

34、 right to directly deduct the corresponding amount from the total contract amount.3.7 甲方所有的通知可以以書面或口頭形式發(fā)出，乙方接獲甲方的通知后應(yīng)根據(jù)通知規(guī)定的內(nèi)容執(zhí)行。All notices from Party A can be made both in writing and orally, but the oral instructions are only applicable to the representative of Party A.Party B shall, upon receivi

35、ng notices from Party A, e_ecute the corresponding matters according to the content of the notices.3.8 未經(jīng)甲方同意，乙方不得將工程轉(zhuǎn)讓或分包，對(duì)于乙方將工程擅自轉(zhuǎn)讓或分包的，甲方有權(quán)解除合同協(xié)議，乙方必須承受并承當(dāng)由此造成的一切后果。Party B shall NOT transfer or subcontract the project to any third party without the consent of Party A; in the event of Party B tr

36、ansfers or subcontracts the project to any third party without the consent of Party A, Party A has the right to terminate the contract, and Party B must accept and be responsible for any consequence of such violation.3.9 甲方有權(quán)制定專業(yè)分包商，并按照乙方在投標(biāo)文件中承諾的配合管理費(fèi)率向乙方支付配合管理費(fèi)。Party A has the right to appoint spe

37、cial sub-contractors, and shall pay the management fee to Party B according to the rate of subcontract management and coordination fee stipulated in the bidding documents 3.10 按照招標(biāo)文件中的相關(guān)條目，甲方有權(quán)自行采購材料供給乙方，并按照乙方在投標(biāo)文件的相關(guān)條目中汲取人工費(fèi)、機(jī)械費(fèi)、輔助材料費(fèi)等向乙方支付費(fèi)用。甲方?jīng)]有義務(wù)向乙方支付其他費(fèi)用。Party A has the right to purchase and pr

38、ovide Party B with materials on its own, and shall pay labor cost, machinery cost, and accessory cost to Party B according to the relevant terms in the bidding documents.Party A has no obligations to pay any other costs to Party B第四條：乙方的權(quán)利義務(wù) Article 4 Rights and Obligations of Party B 4.1 參加甲方組織的施工圖

39、紙或做法說明的現(xiàn)場(chǎng)交底，擬定施工方案和進(jìn)度方案，交由甲方審定。施工過程中，乙方按照甲方的有關(guān)指示及修改變更要求進(jìn)展相應(yīng)調(diào)整。Party B shall participate in the technical clarification on construction drawings and e_planations of work procedures organized by Party A, and should develop the construction plan and the progress schedule for Party A to review.During co

40、nstruction, Party B should make such adjustment to the construction plan and the progress schedule per Party A"s instruction and change-orders.4.2 指派 _ 為乙方駐工地代表，負(fù)責(zé)合同協(xié)議的履行，按照要求組織施工，保質(zhì)保量、按期完成施工任務(wù)。解決由乙方負(fù)責(zé)的各項(xiàng)事宜。乙方駐工地代表在本公司的工作時(shí)間不得少于 90%工作日。Party B appoints _ as the on-site representative of Party B

41、to take charge of fulfilling the contract obligations.The on-site representative of Party B shall organize the construction according to contract requirements so that the project can be pleted according to the quality and quantity requirements and on a timely manner.The on-site representative of Par

42、ty B shall work on the project site for no fewer than 90% of the total working days.4.3 嚴(yán)格執(zhí)行施工標(biāo)準(zhǔn)、平安操作規(guī)程、防火平安規(guī)定、環(huán)境保護(hù)規(guī)定。嚴(yán)格按照?qǐng)D紙或做法說明進(jìn)展施工，做好各項(xiàng)質(zhì)量檢查記錄，參加開工驗(yàn)收，編制開工資料及工程結(jié)算。Party B shall strictly observe construction guidelines, safety requirements, fire safety regulations, environment protection regulations

43、 and LEED requirements.Party B shall do the construction by strictly adhering to the construction drawings and e_planations of work procedures, and shall effectively record each QA/QC inspection.Party B shall attend the pletion acceptance, and develop at-built submittals and final project audit.4.4

44、根據(jù)甲方和設(shè)計(jì)方一致通過的設(shè)計(jì)圖紙進(jìn)展施工，遵從甲方工地代表和設(shè)計(jì)方的指示，如乙方發(fā)如今工程標(biāo)準(zhǔn)和設(shè)計(jì)圖之間存在不一致時(shí)，應(yīng)以書面形式通知甲方和設(shè)計(jì)方。Party B shall carry out the construction according to the design drawings agreed upon by both Party A and the designer, shall observe the instructions of designer and the representative of Party A; in the event of Party B fi

45、nds inconsistence between project standards and design drawings, Party B should inform the designer and Party A in writing.4.5 遵守國家或地方政府及有關(guān)部門對(duì)施工現(xiàn)場(chǎng)管理的規(guī)定及甲方的規(guī)章制度，妥善保護(hù)好施工現(xiàn)場(chǎng)周圍的建筑物、設(shè)備管線等不受損壞。做好施工現(xiàn)場(chǎng)保衛(wèi)、消防和垃圾消納等工作，處理好由于施工帶來的擾民問題及周圍單位住戶的關(guān)系；假如由于乙方導(dǎo)致任何設(shè)施、設(shè)備或管道在工地內(nèi)外受損。將由乙方賠償損失。乙方負(fù)責(zé)與甲方的施工協(xié)調(diào)事項(xiàng)，并單獨(dú)完全承當(dāng)所有相關(guān)責(zé)任。Party

46、 B shall observe policies of on-site management by the state and local government authorities as well as Party A"s rules and regulations; Party B shall pensate for the losses to any facilities, equipment or pipelines both inside and outside of the construction yard caused by party B.Party B sha

47、ll be responsible for the coordination of construction issues with party A, and shall independently and fully assumes corresponding responsibilities.任何原建筑物構(gòu)造的拆改或設(shè)備管道的挪移，乙方應(yīng)向甲方申報(bào)；在甲方批復(fù)前，不得擅自開工。Party B should report to party A of any demolition of or variation to any original building structure or re-

48、position of equipment pipes; Party B will refrain from any such work prior to receiving Party As approval 4.7乙方應(yīng)保護(hù)所有設(shè)備以及工程成品，并承當(dāng)開工移交前所引起損壞的損失賠償。Party B should protect all equipment and finished parts, and shall assume pensation responsibilities of any losses prior to pletion hand-over.4.8乙方負(fù)責(zé)用擴(kuò)展保險(xiǎn)責(zé)任

49、批單為與建筑物相關(guān)的工程以及工程所需的材料購置工程一切險(xiǎn)，乙方及乙方分包商以下簡(jiǎn)稱“分包商”應(yīng)對(duì)工程進(jìn)展中自己或其他方的財(cái)產(chǎn)出資購置相應(yīng)的保險(xiǎn)，這些財(cái)產(chǎn)包括：工棚，鐵架塔，腳手架，工具及其他的一些材料。Party B shall purchase Construction All Risks Insurance for the project and required materials related to the building structure by using e_tended coverage endorsement; during construction, Party B a

50、nd its subcontractors (hereafter abbreviated as &subcontractors&) should purchase corresponding insurance for their own or other parties" properties, such as temporary construction barracks, iron frames and towers, scaffolding, utensils and other materials.4.9 從工程開場(chǎng)至工程開工驗(yàn)收?qǐng)?bào)告上所列明的日期之日止，乙

51、方應(yīng)全權(quán)負(fù)責(zé)整項(xiàng)工程。不管任何原因?qū)е碌墓こ痰膿p壞，乙方負(fù)責(zé)修理復(fù)原，以使整個(gè)工程開工時(shí)能完全按照合同協(xié)議要求以及甲方工地代表的指示，狀況良好。From the beginning of construction to the pletion date stipulated by the as-built acceptance report, Party B will be fully responsible for the entire project.Party B shall fi_ and reinstate and damages to the project items regar

52、dless of the cause, so that the project shall be in good condition upon pletion, according to the contract requirements and the instructions of Party A"s representative.4.10 除非合同協(xié)議另有規(guī)定，乙方應(yīng)就以下事項(xiàng)單獨(dú)完全承當(dāng)如下賠償責(zé)任，并確保甲方完全免責(zé)：與因工程施工及維修而對(duì)人身造成的任何傷害或損害或?qū)ω?cái)產(chǎn)造成任何損害有關(guān)的所有損失及權(quán)利要求。但在以下情形下的賠償或補(bǔ)償除外：Unless otherwise

53、specified, Party B should independently and fully assume the following pensation liabilities, and e_empt Party A from all liabilities: all injury and rights claims related to any personal injuries or property damage or loss as a result of the construction project, e_cept for the following pensation

54、or reimbursement: 4.10.1工程或其任何局部永久性使用或占用工地。Permanent use or occupation of land by the project or any part of the project.4.10.2 甲方享有在任何土地上，下，里或穿越其施工的權(quán)利。Party A has the right to traverse the construction site from above, beneath, or inside the site.4.10.3根據(jù)合同協(xié)議規(guī)定對(duì)財(cái)產(chǎn)的損傷或傷害是工程施工或維修之不可防止的后果時(shí)。The propert

55、y damage or loss is an inevitable loss caused by the construction or repair according to the contra requirements.4.11 乙方保證施工現(xiàn)場(chǎng)清潔，符合環(huán)境衛(wèi)生管理的有關(guān)規(guī)定，交工前清理現(xiàn)場(chǎng)到達(dá)甲方要求，如達(dá)不到甲方的要求，乙方承當(dāng)因自身違背規(guī)定造成的損失和罰款。Party B shall keep the construction site clean and meet the regulations of environment sanitation, and make sure

56、the condition of the site meets the requirements of Party A.If the condition of the construction site does NOT meet the requirements of Party A, Party B shall be responsible for any loss or fine as a result of its own violation of such regulations.4.12乙方必需要按照施工圖所顯示的設(shè)計(jì)要求施工，并符合施工標(biāo)準(zhǔn)規(guī)定。所有因?qū)κ┕D的誤解或忽略引起的施

57、工錯(cuò)誤，須返工者，其一切費(fèi)用均有乙方自負(fù)，且不得因此延長完工期限。Party B MUST adhere to the design requirements in the construction drawings, and must meet the requirements of construction guidelines.Party B shall be fully responsible for any cost of rework on construction mistakes as a result of misunderstanding of the constructi
