2、ave hereby equally and voluntarily entered into the following agreement executed on the basis of mutual respect.1. 工程概況Project overview1.1 工程名稱： Project name: 1.2 工程地點： Project location: 1.3 工程范圍：A. 新研發(fā)中心和新廠房的網(wǎng)絡(luò)綜合布線系統(tǒng)的施工；B. 數(shù)據(jù)中心的建設(shè)，主要包含：數(shù)據(jù)中心的裝飾工程、電氣系統(tǒng)、空調(diào)系統(tǒng)、機房閉路監(jiān)控系統(tǒng)、機房門禁系統(tǒng)、消防系統(tǒng)改造、機柜系統(tǒng)等。Project conten

3、ts:A. The new R & D and new plant construction of network cabling systems;B. Data Center, mainly includes: data center decoration and electrical systems, air-conditioning systems, CCTV systems, access control systems, firefighting system reform, server rack systems.1.4 開工條件：合同生效后，甲方預(yù)付款到位和現(xiàn)場具備開工條件。St

4、art conditions: After the commencement of the contract, Party A has started advance and on-site conditions in place.1.5 工程造價：合同工程總造價為￥ 元（CNY），人民幣大寫 Project cost：Total project cost is yuan ( CNY ).詳細合同價格表見附件報價清單。Detailed contract price list see attached quotation list.在詳細設(shè)計和施工過程中，若工程量發(fā)生變化，按合同單價相應(yīng)調(diào)整工程

5、造價；若材質(zhì)發(fā)生變化，按雙方商定的補充協(xié)議調(diào)整工程造價。In the detailed design and construction process, if the project quantity changes, according to the contract price adjustment project cost; if the material is changed, the supplemental agreement agreed by both parties for adjustment of engineering cost.2. 付款方式Terms of paym

6、ent2.1 由乙方向甲方提供指定帳戶、甲方以支票方式或銀行轉(zhuǎn)賬方式向乙方結(jié)算合同款；Party B shall provide the designated account to party A, Party A by check or bank transfer to pay the contract payment to Party B.2.2 本合同生效后，甲方付給乙方合同總價的40%作為工程預(yù)付款，即￥ 元；After the signing of this contract, Party A shall pay to Party B 40% of the total contrac

7、t price as the project advance payment;2.3 數(shù)據(jù)中心及網(wǎng)絡(luò)布線系統(tǒng)工程完工并且雙方簽訂工程驗收報告后7天以內(nèi)，甲方付給乙方合同總價的55%，即￥ 元；Data center project and network cabling systems engineering completed and signed a project acceptance report by both parties within 7 days after, Party A shall pay to Party B 55% of the contract price.2.4

8、 工程竣工后3個月內(nèi)，甲方支付給乙方剩余的合同款，即￥ 元；After the completion of the project within 3 months, Party A shall pay to Party B the remaining contract price.3. 雙方職責(zé)Responsibilities of the parties3.1 甲方職責(zé)：Responsibilities of party A:a. 及時以書面形式通知乙方本工程具備開工條件的時間;Timely written notice to Party B the conditions of this p

9、roject have the time to start;b. 協(xié)助乙方辦理進駐施工現(xiàn)場所需人員證件、批件等有關(guān)手續(xù)；To assist Party B to enter the construction site personnel required documents, approval documents and other relevant procedures;c. 為乙方提供現(xiàn)場工程辦公室和足夠的現(xiàn)場倉庫；To provide on-site engineering office and sufficient field warehouse;d. 積極協(xié)助乙方施工，協(xié)調(diào)施工時與各

11、 B project funds.3.2 乙方職責(zé)：Responsibilities of party B:a. 乙方在工程開始前應(yīng)組織有關(guān)人員研究和熟悉圖紙，參與設(shè)計交底，安排施工總進度計劃并提交給甲方；Party B before the project begins shall organize relevant personnel to study and be familiar with drawings, involved in the design work, arrangement of construction general schedule plan and submit

13、 按時完成乙方所承擔(dān)的施工任務(wù)，保證工程施工質(zhì)量。Timely completion of construction tasks undertaken by Party B, to ensure construction quality.4. 施工與工程設(shè)計變更Construction and engineering design change4.1 乙方在施工中要根據(jù)國家頒發(fā)的施工驗收規(guī)范和質(zhì)量檢驗標準，以及設(shè)計要求進行，要求全部工程達到合格標準。On the construction of Party B according to the country issued constructi

16、工中，若甲方A有變更設(shè)計文件的要求，應(yīng)書面通知乙方；若乙方發(fā)現(xiàn)設(shè)計文件有錯誤或嚴重不合理的地方，也應(yīng)書面通知甲方，雙方商定并修改設(shè)計文件和圖紙后方可繼續(xù)施工。During the construction, if the party A to change the design document, shall give a written notice to Party B; if Party B is found the design documents are wrong or serious unreasonable place, should also be written notic

19、 construction;c. 乙方不能按期供設(shè)備或所供材料或者設(shè)備不合規(guī)格要求，被迫停工或不能順利施工的；Party B fails to supply equipment or for the materials or equipment of different specifications, was forced to shut down or not smooth construction;5. 竣工驗收與售后服務(wù)Final acceptance and after-sales service5.1 乙方必須嚴格執(zhí)行隱蔽工程驗收制度，凡隱蔽工程完成后，必須經(jīng)過驗收并作好記錄(隱蔽工

21、款進行項目驗收，并出具雙方簽字的驗收報告。如甲方不能按期組織驗收，須提前通知乙方，并與乙方另行商定驗收日期，但甲方必須承認乙方的竣工時間。甲方推遲驗收，其間所發(fā)生的管理費和各項損失均由甲方負擔(dān)。如果提交驗收申請后一個月仍未能完成驗收，則以竣工之日作為系統(tǒng)的保修開始日期。When the whole project is completed, Party B shall submit to party A complete documentation and submit a written acceptance application. 24、date as the system warranty start date.5.3 工程驗收合格后進入質(zhì)保期。質(zhì)保期為驗收合格之日起12個月。在質(zhì)保期內(nèi)，乙方應(yīng)對系統(tǒng)除人為因素外的所有故障負責(zé)免費維修或更換。Project after acceptance into the warranty period. 25、t is responsible for free repair or replacement.5.4 在質(zhì)保期內(nèi)，乙方做到對甲方求援電話2小時內(nèi)響應(yīng)，8小時內(nèi)抵達現(xiàn)場并著手解決問題。質(zhì)保期結(jié)束后，乙方對系統(tǒng)進行有償維護。有償維護的費用由雙方協(xié)商。During the warranty period, Party B shall do to help telephone response within 2 hours, 8 hours to arrive at the scene and set about solving the problem. Paid maintenance costs through consultation by the two parties.6. 技術(shù)服務(wù)和培訓(xùn)Technical service and training6.1 由乙方按技術(shù)培訓(xùn)大綱負責(zé)對甲方的有關(guān)操作人員和維修人員進行使用級培訓(xùn)。通過培訓(xùn)，使甲方的受訓(xùn)人員能掌握系統(tǒng)設(shè)備的配置，能進行正確操作和日常維護及一般常見故障排查。接受培訓(xùn)的人員由甲方確定，日期由甲乙雙方共同商定。Party B according to the techni

28、date mutually agreed by both parties.6.2 在保修期內(nèi)，乙方提供兩次上門巡檢服務(wù)，包括各系統(tǒng)運行狀況的查看、記錄，以及必要的設(shè)備維護。During the warranty period, Party B shall provide two on-site inspection services, including the status of system view, recording, and the necessary equipment maintenance.6.3 乙方為甲方免費提供網(wǎng)絡(luò)綜合布線系統(tǒng)和數(shù)據(jù)中心的技術(shù)咨詢服務(wù)。Party B s

29、hall provide free network cabling system and data center technical advisory services.7. 違約責(zé)任The liability for breach of contract7.1 乙方提供貨物的質(zhì)量或規(guī)格不符合合同約定，行業(yè)規(guī)格或政府的法令法規(guī)的要求的，甲方可以根據(jù)貨物的性質(zhì)以及損失大小，要求乙方承擔(dān)修理，更換，退貨，減少價款等責(zé)任。Party B shall provide the quality or specifications of the goods does not conform to the c

32、通知甲方。甲方收到乙方通知后，認為其理由正當(dāng)?shù)?，可酌情延長交貨時間。During performance of the contract, if Party B know ahead of time has not delivered on time or to provide service, should be promptly in writing of the reasons for not delivered on time, anticipated delay time notify party. Party A received notification, think its r

33、eason, could be appropriate to extend the time of delivery.7.4 若由于甲方更改設(shè)計需求、未確認材料或設(shè)備型號、未確認施工方案而導(dǎo)致設(shè)備訂貨周期推遲，因此導(dǎo)致的延遲交貨，乙方不負擔(dān)任何責(zé)任。If due to Party A to change the design demand, did not confirm material or equipment models, unrecognised construction scheme caused by equipment order cycle time delay, thus

35、of Party B.7.6 甲乙任意方因第三者的原因造成違約的，應(yīng)向?qū)Ψ匠袚?dān)違約責(zé)任。Any party for the third party reasons for default, shall be liable to the other party for breach.8. 合同的變更The modification of Contract合同需在甲乙雙方公平協(xié)商，達成一致的條件下進行變更，變更的內(nèi)容需以文字正本形式經(jīng)雙方授權(quán)人簽字并蓋章后生效。一切變更內(nèi)容作為附件存在與合同正本具有相同的法律效力。Any modification must on the basis of fair negotiation and be accepted by both sides.
