1、加工貿(mào)易合同中英對照Processing Trade Contracts 加工貿(mào)易合同Processing Trade Contracts加工貿(mào)易是指由國外廠商提供一定的原材料、輔助材料、零部件、元器件、包裝材料，必要時提供及其設(shè)備及生產(chǎn)技術(shù)，委托國內(nèi)企業(yè)按國外廠商要求進行加工、裝配，成品由國外廠商負責銷售，國內(nèi)企業(yè)按合同規(guī)定收取加工費。以下為來料加工和來件裝配合同的參考格式： 來料加工和來件裝配合同Contract for Processing With Supplied Materials and Assembling With Supplied Parts 

2、訂約人：_以下簡稱甲方_以下簡稱乙方Undersigned Parties:_Co. Ltd (hereinafter called Party A)_Co. Ltd (hereinafter called Party B)茲經(jīng)雙方同意甲方委托乙方在_加工標準磁羅經(jīng)，一切所需的零件與原料由甲方提供，其條款如下：The undersigned parties agree that Party A entrust Party B to manufacture Standard Magnetic Compasses in _ with all necessary parts and material

3、s provided by Party A under the following terms and conditions: 1來料加工和來件裝配的商品和數(shù)量1商品名稱標準磁羅經(jīng)；2數(shù)量共計_臺；1. Commodity and quantity for processing with provided materials and parts(1) Name of CommodityStandard Magnetic Compasses(2) Quantity_ sets in total; 2一切所需用的零件和原料由甲方提供，或乙方在_或_購置，清單附于本合同內(nèi)；2.

4、All necessary parts and materials listed in the contract shall be provided by Party A or purchased by Party B in _ or _; 3每種型號的加工費如下：1GLC1型標準磁羅經(jīng)：_USD大寫：_美元；2GLC2型標準磁羅經(jīng)：_ USD大寫_美元；3GLC3型標準磁羅經(jīng)：_ USD大寫_美元；3. Processing Charge for each model is as follows:(1) Standard Magnetic Compass GLC-1: $_ U.S

(SAY: _ U.S.D) each;(2) Standard Magnetic Compass GLC-2: $_ U.S. (SAY: _ U.S.D) each;(3) Standard Magnetic Compass GLC-3: $_ U.S. (SAY: _ U.S.D) each; 4加工所需的主要零件、消耗品及原料由甲方運至_，假設(shè)有缺少或破損，甲方應負責補充供給；4. The main parts and consumables and materials required for processing shall be shipped to _ by Pa

6、rty A. In case of any shortage or deterioration, Party A shall be held responsible for supplying replacement; 5甲方應于成品交運前一個月，開立信用證或電匯全部加工費用及由乙方在_ 或_ 購置零配件、消耗品及原料費用；5. Party A shall pay Party B by L/C or T/T covering the full amount of processing charges and costs of parts, consumables and materi

7、als purchased by Party B in _ or _ one month in prior to the shipment of finished products; 6乙方應在雙方同意的時間內(nèi)完成GLC1型標準磁羅經(jīng)的加工和交運，不得延遲，凡發(fā)生無法控制的和不可預見的情況例外；6. Party B shall finish the manufacturing of Standard Magnetic Compass GLC-1 and effect shipment within the date both parties agree on, excluding t

8、he occurrence of uncontrollable or unforeseeable events; 7零件及原料的損耗率：加工時零件及原料損耗率為_，其損耗率由甲方免費供給，如損耗率超過_ ，應由乙方補充加工所需之零件和原料;7. Attrition Rate of Parts and MaterialsAttrition rate of parts and materials in processing is _% and shall be provided by Party A for free. In case attrition rate exceeds _%,

9、 Party B shall supplement the additional parts and materials required for processing; 8假設(shè)甲方誤運原料及零件，或因大意而將原料及零件超運，乙方應將超運局部退回，其費用由甲方承當，假設(shè)遇有短缺，應由甲方補充；8. In case the shipment of parts and materials by Party A is wrong or in excess, Party B shall return the excessive portion at Party As expenses. In

10、 case of short shipment, Party A shall make up the shortage; 9甲方提供加工GLC1型標準磁羅經(jīng)的零件及原料，乙方應嚴格按規(guī)定的設(shè)計加工，不得變更；9. Parts and materials provided by Party A for Standard Magnetic Compasses GLC-1 shall be manufactured by Party B in strict accordance with design without modification; 10技術(shù)效勞：甲方同意乙方隨時提出

11、派遣技術(shù)人員到_的要求，協(xié)助培訓乙方的技術(shù)人員，并允許所派技術(shù)人員留在乙方檢驗成品。為此，乙方同意支付每人日薪_美元，其他一切費用包括來回旅費概由甲方負責：10. Technical Service: Party A agrees to send technicians to _ to help training Party Bs technicians at the request of Party B at any time, and allows the technicians sent by Party A to remain with Party B for inspection o

As such, Party B agrees to pay a daily wage of $_ U.S. for each person, all other expenses (including round trip tickets) will be borne by Party A; 11與本合同有關(guān)的一切進出口手續(xù)應由乙方予以辦理：11. All import and export formalities concerning this contract shall be effected by Party B;

All Standard Magnetic Compasses processed shall be shipped by Party A to the foreign purchasers appointed by Party A at any time; 13其他條件1標準磁羅經(jīng)的商標應由甲方提供，假設(shè)出現(xiàn)法律糾紛，甲方應負完全責任：2假設(shè)必要時乙方在_或_ 購置加工標準磁羅經(jīng)的零件及原料，其品質(zhì)必須符合標準并事先需甲方核準。3為促進出口業(yè)務，乙方應儲藏標準磁羅經(jīng)樣品，隨時可寄往甲方所指定的國外買主，所需的零件

14、和原料，由甲方所運來的零件及原料地報銷。13. Other Terms and Conditions:(1) Party A shall provide the trademark of Standard Magnetic Compasses and shall be held fully responsible for legal disputes if any;(2) The quality of parts and materials purchased by Party B in _ or _ for processing Standard Magnetic Compasses, if

15、 necessary, shall be in conformity with the standard and approved by Party A in advance;(3) For promotion of export, Party B shall prepare and store samples of Standard Magnetic Compasses and send them to foreign purchasers appointed by Party A. All parts and materials required shall be provided out
