2、h friendly consultation, whereby it is agreed as follows: 一、物業(yè)管理協(xié)議簽訂I. Signing of property management agreement1、甲方使用區(qū)域?yàn)?,租用面積為 平方米。(此面積與甲方簽定的商品房買賣合同或租賃協(xié)議中所提及建筑面積為同一面積)。1. The area used by Party A is , and the rentable area is m2. (This area is the same area as the floor area mentioned in “Contract
3、on Sales and Purchase of Commodity House” or “Tenancy Agreement” signed with Party A.) 2、甲方應(yīng)按照本協(xié)議,在與租賃協(xié)議書簽約同時(shí)與乙方簽訂XX大樓物業(yè)管理服務(wù)協(xié)議,協(xié)議期限自 年 月 日起,至 年 月 日止。2. Party shall sign “Agreement on property management service of XX Building” with Party B while signing “Tenancy Agreement” according to this agreemen
4、t, and the term of this agreement shall start on (specify the date) and end on (specify the date). 二、物業(yè)服務(wù)費(fèi)及其它費(fèi)用II. Property service charges and other expenses1、甲方根據(jù)本協(xié)議規(guī)定,同意自本協(xié)議簽訂之日起向乙方繳納物業(yè)服務(wù)費(fèi)(此費(fèi)用不包含用戶自用電費(fèi)、公攤水電費(fèi)、電話費(fèi)、網(wǎng)絡(luò)費(fèi)、空調(diào)使用費(fèi)等在內(nèi)),物業(yè)服務(wù)費(fèi)收費(fèi)標(biāo)準(zhǔn)為人民幣 xx 元/平方米月。1. Party A agrees to pay property service charg
5、e to Party B from the date of signing of this agreement (this charge does not the expense of electricity consumed by the user himself, publicly shared water and electricity expenses, telephone charge, Internet charge, charge for use of air conditioner, etc.) according to the provisions of this agree
6、ment, and the charging standard is RMB xx Yuan/m2.month. 2、甲方應(yīng)于本協(xié)議簽訂之日即日將物業(yè)服務(wù)費(fèi) 陸 個(gè)月,計(jì)人民幣(大寫) ,人民幣(小寫) 元,一次性支付乙方,并按乙方的要求辦理各項(xiàng)手續(xù)。2. Party A shall pay at one time the property service charge for six (6) months of RMB Yuan (in words), RMB Yuan (in figures) to Party B on the date of signing of this agreem
7、ent, and process various procedures according to Party Bs requirements. 3、物業(yè)服務(wù)費(fèi)為每 個(gè)月支付一次,在協(xié)議有效期內(nèi),甲方須于收到乙方書面通知后7日內(nèi)將物業(yè)服務(wù)費(fèi)交到乙方或指定銀行帳號。3. The property service charge shall be paid every months, and within the validity of this agreement, Party A shall hand the property service charge to Party B or the de
8、signated bank account within seven (7) days after receipt of Party Bs written notice. 4、其它費(fèi)用:4. Other expenses: 甲方除須繳納物業(yè)服務(wù)費(fèi)外,還須承擔(dān)下列費(fèi)用:Besides the payment of property service charge, Party A shall undertake the following expenses: (1)自用電費(fèi)(物業(yè)服務(wù)中心代收);(1) Charge for self-consumed electricity (to be coll
9、ected by the property service center); (2)電話初裝費(fèi)及使用費(fèi)(自行繳納);(2) Initial installation charge and use charge of telephone (to be paid by itself); (3)網(wǎng)絡(luò)初裝費(fèi)及使用費(fèi)(自行繳納);(3) Initial installation charge and use charge of Internet (to be paid by itself); (4)空調(diào)使用費(fèi)(物業(yè)服務(wù)中心代收);(4) Charge for use of air conditioner
10、 (to be collected by the property service center); (5)公攤水、電費(fèi)(實(shí)際發(fā)生進(jìn)行分?jǐn)偅?5) Publicly shared water and electricity charges (to be allocated according to the figures actually taking place); (6)其它國家法律法規(guī)規(guī)定應(yīng)由甲方繳納費(fèi)用。(6) Other expenses that shall be paid by Party A according to the stipulations of the state
11、 laws and statutory regulations. 三、甲方的權(quán)利和義務(wù)III. Rights and Obligations of Party A1、甲方有權(quán)根據(jù)本協(xié)議及乙方制定的一切有關(guān)該物業(yè)的規(guī)章制度的規(guī)定,使用該物業(yè)協(xié)議區(qū)域及按規(guī)定使用公共區(qū)域及公共設(shè)備。1. Party A shall have the right to use the area set out in this property agreement and use the public area and public facility as specified according to this agr
12、eement and all the provisions of regulations and rules worked out by Party B on this property. 2、甲方有權(quán)監(jiān)督乙方各項(xiàng)管理規(guī)章的實(shí)施。2. Party A shall have the right to supervise implementation of various management regulations by Party B. 3、甲方有權(quán)向乙方投訴管理服務(wù)方面問題。3. Party A shall have the right to file a complaint to Part
13、y B about the problems in the aspect of management service. 4、甲方有義務(wù)服從乙方的管理,同時(shí)甲方須保證其雇員、訪客及其受甲方許可進(jìn)入大廈內(nèi)的人員在使用、管理、維護(hù)該物業(yè)過程中遵守本協(xié)議及大廈的相關(guān)規(guī)定。甲方的雇員、訪客及其受甲方許可進(jìn)入大廈內(nèi)的人員在使用、管理、維護(hù)該物業(yè)過程中的失責(zé)行為、違約行為、侵害行為,均視作甲方自身的行為,并由甲方承擔(dān)相應(yīng)的責(zé)任和費(fèi)用。4. Party A shall have the obligation to obey Party Bs management, meanwhile Party A must
14、 guarantee its employees, visitors and personnel allowed by Party A to enter the building to comply with the provisions of this agreement and relevant regulations of the building in the process of use, management and maintenance of this property. Default, breach and infringement actions of Party As
15、employees, visitors and personnel allowed by Party A to enter the building in the process of use, management and maintenance of this property shall be considered as Party As own actions and Party A shall bear corresponding liability and cost. 5、甲方置于該物業(yè)內(nèi)財(cái)產(chǎn)的相關(guān)保險(xiǎn)事宜由甲方自行解決或委托乙方協(xié)助辦理,費(fèi)用由甲方承擔(dān)。5. The insura
16、nce which Party A effects on the properties within this property shall be settled by itself or commissioned to Party B to assist in handling, and the expense shall be borne by Party A. 6、甲方同意乙方(或乙方授權(quán)的代理人)在合理的時(shí)間內(nèi),經(jīng)事先通知(或在緊急情況下,未經(jīng)事先通知)進(jìn)入該物業(yè)巡視,檢查該物業(yè)內(nèi)部各部分狀態(tài)或處理緊急事項(xiàng)。需由甲方負(fù)責(zé)進(jìn)行的維修,甲方應(yīng)根據(jù)乙方(或乙方授權(quán)的代理人)的要求立即自行出資
17、予以維修;否則乙方(或乙方授權(quán)的代理人)有權(quán)代為維修,所需費(fèi)用由甲方承擔(dān)。需由乙方負(fù)責(zé)進(jìn)行的維修,乙方應(yīng)立即派人進(jìn)行維修。6. Party A agrees Party B (or the agent authorized by Party B) to enter and make rounds within this property subject to prior notice (or without prior notice in emergency situation) in order to check the condition of each part within this
18、property or handle emergency situation. For the repair for which Party A is responsible, Party A shall immediately make repair at its own cost according to the requirements of Party B (or the agent authorized by Party B); otherwise Party B (or the agent authorized by Party B) shall have the right to
19、 make such repair at the cost of Party A. For the repair for which Party B is responsible, Party B shall immediately arrange personnel to make repair. 7、甲方進(jìn)駐大廈后,不得私自改變建筑原貌,未經(jīng)乙方允許不得在樓外及樓內(nèi)公共空間、墻面張貼設(shè)置廣告、標(biāo)牌等,不得影響建筑物內(nèi)外景觀,不得以任何形式占用樓內(nèi)公共空間。7. After Party A enters the building, it shall not change the origin
20、al appearance of the building without authorization and shall post or set up advertisement, sign board, etc. outside and inside the public space and on walls of the building without permission of Party B, which shall not affect the internal and external landscape of the building and shall not occupy
21、 the public space inside the building in any form. 8、因甲方對該物業(yè)使用、管理、維護(hù)不當(dāng)?shù)仍蚨滤素?cái)產(chǎn)或人身受到損害時(shí),甲方應(yīng)自行解決由此而引發(fā)的糾紛,并自行承擔(dān)由此而導(dǎo)致的損失及后果。8. In case of damage to properties of others or personal damage due to Party As improper use, management, maintenance, etc. of this property, Party A shall settle the dispute aris
22、ing out thereof by itself and undertake the loss and consequence arising out therefrom by itself. 9、甲方不得在大廈內(nèi)進(jìn)行非法活動,不得進(jìn)行任何妨礙或侵?jǐn)_其他用戶的活動。如有上述行為,乙方有權(quán)終止與其的一切協(xié)議。9. Party A shall not conduct any illegal activities inside the building and shall not conduct any activities which hinder or disturb other users.
23、 If there is any above behavior, Party B shall have the right to terminate all the agreements with it. 10、甲方有義務(wù)保持樓內(nèi)整潔,不得在公共區(qū)域內(nèi)堆放貨物或雜物。如發(fā)生上述情況,經(jīng)乙方書面警告2小時(shí)內(nèi)不予清理,乙方有權(quán)予以制止、清理,并向甲方征收清除費(fèi)。如造成損失,由甲方全權(quán)負(fù)責(zé)。In case of any loss, Party A shall be bear all the liabilities. 如甲方因特殊情況,需臨時(shí)占用公共空間,甲方須提前向乙方提出申請,得到乙方批準(zhǔn)后,按乙
24、方批準(zhǔn)的物品存放地點(diǎn)和存放期限統(tǒng)一存放。10. Party A shall have the obligation to keep tidy within the building and shall not pile up goods or sundries in the public area. In case any of above cases occurs and is not eliminated within 2 hours subject to written warning of Party B, Party B shall have the right to stop an
25、d eliminate it and charge Party A for elimination fee. In case Party A needs to occupy the public space temporarily due to special situation, it must submit an application to Party B beforehand, and store its goods in a unified way according to the storage area and storage period approved by Party B
26、 after Party B approves the application. 11、甲方不得在樓內(nèi)存放任何易燃易爆、劇毒等危險(xiǎn)品,以及進(jìn)行任何危害樓宇和人員人身安全,或引致投購保險(xiǎn)失效或使保險(xiǎn)費(fèi)增加的活動。11. Party A shall not store any dangerous products such as inflammable, explosive and extremely toxic substances, etc. inside the building and conduct any activities which endanger the safety of
27、the building and personnel, or cause to invalidate the insurance covered or increase insurance premium. 12、未經(jīng)乙方批準(zhǔn),甲方不得擅自更改、遷移或增大用電水裝置。用電量超過大廈提供的基本電量,甲方應(yīng)交納超出部分的電貼費(fèi)及相應(yīng)的工程改造費(fèi)用。12. Without approval of Party B, Party A shall not modify, relocate or increase the capacity of water and/or electricity consum
28、ing device. In case electricity consumption exceeds the basic electric consumption provided by the building, Party A shall pay the electric subsidy fee of the exceeded part and corresponding engineering retrofitting fee. 13、甲方須服從大廈廣場管理人員的管理,按規(guī)定存放泊停車輛。違反規(guī)定者,乙方工作人員有權(quán)以糾正和制止。13. Party A shall obey the m
29、anagement of the buildings square management personnel and park its vehicle as stipulated. In case of any breach, Party Bs workers shall have the right to rectify an stop it. 14、甲方有義務(wù)愛護(hù)大廈內(nèi)外的一切設(shè)備設(shè)施,因甲方的責(zé)任造成的損失和由此引發(fā)的一切費(fèi)用由甲方承擔(dān)。14. Party A has the obligation to take care of all the equipment and facilit
30、ies inside and outside the building, and shall undertake any loss on its account and any and all the costs incurred thereby. 15、甲方入住時(shí)對房屋有裝修要求,應(yīng)提前5日向乙方提出書面申請并同時(shí)報(bào)送裝修方案,經(jīng)乙方同意后方可進(jìn)行裝修。進(jìn)場裝修的施工隊(duì)伍應(yīng)具備合格資質(zhì)條件,經(jīng)乙方同意后方可入場施工,并接受乙方的監(jiān)督檢查。15. In case Party A requires to decorate the house upon residence, it shall su
31、bmit written application to Party B five days ahead of the application and submit its decoration scheme at the same time, then it can carry out decoration after consent of Party B. The construction team entering the site for decoration shall have acceptable qualification conditions, shall not enter
32、the site for construction until Party B approves and shall accept Party Bs supervision and inspection. 16、由于甲方系統(tǒng)設(shè)備出現(xiàn)故障而對甲方設(shè)備財(cái)產(chǎn)造成的損壞或損失,由甲方自行保險(xiǎn)承擔(dān)。乙方不予負(fù)責(zé)。16. For any damage or loss caused to Party As equipment and property due to failure of Party As system and equipment, Party A shall effect insurance
33、 for them and undertake them by itself. Party B shall not bear any liability. 四、乙方的權(quán)利和義務(wù)IV. Rights and Obligations of Party B1、乙方有權(quán)對大廈進(jìn)行有效的管理,制定管理規(guī)章和有償服務(wù)的收費(fèi)標(biāo)準(zhǔn)、違約處理標(biāo)準(zhǔn),建立健全財(cái)務(wù)管理制度,并根據(jù)日常管理運(yùn)行,建立一套完整的工作程序,并在實(shí)踐中不斷完善。1. Party B shall have the right to exercise effective management of the building, develop m
34、anagement regulations and charging standards for paid service as well as standards for treatment of breaches, establish and perfect financial management system, and establish a set of complete working procedures according to its daily management an continuously perfect them in its practice. 2、乙方有權(quán)檢查
35、、巡視大廈公共區(qū)域及共用設(shè)施設(shè)備。乙方(或乙方授權(quán)的代理人)在合理的時(shí)間內(nèi),經(jīng)事先通知(或在緊急情況)可以進(jìn)入該區(qū)域巡視,檢查該房內(nèi)部各部分狀態(tài)或采取各種措施處理緊急事項(xiàng),甲方不得以任何理由進(jìn)行阻擋。2. Party B shall have the right to inspect and make its rounds to the public area and public facilities and equipment. Party B (or its authorized agent) may enter the said area to make its rounds subj
36、ect to prior notice (or in emergency situation) within reasonable time to inspect the condition of each part inside the house or take various measures to deal with emergency situation, and Party A shall not stop Party B from doing so for any reason whatsoever. 3、如果甲方未征得乙方的允許私自裝修,或裝修時(shí)違反裝修規(guī)定,要求甲方將裝修物業(yè)
37、恢復(fù)原貌,由此發(fā)生的修復(fù)費(fèi)以及對乙方造成的損失費(fèi)全部由甲方承擔(dān)。情節(jié)嚴(yán)重或拒不服從管理者,乙方有權(quán)終止與其簽訂的一切合同,甲方裝修期間,乙方有權(quán)進(jìn)入裝修物業(yè),檢查裝修是否按規(guī)定正常進(jìn)行。3. In case Party A carries out decoration privately without permission of Party B or violates decoration regulations during the decoration, Party A is required to reinstate the appearance of the decorate pro
38、perty, and shall undertake the rehabilitation expense incurred thereby and all losses incurred to Party B. In serious case or in case Party A refuses to obey the manager, Party B shall have the right to terminate all the contracts signed with it, during the decoration of Party A, Party B shall have
39、the right to enter the property under decoration to check if the decoration is carried out normally according to the regulations. 4、乙方負(fù)責(zé)大廈內(nèi)部公共區(qū)域和外部周邊環(huán)境的清潔衛(wèi)生。4. Party B shall be responsible for the cleaning and hygiene of the public areas inside the building and its surroundings. 5、乙方負(fù)責(zé)協(xié)助政府職能部門做好大廈的安
40、全、公共秩序維護(hù)、消防等工作,定期組織有關(guān)方面的宣傳教育,做到發(fā)現(xiàn)問題及時(shí)處理。5. Party B shall be responsible for assisting governmental functions to well do such works as of safety, maintenance of public order, fire protection, etc. of the building, regularly organize relevant publicity and education in order to handle any problem in t
41、ime once it is found. 6、乙方負(fù)責(zé)大廈公共設(shè)備設(shè)施的維護(hù)、保養(yǎng)工作。其中所有高檔儀器設(shè)備由專人負(fù)責(zé),制定標(biāo)準(zhǔn)的操作程序,對有關(guān)人員定期培訓(xùn)。非由大廈或物業(yè)管理公司提供的設(shè)備設(shè)施,乙方不負(fù)責(zé)其維護(hù)、維修。6. Party B shall be responsible for maintenance work of public equipment and facilities inside the building. For all high-grade apparatus and equipment, Party B shall specially assign pers
42、onnel to be responsible for maintenance of them, work out the standard operation procedures and carry out periodic training on relevant personnel. Party B shall not be responsible for maintenance and repair of the equipment and facilities not provided by the building or property management company.
43、7、乙方有權(quán)清除、拆除任何不符合管理規(guī)定的建筑物、安裝物以及公共區(qū)域擺放的貨物或雜物,并向有關(guān)單位或人員征收清除費(fèi)或違約金。7. Party B shall have the right to remove or dismantle any building and installation not complying with the management regulations and goods or sundries laid in public area, and charge removal fee or liquidated damages to relevant unit or
44、 person. 8、乙方負(fù)責(zé)控制和安排大廈廣場內(nèi)所有車輛的停放,并有權(quán)拖離所有違反規(guī)定停放車輛。8. Party B shall be responsible for controlling and arranging the parking of all the vehicles inside the building square, and have the right to tow off all the vehicles parked in violation of the regulations. 9、發(fā)生緊急情況和突發(fā)事件時(shí),乙方有責(zé)任采取應(yīng)急措施,保障樓內(nèi)人員生命財(cái)產(chǎn)安全,最大
45、限度減少各方面的損失。9. In case of emergency situation and sudden event, Party B shall have the right to take emergency measures to safeguard the safety of the people and properties inside the building in order to minimize the loss in every aspect. 10、乙方應(yīng)認(rèn)真對待客戶投訴,凡屬管理責(zé)任問題要及時(shí)解決,并將解決結(jié)果通知客戶;凡近期無法解決的,乙方負(fù)責(zé)向甲方解釋。10

Party B shall carefully treat customer complaints, where the complaint belongs to the problem of management responsibility and needs to be settled in time, Party B shall notify the result of the solution to the customer; where the complaint cannot be solved in short term, Party B shall be responsi
47、ble for explanation to Party A. 11、乙方應(yīng)做好各項(xiàng)配套服務(wù)。11. Party B shall well do various supporting services. 12、乙方須接受甲方的監(jiān)督檢查。12. Party B must receive supervision and inspection of Party A. 五、違約責(zé)任V. Liability for breach of agreement1、雙方均應(yīng)遵守本協(xié)議的各項(xiàng)規(guī)定,任何一方違反本協(xié)議的規(guī)定,應(yīng)承擔(dān)違約責(zé)任;給對方造成經(jīng)濟(jì)損失的,還應(yīng)賠償損失費(fèi)。1. Both parties sha
48、ll observe various provisions of this agreement, any party in breach of any provision of this agreement shall bear the liability for breach; in case Party B cause the other party to suffer economic loss, it shall compensate Party A for the loss. 2、若甲方未能按期繳納各項(xiàng)費(fèi)用,乙方有權(quán)書面通知甲方立即繳付。甲方逾期7日未能繳付,甲方須按延遲繳納天數(shù),按
49、每日3的標(biāo)準(zhǔn)向乙方繳納滯納金。2. In case Party A fails to pay various fees as scheduled, Party B shall have the right to require Party A to pay immediately by giving a written notice to it. In case Party A fails to pay the fees seven days after the specified date, Party A shall pay the fine for late payment to Par
50、ty B at a rate of 3 per day according to the days of late payment. 3、甲方未經(jīng)乙方許可,進(jìn)行的裝飾、裝修造成了對原建筑物的改動,甲方須按原建筑物造成的2-5倍支付違約金。3. In case Party A carries out decoration and fitment, which cause modification to the original building without consent of Party B, Party A shall pay the fine for breach at a rate
51、of 25 times of the cost of the modification to the original building. 4、甲方違約在公共區(qū)域堆放貨物、雜物或加建建筑物,乙方有權(quán)向甲方收取清理費(fèi)。4. In case Party A stacks goods, sundries or additionally constructs building in the public area in breach of the regulations, Party B shall have the right to charge removal fee to Party A. 5、
52、若乙方在甲方未有違約的前提下,單方面提前終止協(xié)議,則乙方需向甲方雙倍返還所收費(fèi)用;若甲方提前終止本協(xié)議,乙方不予返還甲方所繳納的相關(guān)費(fèi)用。5. In case Party B terminates this agreement in advance unilaterally without breach of Party A, Party B needs to double refund the fees charged to Party A; in case Party A terminates this agreement in advance, Party B shall not ref
53、und related fees paid by Party A. 六、不可抗力VI. Force majeure1、由于地震、臺風(fēng)、暴雨、火災(zāi)、戰(zhàn)爭以及其他不能預(yù)見情況,并且對其發(fā)生的后果不能防止或避免的人力不可抗拒事件,而致影響任何一方不能履行本協(xié)議或不能按本協(xié)議約定的條件履行本協(xié)議時(shí),遇有上述不可抗力的一方,應(yīng)立即以電報(bào)或傳真的方式通知另一方,并在15日內(nèi)提供不可抗力詳情及本協(xié)議不能履行或部分不能履行或需要延期履行的理由的有效證明文件。此項(xiàng)證明文件應(yīng)由雙方協(xié)議解決是否解除本協(xié)議,或者部分免除履行本協(xié)議的責(zé)任,或者延期履行本協(xié)議。1. Should either party to the
54、contract be prevented from executing this contract according to the conditions stipulated herein by force majeure, such as earthquake, typhoon, rainstorm, fire, war or other unforeseen events, and their occurrence and consequences are unpreventable and unavoidable, the prevented party shall notify t
55、he other party by telegram or fax without any delay, and within 15 days thereafter provide detailed information of the events and a valid document for evidence explaining the reason of its inability to execute or delay the execution of all or part of this agreement. Both parties shall, through consultation, decide whether to terminate this agreement or to exempt part of the obligations for implementation of the agreement or whether to delay the execution of the ag
