3、Code12總貝1/GeneralProvisions本準(zhǔn)則廣泛陳述了能使xxx(以下統(tǒng)稱“XXX”)持續(xù)成為最佳誠信公司的商業(yè)行為和個(gè)人道德類型。如大家所知,公司是所有員工行為的共同載體。本準(zhǔn)則提供了全體員工需遵守的正式行為指引。TheCodesetsout,inverybroadterms,thetypeofbusinessconductandpersonalethicswhichisrequiredofyouinorderforXXX(hereinafter,XXX?tocontinuetoberegardedasacompanyoftheutmostintegrity.Asyouwel

4、lknow,thecompanyisareflectionoftheconductofallofuswhomanageitsaffairs.TheCodeisameansofprovidingformalguidelinesonthebehaviorwhichisexpectedofallourstaff.XXX在業(yè)務(wù)行為方面致力于達(dá)到法律和道德標(biāo)準(zhǔn)的最高準(zhǔn)繩,希望成為并被認(rèn)可為良好的企業(yè)法人和能夠公平、公正地對待客戶與員工的企業(yè)。本準(zhǔn)則的目的是幫助每一位員工了解應(yīng)遵循什么樣的行為方式,以及建立最低行為標(biāo)準(zhǔn)。本準(zhǔn)則適用于全體員工以及代理人員(以下統(tǒng)稱員工")?!爸毕涤H屬”包括配偶、父

5、母、岳父岳母和子女。所有員工要認(rèn)真學(xué)習(xí)準(zhǔn)則,依據(jù)準(zhǔn)則行事,這樣,XXX才能持續(xù)地獲得廣大客戶與公眾的普遍信任和信心。XXXiscommittedtothehighestleveloflegalandethicalstandardsintheconductofitsbusinessandwishestobeandbeknownasagoodcorporatecitizenandacompanywhichdealsfairlyandequitablywithitsclientsandemployees.ThisCodeofBusinessConductisintendedtoassisteachm

6、emberoftheorganizationtoknowwhatisexpected,anditsetsoutourminimumstandardsofbehavior.TheCodeappliestoallemployeesofXXXandagents(hereafteremployee").Thewordsimmediatefamily"includesspouse,parentsandchildren.AllemployeesarerequiredtostudytheCodecarefullyandtobeguidedbyitsprinciplessothatXXXm

7、aycontinuetoearnthetrustandconfidenceofitsclientsandthepublicatlarge.以下是本準(zhǔn)則的基本原則:ThefollowingisthegeneralprovisionsoftheCode:1 .遵守當(dāng)?shù)胤煞ㄒ?guī)和職業(yè)行為標(biāo)準(zhǔn);Wewillcomplywithallapplicablelaws,regulationsandprofessionalconductstandardsineverydistrictinwhichweoperate.2 .為客戶提供高標(biāo)準(zhǔn)的服務(wù),尊重他們的利益,力求通過我們的服務(wù)來滿足客戶需要;Wewillpr

8、ovidehighstandardsofservicetoallofourcustomers,respectingtheirinterestsandaimingtomeettheirneedswiththeservicesweprovidetothem.3 .避免個(gè)人或財(cái)務(wù)的利益沖突,誠實(shí)道德地處理沖突并進(jìn)行恰當(dāng)披露;Wewillavoidpersonalorfinancialconflictsofinterestandhandleactualorperceivedconflictshonestlyandethically,makingallappropriatedisclosure.4 .不

9、會(huì)因?yàn)榻o予或接受客戶、供應(yīng)商及其他與我們打交道的人的任何優(yōu)惠待遇而妥協(xié);Wewillnotbecompromisedthroughanypreferentialtreatmentgiventooracceptedfromcustomers,suppliersorotherpeoplewithwhomwedeal.5 .誠實(shí)、準(zhǔn)確地與利益相關(guān)者溝通;Wewillcommunicatehonestlyandaccuratelywithallofourstakeholders.6 .對我們所在地區(qū)的社會(huì)與經(jīng)濟(jì)做出貢獻(xiàn)。Wewillcontributetothesocialandeconomicwel

10、lbeingofthecommunitieswherewehaveoperations.7 .公平對待員工,支持他們持續(xù)學(xué)習(xí)和不斷發(fā)展。Wewilltreatourpeoplefairlyandsupporttheirongoinglearninganddevelopment.合法合規(guī)/CompliancewithLawsandRegulationsXXX及其員工必須遵守中國的法律法規(guī)。XXX業(yè)務(wù)需遵守非常復(fù)雜及多變的法律法規(guī),任何員工在無法確定法律法規(guī)的適用性和解釋時(shí),應(yīng)從合規(guī)與運(yùn)營風(fēng)險(xiǎn)部或法務(wù)部獲得幫助。XXXanditsemployeesmustcomplywithalllawsandr

11、egulationsgoverningXXX'sbusinessinChinainwhichweoperate.Ouroperationsaresubjecttoverycomplexandchanginglawsandregulationsand,ifanemployeeisindoubtabouttheapplicationorinterpretationofanylegalandregulatoryrequirement,themattershouldbereferredtotheCompliance&OperationalRiskandLegal.利益沖突/Confli

12、ctofInterest員工需要注意,在其職權(quán)范圍內(nèi)采取的行動(dòng)或做出的決定不能與XXX及其客戶的利益相沖突。EmployeesarerequiredtoseethatactionstakenanddecisionsmadebythemwithintheirjurisdictionarefreefromtheinfluenceofanyinterestwhichmightreasonablyberegardedasconflictingwiththeinterestsofXXXanditsclients.相應(yīng)地,必須恪守以下原則:Inthisconnectionthefollowingprinc

13、iplesmustbeadheredto:1 .個(gè)人或外部活動(dòng)不能直接或者間接與員工在XXX的職責(zé)相沖突。因此,員工應(yīng)該避免任何與其工作職責(zé)發(fā)生或可能發(fā)生利益沖突的情形。Personaloroutsideactivitiesmustnotconflict,eitherdirectlyorindirectly,withanemployee'sdutiestoXXX.Employeesshould,therefore,avoidsituationsinwhichtheirpersonalinterestsconflict,orarelikelytoconflict,withtheirdut

14、iestoXXX.2 .員工不得參與可能導(dǎo)致以下情形的XXX外部的個(gè)人、商業(yè)及投資活動(dòng):Noemployeeshouldparticipateinapersonal,businessorinvestmentactivityoutsideXXXwhichwouldtend(1) 花費(fèi)過多的時(shí)間和注意力從而無法以最佳狀態(tài)為其在XXX的崗位服務(wù);TocreateanexcessivedemanduponhisorhertimeandattentionandthusdepriveXXXofhisorherbesteffortsonthejob;or(2) 造成利益沖突-這是指,可能妨礙其做出對XXX利

15、益最大化的獨(dú)立判斷的義務(wù),利益或其他干擾事項(xiàng)。Tocreateaconflictofinterest-thatis,anobligation,interestordistractionwhichwouldinterferewiththeindependentexerciseofhisorherjudgmentinXXX'sbestinterests.員工個(gè)人行為、商業(yè)活動(dòng)或者其他外部行為與XXX的商業(yè)利益,或與其已知的XXX正在醞釀的業(yè)務(wù)發(fā)生或具有潛在利益沖突時(shí),必須及時(shí)地向其直接主管匯報(bào)。Anemployeewhohasaconflictingorpossiblyconflictin

16、ginterestbetweenhisorherpersonal,businessorotheroutsideactivitiesandanybusinessinterestofXXXoranytransactionwhichheorsheknowsisunderconsiderationbyXXXmustmaketimelydisclosureinthatconnectiontohisorherimmediatesuperior.禮品與利益/GiftsandFavors員工及其直系親屬不得接受或贈(zèng)與任何正在與XXX從事業(yè)務(wù)或進(jìn)行商務(wù)談判的人員的禮品和好處。贈(zèng)與或收受禮品和好處必須符合XXX禮

17、品政策。這個(gè)規(guī)則并不是禁止正常的和廣泛接受的地方商業(yè)慣例,比如商務(wù)用餐和招待,包括紀(jì)念品或有象征性意義的禮物。然而,任何可能被認(rèn)為是賄賂和暗中給付的行為是被禁止的。應(yīng)當(dāng)避免存有疑點(diǎn)的禮品和好處。員工尤其要防止因?yàn)楫a(chǎn)生感激之情而影響業(yè)務(wù)判斷的情形發(fā)生。EmployeesandthemembersoftheirimmediatefamilymustneitheracceptnorbeapartytogivinggiftsandfavorfromortoanyonewithwhomXXXisdoingornegotiatingbusiness.Theactivitiesofgiftandfavoro

18、fferingandreceivingmustcomplywiththeGiftPolicyofXXX.Thisruleisnotintendedtoprohibitnormalandwidelyacceptedethicalbusinesspracticessuchasbusinessmealsandreceptions,includingmementosorgiftsofnominalvalue.However,anythingwhichcouldbeconsideredasapayofforsecretcompensationisprohibited.Ifindoubt,thegifto

19、rfavorshouldbeavoided.Inparticular,employeesshouldguardagainstanysituationwheretheirbusinessjudgmentmightbeinfluencedbyafeelingofgratitude.對供應(yīng)商,承包人及其他任何被XXX確定為供貨商或服務(wù)商的公司和或個(gè)人的選擇須遵守XXX采購政策,并且只能基于最優(yōu)價(jià)格、高性能和誠信做出決定。在考慮簽署此類合同或采購物品或服務(wù)的過程中,絕對不能接受禮品、好處及其他個(gè)人利益與優(yōu)惠。Theselectionofsuppliers,contractorsandanyotherf

20、irmsorindividualsretainedbyXXXforthepurchaseofgoodsorservicesistobemadeinaccordancewithXXX'spurchasingpolicyandsolelyongroundsofthebestavailableprice,superiorperformanceandintegrity.Giftsandfavorsandotherpersonalbenefitsoradvantagesmustnotbeacceptedinconsiderationofthegrantingofsuchcontractsorth

21、epurchaseofgoodsorservices.外部行為和董事任職/OutsideOfficesandDirectorships員工有為XXX贏得良好公共關(guān)系的職責(zé)。員工幫助慈善及教育活動(dòng)可以給XXX帶來良好聲譽(yù),應(yīng)該得到鼓勵(lì)。EmployeesofXXXhaveaveryrealresponsibilityforgoodpublicrelations.TheirreadinesstohelpwithcharitableandeducationalactivitieshasbroughtgreatcredittoXXXandshouldbebroadenedandencouraged.在

22、某些情況下,員工擔(dān)任企業(yè)董事與XXX利益可能是一致的。擔(dān)任外部企業(yè)董事必須經(jīng)過XXX總經(jīng)理事先同意。然而,任何有損員工履行其在XXX的職責(zé)能力的外部活動(dòng),或與工作職責(zé)沖突的情況都應(yīng)避免。如果對員工是否正在考慮上述外部行為抱有疑問,應(yīng)立即向部門負(fù)責(zé)人匯報(bào)。Insomecases,itmaybeconsistentwithXXX'sinterestsforemployeestoserveontheboardsofbusinessenterprises.Priorapprovaltoserveontheboardofanoutsidebusinessenterprisemustbeobtai

23、nedfromtheGeneralManager.However,anyoutsideactivitieswhichimpairanindividual'sabilitytoattendtocompanyduties,orwhichmightconflictwithhisorherdutiesonbehalfofXXX,shouldbeavoided.Ifthereisanyquestionaboutanysuchoutsideactivitiesbeingcontemplatedbyanemployee,theheadresponsibleforhisorherdepartments

24、houldbepromptlyinformed.內(nèi)幕信息/InsiderInformation員工不能使用自己在雇用期間獲得的尚未公開的重要信息(一般稱之為內(nèi)幕信息”)為自己或他人牟利,例如親戚朋友。將內(nèi)幕信息泄漏給其他個(gè)人或公司的行為是違法行為,會(huì)給個(gè)人和公司帶來嚴(yán)重后果。Employeesshallnotusematerialinformationgainedinthecourseofemployment(commonlyreferredtoas"insiderinformation")andwhichisnotgenerallyknowntothepublicforp

25、ersonalgainortheadvantageofotherssuchasfriendsandrelatives.Passinginsiderinformationtoanotherpersonorcompanyis川egalandanemployeewhodoessocouldexposehimselforherselfand/orcompanytoheavydamages.“重要信息”包括重要事實(shí)以及涉及某企業(yè)當(dāng)前或未來的財(cái)務(wù)狀況、產(chǎn)品與服務(wù)、證券市場、XXX針對該企業(yè)的投資及投資意向等有關(guān)的重要變化。未經(jīng)廣泛披露的,或者以一個(gè)具備正常理性的人在決定是否買賣或者持有證券時(shí)作為重要因素考

26、慮的信息都被認(rèn)定為是重要信息。"Materialinformation"mayincludeinformationaboutamaterialfactormaterialchangeregardingthefinancialcondition,presentorfuture,ofabusinessenterprise,itsproductsandservices,themarketforitssecuritiesorXXX'sinvestmentsorinvestmentintentionswithrespecttosuchenterprise.Informatio

27、nwillbedeemed"material"ifithasnotbeengenerallydisclosedandareasonablepersonwouldconsideritimportantindecidingwhethertopurchase,sellorholdanysecurities.員工不允許利用重要信息為自己或其直系親屬的賬戶交易有價(jià)證券。Noemployeemaytradeinsecuritiesforhisorheraccountortheaccountofanymemberofhisorherimmediatefamilyonthebasisofm

28、aterialinformation.員工知道或者有理由認(rèn)為XXX正在進(jìn)行或積極協(xié)商對某種證券的買賣或其它投資行為時(shí),不得在XXX此項(xiàng)買賣完成前直接或間接地用自己或者直系親屬的賬戶買賣該證券。AnemployeewhoknowsorhasreasontobelievethatXXXispurchasing,sellingoractivelynegotiatingwithrespecttoaparticularsecurityorotherinvestmentinabusinessmaynotpurchaseorsell,directlyorindirectly,thesecuritiesoft

29、hatbusinessforhisorherownaccountorthatofanymemberofhisorherimmediatefamilyuntilafterthecompletionofsuchpurchaseorsalebyXXX.任何員工或其直系親屬,不得從XXX的證券交易經(jīng)紀(jì)人或任何其它與XXX有證券交易往來的機(jī)構(gòu)獲得任何超出普通投資人應(yīng)該得到的利益。NoemployeeandanymemberofhisorherimmediatefamilycangetbenefitmorethanordinaryinvestorsfromthesecuritybrokersofXXXan

30、danyotherinstitutionswhichhavesecuritytransactionswithXXX.保密彳W息/ConfidentialInformation個(gè)人信息是人壽及健康險(xiǎn)行業(yè)的基礎(chǔ)。因此XXX必須確保遵守有關(guān)保護(hù)機(jī)密和敏感信息的規(guī)定。Personalinformationformsthebasisofthelifeandhealthinsuranceindustry.Consequently,XXXmustensureadherencetorulesgoverningtheprotectionofthisconfidentialandsensitiveinformat

31、ion.此外,員工在雇用期間獲得的所有有關(guān)XXX的業(yè)務(wù)信息,包括計(jì)劃、業(yè)務(wù)戰(zhàn)略、產(chǎn)品開發(fā)計(jì)劃、定價(jià)、系統(tǒng)、投資以及相關(guān)文件和未廣泛公開的文件必須按照保密信息處理。這些信息不得被對外披露,員工不能利用其為自己及親屬朋友等牟利。傳播或泄露這些信息會(huì)嚴(yán)重削弱XXX的競爭優(yōu)勢,在許多情況下可能還會(huì)導(dǎo)致利益沖突甚至交易失敗。Inaddition,allinformationacquiredbyemployeesduringthecourseoftheiremploymentconcerningXXX'sbusiness,includingitsplans,businessstrategies,p

32、roductdevelopmentplans,pricing,systemsandinvestmentsaswellasalldocumentationinthatconnectionorthatisnotgenerallyknowntothepublicmustbetreatedasconfidential.SuchinformationisnottobedisclosedoutsideofXXXandemployeesmaynotuseitforthepersonaladvantageofthemselves,theirfamilies,friendsandassociates.Theci

33、rculationorleakingofsomekindsofinformationcouldmateriallyweakenXXX'scompetitiveadvantageandwould,inmanyinstances,giverisetoconflictsofinterestandevenanabortedtransaction.隱私權(quán)指引/RighttoPrivacyGuidelinesXXX經(jīng)營的保險(xiǎn)業(yè)務(wù)的特點(diǎn)要求公司收集、運(yùn)用及保管員工、公司個(gè)人客戶的個(gè)人信息,并依法或經(jīng)授權(quán)向第三方披露。員工的個(gè)人信息遵循與客戶個(gè)人信息同樣的隱私權(quán)指引。必須審慎掌握尺度以平衡對信息及個(gè)人

34、隱私權(quán)、公正性以及干預(yù)最小化等方面的需求,并采取必要的預(yù)防措施保護(hù)這些利益。為此目標(biāo),XXX遵守以下原則:ThenatureofthebusinessofinsuranceascarriedonbyXXXrequiresthatXXXcollect,useandretainpersonalinformationaboutitsemployeesandthoseindividualstoandthroughwhomXXX'sservicesareprovidedandtodisclosesuchinformationtothirdpartieswhenauthorizedorrequir

35、edtodosobylaw.Personalinformationaboutourownemployeesissubjecttothesameprivacyguidelinesaspersonalinformationaboutourcustomers.XXXmustbalancecarefullyitsneedforsuchinformationagainsttheindividual'srighttoprivacy,theneedforfairness,andtheneedtominimizeintrusiveness,andtakenecessaryprecautionstopr

36、otecttheseinterests.Tothatend,XXXwillobservethefollowingguidelines:1 .只能通過合法途徑獲得個(gè)人信息。Onlylawfulmeanswillbeusedtocollectpersonalinformation.2 .避免蓄意拜訪、虛假和誤導(dǎo)等行為。Pretextinterviewsandfalseandmisleadingpracticeswillbeavoided.3 .收集個(gè)人信息的目的需在收集信息之時(shí)或之前說明,如該目的有任何變化需告知個(gè)人。Thepurposeforwhichpersonalinformationisc

37、ollectedfromanindividualwillbespecifiedonorbeforethecollectionofinformation,andanychangeofpurposewillbecommunicatedtotheindividual.4 .告知個(gè)人,XXX依法獲得的其個(gè)人信息將被妥善保管。Individualistobeinformedthatthepersonalinformationcollectedthroughlawfulmeanswillbeproperlysecured.5 .XXX收集和保存的個(gè)人信息屬于機(jī)密,XXX將提供適當(dāng)?shù)陌踩胧┮员Wo(hù)其機(jī)密性。

38、Personalinformationthatiscollectedandretainedwillbeconsideredtobeconfidentialandpropersafeguardswillbeprovidedtoprotectthatconfidentiality.6 .采取一切努力保證個(gè)人信息的收集、使用、保存及披露做到準(zhǔn)確、及時(shí)、全面并符合XXX的現(xiàn)行規(guī)范。個(gè)人可以修正或者澄清被XXX保存的其個(gè)人信息。Everyreasonableeffortwillbemadetoensurethatpersonalinformationcollected,used,retainedordi

39、sclosedisaccurate,relevanttotheeffectiveconductofXXX'sbusiness,timelyandcomplete.AnindividualmaycorrectorclarifypersonalinformationregardinghimorherretainedbyXXX.7 .對個(gè)人信息的披露和使用不得超出向個(gè)人說明的目的,除非:Personalinformationwillnotbedisclosedorusedforpurposesotherthanthosespecifiedtotheindividual,except:(1)

40、獲得個(gè)人同意;或Withtheconsentoftheindividualconcerned;or(2) 依據(jù)法彳t需要;或Whererequiredbylaw;or(3) 在合理地認(rèn)為必要的情況下,決定是否具有保險(xiǎn)利益,或在保險(xiǎn)合同有關(guān)的事項(xiàng)中保護(hù)XXX利益不受犯罪活動(dòng)、舞弊和嚴(yán)重誤導(dǎo)的損害。Wherereasonablynecessary,todetermineeligibilityforaninsurancebenefitor,toprotecttheinterestsofXXXagainstcriminalactivity,fraud,andmaterialmisrepresentat

41、ioninconnectionwithaninsurancecontract8.XXX員工、董事、經(jīng)紀(jì)人、中介、代理或代表XXX的個(gè)人及組織也必須遵從上述指引。非XXX員工的中介代理人員需與XXX簽署包括上述指引內(nèi)容合同。Allemployees,directors,brokers,intermediariesandotherpersonsororganizationsactingforXXXoronitsbehalfwillberequiredtoconformtotheseguidelines.IntermediariesofXXXwhoarenotemployeeswillberequi

42、redtosignacontractwhichincorporatestheseguidelines.計(jì)算機(jī)系統(tǒng)安全/ComputerSystemsSecurityXXX計(jì)算機(jī)系統(tǒng)安全對于XXX的持續(xù)成功經(jīng)營至關(guān)重要。計(jì)算機(jī)資源的使用權(quán)限應(yīng)受到限制而且只能依據(jù)XXX政策使用。有權(quán)使用者有義務(wù)對密碼保密而且只能在業(yè)務(wù)授權(quán)范圍內(nèi)使用計(jì)算機(jī)系統(tǒng)。包含敏感信息的計(jì)算機(jī)媒體在未使用時(shí)應(yīng)總是處于鎖定位置,所有保密級別的計(jì)算機(jī)數(shù)據(jù),無論是紙質(zhì)還是電子文檔,必須時(shí)刻被安全保管。ThesecurityofXXX'scomputersystemsiscrucialtothecontinuedsuccess

43、ofXXX.Accesstoourcomputerresourcesisrestrictedandtheycanonlybeusedinaccordancewithcompanypolicy.Individualswhoaregrantedaccesshaveanobligationtokeeptheirpasswordsconfidentialandtolimittheiruseofcomputersystemstoauthorizedbusinesspurposes.Computermediacontainingsensitiveinformationaretobekeptinalocke

44、dlocationatalltimeswhennotinuse;andallcomputerdataofaconfidentialnature,whetherinpaperorelectronicform,mustbekeptsecureatalltimes.員工在被雇用期間為XXX開發(fā)的程序和相關(guān)資料屬于XXX財(cái)產(chǎn),構(gòu)成有價(jià)值的機(jī)要的商業(yè)秘密,必須妥善處理。AllcomputerprogramsandrelatedmaterialsdevelopedbyXXXemployeeswithinthescopeoftheiremploymentonbehalfofXXXaretheproperty
