5、ed_, in accordance with the terms and conditions set forth in this Contract, the Performance Evaluation, Job Description and the Remuneration Agreement annexed to this Contract and Handbook. A clean release from Party Bs previous employer is required; otherwise Party A holds the right to revoke this

8、 by Party A).乙方應(yīng)當(dāng)履行為期_3_個月的試用期。(乙方經(jīng)甲方同意續(xù)簽合同的情況除外)3.3 Party A may dismiss Party B at any time during, or at the end of, the probationaryperiod if Party A considers that Party Bs performance cannot satisfy the recruitment conditions or the standards in the job description during the probationary perio

If Party A considers that Party Bs performance has been satisfactory during the probationary period, Party B shall become a regular employee of Party A in accordance with the terms of this Contract, and the probation period will be within the contract term.在試用期中的任何時間, 甲方如果認(rèn)為乙方的表現(xiàn)不符合錄用的條件或崗位描述的標(biāo)準(zhǔn),

10、可以隨時解雇乙方。如果甲方對乙方在試用期間的表現(xiàn)滿意,則根據(jù)合同條款乙方將成為甲方的正式員工,并將試用期計入合同期內(nèi)。3.4 Execution of this Labor Contract shall terminate at its expiration. At least 30 days prior to the scheduled expiration of the Term, Party A shall offer Party B a renewal of the Contract if Party A intends to renew the Contract. If Party

11、A offers to renew the Contract, Party B shall accept or refuse the renewal prior to the expiration of the Term. In the event that Party B fails to respond prior to the expiration of the Term, Party B shall be deemed to have refused to renew the Contract. 合同期滿后本合同將終止。如果甲方有意向續(xù)簽合同, 應(yīng)當(dāng)在本合同期滿之日至少30 天前向乙方

12、發(fā)出續(xù)簽的要約。在甲方發(fā)出續(xù)簽合同的要約后,乙方應(yīng)當(dāng)在合同期滿前接受或拒絕該要約。如果乙方在本合同期滿前沒有回應(yīng),視為放棄續(xù)約。4 Work scope and work time 工作范圍與工作時間 4.1 The scope of the Party Bs duties shall be determined from time to time in accordance with the needs of Party A by the Legal Representative or a manager of Party A designated by the Legal Represen

13、tative. Party A has the right, after consulting with Party B, to adjust the scope of Party Bs duties in terms of Party As administrative requirements, and Party Bs professional capability and working performance. Party B shall diligently perform his/her duties to the best of his/her ability in accor

14、dance with the instructions of his/her supervisors, work in co-operation with his/her supervisors and colleagues, and observe the terms of this Contract and the work rules of Party A contained in Handbook of Party A or company rules otherwise issued by Party A.乙方的職責(zé)范圍由甲方的法人或其指定的管理人員根據(jù)甲方的需要隨時進(jìn)行規(guī)定。在與乙

15、方商議后,甲方有權(quán)根據(jù)甲方的管理需要、乙方的專業(yè)能力與工作表現(xiàn)調(diào)整乙方的職責(zé)范圍。乙方應(yīng)當(dāng)按照上級的指示勤勉地履行職責(zé)并發(fā)揮最大能力,與上級和同事通力合作,遵守本合同的條款以及包括在甲方員工手冊或甲方發(fā)布的其他公司規(guī)章制度。 4.2 Party B undertakes to accept the arrangement or change of work made by Party A in light of Party As work requirements and Party Bs working ability and performance; Party B shall agree

16、s that this Agreement may not be altered under any of the following circumstances: 乙方承諾,愿服從甲方根據(jù)工作需要、乙方工作能力及其表現(xiàn)而安排或調(diào)動的工 作崗位并同意在下列情況下本合同不作變更處理: 4.2.1 Party Bs working site is to be arranged by the division he or she works in; Party A is to change Party Bs working site within all its business offices a

17、nd connected sites in the city where Party A is domiciled (including Party As own property or other premises leased by Party A), on the basis of Party As working requirement; 乙方的工作地點(diǎn)由所在部門安排。今后因工作需要乙方在甲方所在本市的全 部經(jīng)營辦公場所及附屬場所(包括公司自有產(chǎn)權(quán)的物業(yè)或租賃的物業(yè),)之 間調(diào)整時。 4.2.2 Party A assigns Party B to work at home or ab

18、road on business travel for a short term on the basis of Party As working requirement. 甲方因工作需要,臨時指派乙方到境內(nèi)外短期出差地點(diǎn)工作的。 4.2.3 In response to working requirement, Party A temporarily assigns Party B to work at other divisions of Party A or other entities. 甲方因工作需要,安排乙方臨時外借到其它部門或其它他單位工作的。4.3 Party B shall

19、be entitled to legal holidays, annual leave, and other paid leaves of absence in accordance with applicable law and Party As work rules, which are in force from time to time. The terms of leaves of absence at the date of commencement of the Term is described in the Handbook attached to this contract

20、.乙方有權(quán)享受法定節(jié)假日、年假和其他不時生效的相關(guān)法律及甲方工作規(guī)章所規(guī)定的帶薪假期。有關(guān)合同生效日后假期的條款請參照本合同所附的員工手冊。 4.4 Both parties agree Party Bs working hours are specified as follows (normal working hours: 9:00 12: 00, 13:00 18: 00; lunch time: 12:00 13: 00.) 甲、乙雙方同意按以下方式確定乙方的工作時間(正常工作時間:上午9:00 12:00,下午:13:0018:00,12:0013:00為午餐時間。)5 Remune

21、ration and Leave of Absence Policy 勞動報酬及請假制度5.1 The yearly salary of Party B shall be _ yuan,. 乙方工資為_元/年。After the satisfactory completion of the probationary period, Party A will conduct an assessment of Party Bs capability, work attitude and efficiency etc. Thereafter Party A may change the wage o

22、f Party B from time to time based on the performance of Party B.如果乙方在試用期的表現(xiàn)令甲方滿意,甲方將對其工作能力、工作態(tài)度、工作效率等進(jìn)行評估。此后,甲方可根據(jù)乙方的表現(xiàn)適時對其工資進(jìn)行調(diào)整。5.2 During period of legal holidays and Marriage or Bereavement Leaves, Party A shall pay the wage in accordance with the laws and regulations. 乙方在法定休假日和婚喪假期間,甲方將依法支付工資。

23、5.3 The Employee who has worked for Party A for over one year, is entitled to _ working hours holiday per year.The holiday year will commence on 1st January and end on 31st December of the same year. Holidays will be paid at basic rates of payment. 員工每年享有_個工作時的假期。休假年份計算從1月1日開始到同年12 月31日結(jié)束。休假期間按基本工資計

24、算 All holidays must be pre-booked in agreement with management. 為便于管理,所有休假都必須提前申請 The Employer reserves the right to reimbursement by the employee for any payment in excess of holiday entitlement on termination of service. All holidays must be taken in the holiday year - no holidays may be carried f

25、orward to the following year without prior agreement with the management. 協(xié)議終止時,對于員工額外享有的假期福利,公司保留索取賠償?shù)臋?quán)利。所有 假期都必須在當(dāng)年休完,未經(jīng)管理方同意,來年不再補(bǔ)休。 5.4 exceptional leave will be given sympathetic consideration by the Employer. The Employer however does not hold itself bound to make any payment for compassionate

26、 leave unless taken as part of current holiday entitlement. 公司出于同情考慮會準(zhǔn)許事假,但一般不帶薪,除非現(xiàn)行假期福利另有規(guī)定5.5 Before Party B requires for sick leave, compassionate leave, or any other form of leave, he or she shall formally apply to the line manager for approval in writing in advance, and for sick leave, it is a

27、lso required to provide with verification of the doctor from hospital designated by Party A. 乙方如請病假、事假或任何形式的假,均應(yīng)事先書面申請直接主管批準(zhǔn),病假還需提供由甲方指定醫(yī)院開出的證明。 5.6 Party A will pay all remuneration directly to Party B in cash, less any amount required to be withheld by Party A as individual income tax. Party B sha

28、ll, however, have sole responsibility for any individual income tax and any other charges or taxes imposed on Party Bs remuneration.甲方將所有報酬在扣除依法由甲方代扣的諸如個人所得稅等費(fèi)用后以現(xiàn)金形式直接支付給乙方。乙方將對繳納個人所得稅以及與報酬相關(guān)的其他任何費(fèi)稅義務(wù)承擔(dān)全部責(zé)任。6 Social insurance and welfare 社會保障和福利6.1 Party A shall pay social insurance premium and hou

29、sing accumulation funds for Party B in accordance with the relevant regulations of the State and Shanghai municipality. 甲方按國家和上海市有關(guān)規(guī)定,為乙方繳納社會保險和住房公積金. 6.2 Party B agrees that Party A may, from the remuneration payable to Party B, withhold the part of social insurance premium and public remuneration

30、fund to be borne by Party B and Party A may pay such withheld part on behalf, in accordance with the relevant regulations of the State and Shanghai municipality. 乙方同意按照國家和上海市的有關(guān)規(guī)定,由個人承擔(dān)的社會保險、住房公積金部 分由甲方在工資中代扣代繳。 6.3 In case Party B is ill or injured for non-work reasons, Party A shall offer Party B

31、a period of medical treatment according to the patients circumstances and the length of his/her service in Party A. The living expenses and medical fees are paid in accordance with relevant regulations of P.R.C. 乙方患病或非因工負(fù)傷,甲方按其病情及在本單位工作時間長短,給予一定的醫(yī) 療期。醫(yī)療期間的生活費(fèi)用和醫(yī)療費(fèi)用,按國家有關(guān)規(guī)定執(zhí)行。7 Work condition and lab

32、or protection 勞動條件與勞動保護(hù) 7.1 Party A shall strictly observe laws and regulations of P.R.C on occupational safety and hygiene and regulations on working hours, rest and holiday system as well as special protections on female employees; and provide occupational safety and health conditions conforming t

33、o relevant provision of P.R.C and necessary articles to ensure Party B will be safe and healthy during process of work. 甲方嚴(yán)格執(zhí)行國家勞動安全衛(wèi)生規(guī)程和標(biāo)準(zhǔn)、工作時間和休息、休假制度及女職工特殊保護(hù)規(guī)定, 為乙方提供符合國家規(guī)定的勞動安全衛(wèi)生條件和必要的勞動保護(hù)用品,保障乙方在工作過程的安全和健康。8 Labor discipline 勞動紀(jì)律 8.1 Party B shall comply with all aspects of Party As rules relat

34、ing to labordiscipline and other work rules and procedures of Party A contained in Handbook or otherwise issued by Party A from time to time.乙方應(yīng)遵守甲方包括在員工手冊或甲方不時發(fā)布的其他文件中的所有有關(guān)勞動紀(jì)律、工作制度與程序的規(guī)定。8.2 Party B is required to devote his/her full working power and ability to Party A, and is not allowed to perf

35、orm work in his/her leisure time for other employers or him/herself during the term of this Contract.乙方應(yīng)向甲方貢獻(xiàn)他全部的工作能力和才干, 在合同期內(nèi)不得利用工作時間為其他雇主或自己本人服務(wù)。8.3 Party B is not allowed to accept gifts or loans from any person or organizationcommercially related or in other ways related to Party A.乙方不得從與甲方有商業(yè)或

36、其他往來的任何個人或組織處接受禮物或貸款。 Party B shall not accept gifts, loans or other benefits from other company or persons because of his/her work in Party A either directly or indirectly,乙方不得利用其在甲方的工作關(guān)系直接或間接從其他任何組織或個人處接受禮物、貸款或其他好處。 8.4 Party B shall not carelessly causes Party A to fail to meet its standards of p

37、erformance or customer service. 乙方不得因疏忽導(dǎo)致甲方工作或客戶服務(wù)達(dá)不到標(biāo)準(zhǔn)。 Party B shall not knowingly and willfully fail to meet the accepted standard of excellence and high quality of production or service of Party A. 乙方不得有意不符合甲方所能接受的優(yōu)質(zhì)產(chǎn)品或服務(wù)標(biāo)準(zhǔn)。 Party B shall not knowingly and willfully cause delay to jeopardize the

38、 meeting of a delivery date of work. 乙方不得蓄意破壞延誤工作交付日期者。 8.5 Party B shall not behave exceeding Party Bs authority or abuse the employeespower, Party B shall obey arrangements and orders from his or her supervisor, and maintain good relationship with Party Bs colleagues.乙方不得越權(quán)行事和濫用職權(quán)。乙方應(yīng)遵循上級的安排和指示行事,

39、并與同事保持良好的工作關(guān)系。8.6 Party B shall protect the assets of Party A. Party B shall never use the assets of Party A for the purpose except for his or her work.乙方應(yīng)當(dāng)保護(hù)甲方資產(chǎn),不得將甲方的資產(chǎn)用于工作以外的其他目的。 8.7 Party B shall not be absent for a period exceeding three consecutive days without prior arrangement or valid rea

40、son 乙方未經(jīng)同意或無正當(dāng)理由連續(xù)超過三天曠工 8.8 Party B is not allowed to willfully refuse to carry out a reasonable instruction from a supervisor or member of the management or other forms of willful insubordination. 乙方不得蓄意拒絕服從上級領(lǐng)導(dǎo)合理指令或有其他蓄意拒絕形式者。 8.9 Party B shall not conduct any violence, threats of violence or abu

41、se both physical or verbal to other employees, management or visitors. This will be deemed to include working on site or representing the Party A away from Party As premises. 乙方不得在工作場所或代表甲方的場合對其他員工、管理者或訪客行為或口頭 上威脅、恐嚇、辱罵者。 8.10 Party B shall not report to work whilst under the influence of alcohol, o

42、r other substances, or to become unfit for work during working hours due to the influence of alcohol, drugs or other substances. 乙方不得在被舉報醉酒或在其他藥物影響下工作;亦不得在工作時間內(nèi)因受酒 精、毒品等物質(zhì)的影響而不能勝任工作。 8.11 Party B shall not commit improper use or dangerous use of Company property. 乙方不得將公司財產(chǎn)置于危險之中或使用不當(dāng)者。 Party B shall

43、 not take away Party As property, property held in trust by Party A or the property of its employees without permission. 乙方不得未經(jīng)允許帶走甲方財產(chǎn)、公司信托財產(chǎn)或其他員工財產(chǎn)者。 8.12 Party B shall not conduct improper, dangerous or indecent behavior. 乙方不得行為不當(dāng)、行為危險或行為下流。 8.13 Party B shall not communicate confidential informa

44、tion of any kind regarding the Party A to any person not authorized to receive it, be they a member of the Party A or not. 乙方不得向未經(jīng)授權(quán)的人(不管他是不是公司成員)談及任何有關(guān)甲方保密的 事宜。 8.14 Any violation of the above mentioned articles (inclusive without limitation), shall constitute a serious violation of disciplines and

45、 cause the termination of this Contract by Party A in accordance with Article 9.1.2 and 9.1.3 of this Contract.如果乙方違背了(包括但不限于)以上任何一條都將視為嚴(yán)重違紀(jì),甲方將以此根據(jù)本合同9.1.2 條和9.1.3 條之規(guī)定終止合同。9 Termination of Contract by Party A 甲方單方面解除合同 9.1 Party A may dismiss Party B at any time without further notice if Party B:乙

46、方有下列情形之一的, 甲方可以不發(fā)出通知而隨時直接解雇乙方:9.1.1 Is proven to be incompetent for the employing requirement during his/her period ofprobation;在試用期內(nèi)被證明不符合錄用條件的;9.1.2 Seriously breach labor disciplines or regulations as stipulated by Party A:嚴(yán)重違反勞動紀(jì)律或甲方依法制定的規(guī)章制度: 9.1.3 Seriously neglects his duty and engages in mal

47、practices for selfish ends, thuscausing significant harm to the interests of Party A; or嚴(yán)重失職、營私舞弊,對甲方利益造成重大損害的;9.1.4 is found guilty according to the laws of P.R.C.被依法追究刑事責(zé)任的9.2 Party A may dismiss Party B with 30 days prior written notice if:乙方有下列情形之一的,甲方應(yīng)提前30 天以書面形式通知乙方解除合同:9.2.1 Party B suffers f

48、rom a disease or has sustained an injury that is not work related, and is unable to resume his/her original work upon the expiration of the medical treatment period, and continues to be incapable of achieving an adequate level of performance after transfer to a different position;乙方患病或非因工負(fù)傷, 經(jīng)治療不能復(fù)工

49、或調(diào)整工作崗位后仍不能從事正常工作的;9.2.2 Party B is incapable of performing the duties of his/her position and continues to be incapable of achieving an adequate level of performance after training or transfer to a different position;乙方不能勝任本職工作,經(jīng)培訓(xùn)或調(diào)整工作崗位仍不勝任工作的;9.2.3 A major change in the objective circumstances p

50、ursuant to which this Contract wasentered into has rendered the Contract incapable of being carried out and theCompany and Party B have failed to reach agreement on the amendment ofthe Contract; or合同訂立時所依照的客觀環(huán)境發(fā)生重大改變使合同無法正常履行,并且甲方和乙方對合同的修改無法達(dá)成一致的;9.2.4 Party A needs to reduce the number of its perso

51、nnel in order to avoid seriouseconomic problems or as a result of the occurrence of major operational problems, and has consulted with Party As trade union or the Party B.為避免嚴(yán)重的經(jīng)濟(jì)問題或作為甲方生產(chǎn)、運(yùn)行上出現(xiàn)重大問題的結(jié)果,甲方經(jīng)與工會或乙方本人協(xié)商后需要裁員的.9.3 If Party A dismisses Party B pursuant to Article 9.2, Party A shall pay compensation to Party B in accordance with applicable law or separate agreement with Party B.如果甲方依照9.2 條解雇乙方,甲方將根據(jù)相關(guān)法律或與乙方的另行協(xié)議向乙方支付補(bǔ)償金。If Party A dismisses Party B pursuant to Article 9.1, Party A shall not pay any compensation to Party B, and Party B is liable to indemnify P
