1、Contractor HSE AgreementxxxxxxxxxxxxxxxxxxxxxManufacturing Factories in xxxxxxxxxxxxxxxx生產(chǎn)制造工廠承包商環(huán)境健康安全協(xié)議書Party A:甲方： PartyB: d.乙方： Party A and Party B hereby reach a consensus after negotiation to enter into this contractor safety agreement (hereinafter referred to as the Agreement”) to ensure smoo

2、th progress of the projects （e.g。 engineering construction/site services/internal transportation, etc。, and for specific projects and scope of works， the purchase agreement (hereinafter referred to as the Purchase Agreement）between the partiesshall prevail） undertaken by the contractor and to safegu

3、ard the life and properties of the parties and satisfythe requirements for environmental protection. If Party B is entitled to subcontract the works commissioned by Party A according to the provisions of Purchase Agreement， then the contents hereof apply equally to its subcontractors and their emplo

4、yees. In this case, Party B is obliged to ensure its subcontractors and their employees comply with this agreement and shall bear the liabilities toParty A for any breach of the agreementcommitted by Party Bssubcontractors and their employees.為保證乙方所承包項目（如工程施工/現(xiàn)場服務(wù)/內(nèi)部運輸?shù)?具體承包項目及承包內(nèi)容以甲、乙雙方簽署的采購協(xié)議（以下簡稱

5、“采購協(xié)議”）為準）的順利進行，確保甲、乙雙方生命、財產(chǎn)安全以及滿足環(huán)境保護的要求，經(jīng)雙方協(xié)商一致同意簽訂本承包商安全協(xié)議書（以下簡稱“協(xié)議書”）。若根據(jù)采購協(xié)議的規(guī)定，乙方有權(quán)將甲方所委托工作進行轉(zhuǎn)包，則本協(xié)議內(nèi)容一并適用于其分包商及分包商的員工。在此情況下，乙方有義務(wù)確保其分包商及分包商的員工遵守本協(xié)議，并應(yīng)就其分包商及分包商的員工對本協(xié)議的違反向甲方承擔違約責任.1 General總則1。1 The personnel of Party B who are entering into Party As facilities for relevant works must strictly

6、 abide by all HSE rules and regulations of Party A。2 乙方人員需要進入甲方進行相關(guān)工作時，必須嚴格遵守甲方的各項環(huán)境健康安全規(guī)章制度。1。2 Party B must provide its employees and its subcontractors with safetyoperation tools and sufficient HSErelated facilities and articles such as proper PPE and clean drinking water， etc。 It is strictly pro

7、hibited to bring foods or drinking water to the construction site。乙方必須為自己的員工以及分包商提供安全的作業(yè)工具、足夠的環(huán)境健康安全相關(guān)設(shè)施及用品，如合適的勞動防護用品、清潔的飲用水等。食品、飲用水嚴禁帶入施工現(xiàn)場。1.3 All persons of Party B who are going to provide services officially must be subject to the HSE training and assessment organizedby Party A， and only after

8、 assessment resultis acceptable can they commence their works。The HSE safety education， training and assessment provided by Party A to the personnel of Party B shall not relieve Party B from its obligations and responsibilities hereunder or under the Purchase Agreement。 Party B shall notify Party A

9、of thecontents and form of works in advance。乙方所有人員在正式提供服務(wù)前，必須接受甲方安排的環(huán)境健康安全教育培訓(xùn)和考核，合格后方可開始作業(yè)。甲方對乙方人員的環(huán)境健康安全教育培訓(xùn)和考核對乙方基于本協(xié)議或采購協(xié)議中應(yīng)承擔的義務(wù)和責任不構(gòu)成任何影響。乙方應(yīng)就作業(yè)內(nèi)容及形式事先通知甲方。1.4 Party B shall solely bear all expenses incurred as a result of any accident or casualty caused by Party Bsviolation of HSE rules and r

10、egulations of the government and the HSE requirements of Party A, and Party A is also entitled to further claim the liabilities of Party B。Party B shallnot violate the HSE rules & regulations and HSE requirements of Party A/the governmentno matter with whatsoever excuse.乙方違反政府的環(huán)境健康安全規(guī)章制度和甲方環(huán)境健康安全要求而

11、造成的任何事故或人員傷害，所發(fā)生的全部費用均由乙方自行承擔，并且甲方有進一步追究責任的權(quán)力。乙方不得以任何理由違反甲方/政府的環(huán)境健康安全規(guī)章制度和環(huán)境健康安全要求。1.5 Party B must provide cooperation during the site supervision and inspection conducted by Party A andshallaccept any penalty imposedagainst itdue to its violation of the HSE rules of Vestas。 The site supervision an

12、d inspection conducted by Party A with respect to Party B shall not relieve Party B from itsobligations and responsibilities under this agreement or the Purchase Agreement。乙方必須接受甲方的現(xiàn)場監(jiān)督檢查，并接受由于違反維斯塔斯環(huán)境健康安全規(guī)定而導(dǎo)致的處罰。甲方對乙方的現(xiàn)場監(jiān)督檢查對乙方基于本協(xié)議或采購協(xié)議中應(yīng)承擔的義務(wù)和責任不構(gòu)成任何影響。2 Scope of application適用范圍This agreement ap

13、plies to any kind of work for the project undertaken by in xxxxxxxxxxxxxxxxx。 As for specific projects and 3 scope of works, the Purchase Agreement between Party A and Party B shall prevail。本協(xié)議適用于 在xxxxxxxxxxxxx內(nèi)承包 所進行的任何形式的工作。具體承包項目及承包內(nèi)容應(yīng)以甲、乙雙方簽署的采購協(xié)議為準。3 Qualificationsof Party B乙方資質(zhì)Party Bshall pr

14、esent necessary materials to prove its compliance with the HSErequirements of the government, including but not limited to：乙方應(yīng)出示必要的資料以證明其符合政府的環(huán)境健康安全相關(guān)要求,應(yīng)包括但不限于：1） Permits for construction/sales/operation/transport of hazardous goods;施工/銷售/經(jīng)營/危險品運輸許可證;2) HSE references;環(huán)境健康安全安全業(yè)績；3) Work permits and

15、 qualification certificates of those undertaking special jobs and HSE personnelon site as required by Chinese government;中國政府規(guī)定的特殊工種人員和現(xiàn)場環(huán)境健康安全人員上崗及資格證書；4) Relevantqualification certificates of the vehiclesused forcarrying hazardous goods；危險物品運輸車輛相關(guān)資質(zhì)證明；5) MSDS of hazardous chemicals, etc。危險化學品MSDS等

16、.All corporate qualifications shall meet the criteria confirmed by Party A.所有企業(yè)資質(zhì)應(yīng)符合甲方所確認的條件。4 Mobilization demobilization進出場4.1 Party B mustattendthe HSE training and exam organized by Party A prior to mobilization and only the exam resultis acceptable can it enter into the facilities of Party A fo

17、r works; specific handling formalities may be implemented as per requirements ofindividual factory。乙方進場工作前必須接受甲方的環(huán)境健康安全培訓(xùn)和考試,考試合格后才能進入甲方工作，具體辦理流程可根據(jù)各工廠要求執(zhí)行。4。2 The operating personnel of Party B must wear work cards， safety training certificates and labor protection articles whenever they stay on th

18、e construction site. The personnel of Party B shallnot, no matter with whatsoever excuse,enter into theareathat is not related to their works or areas whichthey are unauthorized to enter。 If temporary access to other nonconstruction areas becomesnecessary， it must be with the presence of the project

19、 leaderof Party A in the whole process.乙方作業(yè)人員必須佩戴胸卡，安全培訓(xùn)合格證以及勞動防護用品進出施工現(xiàn)場。乙4 方人員不得以任何理由進入與自己工作無關(guān)的區(qū)域或未經(jīng)批準的區(qū)域。在必須臨時進入其他非施工區(qū)域時，須由甲方項目負責人全程陪同。4。3 The vehicles, construction machines/tools and materials to be brought into/taken out of the site by Party B must be confirmed and agreed by the doorkeeper of

20、Party A before they can be brought into/taken out; otherwise， none of these shallbe brought into/taken out of site.乙方進（出）場時需要帶進（出)現(xiàn)場的車輛、施工器具、材料須經(jīng)甲方門崗保安確認并同意后方可帶進（出）場，否則不準帶進(出）。5 Obligations of Party A甲方的義務(wù)5。1 Party A shall provide Party B with its HSErelated rules and regulations, while Party B shal

21、l obtain the HSE laws and regulations enacted by the government and other various relevant rules by itself.甲方向乙方提供甲方的環(huán)境健康安全有關(guān)規(guī)章制度，政府相關(guān)的環(huán)境健康安全法律法規(guī)和各種規(guī)章制度由乙方自備。5。2 If necessary, Party A will review the HSE management programs or measures established by Party B in relation to contracted projects/supply

22、 of goods, and those failing to meet the requirements of Party A must be modified before Party B is permitted to access the site。Party As review on the HSE management programs or measures of Party B will not relieveParty B from any of its obligations and responsibilities under this agreement or the

23、Purchase Agreement.必要時審核乙方制訂與承包/供貨項目相適應(yīng)的環(huán)境健康安全管理方案或措施，不符合甲方要求時必須修改合格后方準予入場工作。甲方對乙方的環(huán)境健康安全管理方案或措施的審核對乙方基于本協(xié)議或采購協(xié)議中應(yīng)承擔的義務(wù)和責任不構(gòu)成任何影響.6 Obligations of Party B乙方的義務(wù)6.1 The working personnelof Party B must attend the HSE education， training and exam organized by Party A and their HSE-related performance s

24、hall be subject to periodic and random inspectionof Party A。乙方工作人員必須接受甲方組織的環(huán)境健康安全教育、培訓(xùn)和考試，并就乙方的環(huán)境健康安全相關(guān)表現(xiàn)接受甲方的定期和隨機檢查。6.2 Party B shall designate dedicated persons to take charge of HSE management relating to Party A and provide the operators of Party B with HSE training.乙方指派專人負責與甲方相關(guān)的環(huán)境健康安全管理，并對乙方作

25、業(yè)人員進行環(huán)境健康安全培訓(xùn)。6.3 Party B shall provide the construction workers on site with safety protection articles that comply with the requirements of Party A/the government on its own account. The special labor protection articles and appliances used by Party B shall be complete and effective and the machin

26、es and tools in use shall meet 5 regulatory requirements. The employees of the Contractor shall be provided with and wear customized working uniformsthat carry the company name or logo of the Contractor， and shallnotwearworking clothes that bearthe logo or name of xxxxx （excluding vest）orspecial lab

27、or protection articles of xxxxx.乙方自行向其進場施工人員提供符合甲方/政府要求的安全防護用品.乙方所用的特種勞動防護用品、用具應(yīng)齊全有效,機械、工具符合法規(guī)要求。承包商員工應(yīng)訂制并穿著印有承包商公司名稱或標志的工作服，不得穿戴印有xxxxx標志或名稱的工作服（馬甲除外），不得使用xxxxxx的特種勞動防護用品。6。4 Party B must abide by the work permit system for hazardous operations of Party A. For dangerous operations （e。g. hot work, o

28、peration in confined space and overhead operation）， Party B shall obtain work permit in advance and dispatch dedicated persons to inspect the site and guard the operators on site.乙方必須遵守甲方的危險工作許可證制度。對于較為危險的作業(yè)（如動火、進入受限空間、高處作業(yè)等），乙方應(yīng)事先辦理工作許可證，并應(yīng)安排專人檢查并進行現(xiàn)場監(jiān)護。6。5 Before bring any chemical to the factoryo

29、f Party A, Party B must submit the material safety datasheet （MSDS） to the HSE department of Party A for review and archiving。 It is prohibited to use asbestos, PCBs, the first class of chemicals that destroy ozone layer， the chemicals on blacklist of Party A and other chemicals of which the use has

30、 not been approved by Party A.任何化學品進入甲方工廠前，乙方必須將材料安全數(shù)據(jù)說明書（MSDS)呈交甲方環(huán)境健康安全部門進行審核、備案。不得使用石棉、多氯聯(lián)苯、第一類破壞臭氧層物質(zhì)的化學品，列入甲方黑名單中的化學品以及未經(jīng)甲方批準使用的其他化學品。6。6 Party B shallnot occupy firefighting roads，safety passages and exits when working in the factoryof Party A， and shall ensure the civilized construction。乙方在甲方

31、廠內(nèi)工作時不得占用消防道路和安全通道、出口，確?，F(xiàn)場文明施工.6.7 The personnel of Party B working in the factoryof Party A must dress neatly and avoid dining， snacking, sleeping and other undesired behaviors； smoking is only permitted in designated areas and specified periods, and do not forget to snuff outthe cigarette residuet

32、o prevent fire. The site must be kept clean， and the garbage on site shall bestored as per types.乙方在甲方廠內(nèi)工作時必須著裝整齊，不得在現(xiàn)場用餐、吃零食、睡覺等,吸煙應(yīng)在指定區(qū)域、指定時間內(nèi)進行，吸煙完畢保證掐滅煙頭，防止火災(zāi)發(fā)生。并保證現(xiàn)場整潔，對現(xiàn)場垃圾實施分類存放制度。6.8 Party B shallnot make connections for temporary water and power supply without permit in the factory of Party

33、 A; it shall keep the equipment intact and ensure the fluid on site iswellprotected from running, overflowing, dropping and leaking.乙方在甲方廠內(nèi)工作時不得擅自搭接臨時用水、用電，保持設(shè)備完好，確?，F(xiàn)場無跑、冒、滴、漏現(xiàn)象。6。9 Party B shall take the initiative to organize regular HSE inspections （transportation/supply contractorshall conduct p

34、eriodic relevant inspections on its vehicles that are used to deliver goods to Party A) and rectify the identified problems in a timely manner。乙方應(yīng)定期自行組織環(huán)境健康安全檢查（運輸/供應(yīng)承包商應(yīng)定期對其所屬的為甲方6 送貨的車輛進行相關(guān)檢查）,對檢查發(fā)現(xiàn)的問題及時組織整改。6。10 The persons undertaking special jobs of Party B must wear valid certificates during w

35、orks and their operation certificates must be filed with the HSE management department of Party A。乙方特殊工種人員必須持有效證件上崗，其操作證必須在甲方環(huán)境健康安全管理部門備案.6.11 The responsible person of Party B shall attend the meetings relating to HSE issues convened by Party A and report the HSE management performance and HSE work

36、 plan of Party B, and shall implement what is required in the meeting。乙方負責人應(yīng)參加甲方召集的有關(guān)環(huán)境健康安全事項的會議，并匯報環(huán)境健康安全管理情況及環(huán)境健康安全工作安排，落實會議要求。6。12 The person responsible for HSE of Party B shall report their HSE work performance to the direct management department of Party A on a periodic basis。乙方環(huán)境健康安全負責人應(yīng)定期向甲方

37、直接管理部門匯報環(huán)境健康安全方面的工作表現(xiàn)。6.13 Party B shall report any accident it encounters to Party A timely and handle the investigationand treatment of the accidents, and submit the investigation report to Party A.乙方發(fā)生各類事故，應(yīng)及時向甲方報告，并完成對事故的調(diào)查、處理,將事故調(diào)查報告提供給甲方.6。14 Party B must strictly implement and abide by variou

38、s HSE operation management rules in thefactoryof Party A and welcome the urging， inspection and instructionsof Party A。 In case Party B breachesthe provision， Party A is entitled to impose liquidated damages against Party B at a rate of RMB1，000 Yuan for each caseasrecognized by the parties in writi

39、ng, but in no eventshall theaccumulated sum exceeds10% of the total price of the Purchase Agreement between the parties.乙方在甲方廠內(nèi)工作時必須嚴格執(zhí)行和遵守各項環(huán)境健康安全作業(yè)管理規(guī)定,接受甲方的督促、檢查和指導(dǎo).若乙方違反本協(xié)議規(guī)定，對每次被雙方書面認定的違約行為，甲方有權(quán)向乙方收取1000元/次的違約金，違約金累計總額不應(yīng)超過雙方采購協(xié)議總金額的10。6。15 To safeguard Party A and all persons in the factory, it

40、 is strictly prohibited to conduct any behavior that endangers public security in the factoryof Party A. Party A is entitled to request Party B to rectify any such identified behavior. In case rectification still fails to meet the requirements hereof, Party A is entitled to cancel the operation qual

41、ification of Party B and terminate the Purchase Agreement between the parties. All direct and indirect economic losses caused by the behaviors that endanger public security shall be borne by Party B.為保證甲方和所有在廠人員的安全，嚴禁在甲方廠區(qū)內(nèi)有任何危害公共安全的行為。一經(jīng)發(fā)現(xiàn),甲方有權(quán)要求乙方進行整改。如整改結(jié)果依然不符合本協(xié)議約定的要求，甲方有權(quán)取消乙方入廠作業(yè)資格并終止雙方的采購協(xié)議.由危

42、害公共安全的行為所導(dǎo)致的一切直接和間接經(jīng)濟損失由乙方承擔。6。16 All losses incurred during suspension of Purchase Agreementas a result ofPartyBsviolation of HSE management rules of Party A/the government or that incurred in negotiation period shall be solely borne by Party B。7 乙方因違反甲方/政府的環(huán)境健康安全管理規(guī)定而造成采購協(xié)議暫停執(zhí)行或交涉期間的一切損失由乙方自行承擔.6。

43、17 Upon completion of daily works in the factoryof PartyA, Party B shall clean the waste, paper scrapesandother residual materials left on site and sort construction equipment and tools. Onceworksare completed, all of garbage, waste, piled substances and temporary facilities must be removed。 In case

44、 of failure to do timely cleaning due to reasons of Party B， Party A is entitled to clean them by itself or entrust it to other companiesbut the expenses thereof shall be borne by Party B。在甲方廠內(nèi)工作期間,乙方每天應(yīng)作業(yè)完畢后打掃所產(chǎn)生的廢物、紙屑等多余的物料，整理施工設(shè)備和工具.在工作結(jié)束后,垃圾、廢棄物、堆放物、臨時設(shè)施都必須清除.如由于乙方的原因未及時清理,甲方有權(quán)進行清理或委托其它公司清理，并且所產(chǎn)

45、生的費用由乙方負責。6。18 The chemicals brought into/taken out of thefactoryof Party A must be subject to inspection by relevant persons。帶入/出甲方工廠的工具及化學品，必須接受有關(guān)人員的檢查。6.19 Party B shall take the initiative to organize relevant persons to investigate, analyze and handlevarious accidentsit encounters， and Party A

46、shall participate in the investigation of accidents if necessary or in the case of major casualty accidents. Party B shall report any accident it encounters to the project leader and the person responsible for HSE of Party A immediately after occurrence.乙方應(yīng)自行組織相關(guān)人員對乙方發(fā)生的各類事故進行調(diào)查、分析和處理，必要時或發(fā)生重大傷亡事故時甲

47、方應(yīng)參加事故調(diào)查.發(fā)生任何事故，乙方應(yīng)在事故發(fā)生后立即報甲方項目負責人及環(huán)境健康安全負責人。7 Rights of Party A甲方的權(quán)利7。1 Party A has the right to supervise and inspect the work process of Party B in the factoryof Party A， and it may demand rectification and impose punishment against the behaviors that fail to comply with HSE rules； it is entitle

48、d to terminate the operation of relevant persons of Party B andevendirectlyremove relevant persons out of the factoryin serious cases。甲方對乙方在甲方廠內(nèi)工作過程有權(quán)進行監(jiān)督檢查,對不符合環(huán)境健康安全規(guī)定的行為有權(quán)提出整改要求和實施處罰，有權(quán)終止乙方相關(guān)人員的作業(yè)，情況嚴重者可以將乙方相關(guān)人員直接清退出廠。7。2 Party A is entitled to request the personnel of Party B to wear proper PPEw

49、hen working in the factoryof Party A.甲方有權(quán)要求乙方人員在甲方廠內(nèi)工作時配帶合適的安全防護用品。7.3 Party A will impose punishment against/suspend the operation of/remove those of Party B who commit violation or take other measures in accordance with the provisions hereof.甲方將按本協(xié)議規(guī)定對乙方的違章進行處罰/停工/清退出廠等整改。7.4 Party A will request
