1、PAGE7PAGE7委托招聘服務協(xié)議Placement Service Agreement甲 方: Party A: 聯(lián)系人/Contact: 電話/Tel: 乙 方:Party B: 聯(lián)系人/Contact: 電話/Tel: 鑒于甲方業(yè)務發(fā)展的需要,甲方非獨家委托乙方進行人才咨詢及代理招聘、推薦服務。經(jīng)友好協(xié)商簽訂如下協(xié)議,雙方約定共同遵守。Party B is non-exclusive agent for Party As recruitment; this contract is ruled to Party Bs service in talents consulting and p
2、lacement for Party A. The Parties hereby agree as follows:甲方的權利和義務 Party As Rights and Responsibilities甲方應嚴格執(zhí)行國家的有關人事政策、法律法規(guī)。Party A must observe Chinas relevant personnel policy, regulations and laws. 甲方有權要求乙方根據(jù)本協(xié)議之規(guī)定為甲方提供所需職位的候選人,并應依照本協(xié)議的規(guī)定向乙方支付服務費。Party A has the right to require Party B to provi
3、de candidates for the opened position/s as defined and specified by Party A, and Party A shall make payment of a service fee to Party B as defined and regulated in this Agreement.每一職位正式委托(書面)后的5個工作日內,甲方應向乙方提供尋訪職員所需的相關信息及材料,并保證其真實性和合法有效性,包括但不限于:職位要求、工作描述、公司簡介、組織機構圖、可能的薪金福利情況等,以便乙方在訪尋過程中確認潛在的候選人,并使候選人
4、對公司和工作進行充分和必要的了解。Within 5 working days of entrusting placement job in writing, Party A should provide Party B with all the information, data and documents as deemed necessary for Party B to start working on the placement job, which include but not limited to the following: Profiles of the organizati
5、on, Organization chart as related to the placement job, Job description/s, Qualifications or job requirements for a successful candidate, Information with regards to compensation, reward, related to the placement. Of course, Party A should guarantee the validity and reliability.甲方對乙方提供的人才信息負責,不轉遞其他公
6、司,不做轉換推薦。甲方同意在被推薦人選正式錄用前,為其保密。Party A agrees to take all the responsibilities in the use of the information of candidates, and should not give them to other companies, or recommend for change. Party A shall maintain the confidentiality of the candidate before the formal employment.甲方同意在錄用推薦人選時,將推薦人選
7、的聘書復印件或勞動合同提供給乙方,乙方應為其進行嚴格保密。Party A agrees to provide the copy of candidates offer or labor contract for Party B, and Party B should maintain its confidentiality.甲方同意乙方推薦的人才當時沒有錄用,在被推薦后壹年之內該人選再被錄用、應視為由該乙方推薦成功。Shall the candidate recommended by Party B to Party A not be employed then; if, at any tim
8、e within 12 months, the candidate is employed again by Party A; it will be deemed as a successful recommendation of Party B.甲方發(fā)現(xiàn)乙方提供的人才資料有與其他渠道此前所提供的資料重合時,應在收到乙方資料叁個工作日內提出聲明,否則應被視為獲得認可。Shall Party A find the candidates information offer by Party B is same as the former other one, Party A should decl
9、are within 3 workdays on the receiving of the information from Party B, Otherwise shall be treated as admissive. 乙方的權利與義務 Party Bs Rights and Responsibilities乙方應嚴格執(zhí)行國家規(guī)定的有關人事及招聘政策、法律法規(guī)。Party B must observe Chinas relevant personnel policy, regulation and law. 乙方應按照本協(xié)議的規(guī)定為甲方提供所需職位的候選人,并有權按照本協(xié)議的規(guī)定向甲方收
10、取服務費。Party B is obliged to provide candidates for an opened position, as defined and regulated in this Agreement. And Party B has the right to collect a service fee for a placement job completed.乙方應隨時將訪尋工作情況向甲方匯報和溝通,以確保甲方了解訪尋進程。Party B is obliged to provide to Party A frequent and timely updates abo
11、ut the placement search so that Party A is aware of the progress of the placement job.應甲方要求,乙方應及時提供候選人的詳細的背景資料和其他相關信息。At the request of Party A, Party B shall provide detailed and timely information and other related information about the background of the candidates.乙方應將甲方提供的應聘要求,如實轉告候選人,保證其了解工作要求、
12、環(huán)境和地點。Party B shall truthfully inform the candidates of the requirements and qualifications for a placement job, making sure the candidates are aware of the requirements, locations and environments of a placement.乙方應對其所推薦的候選人進行必要的調查,以保證所推薦的人選不存在違法、犯罪行為。Party B shall carry out necessary reference che
13、cks on the candidate/s making sure that the candidate/s is/are free from criminal or legal charges, and/or other interpersonal relationship or teamwork problems. 乙方對甲方提供的信息負有保密義務。非經(jīng)甲方同意不得用于履行本協(xié)議之外的目的,否則應向甲方支付違約金,給甲方造成損失的,還應承擔損害賠償責任。Party B is obliged to keep confidentiality of all the information an
14、d documents provided by Party A and/or acquired by Party B from Party A in the process of cooperating on a placement job; and under no circumstances shall Party B use the document or information for purposes other than the placement entrustment; or Party B shall compensate Party B for breach of cont
15、ract and take responsibility for the costs and damages caused, if any.乙方不應將甲方已經(jīng)書面確認聘用的推薦人才再推薦或轉交給第三方。Party B shall not provide the candidates to any third party if the candidate has been confirmed by Party A for employment.服務的完成及費用支付 Execution of a Placement Job and Payment of Service Fee乙方應自收到甲方提供的
16、訪尋人才所需全部信息及材料之日起的15個工作日內完成為甲方提供所需職位候選人名單及背景信息的工作,具體的要求為:每個職位至少提供三名合格候選人名單和背景信息;如甲方在此期間需要進一步增加候選人的數(shù)量,經(jīng)協(xié)商,乙方可增加為甲方提供的候選人的數(shù)量,直至甲方滿意為止。Party B shall, within 15 working days since receiving all the information and documents about a placement job, provide to Party A a shortlist of at least THREE candidate
17、s, and the background information of these candidates. And if, Party A, within the same period requires Party B to increase the number of candidates, Party B shall do accordingly to the satisfaction of Party A.所委托職位在尋訪成功后,甲方向乙方支付的服務費為每位成功候選人所能得到的稅前年度收入 (如無其他年薪約定,年薪指 個月的轉正后月薪及固定津貼福利的總和)的20%,下限為人民幣20,
18、000元。乙方收取每職位每人預付金為RMB 元(大寫:人民幣 元)Party A shall make a payment to Party B equaling to 20% of total annual pre-tax income ( including non-probation months salary and other compensation and benefits by cash as agreement) of the successful candidate, RMB 20,000 yuan is the Minimum. And the advance payme
19、nt for each position/ each people is RMB yuan.收費方式:雙方簽訂委托協(xié)議,候選人上崗后7日內甲方向乙方支付服務費。The total eligible payment shall be made to Party B within 7 days after the employed candidate reporting to Party A for work.付款采用轉帳方式,乙方銀行信息如下: Bank and accounts information of Party B are as below:若甲方面試需要候選人旅行,所發(fā)生的差旅費用的
20、支出在征得甲方同意后由甲方支付。In case Party A requires a non-local candidate to travel to the Party A site for interview, all the travelling cost, at the agreement of Party A in advance, shall be borne by Party A.違約責任 Breach of Contract在候選人入職后的試用期內,無論是候選人還是甲方的原因,候選人從甲方離開的,乙方將免費為甲方提供合格的候選人。In case the employed can
21、didate, within probation of working with Party A, decides to resign from or leave Party A, for reasons either due to Party A or the employed candidate, Party B shall provide qualified candidates for the same position, at the cost of Party B.如果候選人入職后在試用期內離開甲方,而乙方不能在接下來的45天中推薦合格的該職位候選人,經(jīng)過協(xié)商,乙方應向甲方退還已支
22、付服務費的50%。If the employed candidate leaves Party A and Party B cant re-product the replace in the next 45 days, Party B should pay back to Party A 50% of the payment paid by Party A.如任何一方違反以下條款,即視為違約: The following circumstances shall be deemed to be breach of contract:如果在某職位招聘時甲方未錄用乙方推薦人選,甲方在協(xié)議期內未經(jīng)乙
23、方同意錄用此人選或者將其信息傳遞給第三方,或錄用后未按合同向乙方支付服務費。For a certain position, Party A has made no employment of the candidate/s as recommended by Party B, but decided to employ the candidate/s recommended by Party B without noticing Party B, or has decided to refer the candidate/s to a third party, or made no payme
24、nt to Party B after the employment as Agreement;如果乙方推薦的人選被甲方聘用,乙方將在甲方處任職的該人選推薦給另一公司。Party B has referred a candidate legally employed by Party A to another company;乙方尋訪在甲方處就職的員工作為候選人推薦給其他公司。Party B has poached Party A for candidates for other clients.經(jīng)提前30日書面通知對方任何一方均有權解除合同,合同從解除合同的書面通知送達另一方之日的第30天后
25、起解除。Written notice given 30 days beforehand, either of the parties has the right to terminate the Agreement and the Agreement is deemed terminated after 30 days from the notice in writing reached from one party to the other party of this Agreement. 合同生效及文本Validity of the Agreement and Copies本協(xié)議自雙方簽訂或者蓋章之日起生效,有效期為兩年。 This Agreement shall become effective once both parties have affixed signatures and/or official seals to the Agreement. And the Agreement has a validity period of TWO years. 本協(xié)議未盡事宜,經(jīng)雙方協(xié)商后決定。Consultations bet
