庫存協(xié)議 (中英文)

1、庫存協(xié)議（中英文）STOCKAGREEMENT本庫存協(xié)議（以下簡稱“協(xié)議”）由以下雙方于200年月日在中國上海市簽訂：ThisInventoryAgreement（Agreement）ismadeandenteredasofthedayof,200_inShanghai,China,byandbetween:A公司，（以下簡稱“供方”），一家根據(jù)中國中華人民共和國（以下簡稱“中國”）法律注冊并成立的公司，其法定注冊地址為；和A（“Seller”）,acompanyestablishedandincorporatedunderthelawofthePeoplesRepublicofChina（“

2、PRC”orChina”）withitslegalregisteredaddressat,China;andB公司，（以下簡稱“需方”），一家根據(jù)中國法律注冊并成立的公司，其法定注冊地址為：BCo.,Ltd.（Buyer）,acompanyestablishedandincorporatedunderthelawofChinawithitslegalregisteredaddressat:,Shanghai.供方和需方在本協(xié)議中單稱為“一方”，合稱為“雙方”。TheSellerandtheBuyerarereferredtohereinindividuallyasa“Party”andcoll

3、ectivelyasthe“Parties”.供需雙方同意對需方所需要的最終產(chǎn)品做庫存儲備。經(jīng)友好協(xié)商，雙方達(dá)成如下條件和條款：ThePartiesagreetokeepinventoryforthefinalproductsrequiredbytheBuyer.Afterfriendlyconsultation,thePartiesherebyagreetothefollowingtermsandconditions:供方同意為需方準(zhǔn)備成品庫存，庫存量為2_個月的預(yù)估采購數(shù)量。庫存的產(chǎn)品應(yīng)按需方的要求包裝好，經(jīng)需方檢驗合格后入庫。除有其它書面協(xié)議外，庫存產(chǎn)品的質(zhì)量及檢驗標(biāo)準(zhǔn)應(yīng)遵照雙方簽署的“

4、采購質(zhì)量規(guī)范”。具體數(shù)量見本協(xié)議附件1“產(chǎn)品清單”，該清單涉及的庫存產(chǎn)品品種和數(shù)量可根據(jù)實際需求的變化，經(jīng)雙方協(xié)商后作修改。TheSelleragreestokeepfinishedgoodsstockfortheBuyer,thetotalstockquantityisequalto_monthforecasteddemand.TheproductsstoredintheSellerswarehouseshallbewellpackedinaccordancewiththeBuyerspackingrequirementsandpasstheBuyersqualityinspection.T

5、hequalityandinspectioncriteriaoftheproductsshallfollowthe“QualityProcurementSpecification”signedbytheParties,unlessthereareotherwrittenagreements.TheapplicablepartnumbersandquantitiesareintheAttachment1“ProductList”oftheAgreement.TherequiredproductsandquantitiesintheProductListcanbechangedbymutualag

6、reementaccordingtothedemandchange.庫存計劃應(yīng)于2006年_11月30日開始啟動，到_2006_年12月_15_日準(zhǔn)備好議定的庫存量。在準(zhǔn)備庫存期間，若需方有額外的訂單影響到庫存的準(zhǔn)備，可以協(xié)商確定新的庫存準(zhǔn)備完成時間。Theinventoryprogramshallbestartedfrom.TheSellershallfinishtheproductionfortheagreedproductsandgettheinventoryreadyby.IfthereareextraordersfromtheBuyerduringtheinventoryprepar

7、ation,thecompletiontimeoftheagreedstockquantitycanberescheduled.供方從準(zhǔn)備庫存開始，每_1_周提供本協(xié)議涉及的產(chǎn)品的庫存報告給供方。Assoonastheinventoryprogramiscommenced,theSellershallprovideinventoryreportofthecontractedproductstotheBuyerevery_weeks.供方應(yīng)維持所議定的庫存量，當(dāng)庫存量減少的時候，必須在_10_天內(nèi)補(bǔ)足。TheSellershallmaintainthecontractedquantityfore

8、achproductintheirstockandthereplenishmenttimeisupto_daysafteranyconsumptionofthestock.庫存準(zhǔn)備完成后，對需方下的訂單，如數(shù)量未超過庫存量，供方應(yīng)在3_天內(nèi)出貨。Whenthestockisready,anypurchaseorderwithrequiredquantitylessthanthestockquantityshallbeshippedfromtheSellerwithin_days.供需雙方每_1月對庫存量及需求情況做一次考核，并在考核后根據(jù)情況進(jìn)行調(diào)整。庫存計劃調(diào)整以雙方書面確認(rèn)為準(zhǔn)。Theag

9、reedstockquantityshallbereviewedbythePartiesevery_monthsaccordingtotheactualandforecasteddemandchange.ThestockquantitycouldbeadjustedbasedonwrittenagreementbetweentheParties.供方或需方需要對本協(xié)議涉及的產(chǎn)品作設(shè)計或工程更改時，需協(xié)商處理已有的成品庫存。需方要承擔(dān)的產(chǎn)品數(shù)量(或總金額)請根據(jù)實際需要修改此處表述不超過屆時最新的附件1產(chǎn)品清單之規(guī)定。Anydesignchangeorengineeringchangeofthe

10、contractedproductswillresultinadisposalplanoftheexistingfinishedgoodsstock.TheBuyersliabilityonthefinishedgoodsislimitedtothepartnumbersandquantities(ortotaldollaramount)PleaserevisethesentenceaccordingtoyouragreementwithsupplierinthelatestProductListofAttachment1.在項目或產(chǎn)品終止或取消時，需方負(fù)責(zé)買回所有的本協(xié)議項下的有關(guān)成品庫存，

11、品種及數(shù)量(或總金額)請根據(jù)實際需要修改此處表述以屆時最新的附件清單為上限。其余半成品以及原材料的處理或再利用須經(jīng)雙方協(xié)商決定。Whenaprojectorproductisgoingtotheendoflifeortobecancelled,theBuyerisresponsibleforbuyingthefinishedgoodsstockascontractedunderthisagreement.TheBuyersliabilityislimitedtothepartnumbersandquantities(totaldollaramount)PleaserevisethesentenceaccordingtoyouragreementwithsupplierasspecifiedinthelatestProductListofAtt
