7、pment (or negotiated by two parties).All the expenses caused by changing files are forbuyers account. 印刷文件稿確認(rèn)后，如買方需要修改已確定印刷的文件稿內(nèi)容，或重復(fù)再制作樣品，需征得賣方的確認(rèn)后才可以操作，由此所產(chǎn)生的所有費用由買方承擔(dān)，買方應(yīng)無條件同意延長交期（或由雙方另外協(xié)商確定）。由此產(chǎn)生增加的貨款須由買方同時支付給賣方。Buyer and Seller should keep cooperate friendly and actively and take measures to en

9、 not breach this Contract. Neither party shall cancel the contract without sufficient cause or reason. 13、ne advanced copy will be sent to buyer for checking before shipping the bulk. (Address Confirmation: the same as stated above.) Buyer should verify confirm to seller withinthree days since advanced proof has been received. Seller has the right to extend delivery time forintentional delay. 賣方收到預(yù)付款 ,且

14、買方確認(rèn)樣品后開始生產(chǎn)大貨 （通常是 15-25 個工作日內(nèi)完成） ，大貨生產(chǎn)完畢后賣方寄送一本大貨樣給買方確認(rèn)。 （郵寄地址同上）買方應(yīng)當(dāng)在收件后 3 個工作日內(nèi)予以確認(rèn)回傳給賣方，若故意拖延，賣方有權(quán)利延長交貨期。4. Arrange shipping after buyers confirmation of the F & G copy and the permission of shippment.買方確認(rèn)大貨樣且同意出貨后，賣方安排大貨運輸。Force Majeure:Either party shall not be held responsible for failure or

15、delay to perform all or any part of this agreement due to flood, fire, earthquake, fraught, war of any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party who affected by the event of Force Majeure should inform the other party of its

16、occurrence by air mail as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.不可抗力因素： 由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本合同，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15 天內(nèi)將

17、有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。Arbitration:2 / 3All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Shanghai Branch ofChina International Economic and Trade Arbitrati

18、on Commission for arbitration in accordance with its Provisional Rules of Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party.在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若友好協(xié)商未能達(dá)成協(xié)議，則提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會上海分會進(jìn)行仲裁。該委員會的裁決是終局的，對雙方均有約束力。仲裁費用，由敗訴一方負(fù)擔(dān)。Remark:Contract is in duplicate, each party has one copy, valid after signature each other.
