heBuyerandenforceableinaccordancewithitsterms.(ii)TheBuyerwillcomplyinallmaterialrespectswithalllawsandregulationsapplicabletotheperformanceofthetermshereunder.4.EFFECTOFTHEAMENDMENT.AllreferencestothePurchaseAgreementoranyrelateddocumentshallmeanthePurchaseAgreementasamendedbythisAmendment.Exceptasspecificallyamendedabove,thePurchaseAgreementshallremaininfullforceandeffectintheoriginalformagreedbytheParties,asamendedbyAmendmentNo._________toAssetPurchaseAgreement,dated_________,_________,_________(M,D,Y),andisherebyratifiedandconfirmed.5.DESCRIPTIVEHEADINGS.ThedescriptiveheadingsofthisAmendmentareinsertedforconvenienceonlyanddonotconstituteapartofthisAmendment.6.GOVERNINGLAW.ThisAmendmentshallbegovernedbyandconstruedandenforcedinaccordancewiththedomesticlawsoftheStateofCaliforniawithoutgivingeffecttoanyconflictoflawprovision.7.COUNTERPARTS.ThisAmendmentmaybeexecutedanddeliveredincounterparts,eachofwhichsha
