精品文檔精心整理精品文檔可編輯的精品文檔建筑施工合同中英文對照目錄：1、建筑施工合同中英文對照2、建筑施工合同中英文對照版本建設(shè)工程施工合同發(fā)包方（甲方）xxxxPartyA:xxxx承包方（乙方）xxxxPartyB:xxxx本合同由如上列明的甲、乙雙方按照《中華人民共和國合同法》、《建筑安裝工程承包合同條例》以及國家相關(guān)法律法規(guī)的規(guī)定，結(jié)合本合同具體情況，于xx年x月x日在xx簽訂。ThiscontractissignedbythetwoPartiesinxxxxonxxxxaccordingtothe“ContractLawofthePeople’sRepublicofChina”,the“RegulationonBuildingandInstallationContractingContract”,andotherrelevantnationallawsandregulations,aswellasthespecificnatureofthisproject第一條總則Article1GeneralPrinciples1.1合同文件ContractDocuments本合同包含合同、展示、施工圖紙、作法說明、招投標(biāo)文件以及合同所指的其他文件，它們均被視為合同的一部分。合同文件應(yīng)該能夠相互解釋，互為說明。組成本合同的文件及優(yōu)先解釋的順序如下：本合同、中標(biāo)通知書、投標(biāo)書及其附件、標(biāo)準(zhǔn)、規(guī)范及有關(guān)技術(shù)文件、圖紙、工程量清單及工程報價單或預(yù)算書。合同履行中，發(fā)包人承包人有關(guān)工程的洽商、變更等書面下一或文件視為本合同的組成部分。Thiscontractincludesthecontractitself,exhibits,constructiondrawings,explanationsofworkprocedures,tenderdocuments,aswellasotherdocumentsspecifiedbythecontract.Thecontractdocumentsshouldbemutuallyexplainableandmutuallydescriptive.Thedocumentsthatconstitutedthecontractandthepriorityhierarchyofexplanationsofthedocumentsareasfollows:thiscontract;theofficialletterofwinningthetender;Letterofbiddinganditsannex,standards,guidelines,andrelevanttechnicaldocuments,drawings,BillofQuantity(BOQ),quotationofprices,andprojectbudget.Duringtheimplementationofthecontract,anywrittenagreementsordocumentsbetweentwopartiessuchaschange-ordersarealsoregardedwillbedeemedaspartofthiscontract.1.1.1項(xiàng)目概況ProjectIntroduction1.1.2工程名稱：xxxxNameofProject:xxxx1.1.3工程地點(diǎn)：xxxxLocationofProject:xxxx工程范圍：除了本合同其他條款另有說明外，乙方應(yīng)提供為履行合同所需的所有服務(wù)，用品以及其他保障工程進(jìn)行所需的必要花費(fèi)以完成下列工作：Scopeoftheproject:unlessotherwiseexplainedbyotherarticlesinthiscontract,PartyBshallprovideallservices,utensils,andothernecessarycostfortheimplementationofthiscontract;thescopeofprojectincludes,butnotlimitedto:※室內(nèi)裝飾工程，詳見附件一和附件二Innerdecoration,seeappendix1&2※室外裝飾工程（門窗、屋面、臺階等），詳見附件一和附件二Fa?ade(includingdoors,windows,roofandstairs)seeappendix1&2※電器工程，詳見附件一和附件二ElectronicEngineering,seeappendix1&2※空調(diào)工程，詳見附件一和附件二AirConditioningSystem,seeappendix1&2※給排水及采暖工程，詳見附件一和附件二WaterSupply,SewageandHeatingSystem,seeappendix1&2※消防工程FireControlSystem,seeappendix1&2※其他圖紙上所列項(xiàng)目（任何對原定設(shè)計的變更應(yīng)提供新的圖紙并有甲方的簽字確認(rèn)）以上所有的工程項(xiàng)目以下統(tǒng)稱為“工程”。Otheritemslistedintheconstructiondrawings(anychangeddrawingsshallbeprovidedandconfirmedbyPartyA).Alltheseaforementioneditemsaregenerallyreferredas“project”hereafter.承包方式：乙方以包工包料，包工程質(zhì)量，包安全，包文明施工的方式承包工程N(yùn)atureofContracting:PartyBshallberesponsibleforbothlaborandmaterialsforthisproject,andwillresponsibleforthequalityofthisproject,safety,aswellascodeofconductduringtheconstructionproject.1.1.4甲方工地代表由甲方指派。On-siterepresentativeofPartyAshallbeappointedbyPartyA1.1.5開工日期xxxxDateoftheprojectbeginning:xxxx1.1.6竣工日期xxxxDateoftheprojectcompletion:xxxx1.1.7工程質(zhì)量：質(zhì)量合格，達(dá)到本合同要求和國家質(zhì)量驗(yàn)收標(biāo)準(zhǔn)，并確?？⒐を?yàn)收一次合格。驗(yàn)收內(nèi)容包括但不僅限于：①隱蔽工程；②分項(xiàng)工程；③實(shí)驗(yàn)報告；④材料檢驗(yàn)報告。如果由于驗(yàn)收未能一次通過而導(dǎo)致后續(xù)工程開工的延遲，乙方將按照每日工程總款的2‰金額賠償給甲方作為罰金，但最多不超過工程總價款的5%。QualityofProject:Thequalityshouldbe“Excellent”,andshallmeettherequirementsbythiscontractandtheNationalQualityStandards,andshouldbeguaranteedtobeacceptedatthefirstattemptuponprojectcompletion,andshallalsoLEEDcertified.Thescopeofas-builtacceptanceincludes,butnotlimitto:①concealedwork,②itemizedproject,③reportsofexperiments,and④reportsofmaterialtesting.Intheeventofprojectfailstobeacceptedatthefirstinspectionandthusincursdelaysbeginningofthesubsequentprojects.PartyBshallcompensatePartyAatthedailyrateof2‰ofthetotalcontractamountaspenalty,butthetotalamountshallnotexceed5%ofthetotalcontractamount.1.1.8工程資質(zhì)：在實(shí)施此合同所涉及的工程時，乙方應(yīng)確保其具有相關(guān)資質(zhì)。如乙方因?yàn)椴痪邆湎嚓P(guān)資質(zhì)導(dǎo)致甲方的損失或工程進(jìn)度的滯后，乙方承擔(dān)全部責(zé)任。Qualifications:PartyBrepresentsandwarrantsitiscompetentandlegitimatetocarryouttheservicesthatsetforthunderthisAgreementwhenimplementingthiscontract.PartyBshallberesponsibleforanydelayoftheconstructioninducedbytheirinsufficientqualifications.1.2合同價款：ContractAmount本合同價款為人民幣xxxx，為固定總價合同價款。Thetotalcontractamountisxxxx,whichisfixedcontractamount本合同包括設(shè)備材料費(fèi)、人工費(fèi)、機(jī)械費(fèi)、管理費(fèi)、利潤、稅金、代辦費(fèi)用、保險費(fèi)、運(yùn)輸費(fèi)、勞務(wù)費(fèi)用、總承包服務(wù)費(fèi)以及為完成工程所必須的其他一切費(fèi)用，和工程各系統(tǒng)檢驗(yàn)檢測、安裝調(diào)試等費(fèi)用。該款項(xiàng)為甲方應(yīng)付給乙方的全部費(fèi)用，并已經(jīng)包含物價變動因素。Thisagreementincludesthecostofequipmentandmaterials,laborcost,machinerycost,managementcost,profit,tax,governmentchargesonbehalfofPartyA,insurance,transportation,labor,subcontractservicefee,andallothercostforthecompletionoftheproject,aswellaseverysystemtesting,installation,andcommissioningcosts.ThistotalcontractamountisexactamountthatPartyAshallpaytoPartyBanditincludesthefactofpricefluctuation.1.3工程結(jié)算FinalAuditofproject1.3.1本工程計價依據(jù)GB50500-2008《建設(shè)工程工程量清單計價規(guī)范》采用固定總價，除施工期間甲方要求變更現(xiàn)有圖紙及發(fā)生的增減項(xiàng)洽商，甲方將作價格調(diào)整。ThisprojectisusingfixedtotalamountaccordingtoGB50500-2008thePricingGuidelinesbyCodeofQuantityinConstructionProjects,exceptthatPartyAmaymakepriceadjustmentintheeventoftheexistingconstructiondrawingsarechangedoraddorremoveanyconstructionworkaccordingtotherequestofPartyA1.3.2所有的人工費(fèi)用都不得以任何理由進(jìn)行過調(diào)整，結(jié)算時只接受投標(biāo)文件中約定的價格。AlllaborcostshallNOTbeadjustedinanyevent.Onlythepricesstimulatedinthebiddingdocumentsareacceptedatthefinalauditaftercompletion.1.3.3因工程調(diào)整而產(chǎn)生的工程洽商，如洽商費(fèi)用超過人民幣五萬元整，則洽商文件必須在工程中期驗(yàn)收當(dāng)日被提交給甲方，所產(chǎn)生的洽商費(fèi)用在交付中期款時一并核算結(jié)清。如洽商費(fèi)用低于五萬元人民幣整，則洽商文件必須在工程驗(yàn)收當(dāng)日內(nèi)提交給甲方，所產(chǎn)生的費(fèi)用在交付工程驗(yàn)收款時一并核算結(jié)清。IfthecostofchangeordersareoverRMB50,000Yuan,thenallchangeordersissuedbecauseoftheconstructionadjustmentsshallbesubmittedtoPartyAonthesamedayoftheconstructionmid-termcheckandacceptance,andtheapprovedamountwillbepaidtoPartyBwiththeconstructionmid-termpayment;ifthecostsofthechangeordersarelessthan50,000Yuan,thenallchangeordersissuedbecauseoftheconstructionadjustmentsshallbesubmittedtoPartyAonthesamedayoftheconstructioncompletioncheckandacceptance,andtheapprovedamountwillbepaidtoPartyBwiththeconstructioncompletionpayment.第二條：政府批復(fù)Article2GovernmentApprovals2.1乙方負(fù)責(zé)協(xié)助甲方辦理此項(xiàng)施工需要辦理的所有政府報批，包括但不僅限于消防、環(huán)保的報批與其他與本工程相關(guān)的報批，甲方負(fù)責(zé)政府行政審批的費(fèi)用。PartyBshallberesponsibletoprocessgovernmentapprovalsrelatedtotheproject,includingbutnotlimitedto:firecontrol,environmentprotectionandotherapprovalsrelatedtothisProject.PartyAisresponsibleforthecostsoftheseapprovals2.2乙方負(fù)責(zé)其工程報備PartyBshallberesponsibleforconstructionapplications,approvalsandrelatedcosts.2.3乙方應(yīng)承擔(dān)2.2所述報備不全而導(dǎo)致的政府罰金，并且不能順延工期。PartyBshallberesponsibleforanygovernmentfinesduetoincompleteapprovalprocesses,andshouldNOTcausedelayintheconstructionperiod.第三條：甲方的權(quán)利和義務(wù)Article3RightsandObligationsofPartyA3.1向乙方提供經(jīng)確認(rèn)的施工圖紙或做法說明五份，并向乙方進(jìn)行現(xiàn)場交底，向乙方提供施工所需要的水電設(shè)備，并說明使用注意事項(xiàng)。PartyAshallprovideFIVEcopiesofconfirmedconstructiondrawingsandexplanationsofworkprocedures,andshallconducttechnicalclarification.PartyAshallprovidePartyBwithnecessarywaterandpowerequipmentandtheinstructionsonusingtheequipment.3.2指派xxxx為甲方駐工地代表，負(fù)責(zé)合同的履行。對工程質(zhì)量、進(jìn)度進(jìn)行監(jiān)督檢查，辦理驗(yàn)收、變更事宜。甲方的工地代表如果認(rèn)為乙方的某雇員行為不當(dāng)或散漫不羈，或甲方認(rèn)為該雇員不能勝任，則乙方應(yīng)立即進(jìn)行撤換，并且未經(jīng)甲方實(shí)現(xiàn)書面許可，乙方不得在施工中再行雇傭該等人員。被撤換的任何人員應(yīng)盡可以能立即由甲方代表所批準(zhǔn)的勝任的人員代替。PartyAappointsxxxxastheon-siterepresentativetosupervisethefulfillmentofcontractobligations,tooverseethequalitycontrolandchecktheprojectprogress,andtohandleissuessuchasacceptanceandvariations.Intheeventoftheon-siterepresentativeofPartyAbelievesthatanyemployeeofPartyBhasimproperconductormisbehaviors,orifPartyAconsidersuchemployeeisnotcompetentfortherelevantwork,PartyBshalldismissandreplacethisemployeeimmediately;andunlesshavingreceivedconsentbyPartyAinwritinginadvance,PartyBshallnolongerhirethespecifiedemployeeinthefollowingphaseofthisproject.PartyBshouldmakeeveryefforttoreplacethedismissedemployeewithcompetentpersonnelauthorizedbyon-siterepresentativeofPartyA.3.3甲方按照付款約定向乙方支付工程款。PartyAshouldmakepaymentstoPartyBaccordingtothepaymentterms.3.4如甲方認(rèn)為乙方確已無能力繼續(xù)履行合同的，則甲方有權(quán)解除合同，乙方必須在接到甲方書面通知后兩周內(nèi)撤離場地以便乙方繼續(xù)施工。對乙方完成工程量的結(jié)算不作為撤離場地的條件，結(jié)算應(yīng)在竣工一個月之內(nèi)完成，付款方式按照本合同條款。IntheeventofPartyAconsiderPartyBisindeedunabletofurtherfulfillitscontractobligations,thenPartyAhastherighttoterminatethecontract,andPartyBshouldvacatetheprojectsitewithintwoweeksafterreceivingPartyA'snotice,sothatPartyAcanresumeconstructionassoonaspossible.ConfirmationoffinishedquantityshallNOTberegardedasaprerequisitetoPartyB'svacationoftheprojectsite,andtheconfirmationshouldbeprocessedwithinonemonthaftertheprojectcompletion.Paymentshallbemadeaccordingtothepaymenttermsinthiscontract.3.5甲方有權(quán)要求乙方按照甲方的組織設(shè)計和施工工期進(jìn)行施工，乙方如對甲方的要求和指令不予執(zhí)行的，則按照乙方違約處理，乙方應(yīng)承擔(dān)違約責(zé)任。PartyAhastherighttoinstructPartyBtodotheconstructionaccordingtoPartyA'sorganizationandplannedconstructionperiod;intheeventofPartyBignoresandrefusestoobservePartyA'sinstructions,PartyBwillbedeemedasbreachofthecontract,andPartyBshallbeheldresponsiblefortheliabilitiesofbreachingthecontract.3.6甲方有權(quán)要求乙方服從甲方的統(tǒng)一安排和管理，乙方的施工人員必須遵守各項(xiàng)規(guī)章制度。對于乙方施工人員違規(guī)操作所產(chǎn)生的后果，乙方承擔(dān)全部責(zé)任。甲方有權(quán)從工程總價款中扣除相應(yīng)的款項(xiàng)。PartyAhastherighttoinstructPartyBtoobservethegeneralarrangementandmanagementbyPartyA,andtheconstructionstaffsofPartyBmustobserveallrulesandregulations.PartyBshallbefullyresponsiblefortheconsequencesofsuchviolationsbythestaffofPartyB.PartyAhastherighttodirectlydeductthecorrespondingamountfromthetotalcontractamount.3.7甲方所有的通知可以以書面或口頭形式發(fā)出，乙方接獲甲方的通知后應(yīng)根據(jù)通知規(guī)定的內(nèi)容執(zhí)行。AllnoticesfromPartyAcanbemadebothinwritingandorally,buttheoralinstructionsareonlyapplicabletotherepresentativeofPartyA.PartyBshall,uponreceivingnoticesfromPartyA,executethecorrespondingmattersaccordingtothecontentofthenotices.3.8未經(jīng)甲方同意，乙方不得將工程轉(zhuǎn)讓或分包，對于乙方將工程擅自轉(zhuǎn)讓或分包的，甲方有權(quán)解除合同，乙方必須接受并承擔(dān)由此造成的一切后果。PartyBshallNOTtransferorsubcontracttheprojecttoanythirdpartywithouttheconsentofPartyA;intheeventofPartyBtransfersorsubcontractstheprojecttoanythirdpartywithouttheconsentofPartyA,PartyAhastherighttoterminatethecontract,andPartyBmustacceptandberesponsibleforanyconsequenceofsuchviolation.3.9甲方有權(quán)制定專業(yè)分包商，并按照乙方在投標(biāo)文件中承諾的配合管理費(fèi)率向乙方支付配合管理費(fèi)。PartyAhastherighttoappointspecialsub-contractors,andshallpaythemanagementfeetoPartyBaccordingtotherateofsubcontractmanagementandcoordinationfeestipulatedinthebiddingdocuments3.10按照招標(biāo)文件中的相關(guān)條目，甲方有權(quán)自行采購材料供給乙方，并按照乙方在投標(biāo)文件的相關(guān)條目中汲取人工費(fèi)、機(jī)械費(fèi)、輔助材料費(fèi)等向乙方支付費(fèi)用。甲方?jīng)]有義務(wù)向乙方支付其他費(fèi)用。PartyAhastherighttopurchaseandprovidePartyBwithmaterialsonitsown,andshallpaylaborcost,machinerycost,andaccessorycosttoPartyBaccordingtotherelevanttermsinthebiddingdocuments.PartyAhasnoobligationstopayanyothercoststoPartyB第四條：乙方的權(quán)利義務(wù)Article4RightsandObligationsofPartyB4.1參加甲方組織的施工圖紙或做法說明的現(xiàn)場交底，擬定施工方案和進(jìn)度計劃，交由甲方審定。施工過程中，乙方按照甲方的有關(guān)指示及修改變更要求進(jìn)行相應(yīng)調(diào)整。PartyBshallparticipateinthetechnicalclarificationonconstructiondrawingsandexplanationsofworkproceduresorganizedbyPartyA,andshoulddeveloptheconstructionplanandtheprogressscheduleforPartyAtoreview.Duringconstruction,PartyBshouldmakesuchadjustmenttotheconstructionplanandtheprogressscheduleperPartyA'sinstructionandchange-orders.4.2指派xxxx為乙方駐工地代表，負(fù)責(zé)合同的履行，按照要求組織施工，保質(zhì)保量、按期完成施工任務(wù)。解決由乙方負(fù)責(zé)的各項(xiàng)事宜。乙方駐工地代表在本公司的工作時間不得少于90%工作日。PartyBappointsxxxxastheon-siterepresentativeofPartyBtotakechargeoffulfillingthecontractobligations.Theon-siterepresentativeofPartyBshallorganizetheconstructionaccordingtocontractrequirementssothattheprojectcanbecompletedaccordingtothequalityandquantityrequirementsandonatimelymanner.Theon-siterepresentativeofPartyBshallworkontheprojectsitefornofewerthan90%ofthetotalworkingdays.4.3嚴(yán)格執(zhí)行施工規(guī)范、安全操作規(guī)程、防火安全規(guī)定、環(huán)境保護(hù)規(guī)定。嚴(yán)格按照圖紙或做法說明進(jìn)行施工，做好各項(xiàng)質(zhì)量檢查記錄，參加竣工驗(yàn)收，編制竣工資料及工程結(jié)算。PartyBshallstrictlyobserveconstructionguidelines,safetyrequirements,firesafetyregulations,environmentprotectionregulationsandLEEDrequirements.PartyBshalldotheconstructionbystrictlyadheringtotheconstructiondrawingsandexplanationsofworkprocedures,andshalleffectivelyrecordeachQA/QCinspection.PartyBshallattendthecompletionacceptance,anddevelopat-builtsubmittalsandfinalprojectaudit.4.4根據(jù)甲方和設(shè)計方一致通過的設(shè)計圖紙進(jìn)行施工，遵從甲方工地代表和設(shè)計方的指示，如乙方發(fā)現(xiàn)在工程標(biāo)準(zhǔn)和設(shè)計圖之間存在不一致時，應(yīng)以書面形式通知甲方和設(shè)計方。PartyBshallcarryouttheconstructionaccordingtothedesigndrawingsagreeduponbybothPartyAandthedesigner,shallobservetheinstructionsofdesignerandtherepresentativeofPartyA;intheeventofPartyBfindsinconsistencebetweenprojectstandardsanddesigndrawings,PartyBshouldinformthedesignerandPartyAinwriting.4.5遵守國家或地方政府及有關(guān)部門對施工現(xiàn)場管理的規(guī)定及甲方的規(guī)章制度，妥善保護(hù)好施工現(xiàn)場周圍的建筑物、設(shè)備管線等不受損壞。做好施工現(xiàn)場保衛(wèi)、消防和垃圾消納等工作，處理好由于施工帶來的擾民問題及周圍單位（住戶）的關(guān)系；如果由于乙方導(dǎo)致任何設(shè)施、設(shè)備或管道在工地內(nèi)外受損。將由乙方賠償損失。乙方負(fù)責(zé)與甲方的施工協(xié)調(diào)事項(xiàng)，并獨(dú)自完全承擔(dān)所有相關(guān)責(zé)任。PartyBshallobservepoliciesofon-sitemanagementbythestateandlocalgovernmentauthoritiesaswellasPartyA'srulesandregulations;PartyBshallcompensateforthelossestoanyfacilities,equipmentorpipelinesbothinsideandoutsideoftheconstructionyardcausedbypartyB.PartyBshallberesponsibleforthecoordinationofconstructionissueswithpartyA,andshallindependentlyandfullyassumescorrespondingresponsibilities.任何原建筑物結(jié)構(gòu)的拆改或設(shè)備管道的挪移，乙方應(yīng)向甲方申報；在甲方批復(fù)前，不得擅自動工。PartyBshouldreporttopartyAofanydemolitionoforvariationtoanyoriginalbuildingstructureorre-positionofequipmentpipes;PartyBwillrefrainfromanysuchworkpriortoreceivingPartyA’sapproval4.7乙方應(yīng)保護(hù)所有設(shè)備以及工程成品，并承擔(dān)竣工移交前所引起損壞的損失賠償。PartyBshouldprotectallequipmentandfinishedparts,andshallassumecompensationresponsibilitiesofanylossespriortocompletionhand-over.4.8乙方負(fù)責(zé)用擴(kuò)展保險責(zé)任批單為與建筑物相關(guān)的工程以及工程所需的材料購買工程一切險，乙方及乙方分包商（以下簡稱“分包商”）應(yīng)對工程進(jìn)行中自己或其他方的財產(chǎn)出資購買相應(yīng)的保險，這些財產(chǎn)包括：工棚，鐵架塔，腳手架，工具及其他的一些材料。PartyBshallpurchaseConstructionAllRisksInsurancefortheprojectandrequiredmaterialsrelatedtothebuildingstructurebyusingextendedcoverageendorsement;duringconstruction,PartyBanditssubcontractors(hereafterabbreviatedas"subcontractors")shouldpurchasecorrespondinginsurancefortheirownorotherparties'properties,suchastemporaryconstructionbarracks,ironframesandtowers,scaffolding,utensilsandothermaterials.4.9從工程開始至工程竣工驗(yàn)收報告上所列明的日期之日止，乙方應(yīng)全權(quán)負(fù)責(zé)整項(xiàng)工程。不管任何原因?qū)е碌墓こ痰膿p壞，乙方負(fù)責(zé)修理還原，以使整個工程竣工時能完全依照合同要求以及甲方工地代表的指示，狀況良好。Fromthebeginningofconstructiontothecompletiondatestipulatedbytheas-builtacceptancereport,PartyBwillbefullyresponsiblefortheentireproject.PartyBshallfixandreinstateanddamagestotheprojectitemsregardlessofthecause,sothattheprojectshallbeingoodconditionuponcompletion,accordingtothecontractrequirementsandtheinstructionsofPartyA'srepresentative.4.10除非合同另有規(guī)定，乙方應(yīng)就下列事項(xiàng)獨(dú)自完全承擔(dān)如下賠償責(zé)任，并確保甲方完全免責(zé)：與因工程施工及維修而對人身造成的任何傷害或損害或?qū)ω敭a(chǎn)造成任何損害有關(guān)的所有損失及權(quán)利要求。但在下列情形下的賠償或補(bǔ)償除外：Unlessotherwisespecified,PartyBshouldindependentlyandfullyassumethefollowingcompensationliabilities,andexemptPartyAfromallliabilities:allinjuryandrightsclaimsrelatedtoanypersonalinjuriesorpropertydamageorlossasaresultoftheconstructionproject,exceptforthefollowingcompensationorreimbursement:4.10.1工程或其任何部分永久性使用或占用工地。Permanentuseoroccupationoflandbytheprojectoranypartoftheproject.4.10.2甲方享有在任何土地上，下，里或穿越其施工的權(quán)利。PartyAhastherighttotraversetheconstructionsitefromabove,beneath,orinsidethesite.4.10.3根據(jù)合同規(guī)定對財產(chǎn)的損傷或傷害是工程施工或維修之不可避免的后果時。Thepropertydamageorlossisaninevitablelosscausedbytheconstructionorrepairaccordingtothecontra~requirements.4.11乙方保證施工現(xiàn)場清潔，符合環(huán)境衛(wèi)生管理的有關(guān)規(guī)定，交工前清理現(xiàn)場達(dá)到甲方要求，如達(dá)不到甲方的要求，乙方承擔(dān)因自身違反規(guī)定造成的損失和罰款。PartyBshallkeeptheconstructionsitecleanandmeettheregulationsofenvironmentsanitation,andmakesuretheconditionofthesitemeetstherequirementsofPartyA.IftheconditionoftheconstructionsitedoesNOTmeettherequirementsofPartyA,PartyBshallberesponsibleforanylossorfineasaresultofitsownviolationofsuchregulations.4.12乙方必須要按照施工圖所顯示的設(shè)計要求施工，并符合施工規(guī)范規(guī)定。所有因?qū)κ┕D的誤解或疏忽引起的施工錯誤，須返工者，其一切費(fèi)用均有乙方自負(fù)，且不得因此延長完工期限。PartyBMUSTadheretothedesignrequirementsintheconstructiondrawings,andmustmeettherequirementsofconstructionguidelines.PartyBshallbefullyresponsibleforanycostofreworkonconstructionmistakesasaresultofmisunderstandingoftheconstructiondrawingsornegligence,andshallNOTdelaythecompletionoftheproject.4.13乙方應(yīng)與每位施工人員訂立務(wù)工合同，辦理合法務(wù)工證件并承擔(dān)費(fèi)用。PartyBshouldsignlaborcontractwithallitsconstructionstaffs,andissueproperworkBeresponsibleforthecorrespondingcost.4.14乙方應(yīng)每月按時向每位施工人員發(fā)放工資，如果乙方未按規(guī)定發(fā)放工資而給甲方帶來的任何損失，則乙方承擔(dān)完全賠償責(zé)任。PartyBshouldmakesalary/wagespaymenttoallconstructionstaffsintimeonamonthlybasis,andwillbefullyresponsibleforanyliabilitiescausedbyanylossordamagetoPartyAasaresultofPartyB'sfailuretopaysalariesandwagesaccordingtotherequirements.4.15在履行本合同過程中如對任何第三人造成任何侵害和損失，或違反任何相關(guān)國家法律法規(guī)，乙方對其行為和行為后果承擔(dān)全部責(zé)任。PartyBshalltakefullresponsibilityforitsactionsorconsequencescausedbyitsactionswhichcauseinfractionstoanythirdpartyandcauseanyviolationstorelatedstatelawsandregulationswhenimplementingthiscontract.4.16乙方應(yīng)對本工程所有的分包商負(fù)有管理和提供總包服務(wù)的義務(wù)，包括但不限于材料報審、工程預(yù)驗(yàn)收和報審、分包付款申請的審批、工程資料編制等。PartyBshalltaketheresponsibilitiesofsub-contractormanagementandprovidingservicesdesignatedtogeneralcontractor,whichincludesbutnotlimitedto:submittingandacquiringconstructionmaterials'approval,constructionpre-examinationandsubmittingforapproval,reviewandapprovepaymentapplicationsfromsub-contractorsandconstructiondocumentfiling,etc第五條付款條約Article5PaymentTerms5.1雙方商定本合同價款編制采用工程量清單計劃規(guī)范，固定合同總價，除施工期間甲方要求變更現(xiàn)有圖紙，甲方將作價格調(diào)整。ThepartiesagreetousefixedtotalamountaccordingtoGB50500~2008thePricingGuidelinesbyCodeofQuantityinConstructionProjects,exceptthatPartyAmaymakepriceadjustmentintheeventthattheexistingconstructiondrawingsarechangedaccordingtotherequestofPartyA.5.2本工程付款方式：工程開工后5個工作日內(nèi)甲方支付總工程款的30%，室外門窗及幕墻工程驗(yàn)收合格后5個工作日內(nèi)甲方支付總工程款的20%，室內(nèi)中間驗(yàn)收完成后5個工作日內(nèi)甲方支付總工程款的20%，工程完工驗(yàn)收合格并乙方向甲方提交完整的竣工資料后5個工作日內(nèi)支付工程總價款的27%，工程完工驗(yàn)收合格保修期一年后5個工作日內(nèi)支付工程總價款的70000元。Paymentterms:PartyAshallpay30%ofthetotalcontractamounttoPartyBwithin5workingdaysaftersigningofthecontract;20%ofthetotalcontractamountshallbepaidwithin5workingdaysafterthefacadeisfinished;20%ofthetotalcontractamountshallbepaidwithin5workingdaysaftertheconstructionmid-termcheckandacceptanceiscompleted;27%ofthetotalcontractamount70000Yuanshallbepaidwithin5workingsaftertheconstructioncompletioncheckandacceptance.第六條開始與延期Article6BeginningandDelayingofProject6.1整個工程應(yīng)在開工后xxxx日天內(nèi)完成。Thewholeprojectshouldbecompletedwithinxxxxcalendardaysafterthebeginningoftheproject.6.2非本合同規(guī)定的可以延期的情形外，如果甲方代表認(rèn)為工程或其部分工程的進(jìn)度太過緩慢以至無法保證工程在規(guī)定時間或延長的完工期間內(nèi)完工，乙方應(yīng)隨即采取必要的措施，甲方代表可批準(zhǔn)加快進(jìn)度以在規(guī)定時間或約定的延長期內(nèi)完成工程或其任何部分。乙方無權(quán)因采取該措施而獲得額外支付。Unlessotherwisespecifiedbythecontractasacceptableconditionsofdelay,intheeventoftheon-siterepresentativeofPartyAbelievesthattheprogressoftheprojectoranypartoftheprojectsubstantiallylagsbehindschedule,whichmaycausePartyBunabletocompletetheprojectwithintherequiredconstructionperiodoranyextendedconstructionperiodagreedupon,PartyBshallpromptlytakenecessarymeasuresundertheauthorizationoftheon-siterepresentativeofPartyAtoexpeditetheprogresssothattheprojectoranypartoftheprojectcouldbecompletedwithintherequiredconstructionperiodoranyextendedconstructionperiodagreedupon.PartyBisNOTsubjecttoanyadditionalcompensationforthemeasurestaken.6.3如果由于非乙方原因?qū)е碌墓こ掏９?，比如工地停電、停水，該情形持續(xù)每滿8小時，竣工日期往后順延一天，乙方應(yīng)有書面記錄并經(jīng)甲方代表簽字。Suspensionoftheconstructionworkasaresultofnon-PartyB'sfactors,suchaspowerfailureandwatersupplycut-off,thecompletiondateshallbepostponedbyonedayforevery8hoursofsuchconditions.PartyBshouldinformPartyAimmediatelyinsucheventsandmakerecordoftheconditioninwritingfortherepresentativeofPartyAtosignoff.第七條保修Article7Warranty7.1乙方保證以一流精湛的工藝完成工程，并保證除其他機(jī)械或設(shè)備外，整個工程無瑕疵，但隱性瑕疵不受此限。乙方應(yīng)按相關(guān)規(guī)定對該工程在設(shè)計使用年限內(nèi)提供保修。PartyBshallcompletetheprojectwithexcellentworkmanshipandguaranteesthat,exceptforothermachinesorequipment,theprojectasawholewillbefreeofdefectwithineighteenmonthsafterthecompletionacceptanceorpriortothelastpayment(whicheverislater);warrantyonhiddendefectsisnotlimitedtothisdate.Thewarrantyperiodshallbeinaccordancewiththerelativeregulationsanddesignedworkinglife.7.2在工程建設(shè)過程中，或上述保修期內(nèi)，乙方應(yīng)及時修復(fù)材料或人工的瑕疵，由此引發(fā)的損失或損壞將有乙方完全賠付。Duringthewholeconstructionperiodortheaforementionedwarrantyperiod,PartyBshallrepairanydefectsofmaterialandworkmanshiponatimelymanner;andPartyBshallbefullyresponsibleforanylossesordamagecausedbysuchdefects.7.3在保修期內(nèi)，乙方指派專人負(fù)責(zé)維護(hù)。隱性的瑕疵應(yīng)在發(fā)現(xiàn)問題后24小時內(nèi)修復(fù)，影響甲方正常運(yùn)營的應(yīng)在4小時內(nèi)到現(xiàn)場修復(fù)。如果乙方未能及時修復(fù)，甲方有權(quán)利自行決定雇傭第三方進(jìn)行修復(fù)，由此發(fā)生的費(fèi)用將由乙方來承擔(dān)。Duringthewarrantyperiod,PartyBshallappointspecialpersonnelforthemaintenance.Hiddendefectsshouldbefixedwithin24hoursafterbeingdetected,andthosethathaveaninfluenceonPartyA'snormaloperationshouldbefixedwithin4hoursonthespot.IntheeventofPartyBfailstofixthedefectsonatimelymanner,PartyAhastherighttohireathirdpartytodotherepair,andanycostincurredshallbeburdenedbyPartyB.第八條關(guān)于工程質(zhì)量及驗(yàn)收的約定Article8AgreementonQualityandAcceptance8.1雙方同意本工程將以施工圖紙、作法說明、設(shè)計變更和《建筑裝飾和裝修工程質(zhì)量驗(yàn)收規(guī)范》（GB50210—2001）、《建筑工程質(zhì)量驗(yàn)收統(tǒng)一標(biāo)準(zhǔn)》（GB50300—2001）、《建筑電氣工程施工質(zhì)量驗(yàn)收規(guī)范》（GB50303—2002）、《通風(fēng)與空調(diào)工程施工質(zhì)量驗(yàn)收規(guī)范》（GB50243—2002）、《建筑給排水及采暖工程施工質(zhì)量驗(yàn)收規(guī)范》（GB50242—2002）等國家制定的施工及驗(yàn)收規(guī)范為質(zhì)量驗(yàn)收標(biāo)準(zhǔn)。Thepartiesagreesthattheconstructiondrawings,explanationsofworkprocedures,designchange-ordersandsuchnationalguidelinesonconstructionandacceptanceastheQualityAcceptanceCriteriaofConstruction,Decoration,andRemodelingProjects(GB50210--2001),theGeneralQualityAcceptanceStandardsofConstructionProjects(GB50300--2001),theQualityAcceptanceGuidelinesofMechanicsandEngineeringProjectsofConstruction(GB50303-2002),theQualityAcceptanceGuidelinesofHVACProjects(GB50243-2002),theQualityAcceptance.GuidelinesofWaterSupply,Sewage,andHeatingSystemsinConstruction(GB50242-2002)areregardedastheacceptancestandardsfortheproject.8.2本工程質(zhì)量應(yīng)達(dá)到國家質(zhì)量驗(yàn)收標(biāo)準(zhǔn)，并確保一次驗(yàn)收合格。Thisprojectshouldmeetthenationalqualityacceptancestandardsandshouldbeacceptedatthefirstinspectionaftercompletion.8.3甲，乙雙方應(yīng)合力辦理隱蔽工作和中間工程的檢查與驗(yàn)收手續(xù)。乙方應(yīng)提前24小時書面通知甲方參加各類驗(yàn)收，甲方如果未能及時參加隱蔽工程和中間工程驗(yàn)收，乙方可自行驗(yàn)收，甲方應(yīng)予承認(rèn)。若甲方要求復(fù)驗(yàn)時。乙方應(yīng)按照要求辦理復(fù)驗(yàn)。若復(fù)驗(yàn)合格，甲方應(yīng)承擔(dān)復(fù)驗(yàn)費(fèi)用，由此造成停工的，工期順延；若復(fù)驗(yàn)不合格，其復(fù)驗(yàn)費(fèi)用由乙方承擔(dān)，且工期不予順延。TwoPartiesshalljointlyundertakethemid-terminspectionandacceptanceprocessforconcealedwork.PartyBshallinformPartyAinwritingofallkindsofinspectionandacceptance24hoursinadvance.IntheeventofPartyAfailstoparticipateinthemid-termacceptanceofconcealedwork,PartyBcandotheacceptanceindependently;PartyAshouldacceptsuchacceptance.WhenPartyArequestsare-inspection,PartyBshallcarryoutthere-inspectionaccordingly.Iftheresultofre-inspectionhaspassedacceptancestandards,PartyAshallberesponsibleforthere-inspectioncost,andtheprojectperiodshallbeextendbythedurationofprojectsuspensioncausedbysuchre-inspections;Iftheresultofre-inspectionhasNOTpassedacceptancestandards,PartyBshallberesponsibleforthere-inspectioncost,andtheprojectperiodshallNOTbeextended.8.4乙方應(yīng)確保甲方對于因乙方所提供的劣質(zhì)材料而引發(fā)的任何事件后果完全免責(zé)，其返工費(fèi)用由乙方承擔(dān)，工期不予順延。PartyBshouldguaranteethatPartyAisfullyexemptedfromliabilitiesforanyeventsasaresultofmaterialswithpoorquality;thecostofre-workshallbeburdenedbyPartyB,andtheprojectperiodshallNOTbeextended.8.5工程竣工后，乙方應(yīng)通知甲方驗(yàn)收，甲方自接到驗(yàn)收通知3個工作日內(nèi)組織驗(yàn)收，并辦理驗(yàn)收、移交手續(xù)。如甲方在規(guī)定時間內(nèi)未能組織驗(yàn)收，需及時通知乙方，另行確定驗(yàn)收日期。Uponcompletionofproject,PartyBshouldinformPartyAtoprocesscompletionacceptance;PartyAshallarrangeinspectionandacceptancewithin3workingdaysafterreceivingthenotification,andshallhandletheinspectionandhand-overprocesses.IntheeventofPartyAcouldNOTarrangetheinspectionandacceptancewithintherequiredperiod,PartyAshouldinformPartyBandreschedulethedateforacceptanceonatimelymanner.8.6乙方在向甲方提交竣工驗(yàn)收申請的同時，應(yīng)提交相關(guān)的竣工資料和竣工圖。PartyBshallsubmitrelevantas-builtsubmittalsandas-builtdrawingwhensubmittingtherequestforcompletionacceptancetoPartyA.8.7竣工驗(yàn)收后，乙方必須在7天內(nèi)，完成場地清退工作，并向甲方做好各項(xiàng)交接工作包括文件、設(shè)備和工具等。Afterthecompletionacceptance,PartyBmustfinishthevacationoftheprojectsitewithin7daysandcompleteallhand-overprocessesincludingdocuments,equipment,andutensils8.8甲方代表可對每一工作日得工程質(zhì)量進(jìn)行檢查檢驗(yàn)。甲方代表對工程質(zhì)量提出整改或返工通知后，乙方必須在規(guī)定時間內(nèi)按要求完成。Theon-siterepresentativeofPartyAmaycarryouttheinspectionoftheprojectqualityonanysingleworkday.Havingreceivedthenotificationofcorrectionorre-workduetoinadequatequalityfromtherepresentativeofPartyA,PartyBshallcompletetheworkwithintherequiredtimeframe.第九條關(guān)于材料設(shè)備的約定Article9AgreementontheSupplyofMaterialsandEquipment9.1本工程甲方負(fù)責(zé)采購供應(yīng)的材料、設(shè)備（見附表），應(yīng)為全新的合格產(chǎn)品，并應(yīng)按時供應(yīng)到現(xiàn)場。凡約定由乙方提貨的，甲方應(yīng)將提貨手續(xù)移交給乙方，由乙方承擔(dān)運(yùn)輸費(fèi)用。如果由于甲方提供的材料設(shè)備質(zhì)量低劣或規(guī)格差異，對工程造成損失，責(zé)任由甲方承擔(dān)。甲方供應(yīng)的材料，經(jīng)乙方驗(yàn)收后，由乙方負(fù)責(zé)保管。由于乙方保管不當(dāng)或被盜所造成的損失，由乙方負(fù)責(zé)賠償。Allmaterialsandequipment(seetheattachedtable)thatPartyAordersshouldbebrandnewandqualifiedproducts,andshouldbedeliveredtotheconstructionsiteasscheduled.PartyAshallhandoverpick-uppaperworktoPartyBforanythingthatneedsPartyBtopickup,andPartyBshallberesponsibleforthecostoftransportation.IntheeventofmaterialsandequipmentprovidedbyPartyAarepoorinqualityorhavedifferenceintechnicalspecifications,andhaveincurredlossestotheproject,PartyAshallberesponsibleforthelosses.H
