定義Definitions當(dāng)本協(xié)議中使用的下列術(shù)語應(yīng)具有各自的含義表示，這種意義是適用于這兩種定義方面的單數(shù)和復(fù)數(shù)形式：WhenusedinthisAgreement,thefollowingtermsshallhavetherespectivemeaningsindicated,suchmeaningstobeapplicabletoboththesingularandpluralformsofthetermsdefined:“協(xié)議”指本協(xié)議附表所附的任何文件，包括參照，因為每個可能不時按照當(dāng)本協(xié)議的條款作出修訂;“Agreement”meansthisagreement,theSchedulesattachedheretoandanydocumentsincludedbyreference,aseachmaybeamendedfromtimetotimeinaccordancewiththetermsofthisAgreement;“配件/附件”是指圖標(biāo)A所述附上的配件，并包括A部分所制造并用于連接貨物運作的特殊裝置。附件可能被從圖表A中被刪掉也可能加進去，公司單方面可隨時自行更改他們的規(guī)格和設(shè)計，要向乙方郵寄書面通知。每個更改，在書面通知發(fā)送給分銷商的15天后生效?！癆ccessories”meanstheaccessoriesdescribedinExhibitAattachedhereto,andincludesanyspecialdevicesmanufacturedbyPartAandusedinconnectionwiththeoperationoftheGoods.AccessoriesmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyCompanyatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoPartB.Eachchangeshallbecomeeffective15daysfollowingthedatenoticethereofissenttoDistributor.“加盟是指”控制的任何公司，控制，或與公司共同控制。加盟指任何人，公司或其他實體：擁有，現(xiàn)在還是以后，直接的或是間接的超過33%的有投票權(quán)的股票類表決直接或間接的有效控制A，或33％或以上的任何其中A部分，或在第（i）項所述的一方，擁有，現(xiàn)在還是以后，直接或間接，或投票權(quán)的股票類，其中A部分，或在段所述（一一黨），是在現(xiàn)在還是以后，直接或間接控制?！癆ffiliatemeans”anycompanycontrolledby,controlling,orundercommoncontrolwithCompany.Affiliatemeansanyperson,corporationorotherentity:whichowns,noworhereafter,directlyorindirectly33%ormoreofanyclassofthevotingstockofPartAoris,noworhereafter,directlyorindirectly,ineffectivecontrolofPartA;or33%ormoreofanyclassofthevotingstockofwhichPartA,orapartydescribedinparagraph(i),owns,noworhereafter,directlyorindirectly,orofwhichPartA,orapartydescribedinparagraph(i),is,noworhereafter,directlyorindirectly,incontrol.“客戶”是指任何人誰購買或租賃產(chǎn)品B部分“Customer”meansanypersonwhopurchasesorleasesProductsfromPartB.“投遞點”是指在[詳細地址A部分設(shè)施]。傳遞點是指在[詳細地址分銷商的設(shè)施]?！癉eliveryPoint”meansPartA'sfacilitiesat[FULLADDRESS].DeliverypointmeansDistributor'sfacilitiesat[FULLADDRESS].“展覽”是指該協(xié)議所附的展覽?！癊xhibit”meansanexhibitattachedtothisagreement.“貨物”是指圖表A中的產(chǎn)品.圖表A中的產(chǎn)品可以增加或減少。A表中的任何產(chǎn)品和附件的變化都要以書面形式告知乙方。每個變更在通知道分銷商15天后方可生效?！癎oods”meansthoseitemsdescribedinExhibitA.GoodsmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyCompanyatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoDistributor.Eachchangeshallbecomeeffective15daysfollowingthedatenoticethereofissenttoDistributor.“產(chǎn)品”是指商品和配件?！癙roducts”meansGoodsandAccessories“領(lǐng)土”是指地理區(qū)域，在第6條所述?！癟erritory”meansthegeographicareaoutlinedinArticle6.“商標(biāo)”是指任何商標(biāo)，標(biāo)志，服務(wù)標(biāo)志或其他商業(yè)名稱，不論是否登記，用來表示或描述甲方產(chǎn)品“Trademark”meansanytrademark,logo,servicemarkorothercommercialdesignation,whetherornotregistered,usedtorepresentordescribetheProductsofPartyA.預(yù)約Appointment甲方特此任命乙方為授權(quán)經(jīng)銷商，在第6條規(guī)定的地區(qū)銷售產(chǎn)品。乙方接受并承擔(dān)任命。A部分，即它在法律上是允許這樣做的程度，（i）不得任命任何第三方在乙方代理地區(qū)銷售甲公司產(chǎn)品，（ii）不得在乙方代理的地區(qū)設(shè)任何個人或者公司形式的第三方加盟來銷售乙方所代理的產(chǎn)品。（三）甲方必須盡最大的努力防止任何其它地區(qū)的經(jīng)銷商在乙方所代理的地區(qū)出售產(chǎn)品。如果甲方或任何加盟，直接銷售任何產(chǎn)品到乙方所代理的地區(qū)，或最終轉(zhuǎn)售到乙方所代理的地區(qū)（除向乙方或乙方指定的一方出售），要在出銷售行為發(fā)生之前告知乙方，并須向乙方支付該交易交總額的10％。此費用作為補償乙方所支出的廣告和其它的相關(guān)資本支出。PartyAherebyappointsPartyBasitsAuthorizedDealerAgenttosolicitordersfortheProductsstipulatedinArticle6fromcustomersintheterritorystipulatedinArticle6.PartyBacceptsandassumessuchappointment.PartA,totheextentthatitislegallyPermittedtodoso,(i)shallnotappointanyPartyBoragentintheTerritoryfortheProductsotherthanPartyB,(ii)shallnot,andshallcauseanyAffiliatenotto,knowinglysellProductstoanypersonotherthanPartBorapartydesignatedbyPartyBforuseorresalewithintheTerritory,and(iii)shalluseitsbesteffortstopreventanypartyotherthanPartyBfromseekingcustomersfortheProductsintheTerritory,fromestablishinganybranchrelatedtothedistributionofProductsintheTerritory,orfrommaintaininganydistributiondepotwithrespecttotheProductsintheTerritory.IfPartyA,oranyAffiliate,sellsanyProductwhichiseventuallyresoldintheTerritory(otherthanasaletoPartyBorapartydesignatedbyPartyB)andPartyA,orthatAffiliate,hadreasontoknowatthetimeofitssaleofthatProductthatsuchresalewaslikelytooccur,PartyAshall,immediatelyafterthetriggersale(whichshallbetheresaleoftheProductintheterritoryorthesaleimmediatelyprecedingtheuseoftheProductintheTerritory)iscontracted,paytothePartyB10%ofthepriceofthatProductunderthisAgreementatthetimethatthetriggersalewascontracted,whichpaymentshallrepresentarecaptureofcertainadvertisingandcapitalexpendituresmadebyPartyB.NothingcontainedinthisSectionshallaffectanyotherrightorremedywhichPartyBmayhavepursuanttothisAgreement.如果有任何第三方（除乙方和其所屬公司）向甲方求購產(chǎn)品，甲方需將求購信息轉(zhuǎn)給乙方處理。IfPartyAoranyAffiliateiscontactedbyanypartyinquiringaboutthepurchaseofProductsintheTerritory(otherthanPartyBorapartydesignatedbyPartyB),PartyAshall,orshallcausethatAffiliateto,refersuchpartytoPartyBforhandling.乙方聲明，在不得到甲方許可的情況下，不得在其代理區(qū)外的地方銷售第6條所列的產(chǎn)品。PartyBdeclaresthatitshallnotsellPartyAproductsoutsideterritoryoutlinedinArticle6withoutapermissionofPartyA.產(chǎn)品ProductsLED照明產(chǎn)品：發(fā)光管燈，LED燈泡燈，LED筒燈，LED燈條燈，等由甲方的產(chǎn)品。產(chǎn)品名稱已例于表A。甲方可以更改產(chǎn)品的設(shè)計和規(guī)格。任何改動需以書面形式告知乙方。甲方發(fā)出通知15天后方可生效。LEDLIGHTINGPRODUCTS:LEDtubelight,LEDbulblight,LEDdownlight,LEDStripLight,etcproducedbyPartyA.TheexactlistofproductsisattachedtothisAgreementasExhibitA.GoodsmaybedeletedfromoraddedtoExhibitAandtheirspecificationsanddesignmaybechangedbyPartyAatitssolediscretionatanytimebymailingwrittennoticeofsuchchangestoPartyB.Eachchangeshallbecomeeffective15daysfollowingthedatenoticethereofissent.新產(chǎn)品NewProducts如果本公司或任何加盟現(xiàn)在還是以后的生產(chǎn)和銷售，或建議制造或分發(fā)，任何產(chǎn)品比其他的產(chǎn)品，公司應(yīng)立即通知，或造成這種加盟通知，分銷商這一事實，所有有關(guān)該產(chǎn)品的細節(jié)。公司應(yīng)給予，或須安排的條款和條件不低于原來在這方面的協(xié)議所提供的產(chǎn)品有利于這一問題給予加盟，這些分銷商的分銷權(quán)。IfCompanyoranyAffiliatenoworhereaftermanufacturesordistributes,orproposestomanufactureordistribute,anyproductotherthantheProducts,Companyshallimmediatelynotify,orcausesuchAffiliatetonotify,Distributorofthatfactandofalldetailsconcerningthatproduct.Companyshallgrant,orshallcausethesubjectAffiliatetogrant,suchdistributionrightstoDistributorontermsandconditionsnolessfavorablethanthoseprovidedinthisAgreementwithrespecttoProducts.領(lǐng)土Territory授權(quán)經(jīng)銷商區(qū)：中歐（匈牙利，波蘭，斯洛伐克，羅馬尼亞，捷克共和國的領(lǐng)土）。乙方在合約期內(nèi)在些地區(qū)銷售。不能在合約外的地區(qū)銷售。AuthorizedDealerdistrict:CentralEurope(theterritoryofHungary,Poland,Slovakia,Romania,CheczRepublic).PartBdevelopscustomersinthisappointeddistrictduringagreementperiod.Andcan’tsolicitordersinthemarketwithoutappointment.Wedon’tunderstandthissentence.Doesitmean,thatPartBcan’tsolicitordersoutsidetheterritoryspecified?Wedon’tunderstandthissentence.Doesitmean,thatPartBcan’tsolicitordersoutsidetheterritoryspecified?長期Term本協(xié)議從簽字之日起生次，有效期為一年。此后的一年內(nèi)，首6個月的評估期，其中。\o"_Ref124791972"在此期間，如果乙方不能達到銷售目標(biāo)（在8中列出），甲方有權(quán)取消合同。取消合同需發(fā)書面通知。如果甲方在到期后的15天內(nèi)沒有發(fā)出書面通知，此合同繼續(xù)生效。生效期為半年。當(dāng)本合同期滿，兩個部分的談判延長或取消合同。在相同條件下，乙方有優(yōu)先的續(xù)約合同。ThisAgreementshallbecomeeffectiveasofthedatehereofuponexecutionbyanofficerorotherauthorizedrepresentativeofPartAandbyanauthorizedrepresentativeofPartBandshallremainineffectforoneyearthereafter,thefirst6monthsofwhichistheassessmentperiod.Inthisperiod,ifPartBcan’treachsalestargetspecifiedinArticleREF_Ref124791972\r\h8,PartAhastherighttocancelthisAgreementbysendingawrittennoticetoPartB.IfPartAdoesnotsendawrittennoticeofcancellationwithin15daysfromtheendoftheassessmentperiod,theAgreementshouldstayvalidforthewholeoneyearperiod.Upontheexpirationofthiscontract,bothpartsnegotiateforrenewingorcancelingofthecontract.Inthesameconditions,PartBhasthepriorityofrenewcontract.\o"_Ref124791972"如果乙方符合銷售目標(biāo)概述第\o"_Ref124791972"8，A部分可以取消該協(xié)議后，才長遠來說，只有在下列情況下：IfPartBmeetstheSalestargetsoutlinedinArticleREF_Ref124791972\r\h8,PartAcancancelthisAgreementbeforeitcomestotermonlyinthefollowingcases:如果經(jīng)銷商應(yīng)提交的文件或反對在破產(chǎn)或無力償債或經(jīng)銷商應(yīng)作出對債權(quán)人的利益分配的一份請愿書，如果分銷商作為一個持續(xù)經(jīng)營上的可行性，在制造商的判斷，成為受損;IfDistributorshallfileorhavefiledagainstitapetitioninbankruptcyorinsolvencyorifDistributorshallmakeanassignmentforbenefitofitscreditorsofifDistributor'sviabilityasagoingconcernshould,inManufacturer'sjudgment,becomeimpaired;如果發(fā)行降解并在惡劣的地方聲譽的名稱和制造商的聲譽明示或它的處理方法和美德/或推廣產(chǎn)品;ifDistributordegradesandplacesinbadreputethenameandreputationofManufacturerexpresslyorbyvirtueofitsmethodsofhandlingand/orpromotingtheProducts;如果分銷商不能滿足其任何本協(xié)議的其他義務(wù);ifDistributorfailstomeetanyotherofitsobligationshereunder;乙方有權(quán)取消發(fā)送書面通知之前，部分取消的30天時間，阿本協(xié)議的任何時間。PartBhastherighttocancelthisAgreementanytimebysendingwrittennoticetoPartA30dayspriorofthetimeofcancellation.銷售目標(biāo)Salestarget在頭6個月后，協(xié)議簽署（評估期），銷售額應(yīng)該350,000.00美元（沒有最低銷售量每月）。批量交付乙方時保證不會導(dǎo)致任何延誤和空運受影響的任何命令。Inthefirst6monthsaftertheagreementissigned(assessmentperiod),salesvolumeshouldbeUSD

%oftotalaggregateamountoftheinvoicevalueagainsttheshipmentseffectedasbonus.10.2在首個6月（評估期間），如果乙方因不可抗力或者特殊因素，不能完成銷售目標(biāo)，然而雙方通過商議后，仍然繼續(xù)合作，甲方仍需付給乙方發(fā)票總金額的2%（除運費），作為獎金，前提條件是，乙方完成了整年的銷售目標(biāo)。10.2.Ifinthefirst6months(assessmentperiod)PartBcan’tmeetthesalestargetbecauseofsomeunavoidableandspecialfactors,howeverbothpartiesstillcontinuethecontractafternegotiating,PartAshallstillpayPartB2%oftotalaggregateamountoftheinvoicevalueagainsttheshipmentseffectedasbonuswiththepreconditionofPartyBmeetsthetargetedsalesvolumeforthewholeyear.配售及訂單確認PlacingandConfirmationofOrders每一個訂單中的產(chǎn)品，是協(xié)議中的產(chǎn)品的，并且對所交付的產(chǎn)品進行進一步的描述，包括產(chǎn)品的型號和數(shù)量。EachorderforProductsissuedbyPartBtoPartAunderthisAgreementshallidentifythatitisanorderandshallfurthersetforththedescription(productnumber)andquantityofProductswhicharetobedelivered.乙方依據(jù)此條款和條件提交訂單給甲方，此銷售訂單形成的合同應(yīng)該自動生效。在適用范圍內(nèi)，此條款和條件將受限于協(xié)議中預(yù)定的條款和條件，將不受限于任何沖突和附加條款，包括任何的與此有關(guān)的交換文件。TheindividualcontractsforthesaleofProductsformedbyPartB'ssubmissionoforderstoPartApursuanttothetermsandconditionshereofshallautomaticallyincorporate,totheextentapplicable,thetermsandconditionshereof,shallbesubjectonlytothosetermsandconditions(togetherwithalltermsinorderswhicharecontemplatedbythisAgreement)andshallnotbesubjecttoanyconflictingoradditionaltermsincludedinanydocumentsexchangedinconnectiontherewith.訂單應(yīng)該是書面的。收到訂單后，甲方評定訂單，要在兩個工作日內(nèi)發(fā)送訂單的是書面確認信息，包括訂單的預(yù)計發(fā)貨時間。甲方有責(zé)任承諾交期，如果拖延，甲方必須付給乙方因拖延造成的額外費用（在第XX條款VisMaioroulined除外）Ordersshouldbeplacedinwriting.Afterreceivingoftheplacedorder,PartAevaluatestheorderandsendsawrittenorderconfirmationwithin2workingdayswiththeexpectedshippingtimeoftheorder.PartAisresponsibleforthepromisedshippingtime,andincaseofthedelay,PartAhastopayalladditionalcostsofPartBcausedbythedelay(withtheexceptionofVisMaioroulinedinArticleXX).Thequantities,pricesandshipmentoftheProductsstatedinthisagreementshallbeconfirmedseparatelyineachtransaction,theparticularsofeachordershouldbespecifiedintheSalesConfirmationsignedbytwopartieshereto.包裝Packing甲方需要根據(jù)甲方的標(biāo)準(zhǔn)包裝程序，自費包裝產(chǎn)品。包裝必須適于運輸。然而,如果乙方要求更改包裝，甲方要按照要求修改，乙方將承擔(dān)甲方合理的，因按B要求修改，超出的費用。PartAshall,atitsexpense,packallProductsinaccordancewithPartA’sstandardpackingprocedure,whichshallbesuitabletopermitshipmentoftheProductstotheTerritory;provided,however,thatifPartBrequestsamodificationofthoseprocedures,PartAshallmaketherequestedmodificationandPartBshallbearanyreasonableexpensesincurredbyPartAincomplyingwithsuchmodifiedprocedureswhichareinexcessoftheexpenseswhichPartAwouldhaveincurredinfollowingitsstandardprocedures.交付：標(biāo)題和損失的風(fēng)險Delivery:titleandriskofloss所有按照雙方協(xié)議的產(chǎn)品交付，需要按照FOB深圳。交貨點，嘜頭和從甲方到乙方的風(fēng)險。在這點上，乙方有責(zé)任安排產(chǎn)品的運輸，但是如果乙方要求甲方，協(xié)助B安排，甲方應(yīng)該同意。乙方也要安排運輸途中的保險，而這些保險從裝運港就開始生效的。在這個事件中，甲方需按要求協(xié)助乙方完成運輸，乙方給甲方報銷所有產(chǎn)生的合理費用，包括，但不限于保險，運輸，裝貨，卸貨，處理和儲存。乙方需付所有的費用，包括關(guān)稅，營業(yè)稅，貨物交付承運人或者貨代的費用。在甲方接到貨物的5天內(nèi)，A或B簽署的貨代應(yīng)該發(fā)送關(guān)于任何損害的書面通知，甲方將在第一時候內(nèi)給乙方交換貨物.否則，甲方將認為乙方已經(jīng)接受了該貨物。AlldeliveriesofProductssoldbyPartAtoPartBShenzhen.theDeliveryPoint,andtitletoandriskoflossofProductsshallpassfromPartAtoPartBatthatPoint.PartBshallberesponsibleforarrangingalltransportationofProducts,butifrequestedbyPartB,PartAshall,atPartB'sexpense,assistPartBinmakingsucharrangements.PartBshallalsoprocureinsuranceforthetransportationoftheProducts,andsuchinsuranceshallbeofakindandontermscurrentattheportofshipment.IntheeventthatPartAisrequestedtoassistPartBinarrangingfortransportation,PartBshallreimbursePartAforallcostsapplicabletotheProductsfollowingtheirdeliverytoPartB,including,withoutlimitation,insurance,transportation,loadingandunloading,handlingandstorage.PartBshallpayallcharges,includingcustomsdutyandsalestax,incurredwithrespecttotheProductsfollowingtheirDeliverytothecarrierorforwarder.IftheshippingagentisconsignedbyPartA,PartBshouldsendwrittennoticeaboutanydamagetoPartAwithin5
