2.1ClientshallfurnishtoConsultantthepertinentdata,

technicalservicereports,mapsandinformationavailabletohimandshallgivetoConsultantthereasonableassistancenecessaryforcarryingoutofhisduties.ParticularlyClientshallnominateageneralrepresentativewhoshallbeavailableatreasonabletime.

2.2ClientshallassistConsultantwiththeresponsibleauthoritiesforobtainingvisas,workpermitsandotherdocumentsrequiredbyConsultanttoenterthecountryandtohaveaccess

totheSiteoftheProject.TheaboveexpensesshallbebornebyConsultant.

2.3Consultantshallfurnishasufficientnumberofcompetentpersonneltoperformitsobligationhereunder,inadditiontothosepersonnelspecificallylistedinAppendix3.AllpersonnelemployedbyConsultantincarryingouttheworkshallbeexclusivelyConsultant'sresponsibility,andConsultantshallholdClientharmlessfromanyclaimsofanykindbyConsultant'spersonnelarisingoutofanyactsbyConsultantoritspersonnel

inconnectionwiththeworkperformedhereunder.

2.4ConsultantshallprovideClientallthetechnicaltechnicalservicereportsandrelevantdocumentationwithintheScopeofTechnicalServicesandwithintheTimeScheduleoftheTimeSchedulefortheServices.

2.5ConsultantshallassistClient＇Spersonnelinhiscountryinobtainingvisasandinarranginglodgings.HotelandboardingexpensesshallbebornebyClient.ConsultantshallsupplytoClient＇Spersonnelofficespaceandnecessaryfacilitiesaswellastransportation.

2.6Consultantshallberesponsibleforandshallindemnify

Clientandhisemployeeinrespectofinjurytopersonordamage

topropertyoccurringinconnectionwiththeservices,tothe

extentthatsuchdamageorinjurydirectlyresultsfromnegligenceofConsultant'spersonnelwhileengagedinactivitiesunderthisContract.ConsultantshallbeliableonlytotheworkunderthisContract.

2.7AnyandallliabilityofConsultantwithrespecttothisContractshallbelimitedtotheTotalContractPricereceivedbyConsultantforhisprofessionservicesandshallterminateuponexpirationofthewarrantyperiodsetforthinArticle7.3.

Article3PriceandPayment

3.1Thetotalcontractpriceis__________(say

3.2Thetotalcontractpricewillincludealltheserviceand

technologyprovidedbyConsultant.Thetotalcontractpriceshall

befirmandfixedandshallnotfluctuatewithanyinflation.The

totalcontractpriceshallincludeallchargesandexpenses

incurredbyConsultantinperforminghisobligationsbothinhisowncountryandinthePeople'sRepublicofChinaandincludestheexpensesincurredinsendingtheTechnicalDocumentationtoClient'sofficebyallkindsofforms.

IntheeventofForceMajeureasdefinedintheContract,thetotalcontractpriceshallbereadjustedthroughfriendlynegotiationsbetweentheparties.IfClientrequiresservicesnotcontemplatedintheScopeofServicesthepartiesshallfriendly

discussanamendmenttothe

totalcontractprice.Anysuchamendmentshallbeinwritingcountersignedbybothparties.ThisdocumentshallthenformintegralpartoftheContract.

3.3AllpaymentstobemadebyClienttoConsultantunder

thepresentContractshallbemadebytelegraphictransfer.IncaseofanypaymentbyClient,thepaymentshallbeeffectedthrough__________inChinato_________fortheaccountofConsultant.

InconsiderationfortheservicesprovidedbyConsultanthereunder,ClientshalleffectthepaymenttoConsultantinaccordancewiththefollowingmannerandpercentage:

4.1ThedeadlineforthearrivaloftheTechnicalservicereportsCIF_____are:

4.2ConsultantwillinformClientbyFaxwhentheTechnicalservicereportsareairmailedtoClientindicatingthedateandnumberofairwaybill.ClientwillinformConsultantwhentheTechnicalservicereportshavebeenreceived.

4.3ShouldanydocumentbemissingordamagedduringthetransportConsultantshallbenotifiedaccordinglyandwithintwo

weeksthemissingordamageddocumentshallbereplacedbyConsultantfreeofcharge.

Article5Confidentiality

5.1Alldataassembled,developed,compiled,reproduced,studied,andpreparedinconnectionwiththeworkdonehereunderandfurnishedtoConsultantbyClientshallbeconsideredconfidentialandshallnotbedivulgedtoanyperson,firmorcorporationotherthanClientoritsdesignatedrepresentatives.ThisClauseshallremainbindingonConsultantnotwithstandingtheterminationoftheContractforanyreason.

5.2WithinthevalidityperiodofContract,Bothpartiesshalltakepropermeasurestokeepthematerialsorinformationstrictlyconfidential.Theotherpartyshallnotdiscloseordivulgetoanythirdpartywithoutpriorwrittenconsentofoneparty.

5.3Eitherpartyshallbeobligedtokeepconfidentialanysecretinformationoftheotherpartywhicheitherpartyanditspersonnelmayobtainorbeaccessibletointhecourseofthe

performanceofContract.Eitherpartyshallnotmakeuseofordisclosesuchsecretinformationobtainedfromtheotherpartywithoutpriorwrittenpermissionissuedbytheotherparty.Article6TaxesandDuties

6.1AlltaxesanddutiesinconnectionwithandintheexecutionofContractleviedbytheChinesegovernmentonClientinaccordancewiththetaxlawsofPRCshallbebornebyClient.

6.2AlltaxesanddutiesleviedbytheChinesegovernmenton

Consultant,inconnectionwithandintheexecutionofContract,

accordingtoChinesetaxlawsandtheagreementbetweenthe

governmentofPRCandthegovernmentofConsultant'scountry

forthereciprocalavoidanceofdoubletaxationandthe

preventionoffiscalevasionwithrespecttotaxesonincomeshall

bebornebyConsultant.

Clientislegallyobligedtowithhold,asawithholdingagent,

theamountoftaxesprorataeachtaxablepaymentunder

ContractandpaythemtotherelevantChinesetaxauthorities.AfterreceivingthetaxreceiptsissuedbytherelevantChinesetaxauthoritiesfortheaforesaidwithholdingtaxes,ClientshallforwardthemtoConsultantwithoutunduedelay.

6.3AlltaxesanddutiesarisingoutsidePRCinconnectionwithandintheexecutionofContractshallbebornebyConsultant.

Article7Warranty

7.1Consultantwarrantsthathehastheexperienceandcapabilitytoefficientlyandexpeditiouslyperformtheservicesin

asatisfactorymannerandthattheservicesperformedbyhimunderthisContractshallbeperformedbycompetentpersonnelinaccordancewithacceptedstandards.

7.2IntheeventofafailureofConsultanttoprovidetoClientsatisfactoryserviceswithinthescopeofworkdescribedinAppendixatanytimeforanyreasonwithinthecontroloftheConsultant,ClientmaynotifyConsultantofsuchdissatisfaction.Consultantshallbeaffordedaperiodofdaystocorrectorremedythematter.ShouldConsultantwithinthetimeaffordedbyClient

failtocorrectorremedythemattertothesatisfactionofClient,allchargesshallceaseforthwithuntilsuchtimeasConsultantisabletoprovidesatisfactoryservicesinaccordancewiththeScopeofworkdescribedinAppendix.

7.3ConsultantguaranteestoClientthatheshall,afterreceiptofnoticefromClient,promptlycorrectatnocostanyerrorsintheservicesarisingoutofthenegligentperformancethereof.Article8OwnershipofTechnicalServiceReports

8.1FinalversionofthetechnicalservicereportsubmittedtoClientandallrelevantdatasuchasmaps,plansandsupportingmaterialcompiledinperformingtheScopeofServices,shallbethepropertyofClient.SuchmaterialsshallbesortedandindexedbyConsultantpriortotransmissiontoClient.

8.2Consultantshallbepermittedtoretaincopiesthereof,providedhoweverthatsuchmaterials,includingthematerialfurnishedbyClientasstatedinArticle5ofthisContract,shallnotbeusedbyConsultantforpurposesnotrelatedwiththisProjectwithoutthepriorwrittenapprovalofClient.Article9Assignment

9.1NeitherClientnorConsultantshallassignorsublettheir

rightsorobligationshereunderwithoutthepriorwrittenconsent

oftheotherparty.

Article10Termination

10.1If,duetotheresponsibilityofConsultant,thetechnicalservicereportshavenotbeendeliveredatdatesaccordingtothedeliveryschedulesasstipulatedinArticle4oftheContract,ConsultantshallbeobligedtopaytoClientpenaltyforsuchdelayindeliveryatthefollowingrates:

A.______percent(____%)ofthetotalcontractpriceperweek

forthefirstfourweeks;

B._____percent(____%)ofthetotalcontractpriceperweek

fromthefifthweektotheeighthweek;

C.______percent(____%)ofthetotalcontractpriceperweek

Odddayslessthanone(1)weekshallbecountedasone(1)

weekforcalculatingtheliquidateddamage.

10.2Thetotalliquidateddamageforlatedeliveryshallnotexceed______percent(____%)ofthetotalcontractprice.Payment

oftheliquidateddamageforlatedeliveryshallnotreleaseConsultantfromitsobligationtodelivertechnicalservice

reports.

10.3Clientmay,withoutprejudicetoanyotherremedyforConsultant'sfollowingbreachofContract,terminateContractinwholeorinpartbyawrittennoticeofdefaultsendtoConsultant,ifConsultant

A.Failstodeliveranyoralloftechnicalservicereportswithin______(____)daysafterthescheduleddeliverydateasspecifiedinArticle1;or

B.FailstomakethetechnicalservicereportsmeettheminimumlevelofAcceptanceStandardsasspecifiedinAppendix1.

ConsultantshallrefundtoClientallthepaymentseffected

byClienttoConsultantplusaninterestattherateof______

10.4Eitherpartymay,withoutprejudicetoanyotherremedy,terminateContractinwholeorinpartbyawrittennoticesendtotheotherparty,iftheotherparty.

A.failstoperformitsconfidentialityobligationunderContract;or

B.failstoperformanyotherobligationsunderContractexceptminorpartsthereof,anddoesnotremedyforitsfailurewithinaperiodof______(____)daysuponreceiptofthewritten

noticeoraperiodagreeduponbetweentheparties;orC.becomesbankruptorinsolvent;or

D.AffectedbyanyeventofForceMajeureformorethan

Article11ForceMajeure

11.1ShouldeitherpartybepreventedfromperforminganyofitsobligationsunderContractduetoeventofForceMajeure,suchaswar,seriousfire,typhoon,earthquake,floodandanyothereventswhichcouldnotbeexpected,avoidedandovercome,theaffectedpartyshallnotifytheotherpartyofitsoccurrencebyfaxandsendbyregisteredairmailacertificateissuedbythecompetentauthoritiesoragencywithinfourteen(14)daysfollowingitsoccurrence.

11.2TheaffectedpartyshallnotbeliableforanydelayorfailureinperforminganyorallofitsobligationsduetotheeventofForceMajeure.However,theaffectedpartyshallinformtheotherpartybyfaxtheterminationoreliminationoftheeventofForceMajeurewithoutdelay.

11.3Bothpartiesshallproceedwiththeirobligations

immediatelyaftertheceaseoftheeventofForceMajeureor

removaloftheeffects.ThevalidityperiodofContractand/orthe

scheduledperiodforrelativeexecutionofContractshallbe

extendedcorrespondingly.

Article12Arbitration

12.1AnydisputearisingfromorinconnectionwiththisContractshallbesubmittedtoChinaInternationalEcon
