經(jīng)典word整理文檔，僅參考，雙擊此處可刪除頁(yè)眉頁(yè)腳。本資料屬于網(wǎng)絡(luò)整理，如有侵權(quán)，請(qǐng)聯(lián)系刪除，謝謝！電解銅銷售購(gòu)買合同（中英文）PURCHASEANDSALEAGREEMENTFORCOPPERCATHODESContractNumber:合同編號(hào)：LQ-Cu-160501Date:ThiscontractisforthepurchaseandsaleofCathodeCopper99.99%upwardsThisagreementexecutesandenteredintoonthisdayofbyandbetween:本合同經(jīng)買賣雙方友好協(xié)商，就進(jìn)口99.96%以上品質(zhì)電解銅事宜達(dá)成一致，于年月日共同完成并簽訂執(zhí)行此合同：THESELLER(賣方):SouthernTradingLimitedAddress/地址：Tel./電話:Fax/傳真：Email/郵件：Contactperson:THEBUYER(買方):Address/地址：Tel./電話：Fax/傳真：Email/郵件：WHEREAS:TheSellerandBuyer,eachwithfullcorporateauthority,certifies,representsandwarrantsthateachcanfullfilltherequirementsofthiscontractandrespectivelyprovidetheproductsandthefundsreferredtoherein,intimeandunderthetermsagreedtohereinafter;andwhereastheSellerherebyagreesandmakesanirrevocablefirmcontracttosellandwhereastheBuyerherebyagreesandmakesanirrevocablefirmcontracttopurchaseCopperCathodenotlessthan99.96%-99.99%,whereastheSellerandBuyerbothagreetofinalizethiscontractunderthetermsandconditions,itisthereforeagreedasfollows:買賣雙方將共同履行該合約所涉及的各項(xiàng)權(quán)利和義務(wù)，賣方保證如期提供99.96%--99.99%品質(zhì)的電解銅以及所列文件資料，買方將保證如期支付相應(yīng)貨款，具體事宜如下:1.SUBJECTOFTHECONTRACT（合同商品）1.1SellerhassoldandBuyerhasboughtCopperCathode99.96%upwardinaccordancewiththeSpecificationsstipulatedinAnnexes1,whichisanintegralpartofthiscontract.買賣雙方同意執(zhí)行電解銅99.99%以上進(jìn)口事宜，產(chǎn)品成分及規(guī)格詳見(jiàn)附件一做為該合同的補(bǔ)充內(nèi)容，與本合同具有同等法律效力；1.2Thecoppercathodeunderthiscontractshallbedeliveredinquantitiesof5000MT/Month(+/-0.5%)x12Month,total60,000(+/-0.5%)MTperyearunderBankGuaranteeterm,allCIFthepostofChina.本合同將包括電解銅進(jìn)口共5000MT/Monthx12Month(+/-0.5%),數(shù)量60,000(+/-0.5%)CIF港。2.PRICETERMSANDVALUEOFCONTRACT(價(jià)格及合同金額)2.1PriceisdeterminedinUnitedStatesDollarsonthebasisCIFXXXChina.本合同將以CIFXXX港為準(zhǔn)，以美元結(jié)算執(zhí)行；2.2ThepriceofCopperCathodes99.99%upwardagreeduponisUSD5,900.-/MTCIF(fivethousandfivehundredUnitedStatesDollarsperMetricTonne)買賣雙方同意并接受進(jìn)口電解銅99.96%-99.99%價(jià)5,950.-美元CIF港。2.3.1MonthvalueofcoppercathodeisUSDXX,X00,000,thetotalvalueofthecontractisUSDXXX,000,000(Threehundredforty-twomillionUnitedstatedollars).每月電解銅貨款金額為XX,X00,000.-美元,本合同金額總值為XXX,000,000.-美元。3.DELIVERY/SHIPMENT貨物交付及海運(yùn))3.1ThedeliveryoftheCopperCathodes99.99%shallbemadewithin45daysfrombuyeropeningaoperativeBankGuarantee(BG)。雙方簽訂合同即日生效，買方開(kāi)出生效的銀行保函肆拾五天（45天）內(nèi)起運(yùn)99.99%品質(zhì)的電解銅。Thedateofthebillofladingshallbeconsideredtheshipmenttime.海運(yùn)提單的開(kāi)具日期將被認(rèn)定為海運(yùn)啟運(yùn)日期。3.2Thefirstshipmentshouldarrivebuyer’sdestinationportin60daysafterthebuyeropenedtheBankGuarantee(BG)toseller’sbank.第一個(gè)月的貨品在買方開(kāi)出銀行保函后的60天內(nèi)抵達(dá)買方指定的中國(guó)口岸。3.3Theconsequentlymonthsshipmentwillarrivedbuyer’sdestinationportin45daysafterthesellergetpaymentfromthebuyerside.接續(xù)月份的商品到貨日期為賣方收到買方當(dāng)期貨品電匯款的45天內(nèi)。4.PAYMENT(付款)4.1FordeliveriesthruthebuyershallopenanUnconditional,IrrevocableBankGuarantee(BG)withoneyearandonemonthvaliddateinUSDollarssufficienttocover100%(Onehundredpercent)for5000MTminimum(+/-0.5%)Sumforpaymentguarantee,thisBGshouldbeopenedinfivedaysafterthecontractsigned.AndpayatsightwithcashtransferbyTelegraphicTransfer(TT)in3bankworkingdaysafterthecommoditypasstheChinaSGS/CIQsurveyorinstitutioninspectionforeachmonthdelivery.買方應(yīng)在合同簽訂五個(gè)工作日開(kāi)出五千噸(+/-0.5%)電解銅100％總價(jià)值的無(wú)附加條件的，不可撤銷的銀行保函給賣方此保函的有效期為壹年又壹個(gè)月。每個(gè)月貨品到中國(guó)指定港口后經(jīng)過(guò)獨(dú)立檢驗(yàn)單位SGS/CIQ檢測(cè)完成后3個(gè)銀行工作內(nèi)買方用現(xiàn)金電匯TT的方式把全額貨款匯入賣方銀行指定賬戶。4.2Sellerwillissueaperformancebond(PB)intheamountUSD342,000.-(2%)namingtheBuyerasbeneficiary.Ineventofnon-deliveryexceeding4weeksonplanneddeliverydate,theBuyerhastherighttoreceivethisperformancebond;thefullamountshallbeautomaticallyandunconditionallydrawnintotheBuyer’saccount.賣方開(kāi)出每月貨款的履約保證金給買方金額為xxx,000交貨時(shí)間超過(guò)預(yù)定交貨期的42%的履約保證金將無(wú)條件的自動(dòng)劃入買方的銀行帳號(hào)內(nèi)作為賠償損失。4.3IntheeventthattheBuyerfailstotransfereachmonthcommodityfeetoseller’sbankincompliancewiththisAgreement,thentheBankGuarantee(BG)whichtreatasthepaymentguaranteeshallbepaid100%atsighttotheseller’sbankaccountbybuyerwithoutprotestasacontractbreach.假如買方在貨品抵達(dá)中國(guó)卸貨港并通過(guò)中國(guó)SGS/CIQ檢驗(yàn)單位檢測(cè)要求后拒絕不受買方抗議影響的情況下自動(dòng)解付給賣方作為貨款賠償。4.4ThesurveyorinstitutionSGS/CIQinspectionfeeatdestinationportisatbuyer’saccount;sellercanothisinspectionforbuyeratfirstandchargelatelyinthecashpayment.中國(guó)目的港的SGS/CIQ檢驗(yàn)費(fèi)用由買方負(fù)責(zé)，賣方可先行為買方支付此筆檢驗(yàn)費(fèi)用，檢驗(yàn)后買方電匯付款的時(shí)候再與當(dāng)月貨款一起匯致賣方銀行賬戶內(nèi)。4.5TheSellerreservestherightnottoloadthevesseliftheBankGuaranteedoesnotmeettherequirementsofthiscontract.如買方開(kāi)具銀行保函未滿足上述要求，賣方保有拒絕裝船的權(quán)利；4.6Theshipmentshallcommencenotlaterthan45daysuponreceiptoftheBuyer’sOperativeBankGuarantee.賣方收到買方的銀行保函后將在不超過(guò)45天內(nèi)安排裝船啟運(yùn)；4.7SpellingandtypographicalerrorsanddifferencesofsuchnaturebetweenbankissuedandbeneficiaryissueddocumentsnotaffectingfiguresshallnotbedeemeddiscrepanciesprovidedthattheintentofthewriterisclearfromthecontextandinsuchcaseonlyUCPDC,ICCPUB.5001993regulationsshallapplyatthistime.前提下將根據(jù)UCPDC,ICCPUB.5001993國(guó)際貿(mào)易條款5.DOCUMENTSREQUIREDFORPAYMENT(付款所需文件)5.1TheSellershallprovidewitheachconsignmentafullset(3/3)billofladingforallshipments.IncludingdocumentofInsuranceproofshowinggoodsinsuredat110%ofnetworth.賣方需提供全套三正三副海運(yùn)提單，以及保險(xiǎn)金額為貨值110%的海運(yùn)保險(xiǎn)文件；5.2CommercialInvoiceissuedbytheSeller:1originaland2firstcopiesshowingContractNumber,DescriptionofGoods,UnitPrice,TotalAmountandNetWeightofthegoodsaspertheBillOfLading.號(hào)，貨物描述，單價(jià)，總數(shù)量，貨物凈重等信息；6.25.3AssayCertificatedulysignedbyOfficeCongo:2firstcopies.由出口國(guó)相關(guān)權(quán)威機(jī)構(gòu)出具的檢驗(yàn)證明副本二份；5.4CertificationofWeightandQualityissuedbySGSattheloadingport.由SGS國(guó)際檢驗(yàn)機(jī)構(gòu)在裝港所進(jìn)行的質(zhì)量及重量檢驗(yàn)證明;5.5PackingListshowinggross/netweight.標(biāo)有毛重凈重的裝箱單;5.6Thecertificateoforigin;貨品的產(chǎn)地證明；5.7WoodenPackingCertificationifapplicable(1/1)如果有木質(zhì)包裝須提交木質(zhì)包裝證明：一正一副6.PACKING,MARKING,FORWARDING(包裝，嘜頭，交付)6.1TheGoodsshallbepackedinawaythatguaranteesthesafetyoftheCopperCathodesduringtransportation.SellershallsendtheCopperCathodespackedbytheManufactureraccordingtotheManufacturer’sspecificationsinpallets..裝的，符合標(biāo)準(zhǔn)的電解銅板。Eachpackageshallcontainthefollowinginformation:每個(gè)包裝需要包括如下信息：-NumberofaBundle捆數(shù)；-WeightGross毛重；-WeightNet凈重；7.FORCEMAJEURE(不可抗力)7.1ThisContractshallbesubjecttoForceMajeure.Shouldanyofthecircumstancescontinuemorethan7(seven)days,namely:governmentrestrictions,naturalcalamities,fire,actofelements,warhostilities(regardlesswaswardeclaredornot),invasion,militaryoperationsofanynature,rebellion,revolution,insurrection,civilwar,riots,strikes,lockoutsorbreakdowns,blockagearisingoutofnaturalcalamity,whichpreventstheBuyer/Sellerfromwhollyorpartiallycarryingoutthecontract,thenthecontractshallbeextendedbymutualagreementforaslongasthesecircumstancesprevail.However,eachofthepartiestothisagreementshallhavetherighttoterminatethisagreementincaseofgovernmentalembargoonexport/importofmetalgoods.AboutsuchadecisiontheotherpartyshallbeinformedimmediatelyshouldForceMajeurecircumstancesoccur.任。不可抗力的原因包括戰(zhàn)爭(zhēng)，封鎖，沖突，叛亂，罷工，雇主停工，內(nèi)亂，騷止合同的決定；7.2ProvidedtheForce-Majeurecircumstancescontinuemorethan2(two)months,eachpartyshallhavetherighttowithdrawfromfulfilmentofitscontractualobligationsandshallimmediatelyinformtheotherpartyofthecircumstancespreventingtheperformanceofthiscontract.AcertificateissuedbytherespectiveChambersofCommerceoftheSeller’s,manufacturersortheBuyer’scountryshallbesufficientproofoftheexistenceanddurationofsuchcircumstances.PartiesshallnotberesponsibleindamagesorotherwiseforanyfailureofperformanceoftheagreementotherthanthepaymentofmoneyifsuchfailureresultsfromForceMajeure.情況的性質(zhì)、毀壞程度及影響合同履行的情況書(shū)面通知對(duì)方。8.ARBITRATION(仲裁)8．1由本合同產(chǎn)生或與本合同有關(guān)的一切糾紛，應(yīng)盡可能經(jīng)雙方談判解決。如具有約束力。9.OTHERCONDITIONS(其它)9.1Bothpartiesagreethatthiscontractwillbedeemedinforceafterthefulfilmentofclause4.1ofthisContractandisvaliduptocompletionofobligationsbybothpartiestothisContract.買賣雙方均認(rèn)同本合同的執(zhí)行將以對(duì)于合同條款4同完成所規(guī)定的各項(xiàng)權(quán)利義務(wù)；9.2AllchangesandamendmentstothisContractshallbevalidifmadeinwrittenformandsignedbybothparties.所有對(duì)于本合同的修訂和補(bǔ)充將以書(shū)面形式體現(xiàn)，并由雙方簽章生效；9.3ThisContractcancelsallpreviousagreementsconcerningthecontentsofthisContract.之前所有與本合同相關(guān)的內(nèi)容的協(xié)議，將以本合同為準(zhǔn)；9.4FaxcopiesofthisContractandotherrelativefulfillmentdocumentsareconsideredasoriginaltillreceivedinoriginalbybothparties.章的合同亦被認(rèn)可生效；9.5Annex1formisanintegralpartofthisContract.附件一作為本合同的補(bǔ)充內(nèi)容，具相同法律效力；10.BANKINGINFORMATION（買賣雙方銀行賬戶信息）（略）11.SIGNATURESWITHCOMPANYSEAL()Seller賣方:Buyer買方:ANNEX1附件一1.SPECIFICATIONOFCOPPERCATHODE(電解銅規(guī)格)Produ
