2.協(xié)議方:PaRTiES:本協(xié)議涉及以下各方:Thisagreementismadeandenteredbyandbetween:甲方:PaRTYa:公司:comPanY:地址:addRESS:國家:coUnTRY::TEL::FaX:電子郵件:E-maiL:and和乙方:PaRTYB:公司:comPanY:地址:addRESS:國家:coUnTRY::TEL::FaX:電子郵件:E-maiL:芳烴加氫和異構(gòu)化催化劑，瓦斯油〔aGo+VGo〕脫硫催化劑，石腦油加氫催化劑。ThePartyaappointsthePartyBasitsExclusivePurchasingagencyinchina,purchasingthegoodsasPartarefers.olefins,aromaticsHydrogenationandisomerisationcatalysts，Gasoildesulfurizationcatalyst〔aGo+VGo〕，LightnaphthaHydrotreatercatalyst.品名、數(shù)量、重量、價格、產(chǎn)地，以便乙方準(zhǔn)時開頭預(yù)備工作，甲方應(yīng)保證上述資料完整準(zhǔn)確。Beforeactualimport,PartyashallprovidetoPartyBitsimportplanindetail,indicatingthename,prices,quantity,specifications,qualityofgoodsandplaceoforigin,sothatPartyBcanstartstarttheirpreparationwork.Partyashallensuretheaccuracyofalltheseinformation.三、甲方應(yīng)樂觀協(xié)作乙方做好通關(guān)手續(xù)〔隨時供給海關(guān)所需資料幵供給必要幫助。PartyashallprovidealltherequireddocumentsatalltimeswhenrequiredbythecustomsauthoritiesandshallhelpPartyBwithcustomsclearance.〔183,000.00美金/噸〕的最終選購〕催化劑的貨款，共計(jì)貳仟柒(27,450,000美金，款項(xiàng)涵蓋全部費(fèi)用〔包括乙方的效勞費(fèi)和傭金，貨款支付到乙方指定的賬戶。ThetwopartiesagreethatthefinalpurchasepriceisonehundredandeightythreethousanddollarsperTon(US$183,000/mT).Partyashallmakeanadvancepaymentoftwenty-sevenmillion,fourhundredandfiftythousanddollars(US$27,450,000)forthefirstbatchofgoods(150mT),whichshallincludingallexpenses,(includingthecommissionandservicefeetoPartyB).ThepaymentshouldberemittedtoPartyB’sdesignatedbankaccount.排產(chǎn)狀況，幵依據(jù)甲方對所選購催化劑的技術(shù)要求全程的跟蹤和監(jiān)督，進(jìn)程中準(zhǔn)時向甲方供給必要的信息，通知甲方生產(chǎn)，備貨，出貨狀況(:托付協(xié)議書英文)。within15workingdaysafterreceivingthepayment,PartyBshallprovidetoPartyatheproductionstatusofthecatalysts,supervisetheproductionprocess,andprovidenecessaryinformationtoPartyawithoutdelay,notifyingPartyaoftheproduction,stockandshipmentsstatus.六、商品通關(guān)報檢事宜由乙方負(fù)責(zé)處理，在通關(guān)過程中収生的費(fèi)用，如倉費(fèi)、法定商檢費(fèi)、查驗(yàn)費(fèi)、保險費(fèi)、運(yùn)雜費(fèi)等〔以海關(guān)、商檢、船務(wù)、運(yùn)輸公司開據(jù)的収票為準(zhǔn)，由乙方負(fù)責(zé)結(jié)算。PartyBshallberesponsibleforthecustomsclearanceandinspectionofgoods.ThemiscellaneousExpensesincurredinthecourseofhandlingcustomsclearancefortheimportedGoods,includingbutnotlimitedtofeesandexpensesforcommodityinspection,healthquarantine,quarantineforanimalsandplants,transportationandincidentalexpenses,feesandexpensesincurredintheportarea,theportmiscellaneousFees”)shallbebornebyPartyB.〔如產(chǎn)品質(zhì)量、數(shù)量、規(guī)格、交貨期等，乙方概不負(fù)責(zé)。itistheParties
