emainthepropertyofAgency,unlessAdvertiserhaspaidAgencyforitsservicesinpreparingsuchitem.AdvertiseragreestoreturntoAgencyanycopy,artwork,platesorotherphysicalembodimentofsuchcreativeworkrelatingtoanysuchideaorplanwhichmaybeinAdvertiser'spossessionatterminationorexpirationofthisAgreement.在協(xié)議結(jié)束時(shí),廣告商同意,任何由代理商準(zhǔn)備并提交給廣告商并沒有由廣告商所使用的,包括廣告,商品,包裝,計(jì)劃或概念(無論是分別提交或是有關(guān)聯(lián)或是作為其它材料的一部分),將作為代理商的財(cái)產(chǎn),除非廣告商支付代理商來準(zhǔn)備此項(xiàng)服務(wù)。廣告商同意,在此協(xié)議終止或到期時(shí),將把可能由廣告商所擁有的和此概念或計(jì)劃相關(guān)的復(fù)印件,藝術(shù)作品,圖板,或其它此創(chuàng)造工作的實(shí)物歸還給代理商。MaterialsandadvertisementcreatedbyAgencypursuanttothisAgreementmaybeusedbyAdvertiseroutsidetheUnitedStateswithoutadditionalcompensation,providedthatAdvertisershallberesponsibleforanyadditionalexpenseassociatedwithsuchuse,suchaschargesfortranslationandamountsduetalent.Agency'sobligationsinSection10.A.aboveshallnotapplywithrespecttoanysuchforeginuse.根據(jù)此協(xié)議,代理商所創(chuàng)造的材料和廣告可以由廣告商在美國之外使用而無需額外的補(bǔ)償,只要廣告商應(yīng)對(duì)與此使用所關(guān)聯(lián)的任何費(fèi)用負(fù)責(zé),如翻譯費(fèi)用和人才費(fèi)用。代理商在上述第10部分A段中的責(zé)任將不適用于此國外使用。IndemnificationandInsuranc賠償和保險(xiǎn)AgencyshallindemnifyandholdAdvertiserharmlesswithrespecttoanyclaims,loss,suit,liabilityorjudgementsufferedbyAdvertiser,includingreasonableattorney'sfeesandcosts,baseduponorrelatedtoanyitempreparedbyAgencyoratAgency'sdirection,including,butnotlimitedto,anyclaimoflibel,slander,piracy,plagiarism,invasionofprivacy,orinfringementofcopyrightorotherintellectualpropertyinterest,exceptwhereanysuchclaimarisesoutofmaterialsuppliedbyAdvertiserandincorporatedintoanymaterialsorarisesoutofmaterialsuppliedbyAdvertiserandincorporatedintoanymaterialsoradvertisementpreparedbyAgency.AgencyagreestoprocureandmaintaininforceduringthetermofthisAgreement,atAgency'sexpense,anadvertisingagencyliabilitypolicyorpolicieshavingaminimumlimitofatleast[InsurancePolicyAmount],namingAdvertiserasanadditionalinsuredandlosspayeeundersuchpolicyorpolicies.代理商應(yīng)在由廣告商所遭受的任何起訴,損失,訴訟,責(zé)任或判決上賠償并使廣告商不受傷害,包括便是的律師費(fèi)用和成本,基于由代理商或在代理商的指導(dǎo)下的所準(zhǔn)備的任何項(xiàng)目,包括,但不局限于,任何關(guān)于誹謗,口頭誹謗,盜版,剽竊,隱私侵害,或侵犯版權(quán)或其它知識(shí)產(chǎn)權(quán)利益的起訴,除了此起訴是來自于由廣告商所提供的材料并歸入了由代理商所準(zhǔn)備的任何材料或廣告。代理商同意獲得并保持,在此協(xié)議期間,由代理出資,一份或幾份廣告代理責(zé)任書,至少有最小限度[保險(xiǎn)單據(jù)金額],指定廣告商作為在此或幾份保單下的額外被保對(duì)象和損失被付人。AdvertiseragreestoindemnifyandholdAgencyharmlesswithrespecttoanyclaims,loss,liability,damageorjudgementsufferedbyAgency,includingreasonableattorney'sfeesandcourtcosts,whichresultsfromtheusebyAgencyofanymaterialfurnishedbyAdvertiserorwherematerialcreatedbyAgencyoratthedirectionofAgencysubjecttotheindemnificationinsubsectionA.aboveismateriallychargedbyAdvertiser.InformationordataobtainedbyAgencyfromAdvertisertosubstantiateclaimsmadeinadvertisingshallbedeemedtobe“materialfurnishedbyAdvertisertoAgency”.廣告商同意賠償并使得代理商免于由代理商所遭受的任何起訴,損失,責(zé)任,傷害或判決書而所付的責(zé)任,包括合理的律師費(fèi)用和法庭費(fèi)用,而此源于廣告商所提供的材料或是由在上述分區(qū)A段中由于廣告商所實(shí)際支付的由代理商所創(chuàng)造的材料或由代理商所指導(dǎo)的。代理商從廣告商那里所得到的信息或數(shù)據(jù)證明在廣告中所受到的起訴應(yīng)被認(rèn)為是“由廣告商提供給代理商的材料”。Intheeventofanproceeding,litigationorsuitagainstAdvertiserbyanyregulatoryagencyorintheeventofanycourtactionorotherproceedingchallenginganyadvertisingpreparedbyAgency,AgencyshallassistinthepreparationofthedefenseofsuchactionorproceedingandcooperatewithAdvertiserandAdvertiser'sattorneys.假如由任何管理機(jī)構(gòu)或假如有任何法庭行動(dòng)或其它訴訟挑戰(zhàn)任何由代理商所準(zhǔn)備的廣告,向廣告商所進(jìn)行的訴訟,打官司或起訴,代理商應(yīng)協(xié)助準(zhǔn)備對(duì)此行動(dòng)或起訴的辯護(hù)并和廣告商和廣告商的律師們合作。Term期限ThetermofthisAgreemenshallcommenceon[StartDate]andshallcontinueinfullforceandeffectuntilterminatedbythirdpartyuponatleastninety(90)dayspriorwrittennotice,providedthatinnoevent(exceptbreach)maythisAgreementbeterminatedpriorto[EarliestEndDate].Therights,dutiesandobligationsofthepartiesshallcontinueinfullforceduringorfollowingtheperodoftheterminationnoticeuntiltermination,includingtheorderingandbillingofadvertisinginmediawhoseclosingdatesfollowthensuchperiod.此協(xié)議期限應(yīng)人[開始日]起,并應(yīng)繼續(xù)有效至在任何一方的書面通知終至的90天前,如果此協(xié)議不會(huì)(除非違約)在[最早終止日]前結(jié)束。雙方的權(quán)利,責(zé)任和義務(wù)將完全有效在此終止通知日期期間或之后,包括媒體中的廣告的定購和開票,而其終止日遵循這個(gè)日期。RightsUponTermination終止時(shí)權(quán)利A.UponterminationoftheAgreement,Agencyshalltransfer,assignandmakeavailabletoAdvertiserallpropertyandmaterialsinAgency'spossessionorsubjecttoAgency'scontrolthatarethepropertyofAdvertiser,subjecttopaymentinfullofamountsduepursuanttothisAgreement.在此協(xié)議終止時(shí),代理商應(yīng)轉(zhuǎn)交,分配并把代理所擁有的所有財(cái)產(chǎn)和材料或由代理商所控制的給廣告商,根據(jù)此協(xié)議,以完全付款到期為止。B.Upontermination,Agencyagreestoprovidereasonablecooperationinarrangingforthetransferorapprovalofthirdparty'sinterestinallcontracts,agreementsandotherarrangementswithadvertisingmedia,suppliers,talentandothersnotthenutilized,andal
