鍋爐設(shè)備進(jìn)口合同中英文對(duì)照版鍋爐設(shè)備進(jìn)口合同CONTRACTOFIMPORTSALEOFBOILEREQUIPMENT買方：Buyer地址address法定代表人Legalrepresentative賣方：Seller地址address法定代表人Legalrepresentative本合同由買賣雙方締結(jié)，用中、英文字寫成，兩種文體具有同等效力，按照下述條款，賣方同意售出買方同意購進(jìn)以下商品ThisContract，madeout，inChineseandEnglish，bothversionbeingequallyauthentic，byandbetweentheSellerandtheBuyerwherebytheSelleragreestosellandtheBuyeragreestobuytheundermentionedgoodssubjecttotermsandconditionssetforthhereinafterasfollows1．BasePrice&Scopeofsupply基價(jià)和供貨范圍ThefollowingpricesandsuppliesarebasedontheTechnicalspecificationNo.TS-NY-11-0016Rev.1preparedbyMitsubishiHeavyIndustries,Ltd.如下價(jià)格和供貨是以廠家準(zhǔn)備的No.TS-NY-11-0016Rev.1技術(shù)資料為基礎(chǔ)。2.quoteprice價(jià)格計(jì)算i)AlltheequipmentsareprovidedbyMitsubishiHeavyIndustries,Ltd.所有的設(shè)備由日本廠家提供。ⅱ)Thepricementionedabovearequotedunderconditionthatalloftheitemsandquantityofferedshallbeorderedinonelotatthesametimewithinthevalidityperiod.Incaseofpartialorder,pricesshallbere-quoted.以上價(jià)格基礎(chǔ)為所有項(xiàng)目以及產(chǎn)品數(shù)量在合同有效期內(nèi)一次同時(shí)訂購。如分批訂購，應(yīng)重新價(jià)格。ⅲ)Thispriceissubjecttoexchangeratevariation.Variationintheexchangeratebetweentimeofquotationandthepaymentshallbedealtwithasfollows:本價(jià)格受匯率影響。價(jià)格與付款時(shí)的匯率變化應(yīng)作如下處理(a)Theexchangerateattimeofsignatureofthiscontractis\12.4/RMB.Thus,thetotalpriceamountinJPYisJPY.(BasePrice)簽約時(shí)匯率為￥12.4/RMB。因此，本價(jià)格的日元總額為（基本價(jià)格）(b)TheactualpaymentinRMBshallbeadjustedbydividingthedueamountofBasePricebytheexchangerateofJ\/RMBatTTBpublishedbyCentralBankofChinaonedaybeforethepaymentiftheexchangerateislessthan\12.4/RMB.如果匯率少于￥12.4/RMB，實(shí)際人民幣付款應(yīng)使用基本價(jià)格除以付款前一日中國中央銀行公布的電匯買入價(jià)匯率日元對(duì)人民幣。(c)Iftheexchangerateatthetimeofpaymentismorethan\12.4/RMB,theSellercanselectthepaymentinRMBasshowninthequotedamount.如果付款時(shí)匯率高于￥12.4/RMB，賣方可以選用所價(jià)格格用人民幣支付。ⅳ)T/AfeeispreliminarycalculatedbasedontheunitrateasperT/A’sgeneraltermsandconditionsinAttachment-2andtheestimatedman/daysshowninthetechnicalspecification.Iftheactualman/dayischangedfromtheassumption,thisT/Afeeshallbeadjusted.Thedetailcalculation’sisattachedasannex-3.技術(shù)指導(dǎo)費(fèi)以附件2中技術(shù)指導(dǎo)費(fèi)的一般條款套匯率為基礎(chǔ)。如果實(shí)際天數(shù)與設(shè)想天數(shù)有所改變，則技術(shù)指導(dǎo)費(fèi)需調(diào)整。詳細(xì)的計(jì)算如附件3所附。3．TermsofDelivery:交貨條件DDPPowerStationinaccordancewiththetermsdefinedinINCOTERMS2000.采用通則2000中的DDP術(shù)語。4．DeliveryPeriod:交貨期ThedeliveryperiodsfortheeachunitsarethefollowingperiodstobecountedaftercontractsignedbybothpartiessubjecttoavailabilityofcargospaceofvesselorflightandapprovalofJapanesegovernmentforexport,ifnecessary.每套貨物的交貨期即如下自雙方簽署合同之日起算，同時(shí)考慮船舶或飛機(jī)的貨物艙位情況以及日本政府出口許可，如有需求。ForitemsofNo.1Unit:OnorBefore___day___month____yearatDDPpowerstation.第1套設(shè)備項(xiàng)目：賣方于____年___月__日或之前完稅后交貨于發(fā)電廠。ForitemsofNo.2Unit:OnorBefore___day___month____yearatDDPpowerstationSubjecttoSeller’sreceiptofLetterofIntent第2套設(shè)備項(xiàng)目：賣方于____年___月__日或之前完稅后交貨于發(fā)電廠。5．Seller’sliabilities賣方責(zé)任TheSellershallsupply/providethefollowingsunderthisContract:由賣方應(yīng)根據(jù)合同負(fù)責(zé)供應(yīng)/提供的包括：5.1.Seller’sscopeofworkunderthisquotationisforsupplyofgoodsdescribedinAttachment-1本價(jià)格中賣方的供貨范圍為供應(yīng)附件-1中所描述的貨物。5.2.AnyworksotherthanstipulatedinArticle4.1above,including,withoutlimitation,thosewhicharelistedbelow,areoutofthescopeofSeller.上述條款4.1規(guī)定以外的工作，包括但不限于以下列明的項(xiàng)目均不屬于賣方范圍。(A)Anybankguarantee.任何銀行保證(B)InstallationandInspectionatsite.現(xiàn)場(chǎng)安裝和檢查6.Paymentconditions:付款規(guī)定50%ofthecontractualamountshallbepaidbyTTRwithin30daysaftersigningtheContract.RemainingamountshallbepaidbyTTRwithin30daysafterarrivalofthegoodsatPowerStation.50%的合同金額需在簽訂合同后30天內(nèi)電匯支付，剩余部分需在貨物到達(dá)電廠后30天內(nèi)電匯支付。7.WarrantyConditions:保證條款SellerwarrantstoBuyerthatthePartsshallbefreefromanydefectinmaterialand/orworkmanshipforaperiodoftwelve(12)monthsafterinstallationoreighteen(18)monthsfromthedateofFOBdatewhichevercomesearlier.(“WarrantyPeriod”)賣方向買方保證所供應(yīng)的部件完全不會(huì)出現(xiàn)任何材料瑕疵和/或做工欠缺，保證期限為安裝后十二（12）個(gè)月或自日本港口發(fā)貨之FOB日起算十八（18）個(gè)月，以先到者為準(zhǔn)（質(zhì)保期）。IncasethatthedefectmentionedintheaboveisfoundduringtheWarrantyPeriod,Sellershallatitsoption,promptlyrepairatnoextracosttoBuyerordelivertothesiteoftheProjectreplacementParts.Insuchcase,theWarrantyPeriodforsaiditemorpartshallbeextendedforaperiodof12monthsfromthedateofshipment.InnocaseshallSellerhaveanyliabilitiesfordefectswhetherdiscoveredornot,includinglatentdefects,beyondtheexpirationof12monthsfromthedateofdeliveryoftheoriginalParts.如在質(zhì)保期內(nèi)出現(xiàn)上述缺陷，賣方應(yīng)根據(jù)需要立即為買方進(jìn)行修復(fù)或向項(xiàng)目現(xiàn)場(chǎng)提供替換部件，并且不另行收費(fèi)。在這種情況下，該部件的質(zhì)保期應(yīng)自發(fā)貨之日起再延長12個(gè)月。無論何種情況下，在原部件交付后超過12個(gè)月的，賣方將不對(duì)任何未發(fā)現(xiàn)或已發(fā)現(xiàn)的缺陷，包括隱蔽瑕疵等負(fù)責(zé)。8.Confidentiality保密條款除法律規(guī)定或合同另有約定外，未經(jīng)發(fā)包人同意，承包人不得將發(fā)包人提供的圖紙、文件以及聲明需要保密的資料信息等商業(yè)秘密泄露給第三方。除?法律規(guī)定或合同另有約定外，未經(jīng)承包人同意，發(fā)包人不得將承包人提供的技術(shù)秘密及聲明需要保密的資料信息等商業(yè)秘密泄露給第三方。Exceptotherwisestipulatedbylaworcontract,thecontractorshallnot,withoutthepriorconsentoftheemployer,discloseordivulgetothethirdpartywiththedrawings,documents,whichareprovidedbytheemployerandthecommercialsecretswhicharestatedbytheemployerasconfidentiality.Exceptotherwisestipulatedbylaworcontract,theemployershallnot,withoutthepriorconsentofthecontractor,discloseordivulgetothethirdpartywiththedrawings,documents,whichareprovidedbythecontractorandthecommercialsecretswhicharestatedbythecontractorasconfidentiality.9.FORCEMAJEURE不可抗力在合同有效期內(nèi)，任何一方因不可抗力事件導(dǎo)致不能履行合同，則合同履行期可延長，其延長期與不可抗力影響期相同。不可抗力事件發(fā)生后，應(yīng)立即通知對(duì)方，并提交有關(guān)機(jī)構(gòu)出具的證明。不可抗力發(fā)生后，甲乙雙方均應(yīng)采取措施盡量避免和減少損失的擴(kuò)大，任何一方當(dāng)事人沒有采取有效措施導(dǎo)致?lián)p失擴(kuò)大的，應(yīng)對(duì)擴(kuò)大的損失承擔(dān)責(zé)任。Where,duringthetermofthecontract,eitherpartyisunabletoperformthecontractduetoaneventofforcemajeure,theperiodofperformanceofthecontractmaybeextendedforthesameperiodastheperiodaffectedbytheforcemajeure.Theotherpartyshallbenotifiedimmediatelyupontheoccurrenceoftheeventofforcemajeureandshallsubmitacertificateissuedbytherelevantauthority.Aftertheoccurrenceofforcemajeure,bothpartiesshalltakemeasurestoavoidandreducetheexpansionoflossesasfaraspossible.Ifeitherpartyfailstotakeeffectivemeasuresleadingtotheexpansionoflosses,itshallbeliablefortheexpandedlosses.10.LimitationofLiability賠償責(zé)任限制TheaggregateliabilityoftheSeller,onallclaimsofanykind,whetherincontract,warranty,liquidateddamages,indemnity,tort(includingnegligence),strictliability,errorsoromissionorotherwise,arisingoutoftheperformanceorbreachofthisContract,theuseofanyPartsshallnotexceed50%ofthetotalvalueoftheContract.TheBuyershallpresentsatisfactoryevidencethatthedamageliesintheworkofthisContract.Fortheavoidanceofdoubt,allliabilityshallterminateupontheexpirationofthewarrantyperiodunderthisContract.賣方針對(duì)所有索賠要求的總賠償責(zé)任，無論是根據(jù)合同規(guī)定、保證規(guī)定、違約償金規(guī)定、賠償規(guī)定、民事規(guī)定（包括疏忽）、嚴(yán)格賠償責(zé)任、錯(cuò)誤或疏忽或其他規(guī)定提出的違約索賠要求均不得超過合同總價(jià)值的50％。買方應(yīng)提出充分證據(jù)證明損壞情況符合合同之規(guī)定。為避免分歧，所有賠償責(zé)任應(yīng)在本合同質(zhì)保期結(jié)束后一并失效。Innoevent,whetherasaresultofbreachofcontract,warranty,indemnity,tort(includingnegligence),strictliability,orotherwise,shalltheSeller’sPartiesbeliableforlossofprofitorrevenues,lossofbusiness,lossofuseoftheplantincluding,butnotlimitedto,GTLSand/oranyassociatedequipment,costofcapital,costofsubstituteequipment,facilities,servicesorreplacementpower,downtimecosts,claimsofBuyer’scustomersforsuchdamages,orforanyspecial,consequential,collateral,downstream,incidental,indirect,punitiveorexemplarydamages.無論何種情況下，即不論是否因違反合同規(guī)定、保證規(guī)定、賠償規(guī)定、民事規(guī)定（包括疏忽大意）、嚴(yán)格賠償責(zé)任，或其他規(guī)定，簽約雙方均無需對(duì)利潤或收入損失、業(yè)務(wù)損失、工廠使用性損失、包括但不限于任何附屬設(shè)備、資金成本、替代設(shè)備、設(shè)施、服務(wù)成本或更換電源、停機(jī)成本、買方客戶因損壞的索賠或任何特殊、間接、連帶、后續(xù)、意外、非直接、懲罰性或超額賠償?shù)蓉?fù)責(zé)。11.LiquidatedDamages違約償金IftheSellerfailtodeliveryanyPartinaccordancetothedeliveryscheduleintheContract,theSellershallpayliquidateddamagestotheBuyerforthefailuretodeliverthePartsattherateof0.2%ofthedelayedPartpricepermonth,whichoneishigheruptoa
