國(guó)際工程招標(biāo)說(shuō)明書(shū)格式全文日期：協(xié)議招標(biāo)一、中國(guó)從世界銀行申請(qǐng)取得貸款，用于支付＿＿＿＿＿項(xiàng)目標(biāo)費(fèi)用。部分貸款將用于支付工程建筑、＿＿＿＿等多種協(xié)議。全部依世界銀行指導(dǎo)標(biāo)準(zhǔn)含有資格國(guó)家，全部可參與招標(biāo)。1.ThePeople'sRepublicofChinahas-appliedforaloanandcreditfromtheWorldBanktowardsthecostof________________Project.Itisintendedthatpartoftheproceedsofthisloanandcreditwillbeappliedtoeligiblepaymentundervariouscontractsfor____________,__________,__________.Tenderingisopentoalltenderersfromeligiblesourcecountriesasdefinedunderthe"Guidelinesforprocurement"oftheWorldBank.二、中國(guó)＿＿企業(yè)（以下簡(jiǎn)稱Ａ企業(yè)）邀請(qǐng)含有資格投標(biāo)者提供密封標(biāo)書(shū)，提供完成協(xié)議工程所需勞力、材料、設(shè)備和服務(wù)。2.___________Companynowinvitessealedtendersfrompre-qualifiedtenderersforprovisionofthenecessarylabour,materials,equipmentandservicesfortheconstructionandcompletionoftheproject.三、含有資格投標(biāo)者可從以下地址取得更多信息，或參看招標(biāo)文件：中國(guó)Ａ企業(yè)（地址）3.Pre-qualifiedtenderersmayobtainfurtherinformationfrom,andinspectthetenderdocumentsattheofficeof:________.四、每一位含有資格投標(biāo)者在交納＿＿＿＿＿美元（或人民幣），并提交書(shū)面申請(qǐng)后，均可從上述地址取得招標(biāo)文件。4.Acompletesetoftenderdocumentsmaybeobtainedbyanypre-qualifiedtendererforthecostofRMB_________orUS$___________onthesubmissionofawrittenapplicationtotheabove.五、每一份標(biāo)書(shū)全部要附一份投標(biāo)確保書(shū)，且應(yīng)不遲于＿＿＿＿＿（時(shí)間）提交給Ａ企業(yè)。5.AlltendersmustbeaccompaniedbyaTenderSecurityinanacceptableformandmustbedeliveredto________Companyattheabove-mentionedaddress(refertoItem3)onorbefore___________.六、全部標(biāo)書(shū)將在＿＿＿＿＿（時(shí)間）當(dāng)著投標(biāo)者代表面開(kāi)標(biāo)。6.Tenderswillbeopenedinthepresenceofthosetenderers'representativeswhochoosetoattendat____________(time).七、假如含有資格國(guó)外投標(biāo)者期望和一位中國(guó)中國(guó)承包人組建合資企業(yè)，需在投標(biāo)截止日期前３０天提出要求。業(yè)主有權(quán)決定是否同意選定中國(guó)承包人。7.IfaprequalifiedforeigntendererwishestoformJointventurewithadomesticcontractor,sucharequestwillbeconsideredifreceivedwithin______daysbeforetheclosingdateforsubmissionoftenders.TheselectedlocalcontractorshallbesubjecttoapprovalbytheEmployer.八、標(biāo)前會(huì)議將在＿＿＿＿＿（時(shí)間）＿＿＿＿＿（地址）召開(kāi)。8.ThePre-TenderMeetingwillbeheldon__________atthefollowingaddress:_________.投標(biāo)者須知InstructionstoTenderersGeneral一、工程概述（依據(jù)具體情況寫(xiě)）1.DescriptionofWorks(sketch)Alltenderersshallhaveequalaccessforsupplyofdomesticlabourandmaterial.TheContractorshallmakehisownarrangementsfortheprocurementoflocallabour,materials,transportationandotherservices.TheEmployerwillassistContractorinlocatingpotentialnumberofsuppliersforlocallabour,materials.TheEmployerwillalsoassistthecontractorinmakinghisownarrangementforsupplyoffuelandexplosives.二、資金起源2.SourceofFunds（一）中國(guó)向世界銀行（以下簡(jiǎn)稱ＩＦＩ）申請(qǐng)一筆貸款，用以支付＿＿＿＿＿工程。其中部分貸款將用于支付此協(xié)議工程。只有應(yīng)中國(guó)政府要求，依據(jù)貸款協(xié)議條件，ＩＦＩ才會(huì)同意付款。除中國(guó)外，任何組織不能從貸款協(xié)議中取得權(quán)利或取得貸款。2.1ThePeople'sRepublicofChinahasappliedforaloanandcreditfromtheWorldBank(hereinafterreferredtoastheIFI)towardsthecostof____________Project,andintendstoapplyaportionoftheproceedsoftheloanandcredittoeligiblepaymentsundertheContractforwhichthesedocumentsareissued.PaymentbytheIFIwillbemadeonlyattherequestoftheChineseGovernmentanduponapprovalbytheIFIandwillbesubjectinallrespectstothetermsandconditionsoftheLoanAgreement.NopartyotherthanthePeople'sRepublicofChinashallderiveanyrightsfromtheLoanAgreementorhaveanyclaimtotheloanproceeds.（二）世行貸款只用于支付瑞士和和中國(guó)有商貿(mào)關(guān)系世行組員國(guó)生產(chǎn)產(chǎn)品和提供服務(wù)。2.2PaymentfromtheproceedsoftheWorldBankLoanwillbelimitedtogoodsproducedin,andservicessuppliedfrom,SwitzerlandandthemembercountriesoftheWorldBankwhichhavecommercialrelationswithChina.（三）世行貸款不足部分將由業(yè)主用中國(guó)政府提供資金支付。2.3AllcostsnotmetbytheIFILoanwillbepaidbytheEmployerfromfundsallocatedbytheGovernmentofChina.三、資格要求3.EligibilityandQualificationRequirements（一）全部依據(jù)世行“采購(gòu)指導(dǎo)標(biāo)準(zhǔn)”含有資格國(guó)家均可投標(biāo)。3.1Thistenderisopentoallpre-qualifiedtenderersfromeligiblesourcecountriesasdefinedunderthe"GuidelinesforProcurement"oftheworldBank.（二）本協(xié)議項(xiàng)下一切貨物、服務(wù)均應(yīng)來(lái)自上述含有資格國(guó)家。本協(xié)議項(xiàng)下一切開(kāi)支僅限于支付這么貨物和服務(wù)。3.2AllgoodsandservicestobesuppliedunderthisContractshallhavetheiroriginineligiblesourcecountries,andallexpendituresmadeundertheContractwillbelimitedtosuchgoodsandservices.（三）貨物、服務(wù)起源地和投標(biāo)者國(guó)籍含義不一樣。3.3Theoriginofgoodsandservicesisdistinctfromthenationalityofthetenderer.（四）為說(shuō)明自己有資格中標(biāo)，投標(biāo)者應(yīng)向業(yè)主提供（一）所要求證實(shí)，確保有效地實(shí)施協(xié)議。為此，業(yè)主和中國(guó)Ａ企業(yè)在公布中標(biāo)者前，可要求投標(biāo)者更新其先前提供資格證實(shí)材料。投標(biāo)者提供材料應(yīng)包含：3.4Tobeeligibleforawardofcontract,tenderersshallhaveprovidedevidencesatisfactorytotheEmployeroftheireligibilityunderclause3.1above,andoftheircapabilityandadequacyofresourcestoeffectivelycarryouttheContract.Tothisend,theEmployerand____________companymay,atanytimepriortoawardofcontract,requesttendererstoamplifyorupdatepreviouslysubmittedprequalificationdata.AllTenderssubmittedshallincludethefollowinginformation:（１）法律地位證實(shí)文件復(fù)本，注冊(cè)地及關(guān)鍵經(jīng)營(yíng)場(chǎng)所。假如是合資企業(yè)，應(yīng)提供合資者材料。(a)copiesoforiginaldocumentsdefiningtheconstitutionorlegalstatus,placeofregistrationandprincipalplaceofbusinessofthecompany,firmorpartnershipor,ifajointventure,ofeachpartytheretoconstitutingthetenderer;（２）提供關(guān)鍵協(xié)議實(shí)施人資格、經(jīng)歷證實(shí)材料。(b)thequalificationsandexperienceofkeypersonnelproposedforadministrationandexecutionoftheContract,bothonandoffsite,intheformatprescribedinScheduleV;（３）填寫(xiě)實(shí)施協(xié)議計(jì)劃所需設(shè)備。(c)majoritemsofconstructionalplantandequipmentproposedforuseincarryingouttheContractintheformatprescribedinScheduleIV;（４）填寫(xiě)可能分包人。(d)alistofproposedsub-contractorsintheformatprescribedinScheduleVI;（５）現(xiàn)在進(jìn)行中包含投標(biāo)者訴訟情況。(e)informationregardinganycurrentlitigationinwhichthetendererisinvolved;（６）建設(shè)構(gòu)想細(xì)節(jié)。(f)thedetailsoftheconstructionmethodsproposed.（五）投標(biāo)者可更新資格證實(shí)申請(qǐng)，在投標(biāo)日親手交出。3.5Forthepurposesofsub-clause3.4,tendererswhohavebeenpre-qualifiedmayupdateandaugmenttheinformationsuppliedwiththeirapplicationforpre-qualification,and,inparticular,shallgiveparticularsofworkinhandatthedateoftendering.（六）由兩家或兩家以上企業(yè)組成合資企業(yè)應(yīng)滿足以下條件：3.6Tenderssubmittedbyajointventureoftwoormorefirmsaspartnersshallcomplywiththefollowingrequirements:（１）標(biāo)書(shū)和投標(biāo)成功后協(xié)議書(shū)對(duì)全部合資人全部有法律約束力。(a)thetender,andincaseofasuccessfultendertheFormofAgreement,shallbesignedsoastobelegallybindingonallpartners;（２）由全部合資人授權(quán)簽字人簽署并提交一份委托書(shū)，提名合資人中一個(gè)為主辦人。(b)oneoftheJointVenturemembersshallbenominatedassponsor;andthisauthorisationshallbeevidencedbysubmittingapowerofattorneysignedbylegallyauthorisedsignatoriesofallthemembersofthejointventure;（３）合資主辦人被授權(quán)負(fù)擔(dān)義務(wù)，代表任何一位或全體合資人接收指導(dǎo)。整個(gè)協(xié)議實(shí)施，包含款項(xiàng)支付僅由合資主辦人辦理。(c)thejointventuresponsorshallbeauthorisedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyandallmembersofthejointventureandtheentireexecutionoftheContractincludingpaymentshallbedoneexclusivelywiththejointventuresponsor;（４）全部合資人依據(jù)協(xié)議條款對(duì)協(xié)議實(shí)施共同負(fù)責(zé)。這點(diǎn)申明不僅要在上述委托書(shū)中，也要在標(biāo)書(shū)和協(xié)議（投標(biāo)成功時(shí)）中寫(xiě)明。(d)allmembersofthejointventureshallbeliablejointlyandseverallyfortheexecutionoftheContractinaccordancewiththeContractterms,andarelevantstatementtothiseffectshallbeincludedintheauthorisationmentionedunder(b)aboveaswellasintheFormofTenderandtheFormofAgreement(incaseofasuccessfultender);and（５）隨同標(biāo)書(shū)應(yīng)有一份合資伙伴間協(xié)議副本。(e)acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththetender.（七）中國(guó)投標(biāo)者、中外合作、合資投標(biāo)者申請(qǐng)取得７．５％優(yōu)惠時(shí)，應(yīng)按二十九條要求提供證實(shí)合乎標(biāo)準(zhǔn)材料。3.7Domestictenderersorcombinationsorjointventuresofdomesticandforeigntenderersapplyingforeligibilityfortheapplicationofa_____%marginofpreferenceinthecomparisonoftheirtenderwithothertendersshallsupplyallinformationrequiredtosatisfythecriteriaforeligibilityasdescribedinClause29oftheseInstructions.四、投標(biāo)費(fèi)用4.CostofTendering投標(biāo)者負(fù)擔(dān)備和提交其標(biāo)書(shū)所需全部費(fèi)用。不管投標(biāo)情況怎樣，業(yè)主和其代理人中國(guó)Ａ企業(yè)全部不負(fù)擔(dān)這些費(fèi)用。ThetenderershallbearallcostsassociatedwiththepreparationandsubmissionofhistenderandneithertheEmployernorhisagent___________Companywillinanywayberesponsibleorliableforthosecosts,regardlessoftheoutcomeofthetenderingprocess.五、現(xiàn)場(chǎng)參觀5.SiteVisit（一）提議投標(biāo)者去工程現(xiàn)場(chǎng)參觀，方便取得足夠信息準(zhǔn)備標(biāo)書(shū)，撰寫(xiě)協(xié)議?，F(xiàn)場(chǎng)參觀費(fèi)用由投標(biāo)者自己負(fù)擔(dān)。5.1ThetendererisadvisedtovisitandexaminetheSiteoftheWorksandthesurroundingsandtoobtainforhimselfonhisownresponsibility,allinformationthatmaybenecessaryforpreparingthetenderandenteringintoacontract.Thecostsofvisitingthesiteshallbeatthetenderer'sownexpense.（二）業(yè)主或其代理人Ａ企業(yè)將準(zhǔn)備一份現(xiàn)場(chǎng)參觀交通、食宿安排協(xié)議，在標(biāo)前會(huì)議上向投標(biāo)者宣告。具體情況在第十六條有要求。5.2Arrangementsforavisittosite,includingtransportationandaccommodation.willbemadebytheEmployerorhisagent_________Companyandwillbeadvisedtotenderersatthepre-tendermeeting,detailsofwhicharegiveninClause16oftheseInstructionstoTenderers.,（三）業(yè)主或其代理人Ａ企業(yè)將為投標(biāo)者提供通行證，許可其到工程現(xiàn)場(chǎng)作安排。假如業(yè)主或其代理人因發(fā)放這么通行證，造成投標(biāo)者或其代理人、人員遭受人身侵害（致命或不致命）傷害，財(cái)產(chǎn)遺失或其它損害、開(kāi)支時(shí)，業(yè)主或代理人不負(fù)責(zé)。5.3ThetendererandanyofhisrepresentativeswillbegrantedpermissionbytheEmployerorhisagent___________companytoenteruponitspremisesandlandsforthepurposeofsuchinspectionbypriorarrangement,butonlyupontheexpressconditionthatthetendererandhisrepresentatives,willreleaseandindemnifytheEmployerorhisagent___________Companyanditspersonnelfromandagainstallliabilityinrespectthereofandwillberesponsibleforpersonalinjury(whetherfatalorotherwise),lossofordamagetopropertyandanyotherloss,damage,costsandexpenseshowevercaused,which,butfortheexerciseofsuchpermission,wouldnothavearisen.投標(biāo)文件TenderDocuments六、投標(biāo)文件內(nèi)容6.ContentofTenderDocuments（一）向投標(biāo)者發(fā)售一套投標(biāo)文件可花費(fèi)＿＿＿＿＿美元（元）取得，包含以下幾部分：卷一投標(biāo)者須知協(xié)議條款：通常條款特定條款卷二技術(shù)規(guī)范（包含圖紙清單）卷三投標(biāo)表格和附件；投標(biāo)確保書(shū)；工程量表；附錄。卷四圖紙6.1Thesetofdocumentsissuedtopre-qualifiedtenderersforthepurposeoftenderingwillcostRMB_______orUS$______andwillincludethestatednumberofcopiesofthefollowing:NumberofcopiesDescription1Volume1InstructionstoTenderersConditionsofContract:PartI--GeneralPartII--ConditionsofParticularApplication1Volume2Specification(incl.listofDrawings)3Volume3FormofTenderandAppendixtheretoFormofTenderSecurityBillofQuantitiesSchedulesofSupplementaryInformation1Volume4Drawings（二）投標(biāo)文件還包含按條款八在開(kāi)標(biāo)前公布附件和按條款十六召開(kāi)標(biāo)前會(huì)議會(huì)議紀(jì)要。6.2TenderdocumentsshallincludeanyaddendaissuedpriortotheclosingdateoftendersinaccordancewithClause8andanyminutesofpre-tendermeetingsissuedinaccordancewithClause16oftheseInstructionstoTenderers.（三）含有資格投標(biāo)者還可購(gòu)置更多文件副本，付費(fèi)不退還。（價(jià)格以下，略）6.3Furthercopiesofthedocumentsmaybepurchasedbypre-qualifiedtenderersforanon-refundablefeeasfollows:(sketch)（四）項(xiàng)目承包人、生產(chǎn)者、供貨人和其它人如欲得到投標(biāo)文件，不要直接和中國(guó)Ａ企業(yè)聯(lián)絡(luò)，應(yīng)從含有資格投標(biāo)者處取得。6.4Sub-contractors,manufacturers,suppliersandotherswhorequirecopiesofthedocumentsshallnotrequestthemdirectlyfrom_____________butshallobtainthemonlyfrompre-qualifiedtenderers.（五）假如在要求期限內(nèi)，文件無(wú)損壞被歸還，不管是作為標(biāo)書(shū)一部分或其它情況下，投標(biāo)者資格證實(shí)費(fèi)可被返還：6.5Onreturnofthedocumentsinanundamagedanduseablecondition,eitheraspartofatenderorotherwise,withinthespecifiedtimelimits,thetenderer'spre-qualificationfeewillberefunded,asfollows:（１）若提交標(biāo)書(shū)，費(fèi)用＿％返還；(a)Tendersubmitted:_________________%refundoffee（２）若未提交標(biāo)書(shū)，在投標(biāo)截止日前歸還文件，費(fèi)用＿％返還。(b)Tendernotsubmittedbut________________%refundoffeedocumentsreturnedpriortoclosingdateoftender（六）期望投標(biāo)者認(rèn)真閱讀投標(biāo)文件包含各項(xiàng)內(nèi)容。投標(biāo)者要負(fù)擔(dān)因不遵守文件要求造成風(fēng)險(xiǎn)。不符合文件要求要求標(biāo)書(shū)將被拒絕。6.6Thetendererisexpectedtoexaminecarefullyallinstructions,conditions,forms,terms,specificationsanddrawingsinthetenderdocuments.FailuretocomplywiththerequirementsoftheInstructionstoTendererswillbeatthetenderer'sownrisk.Tenderswhicharenotsubstantiallyresponsivetotherequirementsofthetenderdocumentsmayberejected.（七）投標(biāo)文件四卷裝訂在一起，投標(biāo)者應(yīng)仔細(xì)檢驗(yàn)是否缺頁(yè)，及附件是否完整。6.7Thefourvolumesofthetenderdocumentshavebeencollatedandboundbymechanicalmeansandtenderersshouldchecktoensurethattheycontainallpages(whicharenumberedconsecutively)andthatallsupplementsreferredtoarealsoincluded.七、投標(biāo)文件解釋7.ClarificationofTenderDocuments潛在投標(biāo)者可按以下地址書(shū)面或電傳通知Ａ企業(yè)要求解釋文件：地址：（略）7.1AProspectivetendererrequiringanyclarificationofthetenderdocumentsmaynotify___________inwritingorbytelexatthefollowingaddress:__________.業(yè)主或其代理人Ａ企業(yè)在提交標(biāo)書(shū)最終期限前２８天書(shū)面回復(fù)解釋文件要求。書(shū)面回復(fù)將向全部含有資格并已取得投標(biāo)文件投標(biāo)者散發(fā)。TheEmployerorhisagent_____________willrespondinwritingtoanyrequestforclarificationwhichisreceivedmorethan_____dayspriortothedeadlineforsubmissionoftenders.Writtencopiesoftheresponse(includinganexplanationofthequery,butwithoutidentifyingthesourceoftheinquiry)willbesenttoallprequalifiedtendererswhohavebeenissuedwithtenderdocuments.八、投標(biāo)文件修正8.AmendmentofTenderDocuments（一）在提交標(biāo)書(shū)最終期限前，業(yè)主可依據(jù)自己意愿，或應(yīng)回復(fù)潛在投標(biāo)者解釋文件要求，公布附錄修改投標(biāo)文件。8.1Priortothedeadlineforsubmissionoftenders,theEmployermay,foranyreason,whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectivetenderer,modifythetenderdocumentsbytheissueofanAddendum.（二）附錄將用郵件、電傳或電報(bào)送達(dá)每個(gè)持有投標(biāo)文件含有資格投標(biāo)者，這些文件對(duì)她們是有約束力。潛在投標(biāo)者應(yīng)即時(shí)用電傳或電報(bào)通知Ａ企業(yè)附錄已收到。8.2TheAddendumwillbesentinwritingorbytelexortelegramtoallpre-qualifiedtendererswhohavepickedupthetenderdocumentsandwillbebindinguponthem.Prospectivetenderersshallpromptlyacknowledgereceiptthereofbytelexortelegramto____________.（三）為了使投標(biāo)者在準(zhǔn)備投標(biāo)時(shí)有時(shí)間考慮附錄文件，業(yè)主或其代理人Ａ企業(yè)可按條款十九要求延長(zhǎng)投標(biāo)期限。8.3InordertoaffordprospectivetenderersreasonabletimeinwhichtotakeanAddendumintoaccountinpreparingtheirtenders,theEmployerorhisagent_________may,attheirdiscretion,extendthedeadlineforthesubmissionoftendersinaccordancewithClause19hereof.投標(biāo)準(zhǔn)備PreparationofTenders九、標(biāo)書(shū)文字9.LanguageofTender標(biāo)書(shū)和投標(biāo)者和業(yè)主及其代理人Ａ企業(yè)之間一切聯(lián)絡(luò)均使用英文。投標(biāo)者標(biāo)書(shū)中部分輔助文件或小冊(cè)子可使用另外語(yǔ)言，但和投標(biāo)相關(guān)段落要有英語(yǔ)譯文。在標(biāo)書(shū)翻譯時(shí)，以英文為準(zhǔn)。9.1ThetenderandallcorrespondencerelatingtothetenderexchangedbythetendererandtheEmployerorhisagent__________shallbeinEnglish.SupportingdocumentsandprintedliteraturefurnishedbythetendererwiththetendermaybeinanotherlanguageprovidedtheyareaccompaniedbyanappropriateEnglishtranslationofpertinentpassages.Forthepurposeofinterpretationofthetender,theEnglishversionshallprevail.十、組成標(biāo)書(shū)文件10.DocumentsComprisingtheTender（一）投標(biāo)者準(zhǔn)備標(biāo)書(shū)應(yīng)包含以下幾部件：10.1ThetendertobePreparedbythetenderershallcontainthefollowing:（１）投標(biāo)表格和附件theFormofTenderandAppendixthereto;（２）投標(biāo)確保書(shū)theTenderSecurity;（３）標(biāo)價(jià)工程量表thepricedBillofQuantities;（４）補(bǔ)充信息目錄表theSchedulesofSupplementaryInformation;（５）資格證實(shí)材料theinformationoneligibilityandqualifications;（６）（假如有）可供選擇報(bào)價(jià)alternativeoffers,ifany;and（７）要求提供其它材料anyotherinformationrequiredtobesubmittedinaccordancewiththeseInstructions.應(yīng)一律使用本文件卷三中表格，工程量表和目錄表。（除了按一樣格式延長(zhǎng)目錄表和按條款十四（二）要求使用可供選擇投標(biāo)確保書(shū)格式）TheForms,BillofQuantitiesandSchedulesprovidedinVolume3ofthesedocumentsshallbeusedwithoutexception(subjecttoextensionsoftheSchedulesinthesameformat,andtotheprovisionsofClause14.2hereofregardingthealternativeformsoftendersecurity).（二）條款六（一）描述投標(biāo)文件和按條款八發(fā)出附錄均被視作標(biāo)書(shū)組成部分。不需簽字和按條款十七、十八要求提交投標(biāo)文件應(yīng)在投標(biāo)期限到期前歸還發(fā)行者，但不要和標(biāo)書(shū)合在一處。10.2AlldocumentsissuedforthepurposeoftenderingasdescribedinClause6.1andaddendaissuedinaccordancewithClause8shallbedeemedincorporatedinthetender.TenderdocumentsnotrequiredtobesignedandsubmittedinaccordancewithClauses17and18shallbereturnedtotheofficeofissuebeforetheexpiryofthetendervalidityperiod,butmustnotbeenclosedwiththeTender.（三）投標(biāo)者應(yīng)隨標(biāo)書(shū)提交一份按協(xié)議條款第十四條要求形式寫(xiě)就早期計(jì)劃。10.3TenderersshallsubmitwiththeirtenderapreliminaryProgrammeintheformatrequiredbyClause14oftheConditionsofContract.（四）按協(xié)議要求可要求中標(biāo)者討論修改其計(jì)劃。10.4ThesuccessfultendererwillberequiredtoreviseoraugmenthisProgrammeassetoutintheContract.十一、投標(biāo)價(jià)格11.TenderPrices（一）除非協(xié)議中另有明確要求，協(xié)議包含條款一所述全部工程，以投標(biāo)者提供項(xiàng)目單價(jià)和總價(jià)為基礎(chǔ)。11.1Unlessexplicitlystatedotherwiseinthetenderdocuments,theContractshallbeforthewholeoftheWorks______asdescribedinClause1hereof,basedontheschedulesofunitratesandamountssubmittedbythetenderer.（二）不管工程量是否標(biāo)明，投標(biāo)者應(yīng)對(duì)工程量表中每項(xiàng)工程標(biāo)明單價(jià)和總價(jià)。對(duì)單價(jià)和總價(jià)未標(biāo)明項(xiàng)目，在建設(shè)中業(yè)主不給予支付，其價(jià)格視作已包含在工程量表中其它單價(jià)、總價(jià)中。11.2ThetenderershallfillinratesandamountsforallitemsofworkdescribedintheBillofQuantities,whetherquantitiesarestatedornot.ItemsagainstwhichnorateoramountisenteredbythetendererwillnotbepaidforbytheEmployerwhenexecutedandshallbedeemedcoveredbytheotherratesandamountsenteredintheBillofQuantities.（三）在提交標(biāo)書(shū)前２８天承包人應(yīng)付關(guān)稅、稅收和其它稅負(fù)應(yīng)包含在單價(jià)和總價(jià)及投標(biāo)總價(jià)中。業(yè)主在對(duì)標(biāo)書(shū)進(jìn)行評(píng)定、比較時(shí)，也應(yīng)如此考慮。11.3Allduties,taxesandotherleviespayablebytheContractorundertheContract,orforanyothercause,asatthedate________dayspriortothedateforsubmissionoftendersshallbeincludedintheratesandamountsandtotaltendersumsubmittedbythetenderer,andtheevaluationandcomparisonoftendersbytheEmployershallbemadeaccordingly.（四）依據(jù)協(xié)議條款，投標(biāo)者提出單價(jià)和總價(jià)可在實(shí)施協(xié)議過(guò)程中進(jìn)行調(diào)整。投標(biāo)者應(yīng)完成表三－－價(jià)格調(diào)整條款－－并按協(xié)議條款要求和投書(shū)一起提供這么配套文件。11.4TheratesandamountsenteredbythetenderershallbesubjecttoadjustmentduringtheperformanceoftheContractinaccordancewiththeprovisionsoftheConditionsofContract.ThetenderershallcompleteScheduleIII-PriceAdjustmentProvisionsandshallsubmitwithhistendersuchothersupportinginformationasisrequiredunderClause70oftheConditionsofContract.十二、投標(biāo)和支付貨幣12.CurrenciesofTenderandPayment（一）投標(biāo)者應(yīng)以人民幣對(duì)單價(jià)和總價(jià)報(bào)價(jià)。假如投標(biāo)者以其它貨幣支付中國(guó)以外提供工程投入（稱作“外幣需求”），要在表一外幣需求中寫(xiě)明投標(biāo)價(jià)格百分之幾（不包含臨時(shí)款項(xiàng)）將用于這么外幣支出，不管（１）全部用投標(biāo)者所在國(guó)貨幣或其任選貨幣；（２）全部用美元。假如投標(biāo)者在一部分外幣需求中使用除（１）（２）以外貨幣，且期望業(yè)主以同種貨幣付款，則應(yīng)寫(xiě)明其在投標(biāo)價(jià)格中百分比。這一比率在協(xié)議期內(nèi)保持不變。在協(xié)議條款換算和計(jì)算投標(biāo)價(jià)格時(shí)，占不一樣比率多種貨幣按下條要求匯率進(jìn)行換算。12.1TheunitratesandpricesshallbequotedbythetenderentirelyinRMB.AtendererexpectingtoincurexpendituresinothercurrenciesforinputstotheWorkssuppliedfromoutsideChina(referredtoas"theforeigncurrencyrequirements")shallindicateinScheduleIof"ForeignCurrencyRequirements"thepercentageoftheTenderPrice(excludingProvisionalSums)neededbyhimforthepaymentofsuchforeigncurrencyrequirementseither(i)entirelyinthecurrencyofthetenderer'shomecountryor,atthetenderer'soption,(ii)entirelyinUSdollars,alwaysprovidedthatatendererexpectingtoincurexpendituresinacurrencyorcurrenciesotherthanthosestatedin(i)and(ii)aboveforaportionoftheforeigncurrencyrequirements,andwishingtobepaidaccordingly,shallsoindicatethepercentageportioninhistender.ThepercentageportionindicatedshallremainfixedforthedurationoftheContract.TheamountsinvariouscurrenciescalculatedonthebasisofthepercentagesindicatedintheTenderandbyuseoftheexchangeratesindicatedinsubclause12.2hereinafter,shallbeusedforthepurposeofconversionandcomparisonoftenderspursuanttoClause70.（二）投標(biāo)者用以兌換貨幣匯率為提交標(biāo)書(shū)最終日期前３０天當(dāng)日中國(guó)銀行公布官方賣出價(jià)。假如某種貨幣匯率未公布，投標(biāo)者應(yīng)提供匯率并說(shuō)明其起源。投標(biāo)準(zhǔn)備中使用匯率適適用于協(xié)議期支付。12.2TheratesofexchangetobeusedbythetendererforcurrencyconversionshallbethegoverningsellingratespublishedbytheBankofChinaonthedate______daypriortothelatestdateforthesubmissionoftenders.Ifexchangeragesarenotsopublishedforcertaincurrencies,thetenderershallstatetheratesusedandthesource.Forthepurposeofpayments,theexchangeratesusedintenderpreparationshallapplyforthedurationoftheContract.（三）投標(biāo)者應(yīng)在表一（Ａ）外幣和當(dāng)?shù)刎泿判枨蠹案戒浿芯唧w說(shuō)明需要外幣和當(dāng)?shù)刎泿艛?shù)量。投標(biāo)者應(yīng)說(shuō)明怎樣使用這些貨幣，用于但不限于下列方面：12.3ThetotalamountofforeignandlocalcurrenciesexpectedtoberequiredbytenderersshallbesubstantiatedinSchedulesIandI(A)-ForeignCurrencyandLocalCurrencyRequirements,andtheannexthereto,Tenderersshalldescribethemannerinwhichsuchforeignandlocalcurrenciesareexpectedtobeused,relatingspecifically,butnotlimitedto:外幣ForeignCurrency（１）工程直接雇用外籍人員；(a)ExpatriatestaffdirectlyemployedontheWorks:（２）外籍人員社會(huì)收費(fèi)、保險(xiǎn)金和醫(yī)療費(fèi)用及其往來(lái)中國(guó)旅行費(fèi)；(b)socialcharges,insurancepremiumsandmedicalcarerelatedtosuchstaff,andtravelexpensesbetweenChinaandthecountryoforigin;（３）工程需要進(jìn)口臨時(shí)或永久性材料；(c)alistoftheimportedmaterials,bothtemporaryandpermanent,requiredfortheWorks;（４）工程所需設(shè)備折舊，包含備件；(d)depreciationandusageofplantandequipment,includingspareparts,requiredfortheWorks;（５）進(jìn)口設(shè)備、材料及備件保險(xiǎn)費(fèi)和運(yùn)費(fèi)；(e)insuranceandfreightchargesforimportedmaterials,plantandequipment,includingspareparts;and（６）通常管理費(fèi)用，國(guó)外發(fā)生費(fèi)用。(f)overheadexpenses,feesandfinancialchargesincurredoutsideChina.當(dāng)?shù)刎泿臠ocalCurrency（１）當(dāng)?shù)貏诹Γ?g)locallabour;（２）當(dāng)?shù)夭少?gòu)材料；(h)localmaterials;（３）其它服務(wù)；(i)otherservices,and;（４）通常管理費(fèi)用，中國(guó)發(fā)生費(fèi)用。(j)overheadexpenses,feesandfinancialchargeswithinChina.（四）業(yè)主能夠要求投標(biāo)者說(shuō)明其外幣需求情況，提供證實(shí)，證實(shí)其單位價(jià)格和表一中所需部分是合理。12.4TenderersmayberequiredbytheEmployertoclarifytheirforeigncurrencyrequirements,andtoprovidesatisfactoryproofthattheamountsincludedintheunitratesandinScheduleIarereasonableandresponsivetosub-clause12.1hereof.（五）投標(biāo)者應(yīng)在表二寫(xiě)明估計(jì)協(xié)議支付款額，且在表中附上工程進(jìn)行過(guò)程中估計(jì)工作量。12.5ThetendershallcompleteScheduleII-EstimatedContractPaymentsandshallsubstantiatethetabulationofthisSchedulebyattachingatableindicatinganticipatedmajorquantitiesofworkperformedoverthedurationoftheWorks.十三、標(biāo)書(shū)效力13.TenderValidity（一）從特定投標(biāo)結(jié)束期起６個(gè)月內(nèi)投標(biāo)書(shū)保持有效且可供接收。13.1Thetendershallremainvalidandopenforacceptanceforaperiodofsixcalendarmonthsfromthespecifieddateoftenderclosing.（二）在特殊條件下，在原標(biāo)書(shū)使用期結(jié)束前，業(yè)主或其代理人可要求投標(biāo)者延長(zhǎng)其標(biāo)書(shū)使用期。業(yè)主要求和投標(biāo)者回復(fù)均應(yīng)是書(shū)面，或采取電傳、電報(bào)形式。投標(biāo)者能夠拒絕這么要求，且不會(huì)所以失去其投標(biāo)保函。答應(yīng)這么要求投標(biāo)者不得改動(dòng)其標(biāo)書(shū)，但被要求順延其投標(biāo)保函使用期。條款十四中相關(guān)投標(biāo)保函返還和失去要求一樣適適用于延長(zhǎng)久。13.2Inexceptionalcircumstances,priortoexpiryoftheoriginaltendervalidityperiod,theEmployerorhisagent____________mayrequestthetenderersforaspecifiedextensiontotheperiodofvalidity.Therequestandtheresponsestheretoshallbemadeinwritingorbytelexortelegram.Atenderermayrefusetherequestwithoutforfeitinghistendersecurity.Atendereragreeingtotheextensionwillnotberequirednorpermittedtoalterhistender,butwillberequiredtoextendthevalidityofhistendersecuritycorrespondingly.TheprovisionsofClause14hereofregardingdischargeandforfeitureoftendersecurityshallcontinuetoapplyduringtheextendedperiod.十四、14.TenderSecurity（一）投標(biāo)者應(yīng)隨其標(biāo)書(shū)提交一份人民幣投標(biāo)保函，金額不少于投標(biāo)價(jià)格２％。14.1Thetenderershallfurnish,aspartofhistender,atendersecurityinRMBYuaninanamountofnotlessthan_____%oftheTenderSum.（二）投標(biāo)保函依據(jù)投標(biāo)者意愿，可采取以下機(jī)構(gòu)開(kāi)立擔(dān)保支票、銀行匯票、不可撤銷信用證或保函形式：14.2Thetendersecurityshall,atthetenderer'soption,beintheformofacertifiedcheque,abankdraft,anirrevocableletterofcreditoraguaranteefromeither:（１）中國(guó)銀行；(a)BankofChina;（２）中國(guó)銀行任何境外代理行；(b)anyofitscorrespondentbankabroadthroughBankofChina;（３）在中國(guó)經(jīng)營(yíng)其它中國(guó)、外國(guó)銀行；(c)anyotherChineseorforeignbankoperatinginChina;（４）投標(biāo)者在提交標(biāo)書(shū)前即肯定Ａ企業(yè)可接收其它外國(guó)銀行。(d)anyotherforeignbankdeterminedbytheTendererinadvanceofsubmissionofbidstobeacceptableto___________.保函還能夠是保險(xiǎn)企業(yè)或同地債券企業(yè)付款確保書(shū)。銀行保函和付款確保書(shū)必需采取本文件包含樣本形式；其它形式須事先得到業(yè)主或其代理人Ａ企業(yè)同意。信用證、銀行保函和投標(biāo)保函使用期應(yīng)比標(biāo)書(shū)使用期長(zhǎng)30天。orabondissuedbyaninsurancecompanyorbondingcompanylikewiselocated.Theformatofthebankguaranteeorbondshallbeinaccordancewithoneofthesampleformsincludedinthesedocuments;otherformatsmaybepermittedsubjecttothepriorapprovaloftheEmployerorhisagent__________.Lettersofcredit,bankguaranteesandtenderbondsshallbevalidforonecalendarmonthbeyondthevalidityofthetender.（三）假如投標(biāo)者同意按十三款要求延長(zhǎng)標(biāo)書(shū)使用期，則應(yīng)對(duì)應(yīng)地把投標(biāo)保函使用期延長(zhǎng)到標(biāo)書(shū)使用期結(jié)束后30天。14.3IntheeventofaTendereragreeingtoaspecifiedextensionoftendervalidityinaccordancewithClause13oftheInstructionstoTenderers,theTenderershallProvideanextensioninthevalidityofthetendersecurityofonecalendarmonthbeyondthevalidityoftheextendedtender.（四）任何未附可接收投標(biāo)保函標(biāo)書(shū)全部將被Ａ企業(yè)拒絕。14.4Anytendernotaccompaniedbyanacceptabletendersecuritywillberejectedby_________asnon-responsive.（五）不成功標(biāo)書(shū)投標(biāo)保函將立即返還，不得遲于標(biāo)書(shū)使用期結(jié)束后三十天。14.5Thetendersecuritiesofunsuccessfultendererswillbedischargedorreturnedaspromptlyaspossible,butnotlaterthan______daysaftertheexpirationoftheperiodoftendervalidityprescribed.（六）成功投標(biāo)者投標(biāo)保函將在其開(kāi)始進(jìn)行工程和按要求提供履約保函后返還。14.6ThetendersecurityofthesuccessfultendererwillbedischargedorreturneduponthetendererexecutingtheContractandfurnishingtherequiredperformancesecurity.（七）投標(biāo)保函在下列情況將失去：14.7Thetendersecuritymaybeforfeited:（１）投標(biāo)者在標(biāo)書(shū)使用期內(nèi)撤標(biāo)；或（２）成功投標(biāo)者未簽約或未提供必需履約保函。十五、供選擇方案（一）投標(biāo)者可提供一份完全符合投標(biāo)文件要求基礎(chǔ)標(biāo)書(shū)。依據(jù)自己意愿，投標(biāo)者還可在以下幾項(xiàng)上在基礎(chǔ)標(biāo)書(shū)之外提出供選擇方案：(a)ifatendererwithdrawshistenderduringtheperiodoftendervalidity;or（１）起動(dòng)貸款在開(kāi)始建設(shè)工程前，提供無(wú)息貸款，可相當(dāng)于投標(biāo)價(jià)格１０％。業(yè)主由此產(chǎn)生費(fèi)用或存款按條款二十八計(jì)算。（二）在基礎(chǔ)標(biāo)書(shū)之外還可提出供選擇方案。為了在評(píng)標(biāo)中把供選擇方案考慮在內(nèi)，每一方案應(yīng)伴有價(jià)格細(xì)目表，說(shuō)明和提交給業(yè)主基礎(chǔ)投標(biāo)價(jià)格相比投標(biāo)者估量會(huì)增加或降低費(fèi)用。將對(duì)基礎(chǔ)報(bào)價(jià)給比較、評(píng)定。評(píng)價(jià)最低投標(biāo)者供選擇方案將得到考慮。假如供選擇方案是業(yè)主可接收，將寫(xiě)入?yún)f(xié)議。未標(biāo)價(jià)或未提供足夠細(xì)節(jié)供選擇方案不予接收。（三）供選擇技術(shù)方案應(yīng)伴有供全方面評(píng)價(jià)必需信息，包含設(shè)計(jì)計(jì)算、圖紙、方法及原技術(shù)規(guī)范中未包含材料、工藝規(guī)格，和供選擇方案標(biāo)價(jià)細(xì)目表和供選擇方案協(xié)議價(jià)格。（四）只有對(duì)那些在基礎(chǔ)報(bào)價(jià)基礎(chǔ)上提供另外財(cái)務(wù)、經(jīng)濟(jì)和技術(shù)好處供選擇方案，業(yè)主才在評(píng)標(biāo)中給考慮。十六、標(biāo)前會(huì)議（一）提議投標(biāo)者或其正式代表參與于＿＿年＿＿月＿＿日＿＿時(shí)在＿＿＿＿＿舉行標(biāo)前會(huì)議。（二）會(huì)議意在回復(fù)可能提出問(wèn)題，并使投標(biāo)者有機(jī)會(huì)檢驗(yàn)現(xiàn)場(chǎng)情況。（三）投標(biāo)者書(shū)面或經(jīng)過(guò)電傳、電報(bào)提出問(wèn)題要求在會(huì)議前一周抵達(dá)Ａ企業(yè)。（四）會(huì)議統(tǒng)計(jì)，包含提出問(wèn)題及回復(fù)文本將快速提供給和會(huì)者和全體索取了投標(biāo)文件含有資格投標(biāo)者。（五）假如依據(jù)標(biāo)前會(huì)議，要對(duì)條款六（一）所列投標(biāo)文件進(jìn)行修改，應(yīng)由業(yè)主或其代理人Ａ企業(yè)經(jīng)過(guò)發(fā)行條款八要求附錄來(lái)進(jìn)行，而不能經(jīng)過(guò)標(biāo)前會(huì)議統(tǒng)計(jì)來(lái)進(jìn)行。十七、標(biāo)書(shū)格式和簽字（一）投標(biāo)者應(yīng)準(zhǔn)備條款十（一）要求標(biāo)書(shū)一個(gè)原本和兩個(gè)副本，并分別注明“原本”和“副本”。假如二者之間有不一樣，以原本為準(zhǔn)。（二）標(biāo)書(shū)原本和兩個(gè)副本應(yīng)打字或用不能抹掉墨水書(shū)就，并由一名或多名有權(quán)責(zé)成投標(biāo)者遵守協(xié)議人士簽字。和標(biāo)書(shū)一起應(yīng)有一份書(shū)面委托書(shū)用以證實(shí)授權(quán)。寫(xiě)有條目和修訂內(nèi)容每一頁(yè)標(biāo)書(shū)全部要有在標(biāo)書(shū)上簽字人士縮寫(xiě)署名。（三）全套標(biāo)書(shū)不應(yīng)有改動(dòng)、行間書(shū)寫(xiě)或涂抹地方，除非按議程指示或?yàn)楦稑?biāo)者錯(cuò)誤，但這種情況下更正地方應(yīng)有在標(biāo)書(shū)上簽字人士縮寫(xiě)署名。（四）每位投標(biāo)者只能提交一份標(biāo)書(shū)，不包含按條款十五提交供選擇方案。投標(biāo)者對(duì)一個(gè)協(xié)議只能投一次標(biāo)。十八、標(biāo)書(shū)封緘和標(biāo)識(shí)（一）投標(biāo)者應(yīng)把標(biāo)書(shū)原本和兩個(gè)副本分別各裝入一個(gè)內(nèi)信封和一個(gè)外信封，且在信封上注明“原本”、“副本”。（二）（１）內(nèi)外信封均應(yīng)注明以下地址：（Ａ企業(yè)地址）（２）注明以下事項(xiàng)：為建設(shè)協(xié)議工程投標(biāo)＿＿＿＿＿＿項(xiàng)目，請(qǐng)勿在＿＿年＿＿月＿＿日＿＿時(shí)前打開(kāi)（三）內(nèi)信封上應(yīng)寫(xiě)明投標(biāo)者姓名和地址，方便在標(biāo)書(shū)誤期情況下不用打開(kāi)即可退回投標(biāo)者。而外信封上不能有任何包含投標(biāo)者信息。（四）假如外信封未按要求注明相關(guān)事項(xiàng)。一旦標(biāo)書(shū)被錯(cuò)誤處理或提前打開(kāi)，Ａ企業(yè)對(duì)此不負(fù)任何責(zé)任。提前打開(kāi)標(biāo)書(shū)將被業(yè)主或其代理人Ａ企業(yè)拒絕，給予退回。十九、提交標(biāo)書(shū)最終期限（一）標(biāo)書(shū)應(yīng)按上述地址在＿＿年＿＿月＿＿日＿＿時(shí)之前寄至Ａ企業(yè)。（二）業(yè)主或其代理人可經(jīng)過(guò)公布條款八要求附錄延長(zhǎng)提交標(biāo)書(shū)最終期限，但最少應(yīng)在原期限前七天經(jīng)過(guò)電傳或電報(bào)通知全部已索取投標(biāo)文件含有資格投標(biāo)者。在此情況下，全部原期限下業(yè)主和投標(biāo)者權(quán)利義務(wù)順延至新期限結(jié)束。二十、逾期標(biāo)書(shū)Ａ企業(yè)在提交標(biāo)書(shū)最終期限以后收到標(biāo)書(shū)全部將不被打開(kāi)，退回投標(biāo)者。二十一、標(biāo)書(shū)修改和撤銷（一）投標(biāo)者在提交標(biāo)書(shū)后可對(duì)其進(jìn)行修改或給予撤銷，只要修改文件和撤標(biāo)通知在提交標(biāo)書(shū)最終期限前送達(dá)Ａ企業(yè)。（二）投標(biāo)者修改文件或撤標(biāo)通知應(yīng)按相關(guān)提交標(biāo)書(shū)條款要求準(zhǔn)備、封緘、標(biāo)識(shí)和發(fā)出。撤標(biāo)通知能夠經(jīng)過(guò)電傳、電報(bào)送達(dá)，但隨即應(yīng)提交一份有署名確實(shí)定件，且其郵戳上日期不能晚于提交標(biāo)書(shū)最終期限。（三）按條款二十四要求，任何標(biāo)書(shū)在最終期限后不能再進(jìn)行修改。（四）在提交標(biāo)書(shū)最終期限和標(biāo)書(shū)使用期滿之間時(shí)間撤標(biāo)將按條款十四要求失去投標(biāo)確保書(shū)。開(kāi)標(biāo)和評(píng)標(biāo)二十二、開(kāi)標(biāo)（一）業(yè)主或其代理Ａ企業(yè)將于＿＿年＿＿月＿＿日＿＿時(shí)在辦公地點(diǎn)＿＿＿＿＿當(dāng)著出席會(huì)議投標(biāo)者代表開(kāi)標(biāo)，參與開(kāi)標(biāo)投標(biāo)者代表應(yīng)簽到。（二）按條款二十一提交了撤標(biāo)通知標(biāo)書(shū)將不再打開(kāi)。業(yè)主或其代理人將檢驗(yàn)標(biāo)書(shū)是否完整，是否提供了要求投標(biāo)確保書(shū)，文件是否簽字和是否有條理。（三）在開(kāi)標(biāo)時(shí)將宣告投標(biāo)者姓名、投標(biāo)價(jià)格及修訂、投標(biāo)確保書(shū)、撤標(biāo)通知（假如有）和其它業(yè)主或其代理人認(rèn)為適宜宣告事項(xiàng)。（四）業(yè)主或其代理人將依據(jù)自已統(tǒng)計(jì)準(zhǔn)備開(kāi)標(biāo)會(huì)議統(tǒng)計(jì)，并將立即和評(píng)標(biāo)匯報(bào)一起遞交世界銀行。二十三、過(guò)程保密（一）在公開(kāi)開(kāi)標(biāo)后，在向成功投標(biāo)者授標(biāo)前，相關(guān)對(duì)標(biāo)書(shū)檢驗(yàn)、解釋、評(píng)定及比較和
