塑料制品銷售協(xié)議合同編號：__________PlasticProductsSalesAgreementRECITALSWHEREAS,Sellerisengagedinthebusinessofmanufacturingandsellingplasticproducts;WHEREAS,BuyerdesirestopurchasefromSellercertainplasticproducts(the"Products")onthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.Products.1.1.Description.TheProductsshallconformtothespecificationssetforthinExhibitAattachedhereto.1.2.Quantity.ThetotalquantityofProductstobepurchasedBuyerfromSellerunderthisAgreementissetforthinExhibitBattachedhereto.1.3.Delivery.SellershalldelivertheProductstoBuyer'sdesignatedlocationsetforthinExhibitCattachedhereto(the"DeliveryLocation")onorbeforethedeliverydatespecifiedinExhibitDattachedhereto(the"DeliveryDate").2.PriceandPaymentTerms.2.1.Price.ThepurchasepricefortheProductsshallbethepricesetforthinExhibitEattachedhereto(the"PurchasePrice").2.2.PaymentTerms.BuyershallmakepaymentfortheProductswiretransfertoSeller'sdesignatedbankaccount,inaccordancewiththepaymenttermssetforthinExhibitFattachedhereto.3.DeliveryandInspection.3.1.Delivery.SellershalldelivertheProductstotheDeliveryLocationonorbeforetheDeliveryDate.3.2.Inspection.BuyershallhavetherighttoinspecttheProductsupondelivery.IftheProductsdonotconformtothespecificationssetforthinExhibitA,BuyershallnotifySellerinwritingwithin[insertnumber]daysafterdelivery.Sellershall,atitssolediscretion,eitherreplacethenonconformingProductsorrefundthePurchasePriceforsuchnonconformingProducts.4.Warranties.4.1.SellerWarranties.SellerwarrantsthattheProductsshallconformtothespecificationssetforthinExhibitAandshallbefreefromanydefectsinmaterialsandworkmanship.4.2.BuyerWarranties.BuyerwarrantsthatithastherighttopurchasetheProductsandthatitshallusetheProductsinamannerconsistentwithapplicablelawsandregulations.5.LimitationofLiability.5.1.Seller'sLiability.Seller'saggregateliabilityunderthisAgreementshallbelimitedtothePurchasePriceforthenonconformingProducts.Sellershallnotbeliableforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforrelatedtothisAgreement.5.2.Buyer'sLiability.Buyershallnotbeliableforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforrelatedtothisAgreement.6.TermandTermination.6.2.Termination.eitherpartymayterminatethisAgreementwrittennoticeintheeventofamaterialbreachtheotherpartythatisnotcuredwithin[insertnumber]daysafterwrittennoticeofsuchbreach.7.Miscellaneous.7.1.GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof_____________________.7.2.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.7.3.Amendments.ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.5.Assignment.NeitherthisAgreementnoranyrightsorobligationshereundermaybeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.INWITNESSWHEREOF,thepartieshaveexecutedthis一、附件列表：1.產(chǎn)品規(guī)格書（附錄A）2.產(chǎn)品數(shù)量表（附錄B）3.交貨地點信息（附錄C）4.交貨日期表（附錄D）5.購買價格表（附錄E）6.支付條款表（附錄F）二、違約行為及認(rèn)定：1.賣方違約行為：未能按照約定的規(guī)格提供產(chǎn)品；未能在約定的交貨日期前交付產(chǎn)品。2.買方違約行為：未能按照約定的價格和支付條款支付貨款；未能在約定的時間內(nèi)驗收產(chǎn)品。三、法律名詞及解釋：1.賣方：指根據(jù)本協(xié)議約定，負(fù)責(zé)生產(chǎn)和供應(yīng)產(chǎn)品的公司。2.買方：指根據(jù)本協(xié)議約定，負(fù)責(zé)購買產(chǎn)品的個人或公司。3.產(chǎn)品：指根據(jù)本協(xié)議約定，由賣方供應(yīng)的塑料制品。4.交付地點：指買方指定的產(chǎn)品交付地點。5.交付日期：指賣方應(yīng)按照約定交付產(chǎn)品的日期。四、執(zhí)行中遇到的問題及解決辦法：1.產(chǎn)品規(guī)格不符：買方應(yīng)在交付后[插入天數(shù)]內(nèi)通知賣方；賣方應(yīng)在收到通知后更換不符合規(guī)
