蔬菜水果購銷協(xié)議合同編號：__________vegetableandfruitpurchaseandsaleagreementPartyA:LegalRepresentative:Address:ContactPerson:PhoneNumber:PartyB:LegalRepresentative:Address:ContactPerson:PhoneNumber:鑒于甲方為農(nóng)產(chǎn)品生產(chǎn)商，擁有豐富的蔬菜水果種植經(jīng)驗及優(yōu)質(zhì)的產(chǎn)品，乙方為農(nóng)產(chǎn)品銷售商，具有廣泛的銷售渠道和客戶群體，為了共同發(fā)展，實現(xiàn)互利共贏，雙方經(jīng)友好協(xié)商，就甲方向乙方提供蔬菜水果產(chǎn)品事宜達成如下協(xié)議：Article1:ProductSpecificationsandQuantity1.1PartyAagreestoprovidePartyBwithfreshvegetablesandfruitsofgoodquality,conformingtotherelevantqualitystandardsandspecificationsagreeduponbothparties.1.2Thespecifictypes,varieties,quantities,anddeliverytimeofthevegetablesandfruitsshallbedeterminedandconfirmedbothpartiesthroughconsultationpriortoeachdelivery.Article2:PriceandPaymentTerms2.1Thepurchasepriceofthevegetablesandfruitsshallbedeterminedandconfirmedbothpartiesthroughconsultationbasedonthemarketpriceandotherrelevantfactors.2.2PartyBshallmakepaymentforthevegetablesandfruitswithin30daysafterthedateoftheinvoiceissuedPartyA.Thepaymentmethodshallbeagreeduponbothparties.Article3:DeliveryandInspection3.1PartyAshalldeliverthevegetablesandfruitstothedesignateddeliverylocationofPartyBwithintheagreedtimeandinaccordancewiththedeliveryrequirements.3.2PartyBshallinspectthevegetablesandfruitsupondeliveryandsignthedeliverynote.Ifthereareanyqualityorquantityissues,PartyBshallnotifyPartyAinwritingwithin24hoursofthedelivery.Article4:QualityGuarantee4.1PartyAguaranteesthatthevegetablesandfruitsprovidedshallmeettheagreedqualitystandardsandspecifications.4.2Ifthevegetablesandfruitsdonotmeettheagreedqualitystandardsandspecifications,PartyAshallreplacethemorrefundthepurchasepricetoPartyBwithinareasonabletime.Article5:ForceMajeure5.1NeitherpartyshallbeliableforfailureordelayinperformanceofanyofitsobligationsunderthisAgreementduetoactsofGod,war,riot,labordisputes,accidents,epidemics,oranyothercausesbeyonditsreasonablecontrol.5.2Intheeventofforcemajeure,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandtakereasonablemeasurestomitigatetheimpact.Article6:Confidentiality6.1Bothpartiesshallkeepconfidentialanybusiness,technical,orotherconfidentialinformationoftheotherpartythatisnotgenerallyknowntothepublic,exceptforinformationthatislawfullyobtainedfrompublicsourcesorinformationthathasbeenindependentlydevelopedthereceivingparty.6.2Theconfidentialityobligationshallcontinueforaperiodof[]yearsaftertheterminationorexpirationofthisAgreement.Article7:DisputeResolution7.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlynegotiation.7.2Ifthedisputescannotberesolvedthroughnegotiation,eitherpartymaysubmitthedisputestothe[]forarbitrationinaccordancewiththerulesofthatarbitralinstitution.7.3Thearbitrationawardshallbefinalandbindinguponbothparties.Article8:TermandTermination8.2EitherpartymayterminatethisAgreementgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinareasonableperiodoftime.8.3ThisAgreementmayalsobeterminatedmutualagreementofbothpartiesinwriting.Article9:Miscellaneous9.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.9.2AnyamendmentorsupplementtothisAgreementmustbeinwritingandexecutedbothparties.9.3ThisAgreementmaybeexecutedin[]copies,eachofwhichshallbeanoriginalandallofwhichtogethershallconstituteoneandthesameagreement.INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasoftheEffectiveDate.PartyA:(Signature)Name:Title:Date:PartyB:(Sign一、附件列表：1.蔬菜水果產(chǎn)品清單2.質(zhì)量檢驗報告3.交付時間表4.付款憑證5.運輸單據(jù)6.仲裁規(guī)則7.法律法規(guī)相關(guān)文件二、違約行為及認(rèn)定：1.甲方未按約定時間、地點交付產(chǎn)品或產(chǎn)品質(zhì)量不符合約定的，視為違約。2.乙方未按約定時間支付貨款的，視為違約。3.甲方未保證產(chǎn)品質(zhì)量和規(guī)格的，乙方有權(quán)要求更換或退款。4.不可抗力事件導(dǎo)致無法履行合同的，不視為違約。5.任何一方違反本合同的其他條款，對方有權(quán)要求違約方承擔(dān)違約責(zé)任。三、法律名詞及解釋：1.蔬菜水果購銷協(xié)議：指甲方作為生產(chǎn)商向乙方作為銷售商提供蔬菜水果產(chǎn)品的協(xié)議。2.質(zhì)量保證：甲方保證提供的蔬菜水果符合約定的質(zhì)量標(biāo)準(zhǔn)和規(guī)格。3.交付：甲方將蔬菜水果交付給乙方指定的地點和時間。4.付款期限：乙方支付貨款的時間限制。5.不可抗力：指無法預(yù)見、無法避免且無法克服的客觀情況，如自然災(zāi)害、社會事件等。四、執(zhí)行中遇到的問題及解決辦法：1.產(chǎn)品質(zhì)量問題：如遇產(chǎn)品質(zhì)量問題，乙方應(yīng)及時通知甲方，并要求更換或
