1.ScopeofSupply

2.PriceandPaymentTerms

6.Confidentiality

BothpartiesagreetomaintainstrictconfidentialityregardinganyproprietaryinformationexchangedduringthetermofthisAgreement.ThisobligationshallsurvivetheterminationorexpirationofthisAgreement.

7.ForceMajeure

NeitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthisAgreementduetounforeseencircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,strikes,orgovernmentregulations.

8.Termination

9.GoverningLawandDisputeResolution
