INFORMATIONANDNON-DISCLOSUREAGREEMENT

THISINFORMATIONANDNON-DISCLSUREAGREEMENT(the"Agreement")ismadeandenteredintoasofthe__________dayof__________,20______,byandbetween__________(the"DisclosingParty"),a__________withitsprincipalplaceofbusinessat__________,and__________(the"ReceivingParty"),a__________withitsprincipalplaceofbusinessat__________.

WHEREAS,theDisclosingPartyhasdevelopedorotherwisepossessescertainconfidentialandproprietaryinformationthatitdesirestodisclosetotheReceivingPartyforthepurposeofexploringapotentialbusinessrelationship,andtheReceivingPartydesirestoreceivesuchinformationforthepurposeofevaluatingsuchpotentialrelationship;and

WHEREAS,theDisclosingPartywishestoprotectitsconfidentialandproprietaryinformationandtheReceivingPartyacknowledgestheconfidentialnatureofsuchinformationandagreestoprotecttheDisclosingParty'srightstherein.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

1.DefinitionofConfidentialInformation:

"ConfidentialInformation"meansanyandallinformation,whetheroral,written,orinelectronicform,thatisdisclosedbytheDisclosingPartytotheReceivingParty,orthattheReceivingPartyotherwiselearnsoracquiresfromtheDisclosingParty,thatisnotpubliclyknownandthatrelatestothebusiness,products,services,research,development,tradesecrets,processes,plans,strategies,customers,suppliers,finances,orotheraffairsoftheDisclosingParty.ConfidentialInformationincludes,withoutlimitation,informationconcerningtheDisclosingParty'sintellectualproperty,includingbutnotlimitedto,inventions,discoveries,worksofauthorship,computerprograms,databases,designs,know-how,andotherconfidentialorproprietaryinformation.

2.ObligationsofReceivingParty:

TheReceivingPartyagrees:

a.ToholdtheConfidentialInformationinstrictconfidenceandtousethesamedegreeofcareasitusestoprotectitsownconfidentialinformationofasimilarnature,butinnoeventlessthanareasonablestandardofcare.

b.Nottodisclose,publish,orotherwiserevealanyConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty.

c.NottousetheConfidentialInformationforanypurposeotherthantoevaluatethepotentialbusinessrelationshipbetweentheparties.

d.TolimitaccesstotheConfidentialInformationtoitsemployees,agents,representatives,andprofessionaladvisors(collectively,"Representatives")whohaveaneedtoknowsuchinformationforthepurposesofthisAgreementandwhoareboundbyconfidentialityobligationsatleastasprotectiveasthosecontainedinthisAgreement.

e.TonotifytheDisclosingPartyimmediatelyupondiscoveryofanyunauthorizeddisclosureoruseoftheConfidentialInformationandtocooperatewiththeDisclosingPartyineveryreasonablewaytohelptheDisclosingPartyregainpossessionoftheConfidentialInformationandpreventitsfurtherunauthorizeduse.

3.Exceptions:

TheobligationsoftheReceivingPartyunderthisAgreementshallnotapplytoanyinformationthat:

a.WasknowntotheReceivingPartypriortoitsdisclosurebytheDisclosingParty.

b.IsorbecomespubliclyknownthroughnofaultoftheReceivingParty.

c.IsrightfullyobtainedbytheReceivingPartyfromathirdpartywithoutbreachofanyconfidentialityobligation.

d.IsindependentlydevelopedbytheReceivingPartywithoutuseoftheConfidentialInformation.

e.IsapprovedforreleaseordisclosurebywrittenauthorizationoftheDisclosingParty.

4.ReturnofConfidentialInformation:

UpontherequestoftheDisclosingPartyorupontheterminationofdiscussionsbetweentheparties,theReceivingPartyshallpromptlyreturntotheDisclosingPartyalldocumentsandothertangibleitemscontainingorreflectingtheConfidentialInformationandallcopiesthereof,or,attheoptionoftheDisclosingParty,destroyallsuchdocumentsanditemsandprovidewrittencertificationofsuchdestruction.

5.Term:

ThisAgreementshallremainineffectforaperiodof__________yearsfromthedatehereof,unlessearlierterminatedbymutualwrittenagreementoftheparties.

6.GoverningLaw:

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof__________,withoutregardtotheconflictsoflawsprovisionsthereof.

7.EntireAgreement:

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,andcommunications,whetherwrittenororal.
