ConfidentialityAgreement

ThisConfidentialityAgreement(the"Agreement")isenteredintoasof[EffectiveDate]between[CompanyName](the"DisclosingParty")and[Recipient'sName](the"ReceivingParty").

1.DefinitionofConfidentialInformation

ForthepurposeofthisAgreement,"ConfidentialInformation"shallmeananyandallnon-public,proprietary,andconfidentialinformation,data,knowledge,ormaterial,whetherinoral,written,electronic,orotherform,whichisdisclosedbytheDisclosingPartytotheReceivingPartyduringthetermofthisAgreement.ConfidentialInformationincludes,butisnotlimitedto,tradesecrets,know-how,techniques,processes,researchanddevelopmentdata,financialdata,customerlists,supplierinformation,andanyotherinformationthatismarkedoridentifiedasconfidentialorshouldreasonablybeconsideredassuch.

2.ObligationofConfidentiality

TheReceivingPartyagreesthatitshall:

a)HoldtheConfidentialInformationinstrictconfidenceandnotdisclose,reveal,ormakesuchConfidentialInformationavailabletoanythirdparty,exceptasprovidedinSection3below;

b)UsetheConfidentialInformationonlyforthepurposeof[Specifythepurposeofthedisclosure];

c)TakeallnecessaryandappropriatestepstoprotecttheConfidentialInformationfromunauthorizeddisclosure,copying,oruse;

d)PromptlyreturnordestroyallConfidentialInformationintheReceivingParty'spossessionupontheDisclosingParty'swrittenrequest;and

e)NotusetheConfidentialInformationforanypurposeotherthanthatforwhichitwasdisclosed,withoutthepriorwrittenconsentoftheDisclosingParty.

3.ExceptionstoConfidentialityObligations

Theobligationsofconfidentialityandnon-disclosuresetforthinSection2aboveshallnotapplytoConfidentialInformationthat:

a)IsorbecomespubliclyknownthroughnofaultoftheReceivingParty;

b)Islawfullyreceivedfromathirdpartynotunderanyobligationofconfidentiality;

c)IsindependentlydevelopedbytheReceivingPartywithoutaccesstooruseoftheConfidentialInformation;

d)Isrequiredtobedisclosedbylaw,courtorder,orgovernmentauthority,providedthattheReceivingPartypromptlynotifiestheDisclosingPartyofsuchrequirementandcooperateswiththeDisclosingPartyinseekingaprotectiveorderorotherappropriaterelief.

4.TermofAgreement

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntil[ExpirationDateorEvent].

5.Miscellaneous

a)EntireAgreement:ThisAgreementconstitutestheentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

b)GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction],withoutgivingeffecttoitsprinciplesofconflictoflaws.

c)Severability:IfanyprovisionofthisAgreementisheldinvalid,illegal,orunenforceable,thevalidity,legality,orenforceabilityoftheremainderoftheAgreementshallnotinanywaybeaffectedorimpaired.

d)Notices:Allnotices,requests,demands,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifservedpersonally,oronthethirddayaftermailingifmailedtotheaddressesfirstabovewritten.
