GoodsCompensationAgreement

ThisGoodsCompensationAgreement(the"Agreement")isenteredintothis______dayof______,20__,byandbetween______("Seller"),acorporationorganizedandexistingunderthelawsof______,withitsprincipalplaceofbusinessat______,and______("Buyer"),acorporationorganizedandexistingunderthelawsof______,withitsprincipalplaceofbusinessat______.

WHEREAS,SellerhasagreedtosellandBuyerhasagreedtopurchasecertaingoods(the"Goods")asdescribedinthepurchaseorderorsalesagreement(the"Order")dated______,20__;

WHEREAS,theGoodshavebeendamaged,lost,orotherwisenotdeliveredinaccordancewiththetermsoftheOrder;

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

Article1:AcknowledgmentofDamageorLoss

1.1ThepartiesacknowledgethattheGoodshavebeendamaged,lost,ornotdeliveredinaccordancewiththetermsoftheOrder.

1.2Selleracknowledgesthatitisresponsibleforthedamage,loss,ornon-deliveryoftheGoodsandagreestocompensateBuyerforthesame.

Article2:Compensation

2.1SelleragreestocompensateBuyerforthefullvalueoftheGoodsasspecifiedintheOrder,whichshallbecalculatedasfollows:

2.1.1IftheGoodsaredamaged,thecompensationshallbeequaltothedifferencebetweenthevalueoftheGoodsasorderedandthevalueofthedamagedGoods.

2.1.2IftheGoodsarelost,thecompensationshallbeequaltothefullvalueoftheGoodsasordered.

2.2ThecompensationshallbepaidtoBuyerwithin______daysofthedateofthisAgreement.

Article3:ReturnofGoods

3.1IntheeventthedamagedGoodsaretobereturnedtoSeller,BuyershallreturntheGoodstoSellerwithin______daysofthedateofthisAgreement.

3.2SellershallbearallcostsassociatedwiththereturnoftheGoods.

Article4:Release

4.1UponthepaymentofthecompensationasprovidedinArticle2,BuyerherebyreleasesandforeverdischargesSellerfromanyandallclaims,demands,andcausesofactionarisingoutoforinconnectionwiththedamage,loss,ornon-deliveryoftheGoods.

Article5:GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof______withoutgivingeffecttoanyprinciplesofconflictsoflaws.

Article6:DisputeResolution

6.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtoarbitrationinaccordancewiththerulesoftheAmericanArbitrationAssociation.

6.2Thearbitrationshalltakeplacein______andshallbeconductedintheEnglishlanguage.

Article7:EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetherwrittenororal.

Article8:ModificationandWaiver

8.1ThisAgreementmaynotbemodifiedoramendedexceptbyawritteninstrumentsignedbybothparties.

8.2NowaiverofanybreachofanyprovisionofthisAgreementshallconstituteawaiverofanyprior,concurrent,orsubsequentbreachofthesameoranyotherprovisionshereof,andnowaivershallbeeffectiveunlessmadeinwriting.

Article9:Severability

IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.

Article10:Notices

Allnotices,requests,demands,andothercommunicationsrequiredorpermittedhereundershallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredpersonallyorupontheearlierofreceiptorthree(3)daysafterdepositinthemailascertifiedorregisteredmail,returnreceiptrequested,totheaddressessetforthbelowortosuchotheraddressesaseitherpartymayspecifyinwriting.
