WearepleasedtopresentthisCoffeeBusinessServiceAgreement(the"Agreement")between[YourCompanyName]("ServiceProvider")and[Client'sCompanyName]("Client"),whichoutlinesthetermsandconditionsunderwhichwewillprovidecoffee-relatedservices.ThisAgreementaimstoensureamutuallybeneficialpartnershipandpromotethegrowthandsuccessofbothparties.

1.Services

ServiceProvideragreestoprovidethefollowingcoffeebusinessservicestoClient:

a)Supplyofcoffeebeans,equipment,andaccessories

b)TrainingofClient'sstaffincoffeepreparationandservice

c)Ongoingsupportandconsultingservices

d)Marketingandpromotionalassistance,ifapplicable

2.Term

ThisAgreementshallcommenceontheEffectiveDateandcontinueforaperiodof[Term,e.g.,12months]("InitialTerm").Thereafter,thisAgreementshallautomaticallyrenewforsubsequenttermsof[RenewalTerm,e.g.,12months]each,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleast[NoticePeriod,e.g.,90days]priortotheexpirationoftheInitialTermoranyrenewalterm.

3.FeesandPayment

ClientagreestopayServiceProviderthefeessetforthinExhibitAattachedhereto,whicharedueandpayableinaccordancewiththepaymenttermsspecifiedtherein.AnyadditionalservicesprovidedbyServiceProvidernotcoveredunderthisAgreementshallbesubjecttoseparatenegotiationandagreementonfees.

4.IntellectualProperty

ServiceProviderretainsallrights,title,andinterestinandtoanyintellectualpropertycreated,developed,orprovidedbyServiceProviderinconnectionwiththeservicesperformedunderthisAgreement.Clientshallnotuse,reproduce,distribute,ormodifysuchintellectualpropertywithoutServiceProvider'spriorwrittenconsent.

5.Confidentiality

Bothpartiesacknowledgethattheymayhaveaccesstoconfidentialinformationoftheotherparty.Therefore,eachpartyagreestomaintaintheconfidentialityofsuchinformationandnotdiscloseittoanythirdpartywithouttheotherparty'spriorwrittenconsent.

6.Indemnification

ServiceProvidershallindemnifyandholdClientharmlessfromanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyServiceProvider.ClientshallindemnifyandholdServiceProviderharmlessfromanyclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyClient.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction,e.g.,theStateofNewYork],andanydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[GoverningJurisdiction].
