ThisContract(the"Contract")ismadeandenteredintoasof[Date],byandbetween[CompanyName]("Company"),a[jurisdiction]corporation,and[PublicRelationsFirm]("PRFirm"),a[jurisdiction]corporation.

1.Services

1.1PRFirmagreestoprovidethefollowingservicestoCompany(the"Services"):

(a)DevelopandimplementacomprehensivepublicrelationsstrategytoenhancetheCompany'sbrandimageandincreaseitsvisibilityinthetargetmarket;

(b)Conductmediaoutreachandcoordinateinterviews,pressconferences,andotherpromotionaleventsasrequestedbytheCompany;

(c)Draftanddistributepressreleases,articles,andotherpromotionalmaterialstorelevantmediaoutlets;

(d)ManageandmonitortheCompany'ssocialmediaaccountsandonlinepresence;

(e)ProvideongoingconsultationandadvicetotheCompanyregardingpublicrelationsmatters.

1.2CompanyagreestoprovidePRFirmwithallnecessaryinformation,materials,andsupporttoenablePRFirmtoperformtheServiceseffectively.

2.Term

ThetermofthisContractshallcommenceontheEffectiveDateandshallcontinueforaperiodof[duration],unlessearlierterminatedinaccordancewiththetermshereof(the"Term").

3.Payment

3.1CompanyagreestopayPRFirmthefollowingfeesfortheServices:

(a)Afixedmonthlyfeeof[amount]forthedurationoftheContract;

(b)Additionalfeesforanyout-of-scopeservicesorexpensesincurredbyPRFirmonbehalfoftheCompany,asagreeduponbytheparties.

3.2PaymentshallbemadebyCompanytoPRFirmwithin[number]daysafterthereceiptofPRFirm'sinvoice.

4.Confidentiality

4.1Eachparty(the"ReceivingParty")agreestomaintaininconfidenceallconfidentialinformationdisclosedbytheotherparty(the"DisclosingParty")inconnectionwiththeServices,excepttotheextentthatsuchinformationisorbecomespubliclyknownthroughnofaultoftheReceivingParty.

4.2TheReceivingPartyshallnotusetheconfidentialinformationforanypurposeotherthantheperformanceoftheServices.

5.Indemnification

5.1CompanyagreestoindemnifyandholdharmlessPRFirmagainstanyclaims,losses,damages,orexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwiththeperformanceoftheServices,excepttotheextentcausedbyPRFirm'sgrossnegligenceorwillfulmisconduct.

5.2PRFirmagreestoindemnifyandholdharmlessCompanyagainstanyclaims,losses,damages,orexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPRFirm'sperformanceoftheServices,excepttotheextentcausedbyCompany'sgrossnegligenceorwillfulmisconduct.

6.Termination

6.1EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionhereofandfailstocuresuchbreachwithin[number]daysafterreceiptofwrittennoticethereof.

6.2ThisContractmayalsobeterminatedbyeitherpartyuponwrittennoticeiftheotherpartyfilesforbankruptcyorceasesoperations.

7.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction],andanydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[jurisdiction].

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
