ContractAgreement
ThisContractAgreement(the"Agreement")isenteredintoasof[Date],byandbetween[YourCompanyName]("Manufacturer"),acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[YourCompanyAddress],and[CustomerCompanyName]("Customer"),acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[CustomerCompanyAddress].
1.ScopeofWork
1.1Manufactureragreestodesign,develop,andmanufacturetheProducts(asdefinedbelow)inaccordancewiththespecificationsprovidedbyCustomer.TheProductsshallbeasdescribedintheattachedProductSpecificationSheet(the"Specifications").
1.2CustomeragreestoprovideManufacturerwithallnecessaryinformation,materials,andassistancerequiredtocompletethedesign,development,andmanufacturingoftheProducts.
2.DeliveryandPayment
2.1ManufactureragreestodelivertheProductstoCustomer'sdesignatedlocation(the"DeliveryPoint")onorbeforetheDeliveryDate(asdefinedbelow).TheDeliveryDateis[DeliveryDate].
2.2CustomeragreestomakepaymenttoManufacturerfortheProductsinaccordancewiththepaymenttermssetforthinthisAgreement.ThetotalpurchasepricefortheProductsshallbe[TotalPurchasePrice].
3.QualityandCompliance
3.1ManufacturerwarrantsthattheProductsshallconformtotheSpecificationsandshallbefreefromdefectsinmaterialsandworkmanship.TheProductsshallcomplywithallapplicablelaws,regulations,andstandards,includingbutnotlimitedto[listofapplicablelaws,regulations,andstandards].
3.2CustomeragreestoinspecttheProductsupondeliveryandshallnotifyManufacturerinwritingwithin[InspectionPeriod]afterdeliveryiftheProductsdonotconformtotheSpecificationsoraredefective.IfCustomerfailstonotifyManufacturerwithintheInspectionPeriod,Manufacturershallhavenoliabilityforanynon-conformingordefectiveProducts.
4.IntellectualProperty
4.1ManufactureragreesthatitshallnotuseCustomer'strademarks,tradenames,orotherintellectualpropertyinanywaythatwouldinfringeuponCustomer'sintellectualpropertyrights.
4.2CustomeragreesthatitshallnotuseManufacturer'strademarks,tradenames,orotherintellectualpropertyinanywaythatwouldinfringeuponManufacturer'sintellectualpropertyrights.
5.Confidentiality
5.1BothpartiesagreetomaintaintheconfidentialityofthetermsandconditionsofthisAgreement,exceptasrequiredbylaworcourtorder.
5.2TheprovisionsofthisSection5shallsurvivetheterminationorexpirationofthisAgreement.
6.TermandTermination
6.1ThisAgreementshallcommenceontheEffectiveDate(asdefinedbelow)andshallcontinueforaperiodof[Term],unlessearlierterminatedinaccordancewiththetermsofthisAgreement.
6.2eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin[CurePeriod]afterreceiptofwrittennoticefromtheterminatingparty.
7.DisputeResolution
7.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].Theplaceofarbitrationshallbe[ArbitrationLocation].Thelanguageofthearbitrationshallbe[Language].
8.Miscellaneous
8.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
8.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
8.3Ifanyterm,provision,covenant,orconditionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,void,orunenforceable,theremainderoftheprovisionsshallremaininfullforceandeffectandshallinnowaybeaffected,impaired,orinvalidated.
INWITNESSWHEREOF,thepartieshaveexecutedthisContractAgreementasoftheEffectiveDate.
