鑒于甲方作為工程項(xiàng)目的業(yè)主，committedtoenvironmentalprotectionandsustainabledevelopment,andinordertoensurethesmoothprogressoftheprojectandcomplywithrelevantenvironmentalprotectionregulations,thefollowingtermsandconditionsshallapply:

1.EnvironmentalProtectionObligations

1.1ThePartyAshallberesponsibleforthecompliancewithallapplicableenvironmentalprotectionlaws,regulationsandstandardsintheexecutionoftheproject.

1.2ThePartyAshallimplementnecessarymeasurestopreventandcontrolenvironmentalpollutionandensurethesafetyofworkersandthepublic.

1.3ThePartyBshallprovidetechnicalsupportandadvicetothePartyAfortheimplementationofenvironmentalprotectionmeasures.

2.CooperationandCommunication

2.1Bothpartiesshallestablishacooperativeworkingrelationshipandmaintainclosecommunicationonenvironmentalprotectionissues.

2.2ThePartyAshallprovidethePartyBwithrelevantprojectinformationandcooperationmaterialsasrequired.

2.3ThePartyBshallregularlyinspectandsupervisetheimplementationofenvironmentalprotectionmeasuresandprovideguidanceandsuggestionsforimprovement.

3.TechnicalSupportandServices

3.1ThePartyBshallprovidetechnicalsupportandservicestothePartyAfortheimplementationofenvironmentalprotectionmeasures,includingbutnotlimitedto:

-Providingenvironmentalprotectionplans,standardsandspecifications;

-Offeringtechnicaltrainingandguidanceforworkersandmanagementpersonnel;

-Assistinginthehandlingofenvironmentalprotection-relatedpermitsandinspections.

4.PaymentandCompensation

4.1ThePartyAshallpaythePartyBtheagreedtechnicalsupportandservicefeeswithinthespecifiedtimelimit.

4.2Intheeventofnon-compliancewithenvironmentalprotectionregulationsorstandards,thePartyAshallberesponsibleforthecorrespondingcompensationandpenalties.

5.ConfidentialityandNon-disclosure

5.1Bothpartiesagreetokeepallconfidentialinformationexchangedbetweenthemduringtheperformanceofthiscontractstrictlyconfidential.

5.2Neitherpartyshalldiscloseorusetheconfidentialinformationforanypurposeotherthantheperformanceofthiscontractwithoutthepriorwrittenconsentoftheotherparty.

6.DisputeResolution

6.1Anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvedthroughfriendlynegotiation.

6.2Ifthenegotiationfails,eitherpartymaysubmitthedisputetothecourtwithjurisdictionovertheplaceofperformanceofthiscontract.

7.ValidityandTermination

7.1Thiscontractshallbeeffectivefromthedateofsigningbybothpartiesandshallterminateuponthecompletionoftheenvironmentalprotectionmeasures.

7.2Eitherpartymayterminatethiscontractinwritingiftheotherpartybreachesanymaterialprovisionofthiscontractandfailstocuresuchbreachwithinareasonableperiodoftime.

Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,betweentheparties.Anyamendmentormodificationofthiscontractmustbeinwritingandexecutedbybothparties.

INWITNESSWHEREOF,thepartieshaveexecutedthiscontractasofthedatefirstabovewritten.
