PartyB,hereinafterreferredtoas"Seller,"isacompanyincorporatedandexistingunderthelawsofHongKong,witharegisteredaddressasstatedabove.TheSellerspecializesin[natureofbusiness,i.e.,supplyofgoods,provisionofservices,etc.]andhasthenecessaryauthorityandcapacitytoenterintothisAgreement.

ContractOverview:

ThisContractisenteredintoonthedatehereinaftermentionedbetweentheBuyerandtheSeller,inrelationto[abriefdescriptionofthesubjectmatterofthecontract,i.e.,thepurchaseofgoods,leaseofproperty,provisionofservices,etc.](the"SubjectMatter").

BackgroundandPreconditionsforCooperation:

TheBuyerandtheSellerhaveenteredintothisAgreementonthebasisofthefollowingbackgroundandmutualunderstanding:

a)TheBuyerrequires[adetleddescriptionofwhattheBuyerneeds,i.e.,specificgoods,services,etc.]tosupportitsbusinessoperationsandhasidentifiedtheSellerasareliableandsuitableprovideroftheSubjectMatter.

b)TheSellerhastheexperience,expertise,andresourcestosupplyorprovidetheSubjectMatterinaccordancewiththetermsandconditionssetforthherein.

c)ThePartieshaveengagedinpreliminarydiscussionsandnegotiations,andtheBuyerhasevaluatedtheSeller'scapabilities,references,andthequalityoftheSubjectMatteroffered.

d)BothPartiesaredesirousofestablishingalong-termbusinessrelationshipbasedonmutualtrust,qualityperformance,andadherencetothetermsandconditionscontnedinthisAgreement.

e)ThePartiesagreethatthisAgreementsetsforththeentireunderstandingbetweenthemregardingtheSubjectMatterandsupersedesallprioragreements,representations,warranties,andunderstandings,whetherwrittenororal.

ByexecutingthisAgreement,thePartiesintendtobelegallyboundandundertaketoperformtheirrespectiverightsandobligationsasdetledinthesubsequentsectionsofthisContract.

ThePartiesherebyacknowledgeandagreethat:

i.TheyhavereadandunderstoodallthetermsandconditionsofthisAgreement;

ii.ThisAgreementhasbeenenteredintofreelyandwithoutduress;

iii.ThetermsandconditionsofthisAgreementarefr,reasonable,andreflectiveoftheParties'intent;and

iv.TheexecutionofthisAgreementdoesnotviolateanylaws,regulations,oragreementstowhicheitherPartyissubject.

ThePartiesheretoagreetobeboundbythetermsandconditionsofthisAgreement,effectiveasoftheEffectiveDatefirstwrittenabove.

第一條合同目的與范圍

TheprimarypurposeofthisAgreementistosetforththetermsandconditionsunderwhichtheSellershallprovidetheBuyerwiththeSubjectMatter,whichincludes[adetleddescriptionofthespecificgoods,services,orpropertybeingpurchased,leased,orprovided].ThescopeofthisContractencompassesthesupply,delivery,andanyrelatedservicesorsupportasagreeduponbytheParties.Thisincludes,butisnotlimitedto,[alistofspecificactivities,deliverables,orservicesthatarepartofthecontract,suchasinstallation,trning,mntenance,etc.].

ForthepurposeofthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothembelow:

"SubjectMatter"refersto[acleardefinitionofthegoods,services,orpropertythatisthefocusofthecontract].

"EffectiveDate"isthedateonwhichthisAgreementissignedbybothParties.

"TerminationDate"isthedateonwhichthisAgreementexpiresoristerminatedinaccordancewiththetermsherein.

第三條雙方權(quán)利與義務(wù)

1.PartyA'sRightsandObligations:

a)TheBuyershallprovidetheSellerwithallnecessaryinformationandspecificationstoenabletheSellertofulfillitsobligationsunderthisAgreement.

b)TheBuyershallmaketimelypaymentsasspecifiedinthePaymentclauseofthisContractfortheSubjectMatterandanyadditionalservicesrenderedbytheSeller.

c)TheBuyershallnotreverseengineer,decompile,ordisassembleanypartoftheSubjectMatterwithouttheSeller'spriorwrittenconsent.

d)TheBuyershallcomplywithallapplicablelawsandregulationsinitsuseoftheSubjectMatter.

e)TheBuyerhastherighttorequestreasonablemodificationsorimprovementstotheSubjectMatter,subjecttotheSeller'sagreementandanyadditionalcostsortimelinesagreedupon.

2.PartyB'sRightsandObligations:

a)TheSellershallsupplytheSubjectMatterinaccordancewiththeagreedspecifications,qualitystandards,andwithinthetimeframespecifiedinthisAgreement.

b)TheSellershallprovideanynecessarydocumentation,instructions,andtrningtotheBuyertoensureproperuseoftheSubjectMatter.

c)TheSellershallmntnadequatestocksorresourcestofulfilltheBuyer'sordersinatimelymanner.

d)TheSellerhastherighttoreceivetimelypaymentsfromtheBuyerasperthePaymentclauseofthisAgreement.

e)TheSellershallnotifytheBuyerpromptlyofanychangestotheSubjectMatter,deliveryschedules,oranyotheraspectthatmayaffecttheBuyer'suseorsatisfactionwiththeSubjectMatter.

f)TheSellershallhandleanycustomerserviceorwarrantyissuesrelatedtotheSubjectMatterinapromptandprofessionalmanner.

BothPartiesshallperformtheirrespectiveobligationsingoodfthandwiththelevelofskill,care,anddiligencethatiscustomaryintheindustry.TherightsandobligationsoutlinedabovearenotexhaustiveandareinadditiontoanyothertermsandconditionsspecifiedelsewhereinthisAgreement.

第四條價(jià)格與支付條件

ThepricefortheSubjectMattershallbeasagreeduponbetweenthePartiesandspecifiedinAnnexAattachedhereto.PaymentshallbemadebytheBuyertotheSellerinaccordancewiththefollowingterms:

a)Paymentshallbeonehundredpercent(100%)upfront,unlessotherwiseagreedinwritingbytheParties.

b)PaymentsshallbemadebybanktransfertotheSeller'sdesignatedaccount,detlsofwhichshallbeprovidedbytheSellertotheBuyer.

c)TheBuyershallmakepaymentwithinthirty(30)daysofthedateoftheSeller'sinvoice,unlessalternatepaymenttermsaremutuallyagreedupon.

d)Latepaymentsshallbesubjecttointerestatarateof[specifyinterestrate]perannumfromtheduedateuntilthedateofactualpayment.

e)TheSellershallprovideavalidtaxinvoiceforallpaymentsmadebytheBuyer.

第五條履行期限

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[specifyduration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.KeymilestonesandtimeframesforthedeliveryoftheSubjectMatterorperformanceofservicesshallbeasfollows:

a)[Specifyanycriticaldates,deliveryschedules,orcompletiondeadlinesrelevanttothecontract.]

b)ThePartiesagreetoadheretothetimelinessetforthinthisAgreementandtocommunicatepromptlyifanydelaysareanticipated.

c)TheSellershallnotifytheBuyerofanyunforeseeneventsthatmaydelaythefulfillmentofitsobligations,andthePartiesshallagreeonarevisedtimeframeifnecessary.

d)TheBuyershallnotunreasonablywithholdacceptanceoftheSubjectMatteruponcompletionoftheagreed-uponservicesordelivery.

第六條違約責(zé)任

IntheeventofaParty'sbreachofthisAgreement,thenon-breachingPartyshallbeentitledtothefollowingremedies:

a)Thenon-breachingPartymayseekspecificperformanceofthebreachingParty'sobligationsunderthisAgreement.

b)IftheBuyerflstomaketimelypayment,theSellermay,atitssolediscretion,suspendfurtherdeliveriesorperformanceuntilsuchpaymentisreceived,withoutprejudicetoanyotherrightsorremediesavlabletotheSeller.

c)IftheSellerflstodelivertheSubjectMatterinaccordancewiththetermsofthisAgreement,theBuyermay,aftergivingwrittennoticetotheSeller,clmarefundofanyadvancepaymentsmade.

d)ThebreachingPartyshallbeliabletopayliquidateddamagestothenon-breachingParty,asspecifiedinAnnexB,foreachdayofdelayornon-performance,uptoamaximumof[specifypercentageoramount]ofthetotalcontractvalue.

e)Inadditiontotheabove,thenon-breachingPartyshallbeentitledtoclmcompensationforanydirect,indirect,orconsequentiallossesordamagessufferedasaresultofthebreach,includingbutnotlimitedto,lossofprofit,lossofbusiness,orthird-partyclms,totheextentpermittedbylaw.

f)ThePartiesagreethattheremediesprovidedinthisclausearenotexclusiveanddonotprecludethenon-breachingPartyfromseekinganyotherlegalremediesavlableunderapplicablelaw.

第七條不可抗力

"ForceMajeure"referstoanyeventorcircumstancethatisbeyondthereasonablecontrolofaPartyandwhichcouldnothavebeenavoidedbytheexerciseofduediligence.Sucheventsinclude,butarenotlimitedto,actsofGod,naturaldisasters,war,terroristacts,riots,strikes,lockouts,anddisruptionstopublicutilities.TheoccurrenceofaForceMajeureeventshallexcusetheaffectedPartyfromperformingitsobligationsunderthisAgreementtotheextentandforthedurationthatsuchperformanceispreventedbytheForceMajeureevent.

ThePartyclmingtheoccurrenceofaForceMajeureeventshallpromptlynotifytheotherPartyinwritingofthenatureandextentoftheevent,andshallusereasonableeffortstomitigatetheeffectsoftheeventandtoresumeperformanceassoonasreasonablypractical.IftheForceMajeureeventcontinuesforacontinuousperiodof[specifyperiod,e.g.,onehundredtwenty(120)days],eitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty.

第八條爭議解決

Anydispute,controversy,orclmarisingoutoforinconnectionwiththisAgreement,orthebreach,termination,orinvaliditythereof,shallberesolvedthroughthefollowingdisputeresolutionmechanism:

a)ThePartiesshallfirstattempttoresolveanydisputesamicablythroughnegotiation.Tothisend,eachPartyshallappointarepresentativewithsufficientauthoritytoresolvethedispute.

b)IfthePartiesareunabletoresolvethedisputethroughnegotiationwithin[specifynumber,e.g.,thirty(30)]daysofthewrittennoticeofthedispute,theymayagreetosubmitthemattertomediation.ThemediatorshallbemutuallyagreeduponbytheParties,andthemediationshallbeconductedin[specifylocation,e.g.,HongKong]inaccordancewiththerulesofthe[specifymediationbody,e.g.,HongKongMediationCentre].

c)Ifthedisputeisnotresolvedthroughmediationwithin[specifynumber,e.g.,sixty(60)]daysofthecommencementofthemediation,orifeitherPartywithdrawsfromthemediationprocess,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[specifyarbitrationinstitution,e.g.,HongKongInternationalArbitrationCentre(HKIAC)].Thearbitraltribunalshallconsistof[specifynumber,e.g.,three(3)]arbitrators,andtheplaceofarbitrationshallbe[specifylocation,e.g.,HongKong].ThedecisionofthearbitratorsshallbefinalandbindingupontheParties.

d)Notwithstandingtheabove,eitherPartymayseekinjunctiveorotherequitablereliefinanycourtofcompetentjurisdictiontopreventthebreachorthreatenedbreachofthisAgreement.

e)ThePartiesagreethatthechoiceoflawforthisAgreementshallbe[specifyjurisdiction,e.g.,thelawsofHongKong],andthatthecourtsof[specifyjurisdiction,e.g.,HongKong]shallhaveexclusivejurisdictionoveranylegalproceedingsarisingoutoforinconnectionwiththisAgreement.

第九條其他條款

1.Notices:

a)AnynoticeorcommunicationrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeliveredbyhand,sentbyregisteredml,ortransmittedbyeml.

b)Anynoticedeliveredbyhandshallbedeemedreceivedonthedateofdelivery;anynoticesentbyregisteredmlshallbedeemedreceivedonthethirddayfollowingthedateofposting;andanynoticetransmittedbyemlshallbedeemedreceivedonthedayfollowingthedateoftransmission,providedthatthesenderdoesnotreceiveanerrormessage.

c)TheaddressesforserviceofnoticeshallbethosespecifiedintheintroductoryparagraphofthisAgreementorsuchotheraddressasaPartymaydesignateby
