蔬菜配送合作協(xié)議合同編號：__________vegetabledeliverycooperationagreementThisVegetableDeliveryCooperationAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:BACKGROUND1.TheSupplierisengagedinthebusinessofgrowingandsupplyingfreshvegetables("Vegetables").2.TheBuyerisengagedinthebusinessofdistributingandsellingfreshvegetablestocustomersinthePeople'sRepublicofChina("Customers").3.TheSupplierandtheBuyerdesiretoenterintothisAgreementtoprovideforthedeliveryofVegetablestheSuppliertotheBuyerfordistributiontoCustomers.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.DeliveryofVegetables1.1TheSupplieragreestodelivertheVegetablestotheBuyer'sdesignateddeliverylocation(the"DeliveryLocation")inaccordancewiththedeliveryschedulesetforthinExhibitAattachedhereto(the"DeliverySchedule").1.2TheSuppliershallensurethattheVegetablesconformtothequalitystandardssetforthinExhibitBattachedhereto(the"QualityStandards").TheSuppliershallprovidetheBuyerwithacertificateofqualityforeachdeliveryofVegetables,whichcertificateshallcertifythattheVegetablesconformtotheQualityStandards.1.3TheSuppliershalldelivertheVegetablestotheDeliveryLocationnolaterthanthetimesspecifiedintheDeliverySchedule.TheBuyershallbeendtorejectanyVegetablesthatarenotdeliveredinaccordancewiththeDeliverySchedule.2.PaymentTerms2.1TheBuyershallpaytheSupplierfortheVegetablesdeliveredinaccordancewiththetermsofpaymentsetforthinExhibitCattachedhereto(the"PaymentTerms").2.2TheSuppliershallprovidetheBuyerwithinvoicesforeachdeliveryofVegetables,whichinvoicesshallincludethedetailsofthedeliveryandthepricefortheVegetables.TheBuyershallmakepaymentfortheVegetableswithinthetimeperiodspecifiedinthePaymentTerms.3.Warranties3.1TheSupplierwarrantsthattheVegetablesconformtotheQualityStandardsandthattheSupplierhastherighttoselltheVegetablestotheBuyer.3.2TheSupplierrepresentsandwarrantsthattheVegetablesaregrownandharvestedinaccordancewithallapplicablelawsandregulations,including,withoutlimitation,alllawsandregulationsrelatedtoagriculturalproduction,foodsafetyandenvironmentalprotection.4.Indemnification4.1TheSuppliershallindemnifyandholdharmlesstheBuyeragainstanyandallclaims,losses,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementtheSupplieroranyactoromissionoftheSupplierthatresultsinanyinjurytoordeathofanypersonordamagetoanyproperty.4.2TheBuyershallindemnifyandholdharmlesstheSupplieragainstanyandallclaims,losses,damages,liabilities,costsandexpenses(including,withoutlimitation,reasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementtheBuyeroranyactoromissionoftheBuyerthatresultsinanyinjurytoordeathofanypersonordamagetoanyproperty.5.TermandTermination5.2eitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereoffromtheterminatingparty.6.GoverningLawandDisputeResolution6.1ThisAgreementshallbegovernedandconstruedinaccordancewith一、附件列表：1.交付時間表（附錄A）2.質(zhì)量標(biāo)準(zhǔn)（附錄B）3.支付條款（附錄C）二、違約行為及認(rèn)定：1.供應(yīng)商未能按照約定的交付時間表交付蔬菜。2.供應(yīng)商交付的蔬菜未能符合約定的質(zhì)量標(biāo)準(zhǔn)。3.供應(yīng)商未提供質(zhì)量證書證明蔬菜符合質(zhì)量標(biāo)準(zhǔn)。4.供應(yīng)商未能在約定時間內(nèi)交付蔬菜。5.買方未能在約定的支付條款內(nèi)支付供應(yīng)商。6.買方未接受不符合交付時間表的蔬菜。7.供應(yīng)商未能保證蔬菜的種植和收獲符合相關(guān)法律法規(guī)。8.供應(yīng)商未對買方造成的任何損失或損害進(jìn)行賠償。9.買方未對供應(yīng)商造成的任何損失或損害進(jìn)行賠償。三、法律名詞及解釋：1.蔬菜：指符合附錄B中質(zhì)量標(biāo)準(zhǔn)的新鮮蔬菜。2.交付時間表：指附錄A中規(guī)定的供應(yīng)商交付蔬菜的時間表。3.質(zhì)量標(biāo)準(zhǔn)：指附錄B中規(guī)定的蔬菜的質(zhì)量要求。4.支付條款：指附錄C中規(guī)定的買方支付供應(yīng)商的條款。5.違約：指任何一方未履行或違反了本協(xié)議的任何條款。6.賠償：指因違約行為導(dǎo)致的損失、損害、費(fèi)用和責(zé)任。四、執(zhí)行中遇到的問題及解決辦法：1.蔬菜交付延遲：供應(yīng)商應(yīng)提前通知買方并盡
