ocedures.(d)Assistancewithvisaapplicationsandrelocation.4.4.InvestorRelations4.5.FollowupandSupport8.IntellectualPropertyRights8.1.OwnershipofIntellectualPropertyAllintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,andpatents,inandtotheEnglishversionofthesalescontractandanyrelatedmaterialscreatedorusedinthecontextofthisAgreement,shallbesolelyownedtheSeller.8.2.UseofIntellectualPropertyTheBuyershallnotuse,copy,modify,ordistributeanyoftheintellectualpropertyrightswithoutthepriorwrittenconsentoftheSeller.8.3.ConfidentialityandNondisclosureTheBuyeragreestomaintaintheconfidentialityoftheEnglishversionofthesalescontractandanyotherconfidentialinformationreceivedfromtheSellerinconnectionwiththisAgreement.9.ConfidentialityandNonCompete9.1.ConfidentialInformation"ConfidentialInformation"shallmeananyandallnonpublicinformation,includingbutnotlimitedtofinancialdata,technicalspecifications,businessplans,andcustomerlists,disclosedeitherPartytotheother.9.2.NonCompeteClause9.3.ExclusionsfromNonCompeteClauseTheNonCompeteClauseshallnotapplytotheBuyer'suseofitsownindependentbusinessskillsorknowledgeacquiredpriortotheexecutionofthisAgreement.10.RepresentationsandWarranties10.1.Seller'sRepresentationsandWarrantiesTheSellerrepresentsandwarrantsthat:(a)IthastherighttoenterintothisAgreementandtoselltheproperty.(b)Thepropertyisfreeandclearofanyliens,encumbrances,orotherrestrictions.(c)ThepropertyisasdescribedinthisAgreement.10.2.Buyer'sRepresentationsandWarrantiesTheBuyerrepresentsandwarrantsthat:(a)Ithasthefinancialabilitytopurchasetheproperty.(b)ItwillusethepropertyforthepurposesagreeduponinthisAgreement.(c)Itisnotawareofanyfactsorcircumstancesthatwouldreasonablyimpairthevalueorlegalityofthetransaction.10.3.IndemnificationIfeitherPartybreachesanyrepresentationorwarrantymadeinthisAgreement,thebreachingPartyshallindemnifythenonbreachingPartyagainstanylosses,damages,orexpensesincurredasaresultofthebreach.11.LiabilityandIndemnification11.1.Seller'sLiability11.2.Buyer'sLiability11.3.IndemnificationObligationsThePartiesagreetoindemnifyandholdtheotherharmlessagainstanyclaims,actions,demands,liabilities,losses,damages,andexpensesarisingoutoforresultingfromanythirdpartyclaimrelatedtothepropertyorthetransaction.12.TerminationandDefault12.1.ConditionsforTerminationThisAgreementmaybeterminatedeitherPartyupontheoccurrenceofamaterialbreachtheotherParty,whichbreachremainsuncuredforaperiodof[SpecifiedDuration]afterwrittennotice.12.2.DefaultandConsequencesIntheeventofadefaulteitherParty,thenondefaultingPartyshallhavetherighttoterminatethisAgreementandclaimdamagesorspecificperformance.12.3.NoticeofTerminationAnyterminationofthisAgreementshallbeeffectiveuponwrittennoticetotheotherParty.13.ForceMajeure13.1.DefinitionofForceMajeure"ForceMajeure"shallmeananyeventorcircumstancebeyondthereasonablecontroloftheParties,suchasnaturaldisasters,war,strikes,orgovernmentalactions.13.2.ImpactonPerformanceIntheeventofForceMajeure,theaffectedPartyshallbeexcusedfromperformanceandanytimeforperformanceshallbeextendedforaperiodequaltothedurationoftheForceMajeureevent.13.3.NoticeandDocumentationTheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofForceMajeureandprovidedocumentationtosupportitsclaim.14.DisputeResolution14.1.DisputeResolutionMechanismAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.14.2.ArbitrationIfthePartiesareunabletoresolvetheirdisputesthroughnegotiation,thedisputeshallbesubmittedtobindingarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].14.3.JurisdictionThearbitrationshallbeconductedin[Country/Region]andthedecisionofthearbitratorshallbefinalandbindingontheParties.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1.DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallrefertoanyindividual,entity,ororganizationthatisnotaPartytothisAgreementbutisengagedeitherPartytoprovideservicesrelatedtotheexecutionofthisAgreement,suchaslegalrepresentation,valuationservices,marketing,orconsulting.15.2.EngagementofThirdPartiesEitherPartymayengageaThirdPartytoassistinfulfillingitsobligationsunderthisAgreement.PriorwrittenconsentfromtheotherPartyshallbeobtainedbeforeengaginganyThirdParty.15.3.ResponsibilitiesofThirdPartiesThirdPartiesshallperformtheirdutiesinaccordancewiththetermsoftheirengagementandtheprovisionsofthisAgreement.Theyshallactingoodfaithandwithduediligenceintheperformanceoftheirservices.15.4.LiabilityofThirdParties15.4.1.LimitationofLiabilityTheliabilityofanyThirdPartyforanyactoromissioninconnectionwiththeperformanceofitsdutiesunderthisAgreementshallbelimitedtothescopeofitsengagementandthespecifictermsagreeduponbetweentheengagingPartyandtheThirdParty.15.4.2.IndemnificationTheengagingPartyshallindemnifytheotherPartyagainstanyclaims,damages,losses,orexpensesarisingoutoftheactsoromissionsoftheThirdParty,totheextentthatsuchclaims,damages,losses,orexpensesexceedthelimitationssetforthintheengagementagreementbetweentheengagingPartyandtheThirdP
