AgreementforCancellationofContract

ThisAgreementforCancellationofContract(the"Agreement")ismadeandenteredintoasof[date]byandbetween:

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract];and

WHEREAS,bothpartieshavemutuallyagreedtocanceltheOriginalContractunderthetermsandconditionssetforthherein.

AgreementtoCancel

1.CancellationoftheOriginalContract

PartyAandPartyBherebymutuallyagreetocanceltheOriginalContract,effectiveasofthedateofthisAgreement.AllrightsandobligationsarisingfromtheOriginalContractshallceasetoexistasofthiscancellationdate,exceptasotherwiseprovidedinthisAgreement.

2.ReturnofGoodsorServices(ifapplicable)

IfPartyAhasreceivedanygoodsorservicesfromPartyBundertheOriginalContract,PartyAshallreturnsuchgoodstoPartyBwithin[numberofdays]daysoftheexecutionofthisAgreement.Thegoodsshallbereturnedintheiroriginalcondition,reasonablewearandtearexcepted.

IfPartyBhasreceivedanypaymentsfromPartyAforgoodsorservicesthathavenotbeenfullydeliveredorprovided,PartyBshallrefundtheunearnedportionofsuchpaymentstoPartyAwithin[numberofdays]daysoftheexecutionofthisAgreement.

3.ReleaseofLiability

Eachpartyherebyreleasesandforeverdischargestheotherparty,itsofficers,directors,employees,agents,andaffiliatesfromanyandallclaims,liabilities,damages,losses,andexpenses(includingbutnotlimitedtoattorneys'fees)arisingoutoforinanywayrelatedtotheOriginalContract,whetherknownorunknown,arisingbeforethedateofthisAgreement.

4.Confidentiality

ThepartiesacknowledgethatduringthetermoftheOriginalContract,theymayhavehadaccesstoeachother'sconfidentialinformation.TheobligationsofconfidentialitysetforthintheOriginalContract,ifany,shallremaininfullforceandeffectevenafterthecancellationoftheOriginalContract.Eachpartyshallcontinuetoprotectandnotdisclosetheotherparty'sconfidentialinformationinaccordancewiththetermsoftheOriginalContract'sconfidentialityprovisions.

5.Non-disparagement

Eachpartycovenantsandagreesthatitwillnotmakeanydisparagingstatements,orallyorinwriting,abouttheotherparty,itsproducts,services,businessoperations,orreputationthatcouldharmtheotherparty'sbusinessorreputation.

GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothecancellationoftheOriginalContract.
