Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the“OriginalContract”)on[dateoforiginalcontract];

WHEREAS,bothpartiesnowdesiretoterminatetheOriginalContractuponthetermsandconditionssetforthherein.

TerminationoftheOriginalContract

1.MutualAgreementtoTerminate

-PartyAandPartyBherebymutuallyagreetoterminatetheOriginalContract,effectiveasoftheEffectiveDateofthisAgreement.

-FromtheEffectiveDate,neitherpartyshallhaveanyfurtherobligationsorrightsundertheOriginalContract,exceptasexpresslyprovidedinthisAgreement.

2.ObligationsofEachPartyuponTermination

-PartyA

-PartyAshall,within[X]daysaftertheEffectiveDate,returntoPartyBanyproperty,documents,ormaterialsbelongingtoPartyBthatareinPartyA'spossessionasaresultoftheOriginalContract.

-PartyArepresentsandwarrantsthatithasnotmadeanyunauthorizedcopies,reproductions,ordistributionsofanysuchproperty,documents,ormaterials.

-PartyB

-PartyBshall,within[X]daysaftertheEffectiveDate,returntoPartyAanyproperty,documents,ormaterialsbelongingtoPartyAthatareinPartyB'spossessionasaresultoftheOriginalContract.

-PartyBrepresentsandwarrantsthatithasnotmadeanyunauthorizedcopies,reproductions,ordistributionsofanysuchproperty,documents,ormaterials.

3.PaymentandSettlement

-AsoftheEffectiveDate,PartyAandPartyBshallsettleanyoutstandingpaymentsbetweentheminaccordancewiththetermsoftheOriginalContract.

-IfPartyAowesPartyBanymoney,PartyAshallpaytheamountduetoPartyBwithin[X]daysaftertheEffectiveDate.

-IfPartyBowesPartyAanymoney,PartyBshallpaytheamountduetoPartyAwithin[X]daysaftertheEffectiveDate.

4.Confidentiality

-TheconfidentialityobligationsofbothpartiesassetforthintheOriginalContractshallsurvivetheterminationoftheOriginalContract.

-EachpartyshallcontinuetokeepconfidentialanyconfidentialinformationoftheotherpartythatithasobtainedasaresultoftheOriginalContract.

5.Non-CompeteandNon-Solicitation

-Iftherewerenon-competeandnon-solicitationclausesintheOriginalContract,suchclausesshallremaininforcefortheperiodspecifiedintheOriginalContract.

-PartyAshallnotcompetewithPartyBinthe[relevantbusinessarea]for[X]months/yearsfromtheEffectiveDate.

-PartyBshallnotcompetewithPartyAinthe[relevantbusinessarea]for[X]months/yearsfromtheEffectiveDate.

-Neitherpartyshallsolicittheemployees,customers,orbusinesspartnersoftheotherpartyfor[X]months/yearsfromtheEffectiveDate.

6.Indemnification

-Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandallclaims,losses,damages,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementoranybreachoftherepresentationsandwarrantiesmadeherein.

7.EntireAgreement

-ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

8.AmendmentsandWaivers

-Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

9.GoverningLaw

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

10.Severability

-IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.

11.Signatures

-ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
