2025售后服務(wù)合同英文范本2025ServiceSupportContractThisServiceSupportContract("Contract")isenteredintoasof(the"EffectiveDate"),byandbetween("Client"),and("ServiceProvider"),collectivelyreferredtoasthe"Parties."1.ScopeofServicesTheServiceProvideragreestoprovidethefollowingservicestotheClientduringthetermofthisContract:1.1.MaintenanceServices:TheServiceProvidershallmaintainandensuretheproperfunctioningoftheequipment,systems,orproducts(the"Assets")providedbyorinrelationtotheClient.1.2.RepairServices:TheServiceProvidershallpromptlyrepairanydefectsordamagestotheAssets,whetherarisingfromnormaluse,manufacturingdefects,orothercauses,asagreeduponinwriting.1.3.UpgradesandUpdates:TheServiceProvidershallprovidetimelyupgrades,updates,andenhancementstotheAssetsasagreeduponintheServiceAgreement.1.4.TechnicalSupport:TheServiceProvidershalloffertechnicalsupporttotheClient,includingtroubleshooting,consultation,andguidance,viaphone,email,oron-sitevisits,asspecifiedintheServiceLevelAgreement("SLA").1.5.ConsultationServices:TheServiceProvidershallprovideprofessionaladviceandrecommendationstoensuretheoptimaluseandperformanceoftheAssetsinaccordancewithindustrystandards.2.TermoftheContract2.1.ThisContractshallcommenceontheEffectiveDateandcontinueforaperiodofyears,unlessterminatedearlierinaccordancewiththetermshereof.2.2.TheServiceProviderandtheClientmaymutuallyagreeinwritingtoextendthetermofthisContract.3.ResponsibilitiesandObligations3.1.ServiceProvider'sResponsibilities:ProvideservicesinaccordancewiththetermsandconditionsofthisContract.Ensurecompliancewithallapplicablelaws,regulations,andindustrystandards.Respondtoservicerequestswithintheagreed-uponServiceLevelAgreement.MaintainaccuraterecordsofallserviceactivitiesandmakethemavailabletotheClientuponrequest.3.2.Client'sResponsibilities:ProvidetheServiceProviderwithaccurateandtimelyinformation,access,andresourcesnecessarytoperformtheservices.EnsurethattheAssetsareusedinaccordancewiththemanufacturer'sinstructionsandagreed-uponterms.NotifytheServiceProviderimmediatelyofanydamage,defects,orissueswiththeAssets.PayallfeesinaccordancewiththepaymenttermsoutlinedinthisContract.4.FeesandPaymentTerms4.1.TheClientshallpaytheServiceProviderthefeesasoutlinedintheattachedScheduleA,whichformsanintegralpartofthisContract.4.2.Allpaymentsshallbemadewithindaysoftheinvoicedate.Latepaymentsshallincuraninterestchargeof%permonth,calculatedontheoutstandingamount.4.3.TheServiceProvidershallissueinvoicesonabasis(monthly/quarterly/anually).4.4.TheServiceProviderreservestherighttoadjustfeesandbillingtermsupondays'writtennoticetotheClient,providedthatsuchadjustmentsarenecessaryduetochangesinoperationalcosts,laborexpenses,orotherfactorsbeyondtheServiceProvider'scontrol.5.WarrantiesandGuarantees5.1.TheServiceProviderwarrantsthattheservicesprovidedunderthisContractwillbeperformedinaprofessionalandworkmanlikemanner,inaccordancewithindustrystandardsandbestpractices.5.2.TheServiceProviderguaranteesthatallrepairsandmaintenanceserviceswillbefreefromdefectsinworkmanshipforaperiodofmonthsfromthedateofcompletion,subjecttothetermsandconditionsoutlinedintheSLA.5.3.TheClientwarrantsthatitwillusetheAssetsinamannerconsistentwiththeirintendedpurposeandwillnotmisusetheminawaythatcouldcausedamageorinjury.6.Insurance6.1.TheServiceProvidershallmaintainadequateinsurancecoverage,includinggeneralliabilityinsuranceandprofessionalliabilityinsurance,withcoveragelimitsofatleast,tocoveranyclaimsarisingoutoftheservicesprovidedunderthisContract.6.2.TheClientshallobtainandmaintaininsurancecoveragefortheAssets,includingbutnotlimitedtopropertydamage,businessinterruption,andthird-partyliability,withcoveragelimitsofatleast.7.ForceMajeure7.1.NeitherPartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,orgovernmentactions.7.2.IftheperformanceofthisContractisdelayedorpreventedduetoaForceMajeureevent,theaffectedPartyshallpromptlynotifytheotherPartyinwritingandmakereasonableeffortstomitigatetheimpactofsuchevent.8.Termination8.1.EitherPartymayterminatethisContractwithdays'writtennoticeiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithindaysofreceiptofwrittennotice.8.2.Upontermination,theServiceProvidershalldeliverallrecords,reports,anddocumentationrelatedtotheservicesprovidedtotheClient.8.3.Anyoutstandingfeesshallbepaidwithindaysoftheterminationdate.9.Confidentiality9.1.BothPartiesagreetokeepconfidentialallnon-public,proprietary,orsensitiveinformationdisclosedduringthecourseofthisContract,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingParty.9.2.ThisconfidentialityobligationshallsurvivetheterminationofthisContractforaperiodofyears.10.Indemnification10.1.TheClientagreestoindemnifyandholdharmlesstheServiceProvider,itsofficers,directors,employees,andagentsfromanyclaims,damages,losses,orexpenses(includingreasonablelegalfees)arisingoutoftheClient'smisuseoftheAssetsorfailuretocomplywiththetermsofthisContract.10.2.TheServiceProvideragreestoindemnifyandholdharmlesstheClient,itsofficers,directors,employees,andagentsfromanyclaims,damages,losses,orexpenses(includingreasonablelegalfees)arisingoutoftheServiceProvider'snegligenceorfailuretoperformtheservicesinaccordancewiththisContract.11.DisputeResolution11.1.AnydisputesarisingoutoforrelatingtothisContractshallberesolvedthroughmutual協(xié)商.If協(xié)商fails,thePartiesagreetosubmitthemattertoarbitrationinaccordancewiththerulesofArbitrationInstitution,locatedin.11.2.ThearbitrationshallbeconductedintheEnglishlanguage,andtheawardshallbefinalandbindingonbothParties.12.Amendments12.1.AnyamendmentstothisContractmustbemadeinwritingandsignedbybothParties.13.Miscellaneous13.1.ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,representations,orunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.13.
