4、 the parties agree as follows:鑒于本協(xié)議所含之相互約定和承諾，訂約雙方協(xié)議如下：1. RECUTALSa. Both parties desire to join together for the pursuit of common business goals.b. Both parties have considered various forms of joint business enterprises for their business.c. Both parties desire to enter into a co-operation agreem

5、ent as the most advantageous business form for their mutual purpose.一 事實(shí)陳述a. 合作雙方欲聯(lián)合起來追求共同所需的商業(yè)目標(biāo)。b. 合作雙方已經(jīng)就其經(jīng)營業(yè)務(wù)考慮了各種形式的合作方式。c. 合作雙方欲就其互利目標(biāo)達(dá)成一項(xiàng)合伙協(xié)議作為其最佳商業(yè)形式。2. RESPONSIBILITIES & RELIABILITIESParty A- According to the information of XXXX business access standards, investment environment and tax pol

6、icy which provided by Party B, Party A shall recommend the high-quality companies from China to conduct business through Party B in XXXX.- Provide the full documentations of Chinese companies to conduct business in XXXX.- Ensure the authenticity and legality of all the documentation provided by the

7、Chinese companies.- As authorized by Party B, Party A is responsible to the signing and interpretation of various documents for mutual business.- Assist Party B to conduct the business promotions and publicities in China.Party B- Party B shall provide all the financial support on their business in C

8、hina; it includes business initiation, management and promotion.- As Party A shall refer the Chinese Companies to Party B. Party B shall provide these companies the consultant services regarding legal, audition, taxation, financial, risk management, accounting and other related areas.- In order to e

9、stablish the intensiveness business co-operation. Party B shall provide all the business related documents, information, legal acts and governmental information in XXXX for the reference of Party A.- Party B shall provide a systematic training course on XXXX businesses SOP (Standard Operation Proced

10、ure), XXXX law & Tax regulations and IIM Billing system for Party A employees.二 責(zé)任與義務(wù)甲方- 甲方根據(jù)乙方所提供的XXX業(yè)務(wù)進(jìn)入標(biāo)準(zhǔn)、投資環(huán)境以及稅收政策，為乙方推薦中國國內(nèi)優(yōu)質(zhì)企業(yè)到乙方公司開展業(yè)務(wù)。- 提供中國公司在XXXX進(jìn)行業(yè)務(wù)所需的所有文件。- 確保中國公司文件的真實(shí)性、合法性。- 負(fù)責(zé)乙方在中國業(yè)務(wù)各種文件的簽署、解釋工作。- 協(xié)助乙方在中國展開相關(guān)業(yè)務(wù)的推廣及宣傳。乙方- 乙方將提供其相關(guān)項(xiàng)目的所有開展、管理及推廣業(yè)務(wù)的資金。- 甲方所推薦到XXXX地區(qū)的企業(yè)，乙方須為其提供后續(xù)的經(jīng)營、管理、法律

11、法規(guī)咨詢、會計及其他相關(guān)的顧問服務(wù)工作。- 乙方根據(jù)甲方在中國開展業(yè)務(wù)的需要，提供一系列必要的宣傳類資料，包含當(dāng)?shù)氐亩愂照?、投資環(huán)境分析、乙方公司的官方宣傳材料等。- 乙方須向甲方特定人士進(jìn)行XXXX當(dāng)?shù)貥I(yè)務(wù)的標(biāo)準(zhǔn)操作步驟、政府法律/稅則規(guī)定及IIM收費(fèi)系統(tǒng)的培訓(xùn)課程。3. COMMUNICATION STRUCTUREFor a better future business development, Party A and Party B shall establish a regular meeting schedule for the business assessment, busi

12、ness flow and information exchange.三 業(yè)務(wù)溝通交流機(jī)制為了將來更佳的業(yè)務(wù)拓展，甲、乙雙方須定時展開會議，進(jìn)行業(yè)務(wù)發(fā)展的評估、流程及信息交流。4. CONVENANT AGAINST REVEALING TRADE SECRETSNo party shall, during the continuance of the co-operation relationship or for 5 years after its termination by any means, divulge to any person not a member of both fi

13、rms any trade secret or special information employed in or conductive to the co-operation business and which may come to the both partys knowledge in the course of the co-operation relationship, without the consent in writing of the other party, or of the other partys heirs, administrators, or assig

14、ns.四 保守商業(yè)秘密的承諾在甲、乙雙方展開合作業(yè)務(wù)的存續(xù)期間或無論以何種方式終止合作業(yè)務(wù)后5年內(nèi)，如果沒有其他合伙人或其繼承人、管理者或受讓人的書面同意，任何合伙人不得向非公司成員泄漏任何商業(yè)秘密或有官合作業(yè)務(wù)采用或有助于合作業(yè)務(wù)的信息，在合作業(yè)務(wù)的運(yùn)營過程中，該信息可能會成為合作雙方的專有知識。5. DURATION OF AGREEMENTThe term of this agreement shall be for 1 year, commencing on DATE, and terminating on DATE, unless sooner terminated by mutua

15、l consent of the parties or by operation of the provisions of this agreement.五 協(xié)議期限本協(xié)議期限為1年，從2011年x月x日開始到2012年x月x日結(jié)束，除非甲、乙雙方同意或本協(xié)議條款規(guī)定可終止該協(xié)議。6. GOVERNING LAWThe enforcement and interpretation of this agreement shall be governed by the laws of THE PEOPLES REPUBLIC OF CHINA.六 法律適用 本協(xié)議的實(shí)施和解釋適用于中華人民共和國法

RESOLUTION OF DISPUTESAny dispute arising out if or in connection with this Agreement, shall be governed and construed by the laws of the PEOPLES REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION, and shall be referred to and finally resolved by China Beijing Di

17、strict Court, P.R.C.七 爭議的解決方案及管轄所有因履行本協(xié)議引起的，與之相關(guān)的或不能夠通過協(xié)商解決的爭議及糾紛，任何一方均可將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，并且依照中華人民共和國規(guī)定，在北京通過仲裁的方式進(jìn)行解決。8. PREVAIL OF LANGUAGE VERSIONAny contradiction between Chinese and English version, Chinese version shall prevail.八 中文及英文版本間的效力所有因中、英文版本引起的矛盾及爭議，以中文版本為準(zhǔn)。9.
