Such packing shall be suitable for long distance ocean/air and inland transportation and well protected against dampness, moisture, shock, rust and rough handling. 21、 paid against the documents regulated in Article 10.110.9 of the Contract and submitted to the bank and the outstanding 30% shall be paid in full against the documents regulated in Article 10.10 of the Contract and submitted to the bank. After the goods are accepted, such performance security shall

22、be converted into the quality security. In case of no major quality issues within one (1) years since the date of acceptance, the Buyer shall refund such quality security to the Seller in full and without any interest.(The security shall be transferred into Buyers account through transfer. 28、nt after the shipmentThe Seller shall notify the details of the shipment of the Buyer and then fax a copy thereof.(6) 如果包裝為木質(zhì)包裝 ,則賣(mài)方需證明外箱上已有IPPC 標(biāo)識(shí) ,如果包裝為非木質(zhì)包裝 ,則需提供由制造商出具的非木質(zhì)包裝證明。If the package is made of wood, then the Seller should prove that there is IPPC marking on the outer box; otherwise, the

32、n(10) working days after receiving the notification.12. 質(zhì)量保證 Article 12 Quality Assurance 賣(mài)方應(yīng)保證貨物是合法廠(chǎng)家生產(chǎn)和經(jīng)銷(xiāo)的原包裝產(chǎn)品(包括零配件) ，必須具備生產(chǎn)日期、 廠(chǎng)名、廠(chǎng)址、產(chǎn)品合格證等。在各方面都符合質(zhì)量說(shuō)明書(shū)和本合同所規(guī)定的性能。賣(mài)方也 須保證在正確安裝、使用和維護(hù)的情況下，貨物自安裝之日起的一年內(nèi)運(yùn)轉(zhuǎn)良好。如果買(mǎi) 方對(duì)賣(mài)方所出售的貨物驗(yàn)收不合格，拒絕出具驗(yàn)收合格報(bào)告，賣(mài)方須承擔(dān)買(mǎi)方和買(mǎi)方代理 的所有損失和由此而產(chǎn)生的所有費(fèi)用。The Seller should guarantee tha

33、t the goods are such products (including the parts) with the original package as are manufactured and distributed by the legitimate manufacturers, have the date of manufacturing, name and place of the manufacturer and the Product Certification and comply with such performance stipulated in the Quali

34、ty Specification and the Contract in all aspects. The Seller should also guarantee that the goods work well within one (1) year since the installation under the condition that they are installed, used and maintained correctly. If the Buyer finds that the goods are nonconforming and then rejectsto is

37、y.13. 售后服務(wù) Article 13 After-sale Service 在自安裝驗(yàn)收合格之日起 12 個(gè)月的質(zhì)保期內(nèi)，賣(mài)方需負(fù)責(zé)由于缺陷的設(shè)計(jì)、工藝或材料 而造成貨物的任何過(guò)失或故障。賣(mài)方對(duì)貨物負(fù)責(zé)包修、包換或包退，并承擔(dān)修理、調(diào)換或 退貨的實(shí)際費(fèi)用。賣(mài)方不能修理或不能調(diào)換，按不能交貨處理。在保修期內(nèi)，修理的部件 和勞動(dòng)力是免費(fèi)的。當(dāng)貨物發(fā)生故障，買(mǎi)方須迅速通知賣(mài)方，而賣(mài)方必須在買(mǎi)方發(fā)出通知 的 5 日內(nèi)免費(fèi)為買(mǎi)方修理或更換故障的零部件或設(shè)備，除非技術(shù)說(shuō)明書(shū)另有說(shuō)明。The Seller shall, within twelve-month warranty since the in

In case of any failure to the goods, the Buyer should promptly notify the Seller and the Seller must, within five (5) days

41、pires, in case of any deviation in the aspect of equipment quality, the Seller should be responsible for the calibration free of charge; in case of any failure to the equipment quality, the Seller must, within seven (7) days, arrive at the site to conduct maintenance, provide the parts required for

42、such maintenance and shall only charge the costs of the materials. The Seller shall update and provide lifetime service for the operating software used by the equipment without any compensation.14. 檢驗(yàn)和索賠 Article 14 Inspection & Claim 發(fā)貨前，制造廠(chǎng)商應(yīng)對(duì)貨物的質(zhì)量、規(guī)格、性能和數(shù)量 /重量作精密全面的檢驗(yàn)，出具檢驗(yàn) 證明書(shū)，并說(shuō)明檢驗(yàn)的技術(shù)數(shù)據(jù)和結(jié)論。Before

43、 the delivery is made, the manufacturer should make a precise and comprehensive inspection on the goods with respect to the quality, specification, performance and quantity/weight and issue an Inspection Certificate specifying the technical data andconclusion of the inspection.48 小賣(mài)方在裝運(yùn)貨物時(shí)應(yīng)按買(mǎi)方代理要求提供

44、辦理清關(guān)手續(xù)的相關(guān)文件，并在貨物裝運(yùn)后 時(shí)內(nèi)以快遞形式寄送買(mǎi)方代理。買(mǎi)方代理在辦理清關(guān)過(guò)程中如因政府要求需補(bǔ)充相關(guān)文件 的，賣(mài)方應(yīng)在買(mǎi)方代理通知后 24 小時(shí)內(nèi)以快遞形式寄送買(mǎi)方代理。如賣(mài)方未能按時(shí)提供清 關(guān)資料，導(dǎo)致報(bào)檢報(bào)關(guān)延遲，貨物滯留，由此造成的相關(guān)損失由賣(mài)方承擔(dān)。While shipping the goods, the Seller should, according to the requirements of the Buyer s Agent, submit the relevant documents required for the disposal of customs

45、clearance procedures and, within forty-eight (48) hours upon completion of the shipment, mail to the Buyer s Agent by express service. Where the Buyers Agent is required by the Governmentto provide additional related documents during the disposal of customs clearance, the Seller should, within twent

46、y- four (24) hours since the Buyer sAgent gives a notice, mail to the Buyer s Agent by express service. If the Seller fails to submit relevant documents required for the customs clearance on time, thus causing a delay in the inspection and customs declaration and that the goods are detained, then an

During the inspection, if it is found that the goods are damaged or the specification

51、s and quantity of the goods are inconsistent with those under the Contract, besides the insurance company or the transportation company, the Buyer or the Buyer s Agent should also make a claim against the Seller or reject thgeoods against the Inspection Certificate issued by the AQSIQ within ninety
