4、nses incurred on account of improper packingand for any rust attributable to inadequate or improper protective measures taken by the sellers in regard of the package.包裝：標準海運包裝。如果由于不適當?shù)陌b而導致的貨物損壞和由此產(chǎn)生的費用，賣方應對此負完全的責任。5、SHIPPING MARK：The Sellersshallmark on each package with the receiptaddress,carton N

5、o, weight, size and UPC etc.嘜頭：賣方用貼紙在每個箱子外面打印上到貨地址、箱號、重量、尺寸和UPC6、 Time of Shipment: withindays after receipt of advance payment (T/T).裝運期限：收到電匯預付款天內(nèi)裝運。7、 Time of Delivery: Date until the effective date of contract withindays.交貨期：自合同生效之日起天。8、 Port of Shipment（裝運港）:9、 Port of Destination (目的港 )：10、 In

6、surance( covering all保險 ): To be effected by the risk insurance, to be effectedsellerby thefor 110% of the CIF invoice value Buyer of FOB, CFR and additionalinsurance.保險：采用CIF 到岸價，各種保險由賣方承擔，如果采用FOB離岸價，或成本加運輸，或其它新增險種，保險費由買方承擔。11、付款條件 (Terms of Payment)：Within daysafter the contractsigned, the Buyer s

8、ued by the seller13、 Term of Shipment 裝運條款裝箱單一式三份To be governed by“ Incoterms 2010裝運條款”應.按照2010 年國際貿(mào)易術(shù)語解釋通則的規(guī)定辦理。14、 Shipping Advice(裝運通知 ) ：The Sellershall,immediatelyupon the completionof the loadingof the goods, adviseby email the buyers of the ocean waybill and packing list document (it includes

9、commodity, quantity, gross weight, name of vessel and date of delivery etc.). Incase due to the sellersnot havingemailedin time,alllossescaused shallbe borneby the seller.裝運通知：賣方應于裝貨后，立即將提單和裝箱單資料（包括貨物、數(shù)量、毛重、運輸工具名稱、 交貨日期、貨物預計抵達日等）通過郵件通知買方。如果由于賣方未及時通知買方造成的所有損失均由賣方承擔。15、 Guarantee of Quality: The selle

10、r guarantee that the commodity is fulfil the buyer s contract requirement. The guarantee period is 12 months since the buyer received the commodity.質(zhì)量保證：賣方保證合同按照客戶的要求進行生產(chǎn)。質(zhì)量保證期為客戶收到貨物12 個月。16、 Claim （索賠）： Within 60days after the arrival of the goods at destination, found the commodity quality are lo

11、wer than the approval sample, the buyer has the authority to replace or reimbursement.and索賠：貨物抵達目的地 60 天內(nèi)，如發(fā)現(xiàn)產(chǎn)品低于買方確認的樣品標準，買方有權(quán)要求替換或補償。17、 Force Majeure ( 不可抗力 ) ：The Sellershallnotbe heldresponsibleforfailureor delay in delivery of the entire lot or a portion of the goods under this SalesContractin

12、 consequence of any Force Majeure incidentswhich may occur.Force Majeureas referredto in thiscontractmeans unforeseeable,unavoidableand insurmountableobjective conditions.由于發(fā)生當事人不能預見、不可避免或無法控制的不可抗力事件，致使本合約不能履行，部分或全部商品延誤交貨，賣方概不負責。18、 Arbitration仲裁：Any disputearising from or in connectionwiththis Cont

13、ract shall besubmitted toChina InternationalEconomic and Trade ArbitrationCommission forarbitrationwhichshallbe conductedin accordancewiththe commissionsarbitrationrulesin effectat the time of applying for arbitration. The arbitral awards is final and bindingupon both parties.凡因本合同引起的或與本合同有關(guān)的任何爭議，均應

14、提交中國國際貿(mào)易仲裁委員會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力19、 Notice通知：All notices shall be written in _and served to both parties by fax/courieraccording to the following address within _days after the change.所有通知用 _文寫成， 并按照如下地址用傳真/ 快件送達給各方。如果地址有變更，一方應在變更后 _ 內(nèi)書面通知另一方。Contractis executedin two counterpartseach in Chinese and E
