4、licit orders for the above commodity from customers in the above territory during the effective period of this agreement for not less than usd 100,000,00.6. 價(jià)格與支付price and payment每一筆交易的貨物價(jià)格應(yīng)由乙方與買(mǎi)主通過(guò)會(huì)談確定，并須經(jīng)甲方最終確認(rèn)。付款用法保兌的、不行撤銷(xiāo)的信譽(yù)證，由買(mǎi)方開(kāi)出，以甲方為受益人。信譽(yù)證須在裝運(yùn)日期前15天到達(dá)甲方。the price for each individual transact

6、本協(xié)議授予的獨(dú)家代理權(quán)，甲方不得挺直或間接地通過(guò)乙方以外的渠道向新加坡顧客銷(xiāo)售或出口第三條所列商品，乙方不得在新加坡經(jīng)銷(xiāo)、分銷(xiāo)或促銷(xiāo)與上述商品相競(jìng)爭(zhēng)或類(lèi)似的產(chǎn)品，也不得招攬或承受以到新加坡以外地區(qū)銷(xiāo)售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來(lái)自新加坡其他商家的有關(guān)代理產(chǎn)品的詢(xún)價(jià)或訂單轉(zhuǎn)交給乙方。in consideration of the exclusive rights granted herein, party a shall not, directly or indirectly, sell or export the commodity stipulated in artic

8、a shall refer to party b any enquiries or orders for the commodity in question received by party a from other firms in singapore during the validity of this agreement.8. 商情報(bào)告為使甲方充分理解現(xiàn)行市場(chǎng)狀況，乙方擔(dān)當(dāng)至少每季度一次或在必要時(shí)隨時(shí)向甲方供應(yīng)市場(chǎng)報(bào)告，內(nèi)容包括與本協(xié)議代理商品的進(jìn)口與銷(xiāo)售有關(guān)的地方規(guī)章的變動(dòng)、當(dāng)?shù)厥袌?chǎng)進(jìn)展趨勢(shì)以及買(mǎi)方對(duì)甲方按協(xié)議供給的貨物的品質(zhì)、包裝、價(jià)格等方面的看法。乙方還擔(dān)當(dāng)向甲方供應(yīng)其他供給商

9、類(lèi)似商品的報(bào)價(jià)和廣告資料。in order to keep party a well informed of the prevailing market conditions, party b should undertake to supply party a, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the c

10、ommodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by party a under this agreement. party b shall also supply party a with quotations and advertising materials on similar products of other suppliers.9. 廣告及費(fèi)用ad

11、vertising and expenses乙方負(fù)擔(dān)本協(xié)議有效期內(nèi)在新加坡銷(xiāo)售代理商品做廣告宣揚(yáng)的一切費(fèi)用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準(zhǔn)。party a shall bear all expenses for advertising and publicity in connection with the commodity in question in singapore within the validity of this agreement, and shall submit to party a all audio and video materials inte

12、nded for advertising for prior approval.10. 傭金commission對(duì)乙方挺直獵取并經(jīng)甲方確認(rèn)承受的訂單，甲方按凈發(fā)票售價(jià)向乙方支付5%的傭金。傭金在甲方收到每筆訂單的全部貨款后才會(huì)支付。party a shall pay party b a commission of 5% on the net invoiced selling price on all orders directly obtained by party b and accepted by party a. no commission shall be paid until par

13、ty a receives the full payment for each order.11. 政府部門(mén)間的交易transactions between governmental bodies在甲、乙雙方政府部門(mén)之間達(dá)成的交易不受本協(xié)議條款的限制，此類(lèi)交易的金額也不應(yīng)計(jì)入第五條規(guī)定的最低業(yè)務(wù)量。transactions concluded between governmental bodies of party a and party b shall not be restricted by the terms and conditions of this agreement, nor s

14、hall the amount of such transactions be counted as part of the turnover stipulated in article 5.12. 工業(yè)產(chǎn)權(quán)industrial property rights在本協(xié)議有效期內(nèi)，為銷(xiāo)售有關(guān)洗衣機(jī)，乙方可以用法甲方擁有的商標(biāo)，并成認(rèn)用法于或包含于洗衣機(jī)中的任何專(zhuān)利商標(biāo)、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨(dú)家擁有。一旦發(fā)覺(jué)侵權(quán)，乙方應(yīng)馬上通知甲方并幫助甲方實(shí)行措施愛(ài)護(hù)甲方權(quán)益。party b may use the trade-marks owned by party a for the sale of th

15、e washing machines covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the washing machines shall remain to be the sole properties of party a. should any infringement be foun

16、d, party b shall promptly notify and assist party a to take steps to protect the latter's rights.13. 協(xié)議有效期validity of agreement本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為1年，從1992年10月1日至1993年9月30日。除非作出相反通知，本協(xié)議期滿(mǎn)后將延長(zhǎng)12個(gè)月。this agreement, when duly signed by the both parties concerned, shall remain if force for 12 months

17、from october 1, 1992 to september 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.14. 協(xié)議的終止termination在本協(xié)議有效期內(nèi)，假如一方被發(fā)覺(jué)違反協(xié)議條款，另一方有權(quán)終止協(xié)議。during the validity of this agreement, if either of the two parties is found to have violat

18、ed the stipulations herein, the other party has the right to terminate this agreement.15. 不行抗力force majeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)斗或協(xié)議一方無(wú)法預(yù)見(jiàn)、掌握、避開(kāi)和克制的其他大事導(dǎo)致不能或臨時(shí)不能全部或局部履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不行抗力大事影響的一方須盡快將發(fā)生的大事通知另一方，并在不行抗力大事發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不行抗力大事的證明寄交對(duì)方。either party shall not be held responsible for failure or del
