16、the Port of Loading shall be paid by the SELLER hereto. 質(zhì)量檢驗(yàn)證書在裝運(yùn)港產(chǎn)生的費(fèi)用由賣方承擔(dān)。2.1.5.The cost of Quality Inspection Re-verification Certificate shall be paid by the BUYER hereto at port of discharge. 質(zhì)量檢驗(yàn)確認(rèn)書在卸貨港產(chǎn)生的費(fèi)用由買方承擔(dān)。2.1.6.Measurement and Samples. The measurement of quantities and the taking of s

17、amples for the purposes of determining the quality of the product subject matter of this Agreement, shall be carried out at the port of loading and port of discharge in accordance with the general practices as accepted in the Copper Cathode Industry, which SGS or any other licensed and Qualified Int

18、ernational Quality Inspectors mutually agreed by both of the Parties hereto, shall adhere. COUNTRY OF ORIGIN: The Democratic Republic of the Congo PORT OF LOADING: Tanzania,Dar Es Salaam. PORT OF DISCHARGE: China Huangpu Port 測(cè)量與與采樣 對(duì)本合同規(guī)定的產(chǎn)品進(jìn)行數(shù)量測(cè)量和樣品質(zhì)量檢驗(yàn)應(yīng)根據(jù)銅陰極板業(yè)統(tǒng)一慣例在裝運(yùn)港與卸貨港進(jìn)行。經(jīng)合同雙方同意的瑞士通用公證行或其它有許可證

CONSIGNMENTS:承運(yùn)：The SELLER hereto hereby agrees that the Consignment of Copper Cathode Plates shall be 10，000 ( ten thousand) MT trial delivery for the first month. 賣方同意銅陰極板承運(yùn)量，第一個(gè)月的試運(yùn)量為10，000（壹萬(wàn)）公噸。4. PRICE:價(jià)格:4.1.Both Parties hereto hereby agree to the following Price Structure and t

21、erms of sale of the Quantity and Quality of Copper Cathode Plates subject matter of this Agreement: 合同雙方同意本合同規(guī)定的以下價(jià)格表及銅陰極板數(shù)量和質(zhì)量的銷售條件：4.1a.The price of the copper cathodes being at LME minus 13% discount 銅陰極板按倫敦交易所價(jià)格交易，賣方給予買方負(fù)13%的折扣。4.1b.The copper cathodes being sold on a CIF basis. 銅陰極板以到岸價(jià)格（CIF）為基

22、礎(chǔ)進(jìn)行交易。4.1c.The price term is fixed at minus 13% discount from the average LME Cash Seller & Settlement Price with the date of inspection certificates issued by CIQ/SGS at discharging port as the middle day, two (2) days before this date and two (2) days after this date. It means the Unit Price i

23、s the average price of LMEs five (5) days price. This pricing method will be apply to all following shipments and the price is as per to the LME Cash Seller & Settlement Price of Copper Cathode Grade A, Cu-CATH-1(CR001A) of the website http:/www.lme.co.uk/copper.asp. The amount of proceeds of 10

24、0% is based on LMEs price to reference as a database.價(jià)格術(shù)語(yǔ)是固定在倫敦金屬交易所現(xiàn)金賣方結(jié)算平均價(jià)格的負(fù)13%的折扣，日期以卸貨港CIQ出入境檢驗(yàn)檢疫局和SGS瑞士通行公證行的出具的檢驗(yàn)證明日期為中間日期，以此為準(zhǔn)，前兩（2）天加后兩（2）天。這意味著單位價(jià)格是倫敦金屬交易所五（5）天的價(jià)格的平均值。這種定價(jià)方法將適用于以下所有運(yùn)貨。價(jià)格參照倫敦金屬交易所的一級(jí)銅電解板Cu-CATH-1(CR001A)的現(xiàn)金賣方結(jié)算價(jià)格，網(wǎng)站為http:/www.lme.co.uk/copper.asp。貨款的100%是以倫敦金屬交易所的價(jià)格為參考。5.

25、 REFUSE FOR THE CONSIGNMENT :拒絕托運(yùn):If the degree of purity of Copper Cathodes shall be less than 99.95%, the Buyer can refuse for the consignment.如果銅陰極板的純度低于99.95%， 買方可以拒絕托運(yùn)此。Radioactive Material:放射性物質(zhì)：Radioactive contaminated materials are strictly forbidden. If any radioactive material is determine

26、d at discharge port, the buyer reserves the right to reject the total cargo. In this event, total cost for freight, discharging, reloading and related costs that will be imposed by the local authorities will be charged to Seller. Seller shall clear the cargo from the discharging port and settle the

27、claim of the buyer immediately without any delay and excuse.嚴(yán)禁具有放射性污染的物質(zhì)。如果在卸貨港查出任何放射性物質(zhì)，買方有權(quán)拒絕全部貨物。在此情況下產(chǎn)生的運(yùn)費(fèi)，卸貨，重裝以及相關(guān)費(fèi)用全部由地方當(dāng)局向賣方收取。賣方應(yīng)無(wú)理由地立即從卸貨港將該貨物清除，并償付買方由此提出的索賠。6. 30、bank an irrevocable documentary letter of credit is nottransferable and effective.Coordination and instructing thebuyer bank made should be used as part of the documents to be submitted by the seller's Bank.The seller'sreceipt of the buyer's documentary letter of credit,from Tanzania to

33、r the goods will be effected by swift transfer against presentation of certificate of quality and quantity conducted and issued by SGS/CIQ at port of discharge and the original documents from the seller to the bank. This should be no longer than five days of discharging of goods. 賣方在卸貨港提交由通行公證行

Full details of vessel with valid P&I club and class society certificate will be sent to Buyer for stem approval before fixing. Vessel

39、 age will be max 20 years old. 賣方指定單一適航合適的甲板/散貨承運(yùn)人，便于快速卸貨。裝貨前，賣方將船舶的詳細(xì)信息連同有效的船舶互保協(xié)會(huì)證明和船級(jí)社證書一并寄給買方，獲得買方準(zhǔn)許后發(fā)貨。船齡最大為20年。7.5b Discharge rate: 900 mt PWWSSHEX EIU 卸貨率：每晴天工作日 900公噸 / 公噸，星期日、節(jié)假日除外，除非已經(jīng)使用7.5c LAYTIME: 裝卸時(shí)間 N.O.R. to be given only during office hours Monday to Friday from 08:00 hrs to 17:00

40、hrs (Holiday excluded) whether in port or not, whether in free pratique or not, whether custom cleared or not, whether in berth or not. N.O.R. to be tendered to the agent by tlx, fax or cable. Lay time to commence at 08:00 hrs next working day if NOR is given in the office hours.無(wú)論在港與否，是否有無(wú)疫入港許可證，是否

41、完成清關(guān)，是否?？?，裝/卸準(zhǔn)備就緒通知書僅在工作日周一至周五8：00至17：00辦理（包括節(jié)假日）。 裝/卸準(zhǔn)備就緒通知書將以電告，傳真或電報(bào)方式呈交代理。若工作日辦理裝卸準(zhǔn)備就緒通知書后，裝卸時(shí)間將在寫一個(gè)工作日8：00開始。7.5d SHIFTING: 變動(dòng)If any shifting at the discharging period time will count as lay time and expenses will be at the Buyers account. If the shifting is made due to the Sellers or vessels f

42、ault, time will cease to count as lay time and all the expenses will be on Sellers account. 如果卸貨期間有任何變動(dòng)，計(jì)為卸貨時(shí)間，因此產(chǎn)生的費(fèi)用由買方承擔(dān)。如果由于賣方或船方失誤引起的變動(dòng)，不計(jì)為卸貨時(shí)間，所有費(fèi)用由賣方承擔(dān)。7.6 BERTH AND DISCHARGE PORT.泊位和卸貨港 7.6a The SELLER shall provide and make necessary arrangements at the Port of Loading to enable the vessel

44、d complied upon. 賣方應(yīng)安排并雇傭檢驗(yàn)機(jī)構(gòu)出面檢驗(yàn)，確保所有必需單據(jù)和應(yīng)用規(guī)則嚴(yán)格按照當(dāng)?shù)卣?，港口和海關(guān)當(dāng)局及其他有關(guān)單位的規(guī)定執(zhí)行，并與之相符。7.6cAll Local Charges, Local Government, Port, Customs, Warehouse Charges, Clearing & Forwarding, and all other charges applicable until the goods are safely on board the vessel, shall be at the cost of the SELLER.

46、hin 30 days at Buyer's destination buyers port 實(shí)際裝運(yùn)日為賣方銀行收到買方銀行出具的金融單據(jù)日。第一批的10,000公噸應(yīng)在實(shí)際裝運(yùn)日后30到35天內(nèi)運(yùn)達(dá)買方的目的港。其余貨物在實(shí)際裝運(yùn)日后三十天內(nèi)相繼運(yùn)達(dá)買方指定目的港。7.6eDischarge at loading port, the Seller at his expenses shall determine the weight and the Quality of each shipment of Copper Cathodes; Cu by SGS. The weight o

47、f Copper cathodes as ascertained and certified together with SGS analysis Certificate shall be the basis of the invoice. 在裝運(yùn)港卸貨時(shí)，賣方測(cè)量每批銅陰極板的重量和質(zhì)量，由此產(chǎn)生的費(fèi)用由賣方承擔(dān)。銅應(yīng)符合瑞士通行公證行的規(guī)定。發(fā)票開具以經(jīng)確定并認(rèn)證的重量以及瑞士通行公證行的分析確認(rèn)書為基礎(chǔ)。7.7VERIFY:核驗(yàn)：7.7aInspection of the product will be confirmed on a certificate issued by the I

49、uality certificate and the weight stated in Bill of Lading are subject to the Certificate of Inspection issued by the Commodity Inspection Bureau (CIQ) at the port of destination. 該買賣合同規(guī)定的由瑞士通行公證行出具產(chǎn)品質(zhì)量背書的銅陰極板規(guī)格說(shuō)明以及提單中規(guī)定的重量說(shuō)明與目的港商品檢驗(yàn)局出具的檢驗(yàn)證明相符。7.7dIf the quantity exceeds 0.2% difference between the
