1、*CO., LTD.*公司AND之IMPORT AGENT SERVICE AGREEMENT委托代理進口協(xié)議2009/1/8進口代理協(xié)議書IMPORT SERVICE AGREEMENT甲方:乙方： * 公司*Co.,Ltd甲、乙雙方本著平等互利、共同發(fā)展的原則，經(jīng)友好協(xié)商，自愿簽定本協(xié)議：After friendly negotiations between the Parties and according to the “ TentativeProvisions on System of Foreign Trade Agency ” promulgated by the former

2、PRC Ministry of Economic and Trade, Party A and Party B have reached the following agreement:一、甲方全權委托乙方代理進口產(chǎn)品及報關，承擔乙方按照其指示或經(jīng)其同意而進行操作的一切后果。 Party A hereby appoints Party B as Party A's import agent to provide import agent services .二、甲方應在實際進口之前將進口詳細計劃告之乙方，并提供產(chǎn)品的品名、數(shù)量、重量、價格、產(chǎn)地、貿(mào)易國及HS編碼，以便乙方及時開始準備工

3、作。甲方應保證上述資料完整準確，并做到單貨相符、單單相符、單證相符。若因甲方提供信息有誤或延遲而造成額外費用，甲方應承擔全部責任。Party A shall provide to Party B such detailed documents as the bill of lad ing and list of Goods to be imported indicating the prices, quantity, specifications, purposes and additional documents as requested by the competent authoriti

4、es on a case by case basis. Party A shall immediately after arrival of the Goods at the port provide the relevant documents to Party B. Party A shall instruct the exporter and ensure that the exporter issues a proper and complete set of customs clearance documents such as commercial invoices, packin

5、g lists, bills of lading (or airway bills, etc. to the effect that all documents are consistent with each other and that all documents are consistent with the conditions of the Goods. The customs clearance shall be made according to the facts. If it is found that the documents are not consistent wit

6、h the Goods, Party A shall bear the relevant liabilities.三、甲方應積極配合乙方做好通關手續(xù)(隨時提供海關所需資料)，并提供必要協(xié)助。Party A shall be present at the inspection site designated by the customs authorities.四、甲方應在每票操作結束后付給乙方進口代理費，代理費按進口合同金額的*% 收取，若不足人民幣* 元，則按人民幣 * 元收取。The Parties herewith agree that for the provision of the

7、aforementioned Import Agent Services Party A shall pay Party B an import agency fee (“ Agency Fees ” ) for each import of Goods. The Agency Fee for each import shall be calculated as zero pofive percent (0.8%) of the CIF price of the Goods to be imported. If the Agency Fee for a transaction is less

8、than Renminbi five hundred (RMB 800), it shall be set as Renminbi five hundred (RMB800)五、在通關過程中發(fā)生的其他費用，如倉費、法定商檢費、查驗費、保險費、運雜費等(以海關、商檢、船務、運輸公司開據(jù)的發(fā)票為準)，由乙方按實際發(fā)生數(shù)與甲方結算。Miscellaneous Expenses incurred in the course of handling customs clearance for the imported Goods, including but not limited to fees an

9、d expenses for commodity inspection, health quarantine, quarantine for animals and plants, transportation and incidental expenses, fees and expenses incurred in the port area, the port supervision authority, insurance fees and banks charges ( “ Miscellaneous Fees ” ) shall be borne by P,aertxyceApte

10、d such Miscellaneous Expenses miscellaneous expenses incur as a result of Party B s intentional default or negligence. In the later case such Miscellaneous Fess shall be born by Party B. 六 . 乙方應在甲方貨款到達乙方帳戶后的三個工作日內(nèi)為甲方做好購、付匯手續(xù)，甲方自行支付購付匯手續(xù)費。Party B shall apply with designated banks for the conversion o

11、f foreign exchange within three (3) working days after Party Bhasreceived the equivalent Renminbi amount for the Goods in full from Party A. Party B shall not divert the funds of Party Aforother purposes. Party B shall pay to Party A the respective amount of foreign exchange according to the officia

12、l exchange rate of the then current date of the bank. After receipt of the foreign exchange, Party A shall settle the payment with Party B according to the relevant vouchers for converting foreign exchange issued by the bank.七、乙方僅承擔代理進口該商品的義務，其權利義務受且僅受本代理協(xié)議約束。在代理過程中對于經(jīng)甲方指示或確認而由乙方以自己名義代為簽定的一系列形式合同，乙方

13、不負任何責任，而由甲方作為委托人承擔。對于甲方與實際進口商等發(fā)生的一切爭議，(如產(chǎn)品質(zhì)量、數(shù)量、規(guī)格、交貨期等)，乙方概不負責。It is the Parties understanding that Party B is an independent import agent of Party A. No employee of Party Blbsehdael emed to be an employee of Party A. Nothing contained in this Agreement shall be construed so as to create a partners

14、hip or joint venture; and neither Party hereto shall be liable for the debts or obligations of the other. Party B shall bear no liability for the disputes arising between Party A and the actual users of the Goods with respect to the quality, quantity, specifications and delivery date of the Goods.八、

15、違約責任LIABILITIES FOR BREACH如果本協(xié)議任一方未能履行本協(xié)議的全部或任一條款、或者以其他方式違反本協(xié)議，該方應向另一方承擔應履行不能或違約而給對方造成的損失。所有應此履行不能或違約而造成的間接或偶然損害或損失應排除在外。本協(xié)議以及中國合同法規(guī)定的、守約方對違約方的其他任何權利不受影響。If either Party to this Agreement fails to fulfill all or any obligation(s) under this Agreement or commits any other breach of this Agreement it

16、shall be liable to the other Party for all direct losses or damages caused by such failure or breach. Any liability for indirect, consequential or incidental damages or losses caused by such failure or breach shall be excluded. Any other rights of the Party abiding the Agreement against the breachin

17、g Party under this Agreement and the PRC Contract Law shall not be affected.九、不可抗力條款FORCE MAJEURE因不可抗力造成無法履行或不能如期履行本協(xié)議時，根據(jù)不可抗力的實際影響，部分或全部免除未能履行協(xié)議一方的責任。If an event of force majeure occurs, neither Party shall be responsible for any damage, increased costs or loss which the other Party may sustain by

18、reason of such failure or delay of performance. The Party claiming force majeure shall take appropriate measures to minimize or remove the effect of force majeure and, within the shortest possible time, attempt to resume performance of the obligation(s) affected by the event of force majeure.十、文字及效力

19、EFFECTIVENESS本協(xié)議經(jīng)雙方簽字蓋章后生效，有效期兩年。本協(xié)議一式兩份，具有同等效力。This Agreement shall be written in English and Chinese in two (2) copies, each Party holding one (1) copy . Both the English and Chinese versions are equally binding. This Agreement shall be valid for 2 years from the effective date upon signature of b

20、oth parties.十一、適用法律APPLICABLE LAW本協(xié)議適用中華人民共和國法律，若有其他未盡事宜，在雙方友好協(xié)商未果時直接適用相關法律、法規(guī)的規(guī)定。The formation of this Agreement, its validity, termination, interpretation, execution and the settlement of any dispute arisingthereunder shall be governed by the laws of the PRC.十二、爭議的解決DISPUTE SETTLEMENT有關本協(xié)議及其履行中發(fā)生的

21、爭議，雙方應積極、友好地協(xié)商解決。如果在一方書面通知另一方該爭議的存在后四十五( 45)天內(nèi)協(xié)商不成的，應將該協(xié)議提交在香港的香港國際仲裁中心，依該會屆時有效的仲裁規(guī)則進行仲裁。All disputes arising from the execution of, or in connection with this Agreement shall be settled through friendly consultations between the Parties. If no settlement can be reached through consultation within forty five (45) days after either Party has given written notice to the other Party of the existence of a dispute under this article, the dispute shall be submitted to arbitration with the Hong Kong International Arbitration Center ( “
