DEFINITIONS For the purpose of this Agreement, the following terms shall have the meanings defined below: 第一條釋義 本協(xié)議各術(shù)語的釋義如下： Acceptance Test Manua

4、l 驗(yàn)收手冊 The Acceptance Test Manual shall be the document prepared by Corporation which will be used by Corporation and Purchaser for checking whether the Equipments is in accordance with the Specifications and Approved Data. 驗(yàn)收手冊是指由公司提供，供方公司與買方檢驗(yàn)設(shè)備是否符合技術(shù)規(guī)格和規(guī) 定資料標(biāo)準(zhǔn)所用的一種文件 System Parts 系統(tǒng)零件 System Part

5、s are those which are necessary to Corporation in the performance of this Agreement and derived from Approved Data and shall include but not be limited to those parts which are manufactured by Corporation s suppliers. Notwithstanding the foregoing; mutually agreed simulated and modified equipment us

8、eficiencies or Detect 缺陷或瑕疵 Deficiencies or Defects shall mean the Equipment (configuration and performance) that fail to meet identified sections of the Acceptance Test Manual. 缺陷或瑕疵是指設(shè)備(結(jié)構(gòu)或性能)不符合驗(yàn)收手冊有關(guān)規(guī)定之處。 Effective Date 生效日期 The Effective Date of this Agreement shall be the date on which Corpora

9、tion is authorized to proceed with the work hereunder to Purchaser s account or the date on which the first payment is received by Corporation. The authorization to proceed referred to in the foregoing may be either a telex or letter from a duly authorized officer of Purchaser providing such authori

10、zation to proceed, or a copy of this Agreement duly signed by both parties. 11、able Delay where the term is used in this Agreement shall mean those causes of delay specifically identified in Article 7 hereof. 本協(xié)議中使用的“可容許的遲延” 一術(shù)語是指由本協(xié)議第 7條中明文規(guī)定的 遲延原因。 Proprietary Software” 專有軟件 Proprietary Software shall mean any program or other information stored on tapes, discs, documents or

SUBJECT MATTER OF SALE 第二條銷售主體事項(xiàng) (a) Corporation shall sell to the Purchaser and the Purchaser shall purchase from Corporation

14、 the Equipment together with the Associated Items. 公司愿意向買方出售，買方愿意向公司購買設(shè)備及其附屆項(xiàng)目。 (b) The Equipment and Associated Items shall be in accordance with this Agreement and the Specification. 設(shè)備及其附屆項(xiàng)目須符合本協(xié)議和技術(shù)規(guī)格要求。 (c) The Equipment shall have the capability to perform in accordancewith the performance sta

In the event of any conflict between the Acceptance Test Manual and the Specification or Approved Data, the Specification and Approved Data shall prevail. 本協(xié)議正文規(guī)定如與附表規(guī)定相抵觸，以本協(xié)議正文規(guī)定為準(zhǔn)。驗(yàn)收手冊若 與技術(shù)規(guī)格

PAYMENT 第四條付款 (a) All amounts stated or referred to herein are in lawfun money of and all

21、即刻付給公司業(yè)已到期應(yīng)付的所有款項(xiàng)， 包括各種稅收費(fèi)用在內(nèi)，不得有例外。 (d) If by reason of delay on the part of the Purchaser or Purchasers agent or representative, any payments due to Corporation are not make in accordance with the agreed payment schedule Corporation reserves the right to apply a late payment charge of one and a ha

22、lf percent (1.5%) per month (19.56% per annum)on all overdue amounts and Purchaser agrees to promptly pay any such late payment charges which are properly due hereunder. In the event that one or more payments are delayed for sixty (60) days or more, Corporation shall have the right to stop all work

23、under this Agreement and shall also have the right to claim such period of work stoppage and the effects thereof as excusable delay pursuant to Article 7 hereto (Excusable Delay). Purchaser agrees to reimburse Corporation for those additional reasonable costs incurred by Corporation resulting from s

24、uch work stoppage(s) and restart(s). Should one or more payments by delayed for one hundred and twenty (120) days or more, this Agreement may, at Corporation s option, be deemed to be cancelled under the provisions of paragraphs (b) through (e) of Article 23 hereof (Termination for Insolvency &

DELIVERY AND ACCEPTANCE 第五條交貨與驗(yàn)收 (a) Corporation shall give the Purchaser at least twenty-eight (28) days preliminary notice in writing and at least seven (7) days firm notice in wirting of the date on which Corporation proposes to offer the Equipment to the Purchaser for Plant Acceptance

The Purchaser shall have five (5) working days per week during a ( )consecutive week period, being, a total of working days, after the said offer for Plant Acceptance within which to accomplish the tests laid down in the Acceptance Test Manual. 公司至少應(yīng)當(dāng)在二十八(28)天前將提供設(shè)備并讓買方作設(shè)備出廠初步驗(yàn)收的 日期用書面形式通知買方公司，且至少

28、在七 (7)天前書面通知買方設(shè)備驗(yàn)收的確 切日期。買方須在上述設(shè)備驗(yàn)收日期之后連續(xù) 周內(nèi)，每周為五(5)個(gè)工作日， 共計(jì)個(gè)工作日，完成驗(yàn)收手冊所規(guī)定的各項(xiàng)檢測。 (b) In the event that Deficiencies in the Equipment become evident, such Deficiencies shall be corrected by Corporation either during the two days per week during which the Purchaser will not be testing or during the te

29、sting provided. The corrctive action does not impede or restrict the Purchaser in carrying out the said tests. After correction, the Purchaser shall be afforded such additional time as may be agreed to repeat any unsuccessful tests together with any other tests necessary to confirm that said Deficie

30、ncies have been cleared and that previous successful tests have not been affected. 如發(fā)現(xiàn)設(shè)備有缺陷，應(yīng)當(dāng)由公司進(jìn)行校正。校正應(yīng)當(dāng)在每周買方不進(jìn)行檢測 的兩天中進(jìn)行，或在檢測期間進(jìn)行，只要不妨礙買方進(jìn)行上述檢測均可。 校正之 后，應(yīng)給買方額外時(shí)間以進(jìn)行尚未完成的以及其他任何必要的檢測， 以證實(shí)上述 缺陷已活除，同時(shí)不得影響以前成功的檢測。 (c) Upon successful completion of the tests, the Purchaser shall sign a Plant Acceptance

31、 Certificate evidencing such completion and listing any agreed Deficiencies to be corrected by Corporation within such period as may be agreed with the Purchaser. 順利完成這些檢測后，買方須在出廠設(shè)備驗(yàn)收證上簽字，證明業(yè)已完成檢測， 并注明雙方認(rèn)可的，且應(yīng)由公司在買方同意的期間內(nèi)校正的缺陷。 (d) After the signing of the Plant Acceptance Certificate by the Purchas

32、er, Corporation shall dismantle and pack the Equipment for surface shipment to Purchasers Facility. 買方在出廠設(shè)備驗(yàn)收證上簽字后，公司須將設(shè)備拆卸、包裝，以便運(yùn)往買方 工廠。 (e) Shipping arrangements between Corporations plant and Purchasers Facility will be made without undue delay by , or to the direction of , who will be responsibl

33、e for all costs of surface shipment and transportation of the Equipment and Deliverable Associated Items. 從公司工廠至買方工廠的裝運(yùn)應(yīng)由 進(jìn)行或由 安排，并負(fù)責(zé)所 有設(shè)備以及可提供的附屆項(xiàng)目的運(yùn)輸費(fèi)用。 (f) The Purchaser shall have consecutive days after being offered the Equipment for Site Acceptance within which to check and ensure that the Equ

34、ipment will still accomplish the tests completed during Plant Acceptance. 買方需要連續(xù)xx個(gè)工作日對設(shè)備進(jìn)行現(xiàn)場驗(yàn)收，在此期間，檢查并確保設(shè) 備仍能完成出廠驗(yàn)收時(shí)所做的各項(xiàng)試驗(yàn)。 (g) Corporation shall, as soon as practicable after the said check, and during the said check to the extant that the Purchaser is not impede or restricted in carrying out ch

35、ecking, correct any Deficiencies of which the Purchaser shall have notified the Corporation supervisor. After correction, the Purchaser shall be afforded such additional time as may be agreed to repeat any unsuccessful tests together with any other tests necessary to confirm that said Deficiencies h

37、evidencing such completion and listing any agreed Deficiencies to be corrected by Corporation within such a period as may be mutually agreed upon. 上述檢測完成后，買方須立即在現(xiàn)場驗(yàn)收證上簽字以證明驗(yàn)收完畢，并注明 雙方認(rèn)可的，且應(yīng)由公司在雙方議定的期間內(nèi)校正的缺陷。 (i) Such Site Acceptance shall take place within a period of weeks after the Effective Date

38、as such period may be extended pursuant to Article 7 hereto (Excusable Delay). In the event that the Purchaser shall use the Equipment for training, Site Acceptance shall be deemed to have occurred and the Site Acceptance Certificate shall be signed forthwith and shall be effective the date on which

39、 the Purchaser first used the Equipment for training. 現(xiàn)場驗(yàn)收應(yīng)在協(xié)議生效后X周內(nèi)進(jìn)行，該期限可按本協(xié)議第 7條(可諒解的 延遲)規(guī)定延長。若買方用該設(shè)備進(jìn)行培訓(xùn)，則認(rèn)定現(xiàn)場驗(yàn)收已經(jīng)進(jìn)行，應(yīng)立即 簽署現(xiàn)場驗(yàn)收證，此證須從買方首次使用設(shè)備進(jìn)行培訓(xùn)日期起生效。 (j) If re-calibration or reprogramming is needed to clear Deficiencies during Plant Acceptance testing or Site Acceptance testing, the latest av

40、ailable drawings, data, and other technical information relevant to the System shall be used if no additional delay or cost is involved. If additional delay or cost is involved, such drawings, data an other technical information shall only be used upon the written request of the Purchaser. The drawi

41、ngs, data and other technical information referred to in the foregoing of this paragraph shall become Approved Data by virtue of the execution of a Change Order executed pursuant to Article 9 hereof (changes). 如在出廠驗(yàn)收試驗(yàn)或現(xiàn)場驗(yàn)收試驗(yàn)期間，為查明故障而需重新校正或重新編 排程序，在不致引起延誤或價(jià)格增加的情況下，應(yīng)盡可能采用最新的圖紙、數(shù)據(jù) 及與該系統(tǒng)有關(guān)的其他技術(shù)資料。若因此會(huì)誤

TITLE AND RISK OF LOSS 第六條所有權(quán)和損失的風(fēng)險(xiǎn) Corporation shall retain title in and to the Equipment and Associated Items until payment in full of the Total PurchasePrice. Notwithstanding the foregoing, risk of loss of or d

43、amage to the Equipment and deliverable Associated Items shall pass to the Purchaser at the time the Equipment and deliverable Associated Items are delivered Ex. EXCUSABLE DELAY 第七條可諒解的延遲 (a) Corporation shall not be in breach of any of its obligations under this Agreement when failure to perform, or delay in performing, any obligation is due wholly or in part to act of God, act of the public enemy, war, civil commotion, insurrectio

45、n, riot, embargo, fire, explosion, earthquake, lightning, flood or other major action of the elements, or other catastrophe, legislation, any act, order or regulation of any governmental or other duly constituted authority, delay or failure of carriers, delay by the Purchaser or strike or other labo

46、r troubles, lack or shortage or delay in delivery of supplies, materials, accessories or equipment, or any other cause beyond Corporation s practical control. In the event of such failure or delay the time fixed for the performance by Corporation of any obligation whatsoever imposed in this Agreemen

47、t shall, at Corporation s option, be extended for a period not longer than the period during which any such cause and the effects therof persist. However, Corporation shall use all reasonable efforts to minimize the effects of any Excusable delay hereunder. 如部分或全部因下歹0原因而致使任何義務(wù)沒有或延遲履行， 公司不得承擔(dān)任 何違約責(zé)任：

48、不可抗力、公敵行為、戰(zhàn)爭、民變、叛亂、暴動(dòng)、禁運(yùn)、火災(zāi)、爆 炸、地震、雷擊、洪水或其他重大事件、其他重大災(zāi)難、政府或其他合法當(dāng)局的 法律、法規(guī)、命令或規(guī)定、運(yùn)輸延誤或故障；因買方或罷工或其他勞動(dòng)爭議造成 的延誤；因物資、材料、附件或設(shè)備短缺或供貨延誤或其他任何公司無法實(shí)際控 制的原因。如由此而沒有或延誤履行協(xié)議，公司如愿意可以延長其履行本協(xié)議規(guī) 定義務(wù)的時(shí)間，但延長期不得超過事故或其后果的持續(xù)期。 公司應(yīng)盡一切努力減 小可諒解延遲所造成的后果。 (b) Without limiting the generality of the provisions of the foregoing para

49、graph, the following causes shall be deemed to be causes of Excusable Delay: 除上述規(guī)定之外，下列原因也應(yīng)視為可諒解延遲的原因： If Corporation shall not have received all the necessary Approval Data, provided however, that any such cause of delay is reasonably beyond Corporations practical control and not occasioned by faul

52、 under this Agreement, including the adjustment of the Total Purchase Price, then Corporation may thereupon by written notice cancel this Agreement and such can cancellation shall be deemed to have occurred pursuant to the provisions of paragraph (b) through (e) of Article 23 hereof (Termination for

54、l also pay to Corporation all export brokerage fees and all sales, consumption, turnover, use, or similar taxes or duties levied by any taxing authority in having jurisdiction under any present or future law, whether now or hereafter in force and effect, required to be paid by Corporation in connect

CHANGES 第九條更改 (a) After the date of this Agreement no alterations shall be made to this Agreement or to the Exhibits except by means of a Change Order made pursuant
