The purpose of this MOU is to provide a framework of cooperation and facilitate collaboration among the Parties, on a non-exclusive or

7、exclusivebasis in the Projects.本MOU的目的為各方在此工程上非排他性或排他性的,兩者選一個(gè)的提供合作框 架和促進(jìn)合作.Article IIAreas of Cooperation 合作領(lǐng)域2.1 The Parties agree to cooperate in the following areas of activity: 各方同意在以下領(lǐng)域進(jìn)行 合作：a. The Parties that will undertake to explore and develop the market and construction of the Projects in

8、 the scope of cooperation with terms to be agreed including but not limited to any forms of procurement contract for equipment, service or turn-key projects.雙方將在合作范圍內(nèi)的共同開發(fā)市場和進(jìn)行工程建設(shè)包括但不限于任何形式的設(shè)備、效勞或總包工程的采購合同b. Create partnership with state owned and/or private - the scope of cooperation companies in

9、other strategic sector/s with potential for job creation, poverty reduction and other developmental objectives;與合作范圍內(nèi)的國有或私營企業(yè)在其它戰(zhàn)略領(lǐng)域,如創(chuàng)造就業(yè),減少貧困,和其他發(fā) 展性的目的而合作.c. Establishing business contacts with interested and potential Chinese and other international companies who are committed to contribute to s

10、ustainable development in the scope of cooperation.與有意向的有潛力的在合作范圍內(nèi)的促進(jìn)可持續(xù)開展的中國和其他國際公司建立商 業(yè)聯(lián)系.2.2 The Parties agree that this present cooperation is built on mutual trust among the Parties and that none of the Parties shall do any acts that undermine the interests of the other Party at all times. Hone

11、st and frank disclosures of information of the Projects are required throughout the term of cooperation which is formed of and in relation to this MOU among the Parties.各方同意目前的合作是基于各方之間的相互信任,各方任何時(shí)候都不得做出有損其它方利益的行為.各方在本MOU相關(guān)的合作過程中都要老實(shí)坦誠交換信息.Article IIIConsultation and Exchange of Information咨詢與信息交換3.1

12、 The Parties shall, on a regular basis, keep each other informed of and consult during the progress and share information of and relating to the Projects truly and accurately.各方應(yīng)定期就與有關(guān)工程有關(guān)的信息真實(shí)且準(zhǔn)確地進(jìn)行通知、商討和信息共享.3.2 Consultation and exchange of information and documents under this Article III shall be

13、 without prejudice to arrangements according to which certain information and documents may be required to be maintained confidential and being of restricted character.本條款下的對信息和文件的商討和交換均不影響任何關(guān)于保密和限制性信息和文件的 保密要求.3.3 Each of the Parties shall at any time that deemed appropriate to request and convene

14、meetings for reporting and/or reviewing the progress of activities being carried out under this present MOU and for planning and implementing future activities.各方應(yīng)在任何被認(rèn)為恰當(dāng)?shù)臅r(shí)候,要求召開會(huì)議,匯報(bào)和/或回憶根據(jù)本MOU所開展活動(dòng)的進(jìn)展,并方案和實(shí)施未來的活動(dòng).3.4 The Parties may invite technical teams to attend meetings with the scope of coop

15、eration government officials for negotiations of the Projects and implementation. Invitations shallbe made in reasonable time (with one month prior notice) and take into account of the work schedules of the Parties.各方可以邀請技術(shù)團(tuán)隊(duì)參加與合作范圍內(nèi)的政府的會(huì)議來商討工程和實(shí)施.邀請應(yīng)提前做好(提前一個(gè)月)并要考慮工作日程.Article IVImplementation of t

16、he MOU本MOU的實(shí)施4.1 In order to implement the specific activities envisioned hereunder, the Parties shall conclude transaction agreements, cost-sharing agreements etc. which shall specify the scope of work and costs or expenses, sales revenue or profit relating to the activity and how they will to be s

17、hared and/or borne by the Parties. The cost-sharing agreements shall specify in detail the expenses need to be invested during the whole process of the Projects, including but not limited to the preparation, operation and finalization of the Projects.為了實(shí)施下文約定的具體行動(dòng),各方應(yīng)簽訂交易協(xié)議、費(fèi)用共擔(dān)協(xié)議等,明確與上述 具體行動(dòng)有關(guān)的工作范圍

18、、本錢、銷售收入或利潤及其如何分配和承擔(dān).本錢共擔(dān)協(xié) 議應(yīng)明確工程全程所投入的詳細(xì)本錢,包括但不限于準(zhǔn)備、運(yùn)營直至終止.4.2 The costs of public relations activities relating to this MOU, that are not otherwise addressed by a specific cost-sharing agreement concluded hereunder, will be the responsibility of each party independently.本MOU下公共關(guān)系活動(dòng)的費(fèi)用,如果沒有簽署的協(xié)議規(guī)定明

19、確哪方承擔(dān),應(yīng)由各方 單獨(dú)承擔(dān).4.3 The Parties have no intention to form any partnership, agency or authorized representative relationship among them and no such relationships are to be formed by virtue of this MOU. None of the Parties shall enter into any contract or commitment on behalf of the other Party(ies) T

20、he Parties shall be solely responsible for making all payments to and on behalf of its own account, as provided under this MOU and/or cost-sharing agreements concluded hereunder.各方之間無意設(shè)立任何合伙、代理或授權(quán)代表關(guān)系,本MOU不設(shè)立上述關(guān)系.任何一方均不應(yīng)代表其他方簽署任何合同或作出承諾,只能代表自身支付本MOU項(xiàng)下或本錢共擔(dān)協(xié)議項(xiàng)下的款項(xiàng).4.4 Each Party shall be responsible

21、for its own acts and omissions in connection with this MOU and its implementation.各方應(yīng)對本MOU和實(shí)施中自己的行為或義務(wù)負(fù)責(zé).Article VUse of Name and Logo etc.名字或商標(biāo)等的使用5.1 None of the Parties shall use the name, logo, trade names or trademarks of the other Parties or its subsidiaries, and/or affiliates, or any abbrevia

22、tion of the aforesaid, for whatever purposes and in whatever manners, whether or not it is in connection with its business or otherwise, unless express prior written approval of the other Parties are obtained in each case of use with terms to be agreed.除非根據(jù)約定經(jīng)一方事先書面允許,任何一方不得為任何目的、以任何形式使用其它 方和/或其子公司、

23、附屬公司的名稱、標(biāo)識(shí)、商號或商標(biāo),不管該使用行為是否與其自 身業(yè)務(wù)有關(guān).5.2 Both parties acknowledge that they are familiar with dynamic political environment in the scope of cooperation and that none of the Parties shall be associated, whether directly or indirectly and in whatever manner, with any political or sectarian causesin the

24、 scope of cooperation. If any Party did have any such association and/or causes in the scope of cooperation, that Party shall inform the other Parties immediately without delay. The Parties hereby agree that when one Party has any political association and/or causes in the scope of cooperation, this

25、 shall be a legitimate reason for early termination, without compensation, by the other Parties of this MOU and of all other transaction agreements, cost-sharing agreements etc.雙方都熟悉合作范圍內(nèi)的國家的動(dòng)態(tài)政治環(huán)境,各方都沒有直接或間接或以任何形 式,與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián).如果任何一方有關(guān)聯(lián),該方應(yīng)立即通 知其他方.各方同意當(dāng)其中一方與合作范圍內(nèi)的的政治或宗派事件相關(guān)聯(lián),本 MOU 的其他方可視為提前

26、終止本MOU、其他貿(mào)易協(xié)議或本錢共擔(dān)協(xié)議等的正當(dāng)理由,并無賠償責(zé)任.Article VIDuration, Termination, Modification有效期,終止與修改6.1 The proposed cooperation under this MOU is exclusive and shall have duration of an initial period of one (1) year, commencing(dates) unless early termination according to clause 5.2 above or by either Party u

27、pon at least two (2) months ' prior notice in writing to the other Parties. The Parties may agree to extend the term of this MOU for a subsequent period(s) up to three (3) years, unless otherwise mutually agreed in writing.本MOU項(xiàng)下預(yù)期的合作應(yīng)是排他的,最初期限應(yīng)為1年,自 起,除非根據(jù)第5.2條提前終止或任何一方提前至少兩個(gè)月書面通知終止本MOU.各方可以同意本

28、MOU到期后繼續(xù)順延,最多順延 3年,除非各方另行書面約定.6.2 In the event of termination of this MOU, the cost-sharing agreements and project documents concluded pursuant to this MOU shall also be terminated in accordance with the termination provision contained in such agreements. In such case, the Parties shall take all nec

29、essary steps to ensure that the activities carried out under the MOU, the cost-sharing agreements and project documents will be promptly and orderly terminated.如果本MOU終止,根據(jù)本MOU簽訂的本錢共擔(dān)協(xié)議和工程文件應(yīng)同時(shí)根據(jù)該等協(xié)議和文件約定的條款予以終止.在此情形下,各方應(yīng)采取各種必要舉措來保證根據(jù)本 MOU、本錢共擔(dān)協(xié)議和工程文件開展的活動(dòng)迅速且有序地予以終止.6.3 This MOU shall be amended by m

30、utual agreement in writing and duly executed by the Parties.本MOU應(yīng)由各方合意以書面形式作出修改并依約履行.Article VIINotices and Addresses通知與地址7.1 All notices or other communications required or permitted to be given pursuant to or in reference to this MOU shall be in writing and shall be valid and sufficient if deliver

31、ed or dispatched by registered mail, courier, personal delivery or fax (email NOT accepted) as the case may be, to the Party at the address set forth below in this MOU or as from time to time updated by each Party. Notice given as herein provided shall be deemed to have been served (i) in the case o

32、f personal delivery at the time when the notice is left at the addressees address as stated herein below or its last known address; or (ii) in the case of delivery by registered mail or courier on the seventh (7 th) day after posting; or (iii) upon confirmation (as generated by the fax machine) of c

33、orrect transmission to the recipient's fax machine.根據(jù)或與本MOU有關(guān)的所需要或允許作出的所有通知和其他通訊均應(yīng)當(dāng)以書面形式 作出,且應(yīng)當(dāng)合法且有效地以掛號信、郵寄、私人遞送或 (不接受電子郵件)形式遞送至本MOU下文約定的各方地址,或者各方不時(shí)更新的其他地址.在以下情形 下遞送的通知應(yīng)視為已送達(dá)：(1)如果以私人遞送的方式,通知到達(dá)被送達(dá)人的下述 地址或其他的最新地址；或(2)掛號信或郵件寄出后第 7天；或(3)收件人傳 真機(jī)發(fā)出發(fā)送成功確實(shí)認(rèn).For(填寫我方公司通訊地址): Attention: Mr.For ( company

34、 name "): Attention: Mr.Article VIIIGoverning Laws and Jurisdiction and Settlement of Disputes8.1 This MOU is legally binding to the Parties.本MOU對各方有法律約束力.8.2 This MOU shall be governed and construed in accordance to the laws of People 's Republic of China.本MOU受中華人民共和國法律管轄.8.3 The Parties s

35、hall use their best efforts to enter into friendly negotiation and settlement amicably of any dispute, controversy or claim arising out of this MOU (the Dispute ") within Sixty (60) days from the date that one Party sending requests for such a negotiation. If the Parties amicably settled the Di

36、spute by themselves, they shall enter into a settlement agreement in writing and to be duly executed by the Parties. If the Parties genuinely attempted negotiation but failed to reach any settlement terms, either Party may submit the Dispute for arbitration as stated herein below.各方應(yīng)在一方發(fā)出要求協(xié)商的請求之日起6

37、0日內(nèi),盡各方最大努力進(jìn)行友好協(xié)商和解決因本MOU引起的任何糾紛、異議或索賠(“爭議).如各方自行友善解決爭議, 各方應(yīng)簽訂書面的解決協(xié)議并依約履行.如果各方確實(shí)已盡力協(xié)商但未達(dá)成任何解決方案,任何一方可以就爭議根據(jù)下述方式提起仲裁.8.4 Any dispute, controversy or claim among the Parties arising out of this MOU which is not settled amicably in accordance with the foregoing paragraph shall be referred to arbitrati

38、on under the UNCITRAL Arbitration Rules then in force. The arbitral tribunal shall have no authority to award punitive damages. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute. The Partie

39、s further agree the followings:各方之間未能根據(jù)前述方式友好解決的任何糾紛、異議或索賠,應(yīng)當(dāng)根據(jù)彼時(shí)有效的 聯(lián)合國國際貿(mào)易法委員會(huì)仲裁規(guī)那么進(jìn)行仲裁.仲裁庭無權(quán)判處懲罰性賠償.各方應(yīng)受 經(jīng)上述仲裁所作出的任何仲裁裁決的約束,視其為任何糾紛、異議或索賠的終局裁決.各方進(jìn)一步同意：(a) The place of arbitration shall be at Beijing.(b) The language to be used in the arbitral proceedings shall be in English language.仲裁中使用的語言應(yīng)為英語.8.5 This MOU is prepared in English and Chinese. In case of any discrepancies contained between the English and Chinese versions, the English version shall prevail.本MOU應(yīng)為中英文版本.如果中英文版本有差異,以英文版本為準(zhǔn).Article IXMiscellane
