5、etaken as final and binding.)(12) 品質(zhì)/數(shù)量異議：如買方提出異議,凡屬品質(zhì)異議應(yīng)于貨到目的口岸之日起45天內(nèi)提出,過期不予受理.對(duì)所裝貨物的任何異議屬于保險(xiǎn)公司,輪船公司,其他有關(guān)運(yùn)輸機(jī)構(gòu)所負(fù)責(zé)者, 賣方不負(fù)任何責(zé)任.理賠只限于賣方在收到買方所在地聲譽(yù)良好的商檢機(jī)構(gòu)或商會(huì)出具的商品抽樣檢查報(bào)告,證實(shí)貨物與合同不符后,對(duì)品質(zhì)不符的貨物按一比一更換或根據(jù)貨物的疵劣程度和損壞的范圍將貨物貶值,對(duì)數(shù)量不符的貨物給予補(bǔ)足.無論哪種情況下,賣方均不對(duì)貨物的可銷售性或適用性負(fù)責(zé),也不對(duì)任何損失負(fù)責(zé)賠償,包括但不僅限于直接的,間接的,附帶的損失.Quality/Quantit

6、y discrepancy: In case of quality discrepancy, claims shall be filedby the buyer within 45 day' s after the arrival of the commodity at the port of destination, while for quantity discrepancy, claims shall be filed by the buyer within 15 days after the arrival of the commodity at the port of des

7、tination. Otherwise no claim will be accepted. It is understood that the seller shall not be liable for any discrepancy of the commodity shipped due to causes for which the insurance company, other transportation organization or post office are liable. The settlement of such claims is restricted to

8、replacement of the non-conforming commodity on a on e-to-one basis or devaluation of the commodity according to the degree of inferiority and extent of damage in case of quality discrepancy or supply for the sliertage case of quantity discrepancy after the seller has received an inspection report on

9、 the commodity by sampling issued by a reputable commodity inspection organization or chamber of commerce at the place where the buyer is located, certifying the non-conformity thereof. In no event shall the seller be held liable for the merchantability or fitness for any purpose, nor shall it have

10、any liability or responsibility for damages of any kind whatsoever, including but not limited to any direct, indirect or collateral damages.(13) 不可抗力：如遇戰(zhàn)爭,內(nèi)亂或罷工,地震,臺(tái)風(fēng)或火災(zāi)以及其他不可抗力的原因?qū)е沦u方就本合同所述的全部或局部貨物不能按期裝運(yùn)或交貨,賣方概不負(fù)責(zé).Force majeure: In case of war, riot or strike, earthquake, typhoon or fire and in oth

11、er cases of force majeure preventing the shipment within the time fixed, or the delivery, the seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the commodity under this contract.(14) 仲裁：在執(zhí)行本合同中所發(fā)生的或者與合同有關(guān)的一切爭執(zhí),由雙方協(xié)商解決.如果協(xié)商后仍不能解決的,應(yīng)提請(qǐng)仲裁.仲裁地點(diǎn)在中國,由中國國際貿(mào)易促進(jìn)會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)進(jìn)行,根據(jù)該委員會(huì)的仲裁決定為最終決定,買賣雙方都應(yīng)服從,除仲裁委員會(huì)另有判定外,仲裁
