No terms or provisions of this Agreement shall be varied ormodified by any prior or subsequent statement, conduct or act of either of the Parties, except that theParties may amend this Agreement by written instruments referring to and executed in the same

8、本協(xié) 議。This Agreement, including any Statement of Work entered into pursuant hereto, constitutes the entireagreement of the parties hereto with respect to its subject matter and supersedes all prior andcontemporaneous representations, proposals, discussions, and communications, whether oral or inwriti

In the event of a conflict between the provisions of this Agreement and the specific provisionsset forth in a Statement of Work, the provisions of the Agreement shall control, except to the extent theprovisions in a Statement of Work expressly provide otherwise.本協(xié)議，包括因本協(xié)議而生效的任何工作聲明合同，構(gòu)成各方關(guān)于本協(xié)議標(biāo)的

The Parties shall sign a Chinese languageversion of this Agreement as soon as rea

16、為準(zhǔn)。This Agreement may be executed by the parties hereto in any number of counterparts and on separatecounterparts, each of which when so executed shall be deemed an original but all of which shallconstitute one and the same instrument and shall be binding on all parties. A party may execute thisAgre

Both language versions shall be equally authentic.Each Party acknowledges that it has reviewed both language texts and that they are substantially thesame in all material respects.本協(xié)議用英文和中文兩種文本簽署。 兩種語(yǔ)言的文本應(yīng)完全相同。 雙方

If necessary, it may be translated into other languages.However, if there is any conflict, ambiguity or discrepancy between the Chinese version and a version inany other language, the Chinese version shall prevail.
