2、NARYDRUGCOL,LTD.(Distributor),WESTSTREETOFXIGUAN,CITYOFDINGZHOUHEBEIPROVINCE,P.R.CHINA073000.THISAGREEMENTreplacesthedocumentsignedtheseventhdayofOctober,2013(AppendixA).經(jīng)銷商合同本合同由供貨商康福特蹄護理有限公司聯(lián)合德瑞蘭帝蹄護理學院及舒爾步國際咨詢有限公司(供貨商)與經(jīng)銷商陳氏獸藥有限公司(經(jīng)銷商)于2015年8月7日擬定。供貨商公司地址為美國威斯康星巴布拉曼尼崗道E12678號,郵編53913;經(jīng)銷商公司地址為中國河北省

3、定州市西關(guān)街道,郵編073000。本合同代替2013年10月7日簽署的文件(附錄A)享有法律效力。ARTICLEI第一章APPOINTMENTOFDISTRIBUTORSHIP委任經(jīng)銷權(quán)1.ExclusiveDistributionRight.TheCompanyherebyappointsandgrantsDistributortheexclusiveandnon-assignablerighttosellandpromotetheequipment,hoofhealthsupplies,trainingandconsultingservicesoftheCompany.Theaboveit

Accu-Bond?iii.Accu-Sole?iv.Accu-Trim?HoofAnalyzerv.Accu-StepTMFloorGroovervi.7-TrimRule?vii.Roto-ClipTrimmingDiscsandAccessoriesviii.Othertoolsandsuppliesavailablethroughcompany1.獨家經(jīng)銷權(quán)。本公司(供貨商)特此委任并授權(quán)經(jīng)銷商獨家經(jīng)銷權(quán)及不可轉(zhuǎn)讓權(quán)銷售并推廣蹄護理用品、培訓及咨詢服務(wù)。上述產(chǎn)品在本合同中將用“商品”代替。本

6、公司商品的獨家權(quán)不限于以下產(chǎn)品:a.蹄修剪設(shè)備(修蹄設(shè)備)i.康福特修星設(shè)備一H系列ii .康福特修星設(shè)備一M系列iii .康福特修星設(shè)備一E系列iv .束腿帶v.供貨商公司其它相關(guān)設(shè)備b.蹄衛(wèi)生獸醫(yī)工具和用品i.修蹄鞋?ii .粘蹄鞋膠?iii .腳底工具?iv .蹄部分析器?v .地面挖槽機(未注冊商標)vi .7-修蹄規(guī)定?vii .旋轉(zhuǎn)修剪工具及輔助設(shè)備viii.供貨商公司其他工具和用品2. Communication.Electroniccommunicationthroughemailandtextisappropriateforgeneralbusinessdiscussions

7、andcontracts.Communicationviavoice/videoconferencingwillbescheduledbetweentheCompanyandDistributortodiscussmarketconditions,customerneeds,distributoragreementadherenceandanyotheritemsthateitherpartyposesfordiscussion.2.通訊。合同雙方可通過電子郵件和信息等電子通訊工具進行一般性業(yè)務(wù)洽談與交流。供貨商與經(jīng)銷商還可通過電視/電話會議會討論市場條件、客戶需求、經(jīng)銷商協(xié)議的遵守及就其他任

8、何一方提出的問題進行討論。3. Territory.TheexclusiverightshallbelimitedwhohaveplacesofbusinessdistributiontocustomersinandwillinitiallyusetheCompany'sproductsinCHINA.3.經(jīng)銷范圍。獨家經(jīng)銷權(quán)應(yīng)限于具有銷售渠道,并且首次在中國使用供貨商產(chǎn)品的商家。4. Confidentiality.CompanyandDistributoreachagreethatitshallnotdisclosetoanythirdpartytheotherparty'

9、sConfidentialInformation,andthatitshallmakenouseofanysuchConfidentialInformationotherthaninconnectionwithperformanceofitsobligationsarisingundertheAttachment.ConfidentialInformation"shallmeanallofthefollowing,whetherinwritten,graphic,machinereadable,machine-reproducible,oralorotherformorformat:

10、information,detailsofoperation,methods,software,know-how,successesandfailures,practices,technicalplans,blueprints,schematics,specifications,customerlists,pricelists,supplierlists,marketingplansandsystems,financialinformation,thedetailsoftheTermsandAttachment,andallothercompilationsofinformationwhich

11、relatetothebusinessofapartytomaintainitssecrecythatarereasonableunderthecircumstances.ConfidentialInformationshallnotincludeinformationormaterialthat:(i)wasinthepublicdomainpriortothedateoftheAttachmentorthatsubsequentlycomesintothepublicdomainthroughnofaultoftheotherparty,(ii)apartycanshowthroughta

12、ngibleevidencewasknowntoitatthetimeofadisclosureandnotacquireddirectlyorindirectlyasaconsequenceofitsrelationshipwiththeother,(iii)waslawfullyreceivedbyapartyfromathirdpartfreeofanyobligationofconfidentiality,or(iv)isrequiredtobedisclosedinajudicialoradministrativeproceedingorbyagovernmentalorregula

13、toryauthority,domesticorforeign.Eachpartyagreestopromptlygivetheothernoticeofanyrequestforadisclosuredescribedintheprecedingclause(v).EachpartyshallrequireitsrespectiveemployeesandagentstokeepconfidentialsuchConfidentialInformationandshallindemnifytheotherpartyintheeventofabreachofthisprovisionbyits

14、respectiveemployeesoragents.4.機密。供貨商與經(jīng)銷商雙方任何一方均不得向第三方公開雙方的機密信息。除與附件條款規(guī)定的義務(wù)行為有關(guān)的機密信息外,雙方不得使用任何此類機密信息。機密信息包括以下書面文字的、圖表的、機讀的、計算機再生的、口語的或其他形式的信息:設(shè)備信息、操作細節(jié)、方法、軟件、專門技能、成功與失敗,實踐、技術(shù)計劃,藍圖、圖表,說明書,客戶名單,報價單,賣方名單、營銷計劃及系統(tǒng),財政信息、合同條款及附件細節(jié),及其他所有與合同一方業(yè)務(wù)有關(guān)的機密信息,此種情況下保守機密信息是合理的。機密信息不含以下信息及材料:(i)已經(jīng)先于合同簽署之日公開,或在合同簽署之后公開但

15、并非雙方過錯,(ii)在公開信息時,合同一方具有大眾化有形證據(jù),并與另一方無直接或間接關(guān)系(iii)合同一方從沒有保密義務(wù)的第三方合法接收的材料,或(iv)在司法或行政訟訴中要求公開,及國內(nèi)外政府或監(jiān)管機構(gòu)要求公開。合同一方須立即通知另一方披露上述條款中所述機密信息的要求,(v)合同雙方應(yīng)要求本方員工與代理商對機密信息進行嚴格保密,如果任一方員工或代理商違反這一規(guī)定,則須進行賠償。5. CompetitiveEquipment.Distributoragreesnottorepresent,sellorpromoteanygoodsorserviceswhicharedeemedbytheCo

16、mpanytobecompetitivewiththeCompany'sgoodssummarizedinArticle1,number1unlessagreedtobytheCompanybywrittennotice.5 .有競爭性設(shè)備。經(jīng)銷商不得代理、銷售或推廣任何供銷認為的與第一條款第一項列出的有競爭力的其他公司生產(chǎn)的同類商品與服務(wù),除非持有本公司同意的書面通知。6 .DistributionBenchMarks.A.YearOne:AnnualordersforequipmentandgoodstoexceedUS$300,000,00.B.YearTwo:Annualord

Sales.a. Distributorsshalluseitsbesteffortstopromotethes

18、aleanddistributionoftheEquipmentandtoprovideadequatesupport,whicheffortsshallincludethefollowing:i. Establishingandmaintainingappropriate,attractiveandaccessiblepremisesandfacilities,primarilycleanandfunctionalequipmentforthedisplay,traininganddemonstrationofgoods.ii. MaintaincurrentknowledgeofCompa

19、nyequipmentspecifications,components,operationalproceduresandoptionalsubassemblies.DistributorwillsendrepresentativewithinterpretertoCompanyfacilityfortechnicaltrainingonEquipmentassembly,operationandmaintenance.ThistrainingwilltakeplacefortwoweeksinBaraboo,WisconsinduringtheperiodofJanuarythroughMa

20、rch2016.CompanywillfullydisclosetoDistributorallchangesofdesign,includingsubassembliesandcomponents.CompanywillprovidesupporttoDistributorregardingdesignchanges,includingequipmentstructureandcomponents.iii. Maintaincurrentknowledgeofgoods,includingbutnotlimitedtohoofhealthsupplies,serviceandproperfu

21、nctionaltrimming.Annually,Distributorwillmakeavailableviavideoconferencearepresentativefortechnicaltrainingonhoofhealthsuppliesandgoods.iv. UndertakepromotionalcampaignsandcanvasprospectiveuserstostimulatethesalesofEquipment.v. CommunicatewithCompanyviaquarterlyvideoconferencewiththepurposeofdiscuss

22、ingcurrentandfuturesaleslevels.b. Companyshallprovidethefollowing1. Allleads,inquiries,requestscomingtotheCompanyrelatedtotheChinamarketwillberevertedbacktotheDistributor.銷售a.經(jīng)銷商應(yīng)竭盡所能推廣并銷售該設(shè)備并提供充分的支持,包括以下方面:i .建立并維護恰當?shù)?、吸引人的、便于訪問的場所及設(shè)施,主要為商品的陳列、人員的訓練及設(shè)備的示范提供干凈的功能性設(shè)備。ii .供貨商設(shè)備的說明書、部件、操作程序及可選組件。經(jīng)銷商須派代表

23、與翻譯隨行到供貨商所在地進行設(shè)備組裝的技術(shù)培訓,操作和維護。此次培訓將在威斯康星州的布拉布進行,并持續(xù)兩周,2016年1月開始3月結(jié)束。在此期間,供貨商將會向經(jīng)銷商全面公開設(shè)備的全部設(shè)計變體,包括總成系統(tǒng)及組件。供貨商將根據(jù)設(shè)計的變化向經(jīng)銷商提供支持,包括設(shè)備的結(jié)構(gòu)與組件。iii .識記與商品相關(guān)的所有內(nèi)容,包括但不限于蹄護理用品,服務(wù)和功能性修剪設(shè)備。經(jīng)銷商每年須派代表通過視頻會議進行蹄護理用品與商品的技術(shù)培訓。iv .推行促銷活動,發(fā)展?jié)撛诳蛻魜泶龠M設(shè)備的銷量。v .雙方每季度進行一次視頻會議,交流討論現(xiàn)有銷售水平及預(yù)期的銷售水平。b.供貨商應(yīng)提供以下內(nèi)容1. 與中國市場相關(guān)的所有對供貨商

24、設(shè)備的建議、咨詢、要求將會反饋到經(jīng)銷商處。2. Advertising.Companyshall,uponrequest,assisttheDistributoronalladvertising,salespromotion,andpublicrelationscampaignstobeconducted,includingprovidingDistributorwithdocumentationofpreviouspromotionalcampaignsconductedinconnectionwiththeEquipment,andshallprovidenecessarytechnica

25、linformationandassistance.a. CompanywillpublishontheCompanyofficialwebsitetheDistributorastheexclusivedistributorinthepreviouslyagreedtoterritorylistedinArticle1,number1.b. DistributorwillpromoteandpublishallgoodsontheDistributorwebsiteinthedesiredcustomer;spreferredlanguage.c. Companywillassistwith

26、and/orprovidematerialcontentandvideos.2亡£。供貨商應(yīng)按要求協(xié)助經(jīng)銷商進行廣告推廣、促銷及公關(guān)活動,包括向經(jīng)銷商提供與該設(shè)備相關(guān)的之前促銷活動的文件,并提供必要的技術(shù)信息及幫助。a.供貨商須在官網(wǎng)上公布本合同中第一條款第一項提及的經(jīng)銷商獨家經(jīng)銷權(quán)。b.經(jīng)銷商須進行產(chǎn)品推廣,并在官網(wǎng)上以客戶首選語言發(fā)布所有商品信息。c.供貨商須協(xié)助和/或提供設(shè)備相關(guān)材料和視頻。3. Support.CompanyshallprovidetechnicalsupporttoDistributorcustomerswithintheterritoryoutlinedi

27、nthisagreement.CompanywillprovidenecessaryinformationandconsultationtoDistributorforanyandallconcernsrelatingtooperationanduseofgoods.3.支提供貨商須嚴格執(zhí)行本合同所列條款,在合同規(guī)定范圍內(nèi)向經(jīng)銷商客戶提供技術(shù)支持。供貨商還須就任何及所有與商品使用與操作有關(guān)問題向經(jīng)銷商提供必要的信息及咨詢。ARTICLEIII第三章DELIVERY交付1. Orders.DistributorshallorderEquipmentbywrittennoticetoCompany

28、.Eachordershallspecifythenumberofunitstobeshipped,thetypeofunitstobeshipped(asidentifiedbyCompanymodelnumberdesignationsindicatedinthePriceList)includingalloptionalfeatures,thedesiredmethodofshipmentandtheanticipatedreleasedate.Anorderconfirmationmustbesignedbybothparties.CompanyagreestoshipunitstoD

29、istributorascloseaspossibletothedeliveryschedulesetforthineachorderasacceptedbyCompany,unlessCompanyotherwiseindicatesinwriting.1 .訂單。經(jīng)銷商須以向供貨商提交書面通知的方式訂購設(shè)備。每一訂單應(yīng)標明裝運的數(shù)量單位,運輸單位類型(因為供貨商要注明價格列表中的型號名稱),包括所有選定特征,理想的裝船方式及預(yù)計出廠日期。訂單確認表必須由合同雙方共同簽字供貨商須向經(jīng)銷商運送商品盡可能接近每筆訂單的交貨時間表,除非公司另有書面指示。2. Orders.Distributors

30、hallorderEquipmentbywrittennoticetoCompany.Eachordershallspecifythenumberofunitstobeshipped,thetypeofunitstobeshipped(asidentifiedbyCompanymodelnumberdesignationsindicatedinthePriceList)includingalloptionalfeatures,thedesiredmethodofshipmentandtheanticipatedreleasedate.Anorderconfirmationmustbesigne

31、dbybothparties.CompanyagreestoshipunitstoDistributorascloseaspossibletothedeliveryschedulesetforthineachorderasacceptedbyCompany,unlessCompanyotherwiseindicatesinwriting.2.報價。所有商品要以美元報價,有效期為90天。所報價格為離岸價,由美國威斯康星州巴拉布公司辦事處擬定。報價不含運費、稅金及合同規(guī)定出售商品的關(guān)稅。3. Terms.Termsare20%downpaymenttoguaranteeorder.Balanced

32、ue,80%,isrequiredattimeofreleaseunlessotherwiseagreedinwriting.3.期睫為確保訂單,須收取20%的定金。剩余的80%余款須在發(fā)貨前到賬,除非另有書面協(xié)議。4. Shipment.AllshipmentsofEquipmentshallbemadeFOBCompany'splantandliabilityforlossordamageintransit,orthereafter,shallpasstoDistributoruponCompany'sdeliveryofEquipmenttoacommoncarrierf

33、orshipment.CompanyrecommendsusingINCOTerms:CIFDestination(Cost,Insurance,Freight),howeverothertermsmayagreeduponanddisclosedintheorderconfirmation.4.裝支所有裝運的出廠設(shè)備須供貨商報出離岸價及承擔在運送過程中設(shè)備丟失或損壞責任,或此后由供貨商通過普通運載方式向經(jīng)銷商交付商品。供貨商推薦使用國際貿(mào)易交易條款:目的地到岸價(成本、保險、運費),但是,其他條款須在訂單確認中協(xié)商一致并公開。5. TitletoEquipment.TitleofEquipm

34、entshallpasstoDistributorimmediatelywhenCompanyreceivespayment.TheCompanyreservesasecurityinterestineachunitofEquipmentreceivedbytheDistributorifDistributorshallhavesoldorleasedaunit(s)toanotherpartypriortoDistributorpayingCompanythepurchasepriceforsuchUnit.6. 設(shè)備所有權(quán)。設(shè)備所有權(quán)應(yīng)在供貨商收到貨款后即刻轉(zhuǎn)移至經(jīng)銷商。如果經(jīng)銷商在向供貨

35、商購買設(shè)備之前向第三方出售或出租設(shè)備,供貨商保留交付經(jīng)銷商的該套設(shè)備的安全利益。7. EquipmentAcceptance.ThecriterionforacceptanceofCompanyEquipmentbyDistributorshallbethesuccessfuloperationoftheEquipmentusingCompany'sstandardtestproceduresanddiagnostictestprogramsapplicabletotheEquipmentinvolved.8. 設(shè)備驗收。經(jīng)銷商驗收供貨商設(shè)備的標準應(yīng)是操作符合供貨商公司的標準測試程序和

36、診斷測試程序,并且這一操作適用于所有進口設(shè)備。ARTICLEIV第四章PROPRIETARYRIGHTS所有權(quán)1.UseofCompanyNameandIntellectualProperty.Companyexpresslyprohibitsanydirectorindirectuse,referenceto,orotheremploymentofitsname,trademarks,ortradenameexclusivelylicensedtoCompany,exceptasspecifiedinthisAgreementorasexpresslyauthorizedbyCompanyi

37、nwriting.1 .供貨商名稱的使用及知識產(chǎn)權(quán)。供貨商明確禁止任何直接或間接使用、引用或以其他形式占有獨家授權(quán)給供貨商的公司名稱、商標或商號,除非本合同中有特別說明,或供貨商以書面形式授權(quán)。a. Distributoragreesnottorepresent,sell,promoteorconductanytrainingserviceswhicharedeemedbytheCompanytobecompetitiveunlessagreedtobytheCompanybywrittennotice.c. AlladvertisingandotherpromotionalmaterialforEquipmentandGoodscoveredinthisagreementwillbesubmittedt

39、oCompanyinadvanceofuseandwillonlybeusedifCompanyconsentsthereto,whichconsentshallnotbeunreasonablywithheld.Companymustapprovetheuseofallcurrentlyheldtrademarkslistedbelowincludingtrademarkscreated,ownedandmaintainedinthefuture.a.供貨商明確禁止任何直接或間接使用、引用或以其他形式占有德瑞蘭帝蹄護理學院及舒爾步國際咨詢有限公司的蹄護理培訓材料及知識產(chǎn)權(quán),除非公司以書面形式

40、授權(quán)。b.經(jīng)銷商不得代理、銷售、推廣或管理供貨商認為與本設(shè)備競爭激烈的同類產(chǎn)品,除非供貨商以書面通知形式同意。c.本合同所含設(shè)備及商品的所有廣告及其他推廣材料在使用之前須提交給供貨商,經(jīng)供貨商同意方可使用,提交內(nèi)容不應(yīng)被不合理地保留。供貨商必須同意保留現(xiàn)有的下列所有商標,包括將來創(chuàng)建、所有并保留的商標。i. PatentIndemnity.Companyagrees,atitsownexpense,toindemnify,defendandholdharmlessDistributoranditscustomersfromandagainsteveryexpense,damage,costandloss(includingattorneys'feesincurred)andtosatisfyalljudgmentsanddecreesresultingf

42、romaclaim,suitorproceedinginsofarasitisbaseduponanallegationthattheEquipmentoranypartthereoffurnishedbyCompanyoranyprocesswhichispracticedinthecustomaryuseoftheEquipmentisorhasbeeninfringinguponanypatent,copyrightorproprietaryright,ifCompanyisnotifiedpromptlyofsuchclaiminwritingandgivenauthority,and

43、fullandproperinformationandassistance(atCompany'sexpense)forthedefenseofsame.IncasetheEquipment,oranypartthereof,insuchunitisheldtoconstituteaninfringementandtheuseofsaidEquipmentorpartisenjoined,Companyshall,initssoleEquipmentorpartorreplaceormodifythesamewithnonperformanceorcapacityoraffectits

44、compatibilitywiththehardware.2.專利賠償。供貨商須自費賠償、保護和維護無惡意的經(jīng)銷商及客戶免受費用、損害、成本等各種損失(包括律師費用)的侵害,并符合由索賠及訴訟引起的所有判決及律例的要求。但此索賠及訴訟必須在以下范圍:由供貨商生產(chǎn)的該設(shè)備及其他任何部件,或該設(shè)備的慣用程序侵犯任何專利、版權(quán)或所有權(quán)。如果以書面形式或授權(quán)其他機構(gòu)通知公司及時處理索賠或訴訟,供貨商須自費獲取全面合理的信息及幫助進行辯護。假如該設(shè)備或其任何部件構(gòu)成侵權(quán),上述設(shè)備或部件的使用被明令禁止,供貨商須修改或用其他設(shè)備或部件取代原有侵權(quán)設(shè)備或部件,使其性能與之前設(shè)備相同,并且不影響其容量及與其他

45、硬件的兼容性。3. DrawingsandData.TheCompanynormallysuppliesallnecessarydatafortheproperinstallation,test,operationandmaintenanceofitsEquipment.Portionsofthisdataareproprietaryinnatureandwillbesomarked.TheDistributoragreestoabidebythetermsofsuchmarkings.TheCompanyretainsforitselfallproprietaryrightsinandtoa

46、lldesigns,engineeringdetails,andotherdatapertainingtoanyEquipmentspecifiedinthecontractandtoalldiscoveriesinventions,patentrights,etc.,arisingoutofworkdoneinconnectionwiththecontractandtoanyandallEquipmentdevelopedasaresultthereof,includingthesolerighttomanufactureanyandallsuchproducts.TheDistributo

53、YCOMPANYEITHEREXPRESSEDORIMPLIED.設(shè)備保修。除了在以上第一章第四條規(guī)定的我司購貨款的擔保權(quán)益,供貨商保證經(jīng)銷商在本協(xié)議下購買的設(shè)備享有自由和明確的留置權(quán)和產(chǎn)權(quán)負擔。供貨商進一步保證所有的設(shè)備在正常使用和服務(wù)下的一段時間內(nèi)(例如自交貨起一年內(nèi))在材料和工藝方面沒有缺陷。根據(jù)此保修規(guī)定,所有的維修質(zhì)保必須在供貨商工廠內(nèi)或者供貨商指定的其他類似保外維修設(shè)施進行,除非供貨商特別指示此項維修服務(wù)可以在其他地點進行。在保修期內(nèi)修正缺陷,及在保修范圍內(nèi)發(fā)現(xiàn)的問題由供貨商進行維修,所有的人力,材料費用均由供貨商承擔。如果經(jīng)決定問題不屬于供貨商,或者損害由經(jīng)銷商,其代理,員工或顧

54、客的疏忽造成。經(jīng)銷商須支付所有與修理有關(guān)的費用。這些由供貨商明示或暗示構(gòu)成了唯一保修條款。2 .MisuseofEquipment.Anytampering,misuseornegligenceinhandlingoruseofEquipmentrendersthewarrantyvoid.Further,thewarrantyisvoidif,atanytime,DistributorattemptstomakeanyinternalchangestoanyofthecomponentsoftheEquipment;ifatanytimethepowersuppliedtoanypartof

55、theEquipmentexceedstheratedtolerance;ifanystructuralchangesaremadetoanypartoftheEquipmentnotapprovedbyCompany;ifanyexternaldeviceattachedbyDistributorcreatesconditionsexceedingthetoleranceoftheEquipment;orifanytimetheserialnumberplateisremovedordefaced.OPERATIONOFTHEEQUIPMENTTHATRENDERSTHISWARRANTYV

56、OIDWILLBEDEFINEDTOINCLUDEALLOFTHEPOSSIBILITIESDESCRIBEDINTHISPARAGRAPH,TOGETHERWITHANYPRACTICEWHICHRESULTSINCONDITIONSEXCEEDINGTHEDESIGNTHEDESIGNTOLERANCEOFTHEEQUIPMENT.2.設(shè)備的誤用。在操作或使用設(shè)備中任何篡改,濫用,疏忽導致設(shè)備保修無效。此外,以下情況發(fā)生,保修無效:在任意時間內(nèi),如果經(jīng)銷商試圖更改設(shè)備內(nèi)部的配件;任何部分的設(shè)備功率超過額定耐受性;設(shè)備任何部分內(nèi)部結(jié)構(gòu)發(fā)生不受供貨商認可的改變;供貨商連接的外部設(shè)備超過了設(shè)備的

57、耐受性;序列版號被移除或污損。ARTICLEVI第六章SPARES備件1.Availability.Spares,asusedherein,shallbedefinedasCompany'sstandardsubassembliesandpartsusedtofabricateand/orrepairtheEquipmentmanufacturedbytheCompany.CompanyshallmakesparesforpurchasebyDistributorforaperiodofnotlessthanfive(5)yearsaftershipmentofthelastunitt

Term.ThetermofthisAgreementshallbeforthreeyearsfromthedatehereof,unlesssoonerterminated.Terminationshallnotrelieveeitherpartyofobligationsincurredpriorthereto.期限。從簽訂日期起,本協(xié)議期限為三年,除非提前終止。任何一方在協(xié)議終止前不得解除其義務(wù)。2.
