13、s before the con tracted time of shipme nt, of the con tract nu mber,name of commodity, quantity, loading port and expected date of arrival of the goods at the loading port, en abli ng the Buyers to arrange for shipp ing space. Abse nce of such advice with in the time specified above shall be con si

15、shall advise the Sellers by cable, 12 days before the expected loading date, of the estimated laydays, con tract nu mber, n ame of vessel, qua ntity, to be loaded and shipp ing age nt. The Sellers shall the n arrange with the shipp ing age nt for loadi ng accordi ngly .In case of n ecessity for subs

16、tituti on of vessel or alterati on of shipp ing schedule, the Buyers or the shipp ing age nt shall duly advise the Sellers to the same effect.買方應在船只受載期12天前將船名、預計受載日期、裝載數量、合同號碼、船舶代理人，以電報通知賣方。賣方應聯系船舶代理人配合船期備貨裝船。如買方因故需要變更船只或更改船期時，買方或船舶代理人應及時通知賣方。d) In the event of the Sellers ' failure in effecting

However, the Sellers shall be still under the obligati on to load the goods on board the carry ing vessel immediately after her arrival at the load ing port, at their own exp

The expe nses and losses men ti oned above shall be reimbursed aga inst orig inal receipts or inv oices.買方所租船只按期到達裝運口岸后，如賣方不能按時備貨裝船，買方因而遭受的一切損失包括空艙費、延期費及/或罰款等由賣方負擔。如船只不能于船舶代理人所確定的受載期內到達，在港口免費堆存期滿后第16天起發(fā)生的倉庫租費，保險費由買方負擔，但賣方仍負有載貨船只到達裝運口岸后立即將貨物裝船之義務并負擔費用及風險。前述各種損失均憑原始單據核實支付。B. Terms of

20、 CFR Delivery :成本加運費價條款The Sellers undertake to ship the contracted goods from the port of loading to the port of destination on a direct liner, with no transhipment allowed. The contracte goods shall not be carried by a vessel flying the flag of the coun tries which the Buyers can not accept.賣方負責將本

21、合同所列貨物由裝運口岸裝直達班輪到目的口岸，中途不得轉船。貨物不得用懸掛買方不能接受的國家的旗幟的船只裝運。(11) Advice of Shipment :裝運通知:The Sellers shall upon competition of loading, advise immediately the Buyers by cable of the con tract nu mber, n ame of commodity, nu mber of packages, gross and net weights, inv oice value, n ame of vessel and load

22、 ing date.賣方在貨物裝船后，立即將合同號、品名、件數、毛重、凈重、發(fā)票金額、載貨船名及裝船日期以電報通知買方。(12) In sura nee 保險: To be covered by the Buyers from shipment, for this purpose the Sellers shall advise the Buyers by cable of the particulars as called for in Clause(11) of this Con tract, In the eve nt of the Buyers being un able to arr

23、ange for in sura nee in con sequice of the Sellers ' failure to send the above advice, the Sellers shall be held resp on sible for all the losses thus susta ined by the Buyers.自裝船起由買方自理，但賣方應按本合同第(11)條通知買方。如賣方未能按此辦理，買方因而遭受的一切損失全由賣方負擔。(13) Inspection and Claim：檢驗和索賠:The Buyers shall have the right

24、 to apply to the General Administration of Quanlity Supervision. Inspection and Quarantine of the Peopl'Republic of China (AQSIQ) for inspection after discharge of the goods at the port of dest in ati on. Should the quality an d/or qua ntity/weight be found not in con formity with the con tract

25、or inv oice the Buyers shall be en titled to lodge claims with the Sellerson the basis of AQSIQ's Survey Report, within 90 days after discharge of thtgoodport of destination , with the exception, however, of those claims for which the shipping company and/or the in sura nee compa ny are to be he

26、ld resp on sible. All expe nses in curred on the claim in clud ing the inspection fee as per the AQSIQ inspection certificate are to be borne by the Sellers. In case of FOB terms, the buyers shall also be en titled to claim freight for short weight if any.買方有權申請中華人民共和國國家質量監(jiān)督檢驗檢疫總局對貨卸目的口岸進行檢驗。如發(fā)現 貨物的

27、品質及/或數量/重量與合同或發(fā)票不符：除屬于保險公司及/或船公司的責任外，買方有權在貨卸目的口岸后90天內，根據中華人民共和國國家質量監(jiān)督檢驗檢疫總局出具的證明書向賣方提出索賠，因索賠所發(fā)生的一切費用（包括檢驗費用）均有賣方負擔。 FOB價格條件時，如重量短缺，買方有權同時索賠短重部分的運費。（14）Force Majeure：不可抗力：In case of Force Majeure the Sellers shall not held resp on sible for delay in delivery or non delivery of the goods but shall not

28、ify immediately the Buyers and deliver to the Buyers by registered mail a certificate issued by gover nment authorities or Chamber of Commerce as evide nee thereof. If the shipme nt is delayed over one month as the con seque nee of the said Force Majeure, the Buyers shall have the right toca ncel th

Sellers' in ability in obta ining export lice nee shall n ot becon sidered as Force Majeure.由于人力不可抗拒事故，使賣方不能在合同規(guī)定期限內交貨或者不能交貨，賣方不負責任。但賣方必須立即通知買方，并以掛號函向買方提出有關政府機關或者商會所出具的證明，以證明事故的存在。由于人力不可抗拒事故致使交貨期限延期一個月以上時，買方有權撤銷合同。賣方不能取得出口許可證不得作為不可抗力。（15）Delayed Delivery and Penalty :延期交貨及罰款：Should

30、 the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause （14） of this Contract, the Buyers shall have the right to cancel the relative quantity of the contract, Or altenatively, the Sellers may, with the Buyers'

31、; consent, postpone delivery on payment of penalty to the Buyers. The Buyers may agree toegrant tSellers a grace period of 15 days. Penalty shall be calculated from the 16th day and shall not exceed 5% of the total value of the goods involved.除本合同第（14）條人力不可抗拒原因外，如賣方不能如期交貨，買方有權撤銷該部分的合同，或經買方同意在賣方繳納罰款的

32、條件下延期交貨。買方可同意給予賣方 15天優(yōu)惠期。罰 款率為每10天按貨款總額的1%。不足10天者按10天計算。罰款自第16天起計算。最多不 超過延期貨款總額的5%。（16）Arbitration :仲裁申請書All disputes in connection with this Contract or the execution thereof shall be friendly negotiation. If no settlement can be reached, the case in dispute shall then be submitted for arbitration to the Foreign Economic and Trade Arbitration Commission of the China Council for
